1.Membership:

1.1PartyBshallbecomeamemberofPartyA'sonlineclubuponpaymentofthemembershipfeeasspecifiedinExhibitAattachedhereto.

1.2Themembershipfeeisnon-refundableandnon-transferable.

2.Services:

2.1PartyAshallprovidePartyBwithaccesstotheonlineclubplatform,includingbutnotlimitedtoforums,events,andotheractivities.

2.2PartyAshallensurethattheonlineclubplatformisaccessibleandfunctionalatalltimes,exceptforanyscheduledmaintenanceortechnicalissuesbeyondPartyA'scontrol.

2.3PartyAreservestherighttomodify,suspend,orterminateanyserviceatanytimewithoutpriornotice,providedthatsuchmodification,suspension,orterminationdoesnotaffecttherightsandobligationsofthepartiesunderthisContract.

3.UsageofServices:

3.1PartyBagreestousetheonlineclubplatformforlawfulpurposesonlyandshallnotengageinanyactivitythatisharmful,illegal,orviolatestherightsofothers.

3.2PartyBshallnotusetheonlineclubplatformtotransmit,store,ordistributeanymaterialthatisdefamatory,obscene,orinfringingupontherightsofanythirdparty.

3.3PartyBshallkeepallusernamesandpasswordsconfidentialandshallnotdisclosethemtoanyunauthorizedperson.

4.IntellectualProperty:

4.1PartyAretainsallintellectualpropertyrightsinandtotheonlineclubplatform,includingbutnotlimitedtocopyrights,trademarks,andpatents.

4.2PartyBacknowledgesthatPartyAhasexclusiverightstouseandexploittheonlineclubplatformanditscontents.

5.TermandTermination:

5.1ThisContractshallcommenceonthedateofexecutionandshallremainineffectforaperiodofone(1)year,unlessterminatedearlierinaccordancewiththisContract.
