1.ScopeofWork

TheContractoragreestoperformtheWorkinaccordancewiththedrawings,specifications,andplansprovidedbytheEmployer(hereinafterreferredtoas"theDocuments"),andtocompletetheWorkwithinthetimespecifiedintheContract.

2.ProjectDescription

TheWorkshallinclude,butnotbelimitedto,theconstructionof[briefdescriptionoftheProject],including,butnotlimitedto,[listofspecificconstructionactivities].

3.ProjectSchedule

TheContractorshallcompletetheWorkwithin[specifictimeperiod],subjecttoanydelayscausedbyunforeseencircumstancesbeyondtheContractor'scontrol.

4.PaymentTerms

4.1TheEmployershallpaytheContractorinaccordancewiththepaymentscheduleattachedheretoasExhibitA.

6.LiabilityandIndemnification

6.2TheContractorshallindemnifyandholdharmlesstheEmployerfromanyandallclaims,actions,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeWork.

7.Termination

7.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,intheeventofamaterialbreachoftheContractbytheotherparty.

7.2UponterminationofthisContract,theContractorshallcompleteanyunfinishedWorktothebestofitsability.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution].
