-PartyBshallensurethatallgoodssuppliedorservicesprovidedareincompliancewithapplicablelawsandregulations.

-PartyBisresponsibleformntningthepropertyingoodcondition,ifapplicable,andaddressinganyissuesthatmayariseduringtheleaseperiod.

-PartyBhastheobligationtoinformPartyApromptlyofanyfactorsthatmayaffectitsabilitytofulfillitsobligationsunderthiscontract.

TheaboverightsandobligationsarefundamentaltotheproperexecutionofthisIntentContractandaretobeobservedbybothPartiesingoodfth.

ThepricesforthegoodsorservicestobeprovidedbyPartyB,asagreedbytheParties,arespecifiedinAppendix[appendixnumber]attachedhereto.Thepaymenttermsareasfollows:

-PartyAshallmakepaymenttoPartyBinaccordancewiththeagreedprices,followingthecompletionofservicesorupondeliveryofgoods,unlessotherwisespecified.

IntheeventofabreachofthisIntentContractbyeitherParty,thenon-breachingPartyshallbeentitledtothefollowingremedies:

-ThebreachingPartyshallbeliabletopayapenalty,asliquidateddamages,equalto[penaltypercentage]ofthetotalvalueoftheaffectedtransaction.

-Thenon-breachingPartyshallhavetherighttoseekspecificperformanceorinjunctivereliefinadditiontoorinsteadofthepenalty.

-IfthebreachisnotcapableofbeingremediedorifthebreachingPartyflstorectifythebreachwithinareasonableperiod,thenon-breachingPartymayterminatethisIntentContractandseekcompensationforanydirectlossessufferedasaresultofthebreach.

-ThePartiesagreethatthepenaltyandcompensationamountsarefrandreasonableestimatesofthedamagesthatwouldbesustnedintheeventofabreachandarenotintendedaspenalties.

-ThebreachingPartyshallalsoberesponsibleforanyreasonablelegalfeesandcostsincurredbythenon-breachingPartyinenforcingitsrightsunderthiscontract.

-ThePartiesacknowledgethattheaforementionedremediesarewithoutprejudicetoanyotherrightsorremediesavlabletothemunderapplicablelaw.

第七條不可抗力：

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,naturaldisasters,fires,explosions,floods,war,riots,strikes,lockouts,boycotts,actsofgovernment,oranyothersimilareventsthatareunforeseeableandirresistible.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorfluresintheperformanceofitsobligationsunderthisIntentContract,totheextentandforthedurationthatsuchperformanceispreventedbytheForceMajeureevent.

-ThePartyaffectedbyaForceMajeureeventshallpromptlynotifytheotherPartyoftheoccurrenceandnatureofsuchevent,andshallusereasonableeffortstomitigatetheeffectsoftheevent.

-ThePartyclmingtheexemptionshallprovideevidenceoftheForceMajeureeventtotheotherPartywithin[number]daysoftheoccurrence.

-TheobligationsoftheaffectedPartythatarepreventedbytheForceMajeureeventshallbesuspendedduringtheperiodoftheevent,andtheaffectedPartyshallnotbeliableforanynon-performanceordelayduringthatperiod.

-IfthePartiesdonotagreeonanarbitrationinstitutionorifarbitrationisnotcommencedwithin[number]daysoftheflureofmediation,eitherPartymayinitiatelegalproceedingsinacourtofcompetentjurisdiction.
