1.SubjectMatteroftheContract

2.QuantityandQualityofGoods

3.Delivery

3.1ThedeliverydateoftheGoodsshallbe[DeliveryDate].

3.3ThedeliveryaddressoftheGoodsshallbe[DeliveryAddress].

4.PriceandPayment

4.1ThepriceoftheGoodsshallbe[PriceperUnit]multipliedby[QuantityofGoods],totaling[TotalPrice].

4.2ThepaymenttermsofthisContractareasfollows:

(1)[PercentageofAdvancePayment]ofthetotalpriceshallbepaidbyPartyBtoPartyAuponthesigningofthisContract;

5.ForceMajeure

IntheeventofanyunforeseeableandunavoidableeventoccurringwhichpreventseitherpartyfromfulfillingitsobligationsunderthisContract,suchasnaturaldisasters,wars,governmentregulations,etc.,thepartyaffectedshallnotifytheotherpartyoftheoccurrenceofsucheventinatimelymanner,andbothpartiesshalldiscussandagreeontheextensionofthedeliveryperiodortheterminationoftheContract.

6.DisputeResolution

IntheeventofanydisputesarisinginthecourseoftheperformanceofthisContract,thepartiesheretoshallfirstnegotiateandsettlethedisputesthroughfriendlynegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothepeople'scourtwithjurisdictionoverthematterforadjudication.

7.ValidityandTerminationoftheContract

7.1ThisContractshallcomeintoeffectuponthesignatureofbothpartiesandshallremainineffectuntiltheobligationsofbothpartiesunderthisContractarefullyperformed.

7.2EitherpartymayterminatethisContractbywrittennoticetotheotherpartyintheeventofabreachoftheContractbytheotherparty,andthebreachingpartyshallbearthecorrespondinglegalliability.

8.Miscellaneous

8.1ThisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.

8.2ThisContractisexecutedintwocopies,eachcopybeingequallyeffective.

3.1PartyAhastherighttorequirePartyCtoprovidetimelyandaccurateinformationregardingthetransactionandthestatusoftheGoods.

3.2PartyAhastherighttoinspectthequalityoftheGoodsbeforethedelivery.

3.3PartyAhastherighttoterminatethisContractintheeventofabreachofanytermbyPartyBorPartyC.

3.4PartyAshallpaytheagreed-uponfeestoPartyCforitsservices.

3.5PartyAshallcomplywiththetermsandconditionsofthisContractandshallnotcauseanylossordamagetoPartyBorPartyC.

4.RightsandObligationsofPartyB

4.1PartyBshallsupplytheGoodsinaccordancewiththespecifications,quality,andquantityagreeduponinthisContract.

4.2PartyBshalldelivertheGoodstoPartyAwithintheagreed-upontimeandatthedesignatedlocation.

4.3PartyBshallprovidethenecessarydocumentationandcertificationsfortheGoodsuponrequestbyPartyA.

4.4PartyBshallcomplywiththetermsandconditionsofthisContractandshallnotcauseanylossordamagetoPartyAorPartyC.

5.RightsandObligationsofPartyC

5.1PartyCshallfacilitatethetransactionbetweenPartyAandPartyB,includingarrangingforthedeliveryandtransferoftheGoods.

5.2PartyCshallensurethatthetransactionisconductedinafairandtransparentmanner.

5.3PartyCshallprovidePartyAwiththenecessarysupportandassistancethroughoutthetransactionprocess.

5.4PartyCshallnotbeliableforanybreachofcontractbyPartyB,butshalluseitsbesteffortstoresolveanydisputesbetweenPartyAandPartyB.

6.ConsequencesofBreachofContract

6.1IntheeventofabreachofanytermbyPartyB,PartyAshallhavetherighttoterminatethisContractandseekdamagesfromPartyB.

6.2IntheeventofabreachofanytermbyPartyC,PartyAshallhavetherighttoterminatethisContractandseekdamagesfromPartyC.

6.3PartyBandPartyCshallbejointlyandseverallyliableforanybreachofcontract,andPartyAshallhavetherighttoclaimdamagesfromeitherorbothparties.

7.LimitationsofLiability

7.1PartyCshallnotbeliableforanylossordamagearisingfromanyactoromissionofPartyB.

7.2PartyCshallnotbeliableforanylossordamagearisingfromanyeventbeyonditsreasonablecontrol.

8.GoverningLawandJurisdiction

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

8.2AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtothepeople'scourtwithjurisdictionoverthematterforadjudication.

9.Miscellaneous

9.1ThisContractisexecutedintwocopies,eachcopybeingequallyeffective.

5.RightsandObligationsofPartyC

5.1PartyChastherighttoreceivefeesforitsservicesasagreeduponinthisContract.

5.2PartyChastherighttorequestandreviewallrelevantdocumentsandinformationfrombothPartyAandPartyB.

5.3PartyCshalluseitsbesteffortstoensurethatthetransactionisconductedinamannerthatmaximizestheinterestsofbothPartyAandPartyB.

6.ConsequencesofBreachofContract

6.1IntheeventofabreachofanytermbyPartyA,PartyBshallhavetherighttoterminatethisContractandseekdamagesfromPartyA.

6.2IntheeventofabreachofanytermbyPartyC,PartyBshallhavetherighttoterminatethisContractandseekdamagesfromPartyC.

6.3PartyAandPartyCshallbejointlyandseverallyliableforanybreachofcontract,andPartyBshallhavetherighttoclaimdamagesfromeitherorbothparties.

7.LimitationsofLiability

7.1PartyCshallnotbeliableforanylossordamagearisingfromanyactoromissionofPartyAorPartyB.
