2.TheSupplierrepresentsandwarrantsthatithasthelegalcapacitytoenterintothisAgreementandthatithasobtainedallnecessaryapprovals,consents,andauthorizationstoenterintothisAgreement.

3.TheSupplierrepresentsandwarrantsthattheequipmenttobeinstalled("theEquipment")isofgoodquality,freefromanydefects,andincompliancewiththeapplicablelawsandregulations.

OBLIGATIONSOFTHEPARTIES:

1.ThePurchasershallprovidetheSupplierwithallnecessaryinformation,documents,andaccesstotheinstallationsite("theSite")withinareasonabletimeaftertheEffectiveDate.

2.TheSuppliershallinstalltheEquipmentattheSiteinaccordancewiththespecifications,drawings,andtechnicalrequirementsprovidedbythePurchaser.

3.TheSuppliershallensurethattheinstallationworkisperformedinaprofessionalandsafemanner,incompliancewiththeapplicablelawsandregulations,andwithintheagreedtimeframe.

4.ThePurchasershallpaytheSuppliertheagreedpricefortheinstallationservices("theFee")uponthecompletionoftheinstallationwork.

DELIVERYANDACCEPTANCE:

1.TheSuppliershalldelivertheEquipmenttotheSitewithintheagreedtimeframe.

2.ThePurchasershallinspecttheEquipmentupondeliveryand,iftheEquipmentmeetstheagreedspecificationsandqualityrequirements,shallaccepttheEquipmentandnotifytheSupplierinwriting.

3.IntheeventthattheEquipmentdoesnotmeettheagreedspecificationsandqualityrequirements,thePurchasershallnotifytheSupplierinwritingwithin[Number]daysafterthedelivery,andtheSuppliershallpromptlyrectifythedefectsatitsownexpense.

TERMANDTERMINATION:

1.ThisAgreementshallremainineffectforaperiodof[Number]years("theTerm")fromtheEffectiveDate.

2.EitherPartymayterminatethisAgreementbygivingtheotherParty[Number]days'writtennoticeintheeventofamaterialbreachbytheotherParty.

DISPUTERESOLUTION:

1.AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiationsbetweentheParties.

2.IfthePartiesfailtoreachanamicableresolutionwithin[Number]daysafterthedisputearises,thedisputeshallbesubmittedto[Court/CourtofArbitration]forfinalandbindingresolution.
