2024年水果品牌代理合同本合同目錄一覽第一條:代理產(chǎn)品及范圍1.1產(chǎn)品種類1.2產(chǎn)品質(zhì)量標(biāo)準(zhǔn)1.3產(chǎn)品供應(yīng)數(shù)量第二條:代理期限2.1代理起始日期2.2代理終止日期第三條:代理權(quán)限3.1銷售區(qū)域3.2定價(jià)權(quán)3.3廣告宣傳權(quán)第四條:代理費(fèi)用4.1代理費(fèi)用金額4.2費(fèi)用支付方式4.3費(fèi)用支付時(shí)間第五條:銷售業(yè)績(jī)與獎(jiǎng)勵(lì)5.1銷售目標(biāo)5.2獎(jiǎng)勵(lì)政策5.3業(yè)績(jī)?cè)u(píng)估方式第六條:售后服務(wù)6.1退換貨政策6.2售后服務(wù)承諾6.3投訴處理機(jī)制第七條:知識(shí)產(chǎn)權(quán)保護(hù)7.1商標(biāo)使用權(quán)7.2專利權(quán)保護(hù)7.3著作權(quán)保護(hù)第八條:保密條款8.1保密內(nèi)容8.2保密期限8.3違約責(zé)任第九條:違約責(zé)任9.1代理商違約9.2品牌方違約9.3違約賠償方式第十條:爭(zhēng)議解決10.1爭(zhēng)議解決方式10.2仲裁機(jī)構(gòu)10.3適用法律第十一條:合同的修改與終止11.1合同修改條件11.2合同終止條件11.3合同終止后的權(quán)利義務(wù)處理第十二條:合同的生效12.1合同簽署日期12.2合同生效條件第十三條:其他條款13.1信息保密13.2合作推廣13.3附則第十四條:雙方簽字蓋章14.1代理商簽字14.2品牌方簽字14.3簽字日期第一部分:合同如下:第一條:代理產(chǎn)品及范圍1.1產(chǎn)品種類代理商shallactasanexclusiveagentfortheBrandinrespectofthesaleofFreshFruits(the"Products")asspecifiedintheSchedule.TheProductsshallincludeallvariations,accessories,spareparts,andconsumablesrelatedtheretoasmaybeagreedthePartiesfromtimetotime.1.2產(chǎn)品質(zhì)量標(biāo)準(zhǔn)1.3產(chǎn)品供應(yīng)數(shù)量TheBrandshallsupplytheProductstothe代理商inaccordancewiththeagreeduponsalesforecastsandpurchaseorders.TheBrandshallusereasonableendeavorstoensurethatthesupplyofProductsmeetstherequirementsofthe代理商butshallnotbeliableforanylossesordamagessufferedthe代理商asaresultofanyfailuretomeetsuchrequirements.第二條:代理期限2.1代理起始日期2.2代理終止日期TheTermshallterminateautomaticallyupontheexpirationofthefiveyearperiod,unlessthePartiesagreeinwritingtoextendtheTermforafurtherperiod.第三條:代理權(quán)限3.1銷售區(qū)域The代理商shallhavetheexclusiverighttoselltheProductswithintheTerritory.TheTerritoryshallbeasspecifiedintheSchedule.3.2定價(jià)權(quán)The代理商shallhavetherighttosetthepricesfortheProductsintheTerritory,providedthatsuchpricesareconsistentwiththepricingpoliciessetoutintheSchedule.3.3廣告宣傳權(quán)The代理商shallhavetherighttopromoteandadvertisetheProductsintheTerritory,providedthatallmaterialsusedinsuchpromotionandadvertisingarefirstapprovedtheBrand.第四條:代理費(fèi)用4.1代理費(fèi)用金額The代理商shallpaytotheBrandanannualagencyfeeintheamountofUSD100,000,payablewithinthirty(30)daysoftheendofeachcalendaryear.4.2費(fèi)用支付方式TheannualagencyfeeshallbepaidbanktransfertoabankaccountdesignatedtheBrand.4.3費(fèi)用支付時(shí)間Theannualagencyfeeshallbepaidwithinthirty(30)daysoftheendofeachcalendaryear.第五條:銷售業(yè)績(jī)與獎(jiǎng)勵(lì)5.1銷售目標(biāo)The代理商shallachieveaminimumannualsalestargetofUSD5,000,000,asspecifiedintheSchedule.5.2獎(jiǎng)勵(lì)政策Ifthe代理商exceedstheannualsalestarget,theBrandmay,atitsdiscretion,providethe代理商withabonusorotherincentiveasspecifiedintheSchedule.5.3業(yè)績(jī)?cè)u(píng)估方式TheBrandshallevaluatetheperformanceofthe代理商againsttheannualsalestargetonaquarterlybasis,andprovidethe代理商withawrittenreportonsuchevaluation.第六條:售后服務(wù)6.1退換貨政策The代理商shallprovideathirty(30)daymoneybackguaranteefortheProducts,inaccordancewiththetermssetoutintheSchedule.6.2售后服務(wù)承諾The代理商shallprovidepromptandefficientaftersalesservicetocustomersintheTerritory,includingbutnotlimitedtoproductrepairs,sparepartssupply,andtechnicalsupport.6.3投訴處理機(jī)制第八條:知識(shí)產(chǎn)權(quán)保護(hù)8.1商標(biāo)使用權(quán)The代理商shallhavetherighttousetheBrand'strademarks,tradenames,andlogos(the"Marks")inconnectionwiththepromotionandadvertisingoftheProductsintheTerritory,subjecttotheBrand'sapproval,assetoutinclause3.3.8.2專利權(quán)保護(hù)TheBrandshallensurethatithasallnecessarypatentsandpatentapplicationsinplacetoprotecttheProductsfromunauthorizedcopying,use,orsale.TheBrandshallindemnifythe代理商againstanylossesordamagessufferedthe代理商asaresultofanyclaimthattheProductsinfringethepatentrightsofathirdparty.8.3著作權(quán)保護(hù)TheBrandshallretainallright,,andinterestinandtoallcopyrightworksandmaterialsassociatedwiththeProducts,includingbutnotlimitedtopackagingdesigns,promotionalmaterials,andtechnicaldocumentation.The代理商shallnotcopy,distribute,oruseanyofthesematerialswithouttheBrand'spriorwrittenconsent.第九條:保密條款9.1保密內(nèi)容BothPartiesshallkeepconfidentialallConfidentialInformation(asdefinedinclause9.2)receivedfromtheotherPartyinconnectionwiththisAgreement.9.2保密期限9.3違約責(zé)任IfeitherPartybreachesclause9.1or9.2,theotherPartyshallbeendtoseekinjunctiverelieftopreventfurtherbreachesandtoclaimdamagesforanylossesordamagessufferedasaresultofthebreach.第十條:爭(zhēng)議解決10.1爭(zhēng)議解決方式AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).10.2仲裁機(jī)構(gòu)Thearbitrationshallbeconductedin[Location],andthelanguageofthearbitrationshallbeEnglish.10.3適用法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].第十一條:合同的修改與終止11.1合同修改條件ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.11.2合同終止條件EitherPartymayterminatethisAgreementgivingwrittennoticetotheotherPartyiftheotherPartybreachesamaterialtermofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticespecifyingthebreach.11.3合同終止后的權(quán)利義務(wù)處理UponterminationofthisAgreement,the代理商shallceaseusingtheMarksandshallreturnallpromotionalmaterials,inventory,andotherpropertyoftheBrandwithinthirty(30)days.TheBrandshallpaytothe代理商alloutstandingamountsdueunderthisAgreementwithinthirty(30)daysaftertermination.第十二條:合同的生效12.1合同簽署日期ThisAgreementshallbeeffectiveasofthedatefirstabovewritten.12.2合同生效條件第十三條:其他條款13.1信息保密ThePartiesagreetokeepthetermsandconditionsofthisAgreementconfidentialandnotdisclosethemtoanyunauthorizedthirdparties.13.2合作推廣ThePartiesagreetoworktogethertopromotetheProductsintheTerritoryandtoexplorenewmarketingopportunities.13.3附則ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.第十四條:雙方簽字蓋章14.1代理商簽字Theundersignedrepresentsandwarrantsthathe/shehasfullauthoritytobindthe代理商tothisAgreement.14.2品牌方簽字Theundersignedrepresentsandwarrantsthathe/shehasfullauthoritytobindtheBrandtothisAgreement.14.3簽字日期ThePartieshaveexecutedthisAgreementasofthedatefirstabovewritten.第二部分:第三方介入后的修正引入第三方介入的概念和責(zé)權(quán)利1.第三方概念的界定ForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotthe代理商ortheBrand,andthatisinvolvedinanywayintheperformanceofthisAgreement,includingbutnotlimitedtosuppliers,customers,andserviceproviders.2.第三方介入的的情形ThePartiesagreethattheremaybecircumstanceswhereaThirdPartyisnecessaryorbeneficialfortheperformanceofthisAgreement,suchaslogisticsproviders,paymentprocessors,orlegaladvisors.Insuchcases,thePartiesmayengageaThirdPartytoperformcertaintasksorservices.3.第三方責(zé)任限額AThirdPartyshallberesponsiblefortheirownactionsandomissionsintheperformanceoftheirtasksorservices,andshallnotbeliableforanydamagesorlossescausedtheactionsoromissionsoftheotherPartyoranyotherThirdParty.ThePartiesshallnotholdtheThirdPartyliableforanybreachofthisAgreementorforanyfailuretoperformtheirtasksorservices,unlesssuchbreachorfailureisdirectlycausedthenegligenceorwillfulmisconductoftheThirdParty.4.第三方權(quán)益的界定AThirdPartyshallhavenorightsorinterestsunderthisAgreement,unlessexplicitlystatedotherwiseinwriting.ThePartiesagreethatanybenefitsorpaymentsduetoaThirdPartyshallbepaiddirectlythePartiestotheThirdParty,andthattheThirdPartyshallhavenorecourseagainsttheotherPartyforsuchbenefitsorpayments.增加的額外條款及說(shuō)明5.第三方選擇與審批6.第三方協(xié)調(diào)與溝通ThePartiesagreetopromptlyandfullyinformtheotherPartyofanyengagementofaThirdParty,andtoprovidetheotherPartywithallnecessaryandrelevantinformationabouttheThirdParty,includingbutnotlimitedtotheThirdParty'sidentity,contactinformation,andthenatureandscopeofthetasksorservicestobeperformed.7.第三方違約處理IntheeventofabreachofthisAgreementaThirdParty,thePartiesagreetotakeallnecessaryandreasonablestepstomitigatetheeffectsofsuchbreachandtoenforcethetermsandconditionsofthisAgreementagainsttheThirdParty.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty'sbreachofthisAgreement,unlesssuchbreachisdirectlycausedthenegligenceorwillfulmisconductoftheParties.8.第三方賠償責(zé)任IfaThirdPartycausesanydamagesorlossestotheotherPartyoranyotherThirdPartyintheperformanceoftheirtasksorservices,thePartiesagreethattheThirdPartyshallbesolelyresponsibleforsuchdamagesorlosses.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty,unlesssuchdamagesorlossesaredirectlycausedthenegligenceorwillfulmisconductoftheParties.9.第三方退出與替代IntheeventthataThirdPartyisunableorunwillingtoperformtheirtasksorservices,thePartiesagreetopromptlyreplaceorsubstitutesuchThirdPartywithanotherqualifiedThirdParty,subjecttotheapprovaloftheotherParty.10.第三方保密義務(wù)AThirdPartyshallbeboundthesameobligationsofconfidentialityasthePartiesunderthisAgreement,andshallnotdiscloseanyConfidentialInformationtoanyunauthorizedthirdparties.ThePartiesagreetopromptlynotifytheotherPartyifaThirdPartybreachesitsconfidentialityobligations.11.第三方合規(guī)與合法性12.第三方保險(xiǎn)與保障ThePartiesagreethatanyThirdPartyengagedunderthisAgreementmustmaintainappropriateinsurancecoverage,includingbutnotlimitedtoprofessionalliabilityinsurance,andmustprovideevidenceofsuchinsuranceuponrequest.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty'sfailuretomaintainadequateinsurancecoverage.根據(jù)本合同明確第三方的責(zé)任限額13.第三方責(zé)任限制ThePartiesagreethatthetotalcumulativeliabilityofallThirdPartiesunderthisAgreementshallnotexceedanamountequaltothetotalpaymentsmadethePartiestosuchThirdPartiesunderthisAgreement.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty,unlesssuchdamagesorlossesare第三部分:其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一:附件列表:1.產(chǎn)品種類及質(zhì)量標(biāo)準(zhǔn)附件1:詳細(xì)列出所有代理產(chǎn)品種類、規(guī)格、型號(hào)、產(chǎn)地等信息,以及產(chǎn)品質(zhì)量標(biāo)準(zhǔn)的具體要求。2.銷售區(qū)域劃分附件2:地圖或圖表形式詳細(xì)標(biāo)注代理商的銷售區(qū)域,包括具體的省、市、縣等行政單位劃分。3.代理費(fèi)用明
