NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesagreeasfollows:
1.TerminationofPrincipalContract
1.1SubjecttotheprovisionsofthisContract,PartyAandPartyBmutuallyagreetoterminatethePrincipalContractasof[terminationdate],unlessotherwiseagreeduponbybothpartiesinwriting.
1.2UpontheterminationofthePrincipalContract,allrights,obligations,andliabilitiesarisingtherefromshallbeterminated,exceptasotherwiseprovidedinthisContract.
2.NoticeofTermination
2.1PartyAandPartyBshallprovidewrittennoticeofterminationtoeachotheratleast[numberofdays]dayspriortotheeffectivedateoftermination,specifyingthereasonsfortermination.
2.2FailuretoprovidetherequirednoticeofterminationshallnotrelieveeitherpartyofitsobligationsunderthePrincipalContract.
3.PaymentandSettlement
3.1PartyAandPartyBshallsettlealloutstandingobligationsandliabilitiesarisingfromthePrincipalContractwithin[numberofdays]daysaftertheeffectivedateoftermination.
3.2Anydisputesarisinginconnectionwiththesettlementprocessshallberesolvedthroughnegotiationbetweentheparties.Intheeventoffailuretoreachanamicableresolution,thepartiesshallreferthematterto[nameofdisputeresolutionbody]forarbitration.
4.ConfidentialityandNon-Disparagement
4.1PartyAandPartyBagreetomaintaintheconfidentialityofallinformationobtainedduringthecourseofthePrincipalContractandthisContract.
4.2Thepartiesshallnotmakeanyfalse,misleading,ordefamatorystatementsabouteachotherortheirbusinessactivities.
5.GoverningLawandJurisdiction
5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country/region].
5.2AnydisputesarisingfromorinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[country/region].

3.PartyA'sRightsandInterests
3.1PartyAhastherighttorequestThirdPartytoperformtheservicesasagreedupon,andtoterminatetheservicesintheeventofanybreachbyThirdParty.
3.2PartyAreservestherighttoreviewandapproveanychangestotheservicesprovidedbyThirdParty,andtorequestmodificationsorimprovementsasnecessary.
3.3PartyAshallbeentitledtoreceivea[percentageorfixedamount]discountontheservicesprovidedbyThirdParty,inrecognitionofitsstrategicpartnershipwithPartyA.
4.PartyA'sObligations
4.1PartyAshallprovideThirdPartywithallnecessaryinformationandsupportrequiredfortheperformanceoftheservices.
4.2PartyAshallpayThirdPartytheagreed-uponfeesfortheservicesrendered,inaccordancewiththepaymenttermssetforthinthisContract.
4.3PartyAshallensurethatanyuseoftheservicesprovidedbyThirdPartydoesnotinfringeuponanythird-partyrightsorviolateanyapplicablelaws.
5.PartyB'sRightsandObligations
