verNofailureordelayeitherpartytoexerciseanyright,power,orprivilegeunderthisagreementshalloperateasawaiverofthatright,power,orprivilege,norshallanysingleorpartialexerciseofanyright,power,orprivilegeprecludeanyotherorfurtherexerciseofthatoranyotherright,power,orprivilege.11.5ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisagreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentalactions.12.Attachments12.1LeasedPropertyDescriptionExhibitAattachedheretoshallbedeemedapartofthisagreementandshallbereadandconstruedasiffullysetforthherein.12.2InsurancePoliciesExhibitBattachedheretoshallbedeemedapartofthisagreementandshallbereadandconstruedasiffullysetforthherein.12.3AdditionalAgreementsAnyadditionalagreementsreferencedinthisagreementshallbedeemedtobeincorporatedhereinandshallbereadandconstruedasiffullysetforthherein.13.ExecutionoftheAgreement13.1ExecutionAuthorizedRepresentativesThisagreementmaybeexecutedanyauthorizedrepresentativeoftheparties,andeachsuchexecutionshallbedeemedtobeanoriginal.13.2AcceptanceoftheAgreementThepartieshereacknowledgeandagreethatthisagreementhasbeenreviewedandacceptedthemandthattheyarebounditstermsandconditions.14.Signatures14.1SignaturesofthePartiesThisagreementshallbeexecutedin[number]counterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.[Lessee'sName][Lessor'sName][DateofExecution][Lessee'sSignature][Lessor'sSignature]第二部分:第三方介入后的修正8.ThirdPartyInvolvement8.1DefinitionofThirdPartyForthepurposesofthisagreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisagreementbutisengagedeithertheLesseeortheLessortoprovideservicesorassistanceinconnectionwiththeLeasedProperty,includingbutnotlimitedtobrokers,consultants,serviceproviders,andinsuranceagents.8.2ScopeofThirdPartyInvolvementTheinvolvementofaThirdPartyshallbelimitedtothespecificservicesorassistancerequiredunderthisagreementandshallnotextendtothemodificationofthetermsandconditionsoftheagreementitself.8.3SelectionofThirdPartyTheLesseeandtheLessorshalleachhavetherighttoselecttheirrespectiveThirdParties,providedthatsuchselectiondoesnotconstituteamaterialbreachofthisagreement.8.4ResponsibilitiesofThirdPartyEachThirdPartyshallberesponsiblefortheperformanceofitsdutiesandobligationsasspecifiedinitsagreementwitheithertheLesseeortheLessor.TheLesseeandtheLessorshallnotberesponsiblefortheactsoromissionsoftheThirdParty.8.5IndemnificationThirdPartyTheThirdPartyshallindemnifyandholdharmlesstheLesseeandtheLessoragainstanyclaims,damages,orliabilitiesarisingoutoforinconnectionwiththeperformanceofitsdutiesandobligationsunderthisagreement.8.6ThirdParty'sLiabilityLimitation8.6.1LimitationofLiabilityTheliabilityofanyThirdPartyunderthisagreementshallbelimitedtotheamountpaidtheLesseeortheLessortotheThirdPartyfortheservicesrendered.8.6.2InsuranceRequirementsEachThirdPartyshallmaintainappropriateinsurancecoveragetocoveritsobligationsunderthisagreement,includingbutnotlimitedtogeneralliabilityinsuranceandprofessionalliabilityinsurance,andshallprovidetheLesseeandtheLessorwithevidenceofsuchinsuranceuponrequest.8.6.3ExclusionsTheliabilityofanyThirdPartyshallnotapplytoanyclaimsarisingoutofthegrossnegligenceorwillfulmisconductoftheThirdPartyoritsemployeesoragents.9.AdditionalTermsandConditionsUponThirdPartyInvolvement9.1InformationSharingTheLesseeandtheLessorshallsharerelevantinformationwiththeThirdPartytotheextentnecessaryfortheperformanceoftheThirdParty'sdutiesandobligations.9.2CoordinationofEffortsTheLesseeandtheLessorshallcoordinatetheireffortswiththeThirdPartytoensuretheefficientandeffectiveperformanceoftheThirdParty'sduties.9.3ApprovalofThirdPartyActionsAnyactionstakentheThirdPartyonbehalfoftheLesseeortheLessorshallbesubjecttothepriorwrittenapprovaloftheLesseeortheLessor.9.4ChangestotheAgreementAnychangestothetermsandconditionsofthisagreementresultingfromtheinvolvementofaThirdPartyshallbemadeinwritingandshallbemutuallyagreedupontheLessee,theLessor,andtheThirdParty.10.DisputeResolutionwithThirdParty10.1DisputeResolutionMechanismAnydisputesarisingbetweentheLessee,theLessor,andtheThirdPartyinconnectionwiththeperformanceoftheThirdParty'sdutiesshallberesolvedthroughthedisputeresolutionmechanismsetforthinSection10ofthisagreement.10.2ArbitrationIfthedisputecannotberesolvedthroughnegotiation,thepartiesshallsubmitthedisputetobindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].10.3JurisdictionThearbitrationshallbeconductedin[Jurisdiction],andthedecisionofthearbitratorshallbefinalandbindingonallparties.11.ThirdParty'sRightsandObligations11.1RightsTheThirdPartyshallhavetherighttoreceivepaymentfortheservicesrenderedinaccordancewiththetermsofitsagreementwiththeLesseeortheLessor.11.2ObligationsTheThirdPartyshallperformitsdutiesandobligationswithduediligenceandinaccordancewiththehigheststandardsofprofessionalpractice.12.ThirdParty'sRelationshipwiththeLesseeandtheLessor12
