2025年度網(wǎng)絡(luò)安全股權(quán)轉(zhuǎn)讓合同（英文版）本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALNETWORKSECURITYTRANSFERAGREEMENTThisAgreement(“Agreement”)ismadeandenteredintoasof_______________,2025,andbetweenthefollowingparties:TRANSFEROR:Name:_______________Address:_______________RegistrationNumber:_______________TRANSFEREE:Name:_______________Address:_______________RegistrationNumber:_______________RECITALSWHEREAS,theTransferoristheownerofcertainrightsandinterestsintheNetworkSecurityAssets(asdefinedbelow);andWHEREAS,theTransfereedesirestoacquiresuchrightsandinterestsfromtheTransferor;andWHEREAS,theTransferordesirestotransfersuchrightsandintereststotheTransfereeinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.SUBJECTMATTEROFTHEAGREEMENT1.1NetworkSecurityAssets:ForthepurposesofthisAgreement,“NetworkSecurityAssets”shallmeanallintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,tradesecrets,andallotherproprietaryrights,aswellasalltangibleassetsrelatedtonetworksecurity,includingbutnotlimitedtosoftware,hardware,anddocumentation,ownedorcontrolledtheTransferor.1.2TransferofRightsandInterests:TheTransferorhereagreestotransferandassigntotheTransfereeallofitsrights,,andinterestsinandtotheNetworkSecurityAssets,subjecttothetermsandconditionssetforthinthisAgreement.2.TRANSFERPRICE2.1TheTransferorandtheTransfereehereagreethatthetransferpricefortheNetworkSecurityAssetsshallbe_______________(currency),payableinaccordancewithSection3ofthisAgreement.3.PAYMENTTERMS3.1TheTransfereeshallpaythetransferpricetotheTransferorinaccordancewiththefollowingschedule:_______________(currency)uponexecutionofthisAgreement;_______________(currency)upontheTransferordeliveringallnecessarydocumentsandinformationtotheTransferee;Theremainingbalanceof_______________(currency)shallbepaidwithin_______________(numberofdays)fromthedateofdeliveryofallnecessarydocumentsandinformation.3.2Allpaymentsshallbemadewiretransfertothefollowingaccount:BankName:_______________AccountNumber:_______________SWIFTCode:_______________4.DELIVERYOFNETWORKSECURITYASSETS4.1TheTransferorshalldelivertotheTransfereeallnecessarydocumentsandinformationrelatedtotheNetworkSecurityAssetswithin_______________(numberofdays)fromthedateofexecutionofthisAgreement.5.CONFIDENTIALITY5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.6.WARRANTYANDDISCLMER6.1TheTransferorwarrantsthatithastherighttotransfertheNetworkSecurityAssetstotheTransfereeandthatsuchtransferdoesnotviolateanythirdpartyrights.6.2THETRANSFERORDISCLMSALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNONINFRINGEMENT.7.LIMITATIONOFLIABILITY7.1INNOEVENTSHALLTHETRANSFERORBELIABLETOTHETRANSFEEEFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,ORSPECIALDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,EVENIFTHETRANSFERORHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.7.2THETOTALLIABILITYOFTHETRANSFERORTOTHETRANSFEEEFORALLCLMSARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTSHALLNOTEXCEEDTHEAMOUNTOFTHETRANSFERPRICEPDBYTHETRANSFEEETOTHETRANSFEROR.8.TERMANDTERMINATION9.GENERALPROVISIONS9.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.9.2ThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.9.3IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,suchprovisionshallbedeemedtobeseverablefromthisAgreementandshallnotaffectthevalidityandenforceabilityoftheremainingprovisionsofthisAgreement.9.4ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof_______________(country).EndofFirstPart第二部分：第三方介入后的修正ThisAgreementmayinvolvetheparticipationofthirdparties,whichmayincludebutnotbelimitedtointermediaries,consultants,orserviceproviders.Thefollowingprovisionsoutlinethedetailsofthirdpartyinvolvement,theirroles,rights,andresponsibilities,andthedelineationoftheirobligationsandlimitations.1.DefinitionofThirdParties1.1ThirdParties:ForthepurposesofthisAgreement,“ThirdParties”shallincludeanyindividual,entity,orintermediarythatisnotapartytothisAgreementbutisinvolvedinthetransactionorhasadirectorindirectinterestintheNetworkSecurityAssetsorthetransferprocess.1.2Intermediaries:IntermediariesshallbeentitiesorindividualsthatfacilitatethetransactionbetweentheTransferorandtheTransferee,includingbutnotlimitedtobrokers,agents,oradvisors.1.3Consultants:ConsultantsshallbeindividualsorfirmsthatprovideprofessionaladviceorservicesrelatedtotheNetworkSecurityAssetsorthetransferprocess.1.4ServiceProviders:ServiceProvidersshallbeentitiesorindividualsthatprovideservicesnecessaryforthetransferoftheNetworkSecurityAssets,suchaslegal,financial,ortechnicalassistance.2.RoleofThirdParties2.1Intermediaries:IntermediariesshallactasagentsfortheTransferorortheTransfereeandshallfacilitatethetransactioninaccordancewiththeinstructionsoftherespectiveparty.TheyshallnothaveanydirectownershiporcontrolovertheNetworkSecurityAssets.2.2Consultants:ConsultantsshallprovidetheirprofessionaladviceorservicesbasedonthespecificneedsoftheTransferorortheTransferee.Theiradviceorservicesshallbeusedatthesolediscretionoftherespectiveparty.3.RightsandResponsibilitiesofThirdParties4.LimitationofLiabilityforThirdParties4.1Intermediaries:TheliabilityofIntermediariesshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.4.2Consultants:TheliabilityofConsultantsshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.4.3ServiceProviders:TheliabilityofServiceProvidersshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.5.ThirdPartyDisputes5.1IntheeventofadisputebetweenaThirdPartyandeithertheTransferorortheTransferee,thepartiesshallattempttoresolvethedisputeamicably.Ifthedisputecannotberesolvedwithin_______________(numberofdays),eitherpartymayseekresolutionthrougharbitrationorlitigation,asagreedupontheparties.5.2Thedecisionofthearbitratororthecourtshallbefinalandbindingonallparties,includingtheThirdParty.6.DelineationofResponsibilities6.1TheTransferorandtheTransfereeshallremainsolelyresponsiblefortheperformanceoftheirobligationsunderthisAgreement,includingthetransferoftheNetworkSecurityAssetsandthepaymentofthetransferprice.6.2ThirdPartiesshallhavenodirectobligationsunderthisAgreementbutshallperformtheirservicesinaccordancewiththetermsoftheirrespectiveagreementswiththeTransferorortheTransferee.6.3ThepartiesagreethatanyfailureaThirdPartytoperformtheirobligationsshallnotrelievetheTransferorortheTransfereeoftheirobligationsunderthisAgreement.7.Confidentiality7.1AllThirdPartiesinvolvedinthisAgreementshallbeboundtheconfidentialityprovisionsofthisAgreementandshallnotdiscloseanyconfidentialinformationtoanyunauthorizedthirdparty.7.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementandshallapplytoallconfidentialinformationdisclosedtotheThirdPartyinconnectionwiththisAgreement.8.Indemnification8.1TheTransferorandtheTransfereeshallindemnifyandholdharmlesstheThirdPartiesagainstanyclaims,actions,damages,liabilities,orexpensesarisingoutoforinconnectionwiththeNetworkSecurityAssetsorthetransferprocess,excepttotheextentcausedthenegligenceorintentionalmisconductoftheThirdParty.8.2TheindemnificationobligationsoftheTransferorandtheTransfereeshallnotapplytoanyclaims,actions,damages,liabilities,orexpensesarisingoutofthenegligenceorintentionalmisconductoftheThirdParty.第三部分：其他補充性說明和解釋說明一：附件列表：1.TransferAgreement:ThisisthemaincontractdocumentdetailingthetermsandconditionsofthetransferoftheNetworkSecurityAssets.2.BillofSale:AdocumentthatevidencesthesaleoftheNetworkSecurityAssetsfromtheTransferortotheTransferee.3.IntellectualPropertyAssignment:AdocumentthatassignsallintellectualpropertyrightsrelatedtotheNetworkSecurityAssetstotheTransferee.4.ConfidentialityAgreement:AdocumentthatensurestheconfidentialityoftheNetworkSecurityAssetsandrelatedinformation.5.WarrantyDeed:AdocumentthatconfirmstheTransferor’sownershipoftheNetworkSecurityAssets.6.FinancialStatements:ThefinancialstatementsoftheTransferorthatverifythefinancialconditionoftheTransferoratthetimeofthetransfer.7.DueDiligenceReport:AreportdetailingthefindingsoftheduediligenceprocessconductedtheTransfereeoritsrepresentatives.8.ListofNetworkSecurityAssets:AdetailedlistofallNetworkSecurityAssetsbeingtransferred,includingsoftware,hardware,anddocumentation.9.TechnicalDocumentation:DocumentationrelatedtotheNetworkSecurityAssets,includinginstallationguides,usermanuals,andtechnicalspecifications.10.TrainingMaterials:MaterialsprovidedtheTransferortoassisttheTransfereeinunderstandingandoperatingtheNetworkSecurityAssets.DetailedRequirementsandDescriptions:TransferAgreement:MustbeexecutedboththeTransferorandtheTransfereeandshallincludealltermsandconditionsagreedupontheparties.BillofSale:MustclearlystatethedescriptionoftheNetworkSecurityAssetsandtheagreedupontransferprice.IntellectualPropertyAssignment:MustbelegallyenforceableandshallassignallrightsandinterestsintheintellectualpropertytotheTransferee.ConfidentialityAgreement:Mustbesignedallpartiesandshallincludeanondisclosureclauseandadurationclause.WarrantyDeed:MustbelegallybindingandshallconfirmtheTransferor’sownershipoftheNetworkSecurityAssets.FinancialStatements:Mustbepreparedinaccordancewithgenerallyacceptedaccountingprinciplesandshallbeauditedareputableauditor.說明二：違約行為及責任認定：1.FailuretoPayTransferPrice:IftheTransfereefailstopaythetransferpriceasagreeduponintheAgreement,theTransfereeshallbeinbreachofcontract.TheTransferorshallbeendtoterminatetheAgreementandshallbeendtorecoverthetransferpricefromtheTransferee,plusanyinterestorpenaltiesincurredasaresultofthebreach.2.FailuretoDeliverNetworkSecurityAssets:IftheTransferorfailstodelivertheNetworkSecurityAssetsasagreeduponintheAgreement,theTransferorshallbeinbreac
