2025年度國際貿(mào)易金融衍生品合同英文版本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALINTERNATIONALTRADEFINANCIALDERIVATIVESCONTRACTThisAgreement(the"Contract")ismadeandenteredintoasof___________,2025,andbetweenthefollowingparties:PartyA:Name:______________________Address:______________________Country:______________________ContactPerson:______________________Position:______________________PartyB:Name:______________________Address:______________________Country:______________________ContactPerson:______________________Position:______________________WHEREAS,PartyAisengagedinthebusinessof______________anddesirestoenterintofinancialderivativestransactionswithPartyB;andWHEREAS,PartyBisengagedinthebusinessof______________anddesirestoenterintofinancialderivativestransactionswithPartyA;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:1.PurposeoftheContractThepurposeofthisContractistoestablishthetermsandconditionsforthetradingoffinancialderivativesbetweenPartyAandPartyBduringthecalendaryear2025.2.DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothembelow:"FinancialDerivatives"meansanyfinancialinstrument,includingbutnotlimitedtooptions,futures,swaps,andforwards,whichderivetheirvaluefromanunderlyingasset,index,orinterestrate."UnderlyingAsset"meanstheasset,index,orinterestratefromwhichthevalueofthefinancialderivativesisderived."Transaction"meansanyagreementbetweenPartyAandPartyBtobuy,sell,orexchangefinancialderivatives."PrincipalAmount"meanstheamountofmoneyorothervaluethatisexchangedinconnectionwithaTransaction."PaymentDate"meansthedateonwhichthePrincipalAmountistobepaidorreceived."TerminationDate"meansthedateonwhichthisContractshallexpireorbeterminated.3.TermsandConditionsofTransactions3.1.ThepartiesagreetoenterintoTransactionsinaccordancewiththetermsandconditionssetforthinthisContract.3.2.AllTransactionsshallbeconductedthrougharecognizedandregulatedfinancialderivativesexchangeorplatform.3.5.ThepartiesshallnotengageinanyfraudulentormanipulativepracticesinconnectionwiththeTransactions.3.6.ThepartiesshallresolveanydisputesarisingfromtheTransactionsthroughgoodfaithnegotiations.4.PaymentTerms4.1.AllpaymentsunderthisContractshallbemadeinaccordancewiththepaymenttermsagreedupontheparties.4.2.ThepartiesmayagreetopaythePrincipalAmountininstallments,providedthatsuchinstallmentsareagreeduponinwriting.4.3.FailuretomakeanypaymentwhendueshallenthenonpayingpartytoterminatethisContractimmediatelyandseekdamages.5.Termination5.1.ThisContractmaybeterminatedeitherpartyuponwrittennoticetotheotherparty.5.2.TerminationofthisContractshallnotaffecttherightsandobligationsofthepartiesarisingpriortotheterminationdate.5.3.UponterminationofthisContract,thepartiesshallsettlealloutstandingTransactionsandobligationswithinareasonableperiodoftime.6.Confidentiality6.1.ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisContract.6.2.Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.7.GoverningLawandJurisdiction7.1.ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedtheparties.7.2.AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.8.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.9.Amendments9.1.AnyamendmenttothisContractshallbeinwritingandshallbeexecutedbothparties.EndofFirstPart第二部分：第三方介入后的修正1.IntroductiontoThirdPartyInvolvementForthepurposesofthisContract,"ThirdParty"shallrefertoanyentityorindividual,otherthanPartyA,PartyB,ortheirrespectiveemployees,agents,orrepresentatives,thatisinvolvedintheperformanceofthisContract.Thismayinclude,butisnotlimitedto,intermediaries,brokers,consultants,auditors,andanyotherpartythatisdirectlyorindirectlyengagedintheTransactionsortheprovisionofservicesrelatedtotheTransactions.2.TypesofThirdPartyInvolvement2.1.Intermediaries:ThirdpartiesthatfacilitatetheTransactionsbetweenPartyAandPartyB,suchasbrokers,dealers,andtraders.2.2.Consultants:Thirdpartiesthatprovideadviceorexpertiseonfinancialderivativesorrelatedmatters,includingbutnotlimitedtoriskmanagement,pricing,andvaluation.2.3.Auditors:ThirdpartiesthatconductauditsorassessmentsofthefinancialstatementsoroperationsofPartyA,PartyB,ortheTransactions.2.4.OtherServicesProviders:Thirdpartiesthatprovideservicessuchaslegal,accounting,ITsupport,andadministrativeassistance.3.ResponsibilitiesandRightsofThirdParties3.1.Responsibilities:ThirdpartiesshallperformtheirdutiesinaccordancewiththetermsofthisContractandanyotheragreementsenteredintobetweenthemandthepartiestothisContract.Theyshallactingoodfaithandwithduecareintheperformanceoftheirobligations.3.2.Rights:Thirdpartiesshallhavetherighttoreceivepaymentfortheirservicesinaccordancewiththeagreedtermsandconditions.TheyshallalsohavetherighttobeindemnifiedagainstanylossesordamagesincurredinthecourseoftheirworkunderthisContract.4.AdditionalTermsandConditionsforThirdPartyInvolvement4.1.Approval:AnyinvolvementofaThirdPartyshallrequirethepriorwrittenconsentofbothPartyAandPartyB.4.2.Agreement:TheThirdPartyshallenterintoaseparateagreementwitheachofPartyAandPartyB,outliningthescopeoftheirservices,fees,andanyotherrelevanttermsandconditions.4.3.Indemnification:PartyAandPartyBshallindemnifytheThirdPartyagainstanyclaims,losses,ordamagesarisingfromtheirperformanceunderthisContract,totheextentthatsuchclaims,losses,ordamagesarenottheresultofthenegligenceorwillfulmisconductoftheThirdParty.5.LimitationofLiabilityofThirdParties5.1.TheliabilityofThirdPartiesunderthisContractshallbelimitedtothescopeoftheirobligationsassetforthintheiragreementswithPartyAandPartyB.5.2.Thelimitationofliabilityshallnotapplytoclaimsarisingfromfraud,willfulmisconduct,orgrossnegligenceonthepartoftheThirdParty.5.3.TheaggregateliabilityofThirdPartiestoPartyAandPartyBunderthisContractshallnotexceedthetotalfeespaidPartyAandPartyBtotheThirdPartyfortheirservices.6.ThirdPartyRepresentationandWarranties6.1.EachThirdPartyshallrepresentandwarrantthat:Theyareauthorizedtoenterintoagreementsonbehalfoftheirrespectiveentitiesorthemselves.TheyhavethenecessaryexpertiseandresourcestoperformtheirobligationsunderthisContract.TheywillnotengageinanyactivitythatwouldconstituteaconflictofinterestwiththeirobligationsunderthisContract.7.DisputeResolution7.1.AnydisputesarisingfromtheinvolvementofaThirdPartyunderthisContractshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisContract.7.2.ThepartiesagreetogivetheThirdPartyanopportunitytoresolveanydisputesbeforereferringthemattertoarbitrationorlitigation.8.TerminationofThirdPartyInvolvement8.1.PartyAorPartyBmayterminatetheinvolvementofaThirdPartyatanytimeuponwrittennoticetotheotherpartyandtheThirdParty,providedthatsuchterminationdoesnotprejudicetherightsofthepartiestothisContract.8.2.Upontermination,theThirdPartyshallpromptlyreturnanyproperty,documents,orinformationprovidedPartyAorPartyBandshallnotbeliableforanyfurtherobligationsunderthisContract.EndofSecondPart第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.FinancialDerivativesProductDescription:AdetaileddescriptionofthefinancialderivativestobetradedunderthisContract,includingtheunderlyingasset,termsofthederivative,andanyspecificconditionsorparameters.Requirements:Thedescriptionmustbeclear,precise,andincludeallrelevantinformationnecessaryforthepartiestounderstandthenatureofthederivative.2.TransactionConfirmation:AdocumentconfirmingeachTransaction,includingthedate,parties,quantity,price,andtermsoftheTransaction.Requirements:TheconfirmationmustbesignedauthorizedrepresentativesofbothPartyAandPartyBandincludeallnecessarydetailstoensuretheTransactionisaccuratelyrecorded.3.PaymentSchedule:Ascheduleoutliningthepaymentdates,amounts,andmethodsforthePrincipalAmountandanyotherfeesassociatedwiththeTransactions.Requirements:Theschedulemustbeagreeduponbothpartiesandincludeprovisionsforlatepaymentsandinterestcharges.4.RiskManagementPlan:AdocumentoutliningtheriskmanagementstrategiesandprocedurestobeemployedPartyAandPartyBinconnectionwiththeTransactions.6.AuditReports:Annualauditreportsfromarecognizedandindependentauditor,detailingthefinancialstatementsandoperationsofPartyA,PartyB,ortheTransactions.Requirements:Thereportsmustbepreparedinaccordancewithinternationalaccountingstandardsandbeacceptedbothparties.7.ConfidentialityAgreement:AdocumentoutliningthetermsofconfidentialityforanyinformationexchangedbetweenthepartiesunderthisContract.Requirements:Theagreementmustbelegallybindingandenforceable.8.DisputeResolutionMechanism:AdocumentoutliningtheproceduresforresolvingdisputesarisingunderthisContract.Requirements:Themechanismmustbefair,impartial,andprovideforatimelyresolutionofdisputes.說明二：違約行為及責(zé)任認(rèn)定：1.FailuretoExecuteTransactions:FailuretoenterintoTransactionsasagreeduponinthisContract.Responsibility:ThenonbreachingpartymayterminatetheContractandseekdamagesequaltothelossesincurredasaresultofthebreach.Example:IfPartyAfailstoexecuteaTransactiontheagreedupondate,PartyBmayterminatetheContractandseekdamagesfortheopportunitycostofnotbeingabletoexecutetheTransaction.2.FailuretoMakePayments:Failuretomakepaymentswhendue.Responsibility:ThenonpayingpartymaybesubjecttolatepaymentfeesandmayhavetheContractterminatedthenonbreaching
