identialityobligationssetforthinSection4ofthisAgreement.6.13Funding:ThePartiesshallagreeontheallocationoffundingfortheinvolvementoftheThirdParty.ThetermsoffundingshallbeincludedintheagreementbetweenthePartiesandtheThirdParty.6.14IntellectualPropertyRights:TheownershipandallocationofintellectualpropertyrightsarisingfromtheinvolvementoftheThirdPartyshallbeasagreeduponintheagreementbetweenthePartiesandtheThirdParty.6.15PerformanceofObligations:ThePartiesshallensurethattheThirdPartyperformsitsobligationsunderthisAgreementinamannerthatisconsistentwiththeobjectivesandrequirementsoftheParties.6.16TerminationofThirdParty’sInvolvement:TheinvolvementoftheThirdPartymaybeterminatedeitherPartyuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast______________dayspriortotheeffectivedateoftermination.6.17SuccessionandAssignment:ThePartiesmaynotassignortransfertheirrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty,exceptthatthePartiesmayassigntheirrightsandobligationsunderthisAgreementtoaThirdPartywiththepriorwrittenconsentoftheotherParty.6.18Waiver:ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchPartytoenforcesuchprovision.6.19Severability:IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.EndofPartII第三部分：其他補充性說明和解釋說明一：AttachmentListThefollowingisadetailedlistofpossibleattachmentsthatmaybeinvolvedinthe2025AnnualNewMaterialsResearchandApplicationCooperationAgreement,alongwiththeirspecificrequirementsanddescriptions:2.BudgetandFinancialProjections:Thisattachmentshalldetailthefinancialplanfortheresearchanddevelopmentactivities,includingthebudgetallocationforeachParty,fundingschedules,andanyanticipatedcosts.3.IntellectualPropertyRightsAssignmentAgreement:Thisattachmentshallspecifythetermsandconditionsfortheownershipandtransferofintellectualpropertyrightsarisingfromtheresearchanddevelopmentactivities.4.ConfidentialityAgreement:ThisattachmentshalloutlinetheconfidentialityobligationsofthePartiesandanyThirdPartiesinvolvedinthecooperation.7.ThirdPartyInvolvementAgreement:ThisattachmentshalldetailthetermsandconditionsofanyagreementsenteredintowithThirdParties,includingthescopeoftheirwork,paymentterms,andconfidentialityobligations.8.DisputeResolutionMechanism:ThisattachmentshalloutlinetheproceduresforresolvingdisputesthatmayariseunderthisAgreement.9.AmendmentstotheAgreement:ThisattachmentshallbeusedtorecordanyamendmentstotheAgreement,includingthedateoftheamendment,thePartiesinvolved,andthespecificchangesmade.說明二：BreachofContractandLiabilityDeterminationThefollowingisalistofpotentialbreachesofcontractandthestandardsfordeterminingliability,alongwithexamples:1.FailuretoComplywithResearchandDevelopmentObjectives:IfaPartyfailstomeettheresearchanddevelopmentobjectivesoutlinedintheAgreement,itmaybedeemedinbreachofcontract.Liabilityshallbedeterminedbasedontheextentofthefailureandtheimpactontheoverallproject.Example:PartyAfailstodevelopanewmaterialasagreeduponintheAgreement.LiabilitymayincludethecostoftheresearchanddevelopmenteffortandanyadditionalcostsincurredPartyBtomeettheprojectdeadlines.2.NonPaymentofFeesorExpenses:IfaPartyfailstopayitsshareofthefeesorexpensesasagreeduponintheAgreement,itmaybedeemedinbreachofcontract.Liabilityshallincludethefullamountoftheunpaidfeesorexpenses,plusanyinterestorpenaltiesasspecifiedintheAgreement.Example:PartyBfailstomakeitsscheduledpaymentforresearchanddevelopmentactivities.Liabilityshallbethefullamountoftheunpaidpayment,plusinterestattheratespecifiedintheAgreement.3.ConfidentialityBreach:IfaPartydisclosesconfidentialinformationinviolationoftheconfidentialityobligationsoftheAgreement,itmaybedeemed
