2025年度上市公司股權轉讓協(xié)議（英文）本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALPUBLICLYTRADEDCOMPANYSTOCKTRANSFERAGREEMENTThisStockTransferAgreement(the“Agreement”)ismadeandenteredintoasof[Date],andbetweenthefollowingparties:轉讓方：Name:______________RegisteredAddress:______________ContactPerson:______________ContactInformation:______________受讓方：Name:______________RegisteredAddress:______________ContactPerson:______________ContactInformation:______________WHEREAS,theTransferordesirestotransferitsequityinterestintheCompany(the“Company”)totheTransferee;WHEREAS,theTransfereedesirestoacquiretheequityinterestoftheTransferorintheCompany;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.TransferofEquityInterest1.1SubjecttothetermsandconditionsofthisAgreement,theTransferoragreestotransfertotheTransfereeallofitsequityinterestintheCompany,including,butnotlimitedto,shares,stockoptions,andanyotherrightsandinterestsintheCompany(the“TransferredEquityInterest”)ontheEffectiveDate.1.2TheTransferredEquityInterestshallbetransferredfreeandclearofanyliens,encumbrances,andobligations,exceptforthoseliabilitiesspecificallyassumedtheTransferorinaccordancewiththisAgreement.2.PurchasePrice2.1ThepurchasepricefortheTransferredEquityInterest(the“PurchasePrice”)shallbe[Amount](USD),payableinaccordancewithSection3ofthisAgreement.2.2ThePurchasePriceshallbepaidinfullupontheexecutionanddeliveryofthisAgreement.3.PaymentTerms3.1ThePurchasePriceshallbepaidin[Number]installments,witheachinstallmentdueonthe[Date]followingtheEffectiveDate.3.2EachinstallmentpaymentshallbemadetheTransfereetotheTransferorinaccordancewiththepaymentscheduleattachedheretoasExhibitA.4.RepresentationsandWarranties4.1TheTransferorrepresentsandwarrantsthat:(a)TheTransferorhasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement;(b)TheTransferorisnotawareofanymaterialadversechangeinthefinancialconditionoftheCompany;(d)TheTransferorhasnotviolatedanyapplicablelawsorregulationsinconnectionwiththeTransferoftheTransferredEquityInterest.4.2TheTransfereerepresentsandwarrantsthat:(a)TheTransfereehasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement;(b)TheTransfereeisnotawareofanymaterialadversechangeinthefinancialconditionoftheCompany;(d)TheTransfereehasnotviolatedanyapplicablelawsorregulationsinconnectionwiththeacquisitionoftheTransferredEquityInterest.5.Indemnification5.1TheTransferorshallindemnifyandholdharmlesstheTransfereefromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadetheTransferorinthisAgreement.5.2TheTransfereeshallindemnifyandholdharmlesstheTransferorfromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadetheTransfereeinthisAgreement.6.GoverningLawandDisputeResolution6.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].6.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedto[DisputeResolutionBody]forarbitration.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisStockTransferAgreementasoftheEffectiveDatefirstabovewritten.TRANSFEROR:Name:______________Signature:______________Date:______________TRANSFEREE:Name:______________Signature:______________Date:______________第二部分：第三方介入后的修正7.ThirdPartyInvolvement7.1DefinitionofThirdPartyForthepurposesofthisAgreement,a“ThirdParty”shallmeananyindividual,entity,ororganizationotherthantheTransferor,theTransferee,andtheCompanythatisinvolvedinthetransaction,includingbutnotlimitedtointermediaries,consultants,legaladvisors,financialinstitutions,andregulatorybodies.7.2TypesofThirdPartyInvolvement7.2.1IntermediariesTheTransferorandtheTransfereemayengagetheservicesofintermediariestofacilitatethetransaction.IntermediariesshallactasagentsfortheTransferorandtheTransfereeandshallbeboundthetermsofthisAgreementtotheextentoftheiragency.7.2.2ConsultantsConsultantsmayberetainedeitherpartytoprovideprofessionaladviceorservicesrelatedtothetransaction.Consultantsshallbeindependentcontractorsandshallnotbedeemedagentsofeitherpartyunlessspecificallydesignatedassuch.7.2.3LegalAdvisors7.2.4FinancialInstitutionsFinancialinstitutionsmaybeinvolvedinthetransactiontoprovidefinancingorescrowservices.TheyshallbeboundthetermsofthisAgreementtotheextentoftheirinvolvement.7.2.5RegulatoryBodies7.3ResponsibilitiesofThirdParties7.3.1TheThirdPartyshallperformitsdutieswithduecareanddiligence,inaccordancewiththetermsofitsengagementorappointment.7.3.2TheThirdPartyshallnotdiscloseanyconfidentialinformationobtainedinthecourseofitsdutiestoanyunauthorizedthirdparty.7.3.3TheThirdPartyshallindemnifyandholdharmlesstheTransferor,theTransferee,andtheCompanyfromandagainstanyclaims,damages,liabilities,orlossesarisingoutofitsnegligenceorbreachofthisAgreement.7.4LimitationofLiability7.4.1TheliabilityoftheThirdPartyshallbelimitedtothefeespaidtheTransferorortheTransfereeforitsservices,unlesssuchliabilityiscausedthegrossnegligenceorwillfulmisconductoftheThirdParty.7.4.2TheliabilityoftheThirdPartyshallnotexceedtheamountof[Amount](USD),whichshallbethemaximumamountforwhichtheThirdPartymaybeheldliableunderthisAgreement.7.5ThirdPartyRelease7.5.1TheTransferorandtheTransfereeherereleaseanddischargetheThirdPartyfromanyandallclaims,actions,causesofaction,suits,demands,damages,liabilities,andobligationsarisingoutoforinanywayconnectedwiththetransaction,exceptforthoseliabilitiesspecificallyassumedtheThirdPartyinthisAgreement.7.6ThirdPartyRepresentationandWarranty7.6.1TheThirdPartyrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementandperformitsobligationshereunder.7.6.2TheThirdPartyrepresentsandwarrantsthatitisnotawareofanymaterialadversechangeinthefinancialconditionoftheCompany.7.7ThirdPartyIndemnification7.7.1TheThirdPartyshallindemnifyandholdharmlesstheTransferor,theTransferee,andtheCompanyfromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadetheThirdPartyinthisAgreement.7.8ThirdPartyDisputeResolution7.8.1AnydisputearisingoutoforinconnectionwiththeinvolvementoftheThirdPartyshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedto[DisputeResolutionBody]forarbitration.7.9ModificationstothisAgreement7.9.1AnymodificationstothisAgreementthatinvolvetheThirdPartyshallbemadeinwritingandshallbeexecutedallpartiestothisAgreement,includingtheThirdParty.7.9.2ThemodificationshallbeeffectiveonlyifitisapprovedallpartiestothisAgreement,includingtheThirdParty.第三部分：其他補充性說明和解釋說明一：附件列表：1.ExhibitA:PaymentScheduleDetaileddescriptionoftheinstallmentpayments,includingdates,amounts,andpaymentmethods.2.ExhibitB:RepresentationsandWarrantiesAdetailedlistofrepresentationsandwarrantiesmadetheTransferorandtheTransferee,aswellasanyexceptionsorlimitations.3.ExhibitC:ConfidentialityAgreementAseparateagreementoutliningtheconfidentialityobligationsofthepartiesandthescopeofconfidentialinformation.4.ExhibitD:EscrowAgreementAnagreementestablishinganescrowaccountfortheholdingoffundsduringthetransactionprocess.5.ExhibitE:DueDiligenceReport6.ExhibitF:ShareholderApprovalDocumentationDocumentationprovingthatthenecessaryshareholderapprovalshavebeenobtainedforthetransferofequityinterest.7.ExhibitG:RegulatoryComplianceCertificate8.ExhibitH:NonCompeteAgreement9.ExhibitI:AssignmentofRightsandObligationsDocumentationoutliningthetransferofrightsandobligationsunderthisAgreementtoathirdparty,ifapplicable.10.ExhibitJ:DisputeResolutionMechanismAdetaileddescriptionofthedisputeresolutionmechanism,includingtheprocessforarbitrationorlitigation.說明二：違約行為及責任認定：1.FailuretoPayPurchasePriceIftheTransfereefailstomakeanyinstallmentpaymentontheduedate,theTransferorshallhavetherighttoterminatethisAgreementandseekdamagesequivalenttotheunpaidinstallmentplusinterest.2.BreachofRepresentationsandWarrantiesIfapartybreachesanyrepresentationorwarrantymadeinthisAgreement,theotherpartyshallhavetherighttoterminatethisAgreementandseekdamagesforanylossesincurredasaresultofthebreach.3.FailuretoObtainNecessaryApprovalsIfeitherpartyfailstoobtainthenecessaryapprovalsfromitsshareholdersorregulatoryauthorities,theotherpartyshallhavetherighttoterminatethisAgreementandseekdamagesfo
