2025【英文合同】授權代理合同英文范本ThisAuthorizationAgreementContract("Agreement")isenteredintoasofthedayof,2025,byandbetween:PartyA(AuthorizingParty):[FullNameofPartyA][Title/Position][Company/IndividualName][Address][City,State,ZIPCode][EmailAddress][PhoneNumber]PartyB(Agent):[FullNameofPartyB][Title/Position][Company/IndividualName][Address][City,State,ZIPCode][EmailAddress][PhoneNumber]Recitals(WhereasClauses):WHEREAS,PartyAdesirestoappointPartyBasitssoleandexclusiveagent(the"Agent")toactonitsbehalfincertainmatters;andWHEREAS,PartyBagreestoactasAgentforPartyAonthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesagreeasfollows:1.AuthorizationofAgent1.1.PartyAherebyappointsPartyBasitsAgenttoactonitsbehalfinaccordancewiththetermsofthisAgreement.1.2.TheauthoritygrantedtoPartyBunderthisAgreementshallbelimitedtothefollowing:(a)RepresentingPartyAin[specificmatters,e.g.,sales,marketing,negotiations];(b)Performing[specificdutiesortasks];(c)Actingwithinthescopeof[describegeographical,functional,orotherlimitations].1.3.PartyBshallactasAgentonlyincompliancewiththeinstructionsandpoliciesofPartyA,asmaybereasonablyprovidedfromtimetotime.2.TermofAuthorization2.1.ThisAgreementshallbeeffectiveasofthedatefirstabovewritten(the"EffectiveDate")andshallcontinueuntil[specificterminationcondition,e.g.,December31,2025](the"Term"),unlessterminatedearlierinaccordancewiththetermshereof.2.2.EitherpartymayterminatethisAgreementupon[noticeperiod,e.g.,30days']writtennoticetotheotherparty,providedthatsuchnoticeisgiveninaccordancewiththeprovisionsofSection[number]hereof.3.ObligationsandResponsibilitiesoftheAgent3.1.PartyBshallusebesteffortstopromoteandfacilitatetheinterestsofPartyAinaccordancewiththisAgreement.3.2.PartyBshallmaintainaccuraterecordsofalldealingsconductedonbehalfofPartyAandprovideregularreportstoPartyAintheformatandwiththefrequencyagreeduponbytheparties.3.3.PartyBshallnotmakeanycommitmentsorrepresentationsonbehalfofPartyAwithoutpriorwrittenauthorization.3.4.PartyBshallimmediatelynotifyPartyAofanymaterialdevelopmentsorpotentialissuesthatmayaffectPartyA'sinterests.4.CompensationandPayment4.1.InconsiderationfortheservicesrenderedunderthisAgreement,PartyAshallpayPartyBacommission/feeintheamountof[specificamountorpercentage]foreach[transaction,sale,orspecifiedevent].4.2.AllpaymentsunderthisAgreementshallbemadewithin[number]daysfollowingreceiptoftheinvoiceorreportsubmittedbyPartyB.4.3.PartyBshallbesolelyresponsibleforalltaxes,fees,andotherchargesarisingfromthecompensationreceivedunderthisAgreement.5.RepresentationsandWarranties5.1.PartyBrepresentsandwarrantsthat:(a)IthastherequisitepowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;(b)Itisnotsubjecttoanyrestriction,agreement,orobligationthatwouldpreventitfromfulfillingitsobligationsordutiesunderthisAgreement;(c)TheexecutionofthisAgreementdoesnotinfringeuponanythird-partyrights.5.2.PartyArepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementandtogranttherightsherein.6.Termination6.1.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticeiftheotherpartyisinmaterialbreachofthisAgreementandsuchbreachremainsuncuredforaperiodof[number]daysafterreceiptofwrittennoticethereof.6.2.UponterminationofthisAgreement,PartyBshall:(a)CeaseallactionsonbehalfofPartyA;(b)Returnallmaterials,documents,andotheritemsprovidedbyoronbehalfofPartyA;(c)CooperatewithPartyAtoensureasmoothtransitionofresponsibilities.7.LiabilityandIndemnification7.1.PartyBshallnotbeliableforanydamages,losses,orclaimsarisingoutofactionstakeningoodfaithinaccordancewiththetermsofthisAgreement.7.2.PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,andagents,againstanyandallclaims,damages,losses,orexpensesarisingfromorrelatedtothisAgreement,excepttotheextentcausedbyPartyB'sgrossnegligenceorwillfulmisconduct.8.IndependentContractorRelationship8.1.PartyBshallactasanindependentcontractorinperformingitsobligationsunderthisAgreement.8.2.NothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oremployer-employeerelationshipbetweentheparties.8.3.PartyBshallnothaveanyauthoritytobindPartyAortoactonitsbehalfexceptasspecificallyprovidedinthisAgreement.9.Confidentiality9.1.PartyBagreestomaintaintheconfidentialityofallinformation,documents,andmaterialsprovidedbyPartyA,whetheroralorwritten,relatingtothebusinessoroperationsofPartyA.9.2.TheobligationsunderthisSectionshallsurvivetheterminationofthisAgreementandshallcontinueforaperiodof[number]yearsfollowingsuchtermination.10.GoverningLaw10.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State],withoutregardtoitsconflictoflawsprinciples.11.Notices11.1.Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourierservice.12.Miscellaneous12.1.Assignment:NeitherpartymayassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty,exceptthatapartymayassignthisAgreementtoitsaffiliatesorsuccessorsininterestinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.12.2.Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.12.3.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterh
