(f)"ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontroloftheparties,includingbutnotlimitedtonaturaldisasters,war,strike,orgovernmentaction.

3.BorrowingTerms

(a)ThePrincipalAmountshallbe______dollars($______).

(c)IntheeventofanydefaultinthepaymentofthePrincipalAmountandtheInterest,theBorrowershallpayinterestontheoverdueamountattherateof______percentperannum(_____%p.a.).

5.SecurityandGuarantee

(a)TheBorrowershallprovideaGuaranteetotheLendertosecuretherepaymentofthePrincipalAmountandtheInterest.

6.Confidentiality

(a)ThepartiesheretoagreetokeepthetermsandconditionsofthisAgreementconfidentialandnottodiscloseanyinformationcontainedhereintoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

(b)TheconfidentialityobligationsunderthisAgreementshallsurvivetheterminationorexpirationofthisAgreement.

7.GoverningLawandDisputeResolution
