2025建筑合同常用英語句型2025BuildingContractCommonEnglish句型正文ThisConstructionContract("Contract")isenteredintoasof(the"EffectiveDate"),byandbetween,acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat(referredtohereinasthe"Client"or"Owner"),and,acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat(referredtohereinasthe"Contractor").1.ProjectDescriptionTheClientherebyengagestheContractortoperformconstructionworkfortheprojectlocatedat,referredtoas"Project"or"Works"inthisContract.ThescopeoftheWorksshallbedescribedindetailinthecontractdocumentsattachedhereto,includingbutnotlimitedtotheplans,specifications,andotherdocumentslistedinScheduleA(the"ContractDocuments").2.CommencementandCompletionTheContractorshallcommencetheWorksonorassoonaspossiblethereafter,subjecttoanydelayscausedbytheClientorunforeseencircumstancesbeyondtheContractor'sreasonablecontrol.TheestimatedcompletiondatefortheWorksis,andtheContractorshallmakeallreasonableeffortstocompletetheWorksbysuchdate.AnydelayincompletionmayresultinliquidateddamagesunlessexcusedunderapplicablelaworthisContract.3.PaymentTermsTheClientshallpaytheContractorfortheWorksasfollows:a)Aninitialpaymentof%oftheestimatedcontractpriceuponsigningthisContract;b)ProgresspaymentstobemadeatintervalsdeterminedbytheClient,basedonthepercentageofworkcompletedasverifiedbytheClientoritsrepresentative;c)FinalpaymentshallbeduewithindaysafterpracticalcompletionoftheWorks,subjecttoinspectionandapprovalbytheClient.AllpaymentsshallbemadeinaccordancewiththecurrencyandtermsspecifiedinScheduleB.4.ResponsibilitiesandInsuranceTheContractoragreesto:a)PerformtheWorksinaworkmanlikemanner,usingmaterialsandlaborofgoodquality;b)Complywithallapplicablelaws,regulations,andstandardsrelatingtoconstructionactivities,health,safety,andtheenvironment;c)Maintainadequateinsurancecoverage,includingbutnotlimitedtobuilder'sriskinsurance,contractor'sliabilityinsurance,andworkers'compensationinsurance,withpolicylimitsnolessthanasspecifiedinScheduleC.TheContractorshallprovidetheClientwithcertificatesofinsurancenamingtheClientasanadditionalinsuredparty,andmaintainsuchcoveragethroughoutthetermofthisContract.5.ChangestotheWorksAnychangesorvariationstotheWorks("Variations")shallbemadebymutualagreementbetweentheClientandtheContractorinwriting.TheContractorshallsubmitallproposedVariationsalongwithcostestimatesandtimeimpactanalysestotheClientforreviewandapproval.NoVariationshallbevalidunlessapprovedinwritingbybothparties.6.QualityandStandardsTheWorksshallcomplywiththeContractDocumentsandanyapplicablestandardsreferencedtherein.TheContractorshallusematerialsofequalorbetterqualitythanthosespecified,andensurethatallworkmanshipmeetsindustrystandards.TheClientreservestherighttoinspecttheWorksatanystageandrequirerectificationofanydefectsfound.7.WarrantiesTheContractorwarrantsthattheWorks,ascompleted,willbefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofpracticalcompletion(the"WarrantyPeriod").Duringthisperiod,theContractorshallpromptlyrepairorreplaceanydefectivematerialsorworkmanshipatitsownexpense.8.EnvironmentalComplianceTheContractoragreestotakeallnecessarymeasurestoensurethattheWorksarecarriedoutinanenvironmentallyresponsiblemanner.Thisincludesminimizingwastegeneration,controllingnoiselevelsduringconstruction,andcomplyingwithallrelevantenvironmentalregulations.9.HealthandSafetyBothpartiesagreetopromoteasafeworkingenvironmentonthesite.TheContractorshallcomplywithallapplicablehealthandsafetylawsandregulations,andtakereasonablestepstopreventaccidentsandensurethesafetyofitsemployees,subcontractors,andanythirdpartiesonthesite.10.DisputeResolutionIntheeventofanydisputearisingoutoforrelatingtothisContract,thepartiesagreetofirstattempttoresolvethematterthrough友好協(xié)商withindaysafterthedisputearises.Ifsuch協(xié)商fails,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofArbitrationInstitution,orlitigatedinthecourtsofasmutuallyagreed.11.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.AnylegalactionorproceedingarisingoutoforrelatingtothisContractshallbeinstitutedexclusivelyinthecourtsof.12.Miscellaneousa)ThisContractconstitutestheentireagreementbetweenthepartiesregardingthesubjectmatterhereofandsupersedesallprioragreements,understandings,ornegotiations,whetherwrittenororal.b)AnyamendmentsormodificationstothisContractmustbemadeinwritingandsignedbyboth
