2025【英文合同】設(shè)備租賃合同模板（中英文）CONTRACTFORTHELEASEOFEQUIPMENT設(shè)備租賃合同ThisEquipmentLeaseAgreement("Agreement")ismadeandenteredintoasof(hereinafterreferredtoasthe"EffectiveDate")byandbetween:本設(shè)備租賃協(xié)議（“協(xié)議”）由下列雙方于年月日（以下簡(jiǎn)稱“生效日期”）簽訂：(1)TheLessor:名稱：地址：聯(lián)系人：聯(lián)系方式：郵箱：（以下簡(jiǎn)稱“出租方”）(2)TheLessee:名稱：地址：聯(lián)系人：聯(lián)系方式：郵箱：（以下簡(jiǎn)稱“承租方”）Recitals:鑒于：1.WhereaboutsoftheLessorandLessee:(1)出租方和承租方的身份：TheLessorisa合法registeredentityengagedinthebusinessofequipmentleasingandrelatedservices.出租方是一家合法注冊(cè)的從事設(shè)備租賃及相關(guān)業(yè)務(wù)的企業(yè)。TheLesseeisa合法registeredentityrequiringcertainequipmentforitsbusinessoperations,whichtheLessorownsandiswillingtoleasetotheLesseeunderthetermsandconditionsstipulatedinthisAgreement.承租方是一家合法注冊(cè)的實(shí)體，需要某些設(shè)備用于其業(yè)務(wù)運(yùn)營(yíng)，出租方擁有這些設(shè)備，并愿意在本協(xié)議規(guī)定的條款和條件下將其出租給承租方。2.MutualAgreements:(2)雙方協(xié)議：BothpartieshaveagreedtoenterintothisAgreementfortheleaseofcertainequipmentforaspecifiedperiod,subjecttothetermsandconditionshereinafterstated.雙方已同意根據(jù)本協(xié)議下列明的條款和條件，就設(shè)備的租賃達(dá)成協(xié)議，租賃期限為特定期間。Now,therefore,thepartiesagreeasfollows:鑒于此，雙方同意如下：1.LeaseofEquipment1.設(shè)備租賃1.1DescriptionofEquipment1.1設(shè)備描述TheLessoragreestoleasetotheLessee,andtheLesseeagreestoleasefromtheLessor,theequipmentdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe"Equipment"),whichissubjecttoalltermsandconditionssetforthinthisAgreement.出租方同意將附件A中所描述的設(shè)備（以下簡(jiǎn)稱“設(shè)備”）出租給承租方，承租方同意依據(jù)本協(xié)議所規(guī)定的全部條款和條件從出租方租賃該設(shè)備。1.2QuantityandSpecifications1.2數(shù)量和規(guī)格ThequantityandspecificationsoftheEquipmentareasdetailedinExhibitA.AnyadditionalEquipmentrequestedbytheLesseeshallbesubjecttotheapprovaloftheLessor.設(shè)備的數(shù)量和規(guī)格詳見附件A。承租方要求增加的任何設(shè)備均需經(jīng)出租方批準(zhǔn)。1.3PurposeofLease1.3租賃用途TheLesseeshallusetheEquipmentsolelyforthepurposeof(hereinafterreferredtoasthe"PermittedUse").承租方應(yīng)僅將設(shè)備用于（以下簡(jiǎn)稱“許可用途”）。2.TermofLease2.租賃期限2.1LeasePeriod2.1租賃期間Thetermofthisleaseshallcommenceon(hereinafterreferredtoasthe"CommencementDate")andshallcontinueforaperiodof(hereinafterreferredtoasthe"LeaseTerm").本租賃的期限應(yīng)從開始（以下簡(jiǎn)稱“起始日”）并持續(xù)（以下簡(jiǎn)稱“租賃期限”）。2.2ExtensionofLease2.2租賃延長(zhǎng)TheLesseemayextendtheLeaseTermbyprovidingwrittennoticetotheLessoratleastdayspriortotheexpirationofthecurrentLeaseTerm.Anyextensionshallbesubjecttomutualagreementandthepaymentofadditionalrentasperthetermsagreeduponbybothparties.承租方可在當(dāng)前租賃期限到期前至少天以書面形式通知出租方延長(zhǎng)租賃期限。任何延長(zhǎng)均需雙方協(xié)商一致，并按照雙方協(xié)議支付額外租金。3.RentandPaymentTerms3.租金和支付條款3.1MonthlyRent3.1月租金TheLesseeshallpaytheLessoramonthlyrentof(hereinafterreferredtoasthe"Rent")incurrencyasspecifiedinExhibitB.承租方應(yīng)按月向出租方支付租金（以下簡(jiǎn)稱“租金”），貨幣種類如附件B所示。3.2PaymentSchedule3.2支付時(shí)間表TheRentshallbepaidinadvanceonthedayofeachmonthduringtheLeaseTerm.ThefirstpaymentshallbemadeontheCommencementDate.租金應(yīng)于租賃期限內(nèi)的每月日支付。首次支付應(yīng)在起始日進(jìn)行。3.3SecurityDeposit3.3保證金TheLesseeshallpayasecuritydepositof(hereinafterreferredtoasthe"SecurityDeposit")totheLessorupontheexecutionofthisAgreement.TheSecurityDepositshallberefundedwithindaysoftheexpirationoftheLeaseTerm,subjecttotheconditionssetforthinthisAgreement.承租方應(yīng)在本協(xié)議簽訂時(shí)向出租方支付保證金（以下簡(jiǎn)稱“保證金”）。保證金應(yīng)在租賃期限屆滿后日內(nèi)退還，但須符合本協(xié)議規(guī)定之條件。4.DeliveryandAcceptanceofEquipment4.設(shè)備交付與驗(yàn)收4.1Delivery4.1交付TheLessorshalldelivertheEquipmenttotheLesseeatthelocationspecifiedinExhibitConorbefore.TheLesseeshallinspecttheEquipmentupondeliveryandnotifytheLessorofanydefectsordiscrepancieswithindaysofreceipt.出租方應(yīng)不遲于將設(shè)備交付至附件C中指定的地點(diǎn)。承租方應(yīng)在收到設(shè)備后對(duì)其立即進(jìn)行檢查，并在收到后天內(nèi)通知出租方任何瑕疵或差異。4.2Acceptance4.2驗(yàn)收TheLessee'sfailuretonotifytheLessorofanydefectswithintheaforementionedperiodshallbedeemedasacceptanceoftheEquipmentingoodcondition.如承租方未在上述期間內(nèi)通知出租方任何瑕疵，則視為承租方已接受設(shè)備處于良好狀態(tài)。5.UseandMaintenanceofEquipment5.設(shè)備的使用與維護(hù)5.1UseofEquipment5.1設(shè)備使用TheLesseeshallusetheEquipmentsolelyforthePermittedUseandinaccordancewiththemanufacturer'sinstructionsandapplicablelawsandregulations.承租方應(yīng)僅將設(shè)備用于許可用途，并按照制造商的說明和適用的法律法規(guī)使用。5.2MaintenanceObligations5.2維護(hù)義務(wù)TheLesseeshallberesponsibleforthemaintenance,repair,andreplacementoftheEquipmentduringtheLeaseTerm.TheLesseeshallbearallcostsassociatedwithsuchmaintenanceandrepair.承租方應(yīng)負(fù)責(zé)租賃期限內(nèi)設(shè)備的維護(hù)、修理和更換。承租方應(yīng)承擔(dān)與此類維護(hù)和修理相關(guān)的所有費(fèi)用。5.3Insurance5.3保險(xiǎn)TheLesseeshallobtainandmaintainatitsownexpenseinsurancecoveragefortheEquipment,includingbutnotlimitedtopropertyinsuranceandliabilityinsurance,asspecifiedinExhibitD.TheLesseeshallprovidetheLessorwithevidenceofsuchinsuranceuponrequest.承租方應(yīng)自費(fèi)為設(shè)備獲取并保持保險(xiǎn)，包括但不限于財(cái)產(chǎn)保險(xiǎn)和責(zé)任保險(xiǎn)，具體如附件D所述。應(yīng)出租方要求，承租方應(yīng)提供此類保險(xiǎn)的證明。6.TransferofEquipment6.設(shè)備轉(zhuǎn)讓6.1RestrictionsonTransfer6.1轉(zhuǎn)讓限制WithoutthepriorwrittenconsentoftheLessor,theLesseeshallnottransfer,assign,orotherwisedisposeoftheEquipmentoranyinteresttherein.未經(jīng)出租方事先書面同意，承租方不得轉(zhuǎn)讓、轉(zhuǎn)讓或以其他方式處置設(shè)備或設(shè)備的任何權(quán)益。6.2NoticeofLiens6.2抵押權(quán)通知書TheLesseeshallpromptlynotifytheLessorifanylienorclaimismadeagainsttheEquipmentbyanythirdparty.如有第三方對(duì)設(shè)備提出任何抵押權(quán)或主張，承租方應(yīng)及時(shí)通知出租方。7.DefaultandRemedies7.違約與補(bǔ)救措施7.1EventsofDefault7.1違約事件AneventofdefaultshalloccuriftheLesseefailsto:若承租方未能：(a)PayanyinstallmentoftheRentorSecurityDepositwhendue;(a)在應(yīng)付時(shí)支付任何一期租金或保證金；(b)PerformorcomplywithanyothermaterialobligationunderthisAgreement;or(b)履行或遵守本協(xié)議下的任何其他主要義務(wù)；或(c)FollowingreceiptofwrittennoticefromtheLessor,curesuchdefaultwithindays.(c)在收到出租方的書面通知后，在日內(nèi)糾正此類違約。7.2Remedies7.2補(bǔ)救措施Intheeventofadefault,theLessormay,atitsoption,terminatethisAgreement,repossesstheEquipment,andseekanyotherlegalorequitableremediesavailabletoit.在發(fā)生違約的情況下，出租方可選擇終止本協(xié)議，收回設(shè)備，并尋求對(duì)其其他任何法律或公平救濟(jì)。8.Termination8.終止8.1TerminationNotice8.1終止通知EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartyisinmaterialbreachofthisAgreementandfailstocuresuchbreachwithindaysafterreceiptofnotice.如一方嚴(yán)重違反本協(xié)議，且在收到通知后日內(nèi)未能糾正違約，則另一方可向其發(fā)出書面通知終止本協(xié)議。8.2ReturnofEquipment8.2設(shè)備返還UponterminationofthisAgreement,theLesseeshallimmediatelyreturntheEquipmenttotheLessoringoodcondition,ordinarywearandtearexcepted.本協(xié)議終止后，承租方應(yīng)立即將設(shè)備返還出租方，處于良好狀態(tài)，自然損耗除外。9.Indemnification9.賠償9.1IndemnificationbyLessee9.1承租方的賠償TheLesseeagreestoindemnify,defend,andholdharmlesstheLessor,itsaffiliates,directors,officers,andemployeesfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includinglegalfeesandexpenses)arisingoutoforrelatedtotheuse,operation,ormaintenanceoftheEquipmentbytheLessee.承租方同意賠償、抗辯，并使出租方及其關(guān)聯(lián)公司、董事、高級(jí)職員和員工免受因承租方使用、操作或維護(hù)設(shè)備而引起的任何及所有的索賠、損害、損失、責(zé)任、費(fèi)用和其他支出（包括法律費(fèi)用和支出）的損害。10.ForceMajeure10.不可抗力10.1ForceMajeureEvents10.1不可抗力事件NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,naturaldisasters,wars,riots,governmentactions,orepidemics(hereinafterreferredtoas"ForceMajeureEvents").雙方均無須對(duì)因無法合理控制的事件（包括但不限于神靈的行為、自然災(zāi)害、戰(zhàn)爭(zhēng)、暴亂、政府行為或流行病（以下簡(jiǎn)稱“不可抗力事件”）而導(dǎo)致的本協(xié)議下的任何履行失敗或延遲負(fù)責(zé)。10.2NoticeandMitigation10.2通知與減輕TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaForceMajeureEventanduseallreasonableeffortstomitigateitseffects.受影響的一方應(yīng)立即通知另一方不可抗力事件的發(fā)生，并盡最大努力減輕其影響。11.GoverningLawandDisputeResolution11.適用法律與爭(zhēng)議解決11.1GoverningLaw11.1適用法律ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,excludingitsconflictoflawsprinciples.本協(xié)議應(yīng)受中國(guó)法律（不包括其沖突規(guī)范原則）的管轄和解釋。11.2DisputeResolution11.2爭(zhēng)議解決AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiations.Ifthepartiesfailtoresolvesuchdisputeswithindays,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)in.Thearbitrationawardshallbefinalandbindingonbothparties.因本協(xié)議引起或與之相關(guān)的任何爭(zhēng)議均應(yīng)通過友好協(xié)商解決。如果雙方在天內(nèi)未能解決此類爭(zhēng)議，任何一方均可將爭(zhēng)議提交至中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（CIETAC）在根據(jù)其規(guī)則進(jìn)行仲裁。仲裁裁決應(yīng)為最終裁決，并對(duì)雙方具有約束力。12.Miscellaneous12.其他條款12.1EntireAgreement12.1完整協(xié)議ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingsuchsubjectmatter.本協(xié)議構(gòu)成本協(xié)議各方關(guān)于本協(xié)議所述事項(xiàng)的全部協(xié)議，并取代所有之前或存在的關(guān)于此類事項(xiàng)的理解、協(xié)議或陳述，無論其為口頭或書面形式。12.2Amendments12.2修訂AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.對(duì)本協(xié)議的任何修訂必須以書面形式作出，并經(jīng)雙方簽署。12.3Notices12.3通知Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifde
