2.Term

ThetermofthisAgreementshallcommenceonthedateofitsexecution(hereinafterreferredtoas"EffectiveDate")andshallcontinueforaperiodof[specifytheduration],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.Products

6.IntellectualPropertyRights

6.2TheManufactureragreestokeepconfidentialallinformationdisclosedbytheOEMerandtousesuchinformationonlyforthepurposeoffulfillingitsobligationsunderthisAgreement.

7.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedbytheotherParty,exceptforinformationthatisalreadypubliclyavailableorisrequiredtobedisclosedbylaw.

8.Termination

8.1EitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty,providedthatsuchterminationisnotduetothebreachoftheterminatingParty.

8.2UponterminationofthisAgreement,theManufacturershallimmediatelyceaseproductionoftheProductsandtheOEMershallceaseallmarketingactivitiesrelatedtotheProducts.

9.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisdiction].

AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiation.Ifsuchnegotiationfails,thePartiesagreetosubmitthedisputetoarbitrationin[specifythejurisdiction].

2.Manufacturer'sObligations

2.2TheManufacturershallprovidetheOEMerwithregularupdatesontheproductionstatus,includingbutnotlimitedto,qualitycontrolreports,productionschedules,andinventorylevels.

3.OEMer'sRightsandObligations

3.1TheOEMerhastherighttoinspecttheProductsatanytimetoensurecompliancewiththeagreedspecificationsandqualitystandards.
