NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesagreeasfollows:
1.ScopeofServices
1.1PartyBshallprovidethepersonalservicestoPartyAasspecifiedinExhibitAattachedhereto,whichisanintegralpartofthisContract.
1.2PartyBshallperformtheservicesinaccordancewiththerequirementsandstandardssetforthinExhibitA.
2.Term
2.1ThisContractshallbeeffectiveuponthedateofitsexecutionandshallremaininforceforaperiodof[服務期限]，unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.
3.Compensation
3.1PartyAshallpayPartyBatotalcompensationof[服務費用]fortheprovisionofpersonalservicesasspecifiedinExhibitA.
3.2ThecompensationshallbepaidtoPartyBinaccordancewiththepaymentschedulesetforthinExhibitA.
4.Confidentiality
4.1DuringthetermofthisContractandforaperiodof[保密期限]thereafter,thepartiesagreetokeepconfidentialallinformation,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerinformation,andotherconfidentialinformationobtainedfromtheotherparty.
5.Termination
5.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthattheterminatingpartyhasgiven[提前通知期限]days'priornotice.
5.2IntheeventofterminationofthisContract,PartyBshallbeentitledtoreceivethecompensationforthepersonalservicesrenderedpriortotheterminationdate.
6.GoverningLawandDisputeResolution
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[適用法律].
6.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.Ifthepartiesfailtoreachanagreementthroughnegotiations,thedisputeshallbesubmittedtothe[仲裁機構(gòu)]forarbitrationinaccordancewithitsrules.

6.1PartyBhastheobligationtoprovidetheservicesasspecifiedinExhibitAinatimelyandprofessionalmanner.
6.2PartyBhastheobligationtocomplywithallapplicablelawsandregulations.
6.3PartyBhastheobligationtoprovidePartyAwithanynecessaryassistanceorinformationrequestedbyPartyA.
7.RightsandObligationsofPartyC
7.1PartyChastherighttoreceiveafeeforitsservicesasagreeduponinExhibitB.
7.2PartyChastheobligationtofacilitatethecoordinationandexecutionoftheservicesbetweenPartyAandPartyB.
7.3PartyChastheobligationtomaintainconfidentialityofallinformationobtainedfromtheparties.
8.TerminationandConsequences

5.3PartyChastheobligationtoensurethatPartyBisprovidedwithsuitableopportunitiestoprovidepersonalservicestoPartyA.

6.1PartyAhastheobligationtoprovidePartyBwiththenecessaryinformationandsupportforthesuccessfulcompletionoftheservices.
6.2PartyAhastheobligationtocomplywithallapplicablelawsandregulations.
6.3PartyAhastheobligationtopayPartyBthecompensationandPartyCthecommissionasagreeduponinthisContract.
