2.Contractorrepresentsandwarrantsthatithasthenecessaryqualifications,experience,andresourcestoperformitsobligationsunderthisContract.

3.ContractorrepresentsandwarrantsthatithastheauthoritytoenterintothisContractandtoperformitsobligationsunderthisContract.

4.Clientrepresentsandwarrantsthatitisacorporation,partnership,orotherlegalentityformedinaccordancewiththelawsofthejurisdictioninwhichitisorganizedandisvalidlyexistingandingoodstandingassuch.

5.Clientrepresentsandwarrantsthatithasthenecessaryqualifications,experience,andresourcestoperformitsobligationsunderthisContract.

6.ClientrepresentsandwarrantsthatithastheauthoritytoenterintothisContractandtoperformitsobligationsunderthisContract.

OBLIGATIONSOFCONTRACTOR:

1.Contractorshall,atitsownexpense,design,construct,install,test,andcommissiontheproject(hereinafterreferredtoas“theProject”)inaccordancewiththerequirementsofthisContractandtheapplicablelawsandregulations.

2.Contractorshallprovideallnecessarylabor,equipment,materials,andservicesrequiredtocompletetheProject.

3.ContractorshallperformtheProjectinaprofessionalandworkmanlikemanner.

4.ContractorshallensurethatallworkperformedunderthisContractisdoneinaccordancewiththeapproveddrawings,specifications,andtechnicalrequirements.

5.ContractorshallcomplywithallapplicablelawsandregulationsintheperformanceoftheProject.

6.Contractorshallobtainallnecessarypermitsandapprovalsfromtherelevantauthorities.

7.ContractorshallmaintainadequateinsurancecoverageduringtheexecutionoftheProject.

OBLIGATIONSOFCLIENT:

1.ClientshallprovideContractorwithallnecessaryinformation,data,anddocumentationrequiredforthedesign,construction,andinstallationoftheProject.

2.ClientshallmaketimelypaymentstoContractorfortheservicesprovidedunderthisContract.

3.Clientshallobtainallnecessarypermitsandapprovalsfromtherelevantauthorities.

4.ClientshallprovideContractorwithaccesstotheProjectsiteatalltimesnecessaryfortheperformanceoftheContract.

5.ClientshallprovideasafeandsecureworkingenvironmentforContractor’semployeesandsubcontractors.

TERMANDTERMINATION:

1.ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheProjectoruntiltheearlierterminationofthisContractinaccordancewiththeprovisionsofthisContract.

2.EitherPartymayterminatethisContract,inwholeorinpart,bywrittennoticetotheotherParty,intheeventofamaterialbreachbytheotherParty,orupontheoccurrenceofanyofthefollowingcircumstances:

a.BankruptcyorinsolvencyofeitherParty;

b.CondemnationoftheProject;

c.TerminationofthisContractbytherelevantauthorities.

DELIVERYANDACCEPTANCE:

1.ContractorshalldelivertheProjecttoClientinaccordancewiththeagreedschedule.

2.ClientshallinspecttheProjectupondeliveryand,withinareasonableperiodoftime,acceptorrejecttheProjectinwriting.

3.IfClientacceptstheProject,theProjectshallbedeemedtohavebeenaccepted.

4.IfClientrejectstheProject,ContractorshallcorrectanydeficienciesinaccordancewiththetermsofthisContract.

PRICEANDPAYMENT:

1.ThepricefortheservicesprovidedunderthisContractshallbeasagreedinwritingbetweentheParties.

2.PaymentsshallbemadeinaccordancewiththepaymentscheduleattachedheretoasExhibitA.

3.AllpaymentsshallbemadeinUnitedStatesdollars.

4.Latepaymentsshallbesubjecttoalatepaymentpenaltyattherateof__________%permonth.

LIABILITY:

1.Contractorshallindemnify,defend,andholdharmlessClientagainstanyandallclaims,damages,losses,orexpensesarisingoutoforinconnectionwiththeperformanceoftheContractbyContractororitssubcontractors.

3.NeitherPartyshallbeliabletotheotherPartyforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisContract.

GENERALPROVISIONS:

1.ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetherwrittenororal,ofanykind.

2.ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

3.ThefailureofeitherPartytoenforceanyprovisionofthisContractshallnotbedeemedawaiverofsuchprovision.

4.IfanyprovisionofthisContractisheldtobeillegal,invalid,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

5.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof__________.

3.ClientaimstoensuretheProjectiscompletedinaccordancewiththeapplicablelawsandregulations.

OBLIGATIONSOFCONTRACTORANDTHIRDPARTY:

2.IntheeventofamaterialbreachbyContractororThirdParty,Clientshallhavetherighttoappointathird-partyexperttoinspecttheProjectandprovideareportonthebreach.

3.IntheeventofamaterialbreachbyContractororThirdParty,Clientshallhavetherighttorecoveranyadditionalcostsincurredasaresultofthebreach.

LIMITATIONSOFLIABILITY:

1.ContractorandThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisContract.

2.ContractorandThirdPartyshallnotbeliableforanydamagescausedbyforcemajeureeventsbeyondtheirreasonablecontrol.

GENERALPROVISIONS:

1.ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetherwrittenororal,ofanykind.

2.ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbyallParties.

3.ThefailureofeitherPartytoenforceanyprovisionofthisContractshallnotbedeemedawaiverofsuchprovision.

4.IfanyprovisionofthisContractisheldtobeillegal,invalid,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
