OBLIGATIONS

2.1ContractingPartyAshallperformthefollowingobligations:

2.1.1DeliverthegoodsorservicesspecifiedinthisContracttoContractingPartyBinaccordancewiththeagreedscheduleandqualitystandards.

2.1.2ProvidenecessarytechnicalsupportandtrainingtoContractingPartyB,asrequired.

2.1.3Complywithallapplicablelaws,regulations,andstandardsintheperformanceofitsobligationsunderthisContract.

2.2ContractingPartyBshallperformthefollowingobligations:

2.2.1PaytheagreedpriceforthegoodsorservicesprovidedbyContractingPartyAinaccordancewiththepaymentschedulesetforthinthisContract.

2.2.2ProvidenecessaryinformationandassistancetoContractingPartyAtofacilitatetheperformanceofitsobligationsunderthisContract.

2.2.3Complywithallapplicablelaws,regulations,andstandardsintheuseofthegoodsorservicesprovidedbyContractingPartyA.

PAYMENTTERMS

3.1ThepaymentforthegoodsorservicesprovidedbyContractingPartyAshallbemadeinaccordancewiththefollowingschedule:

3.1.1[Percentage]ofthetotalpriceshallbepaidupontheexecutionofthisContract.

3.1.2[Percentage]ofthetotalpriceshallbepaiduponthedeliveryofthegoodsorservices.

3.1.3Theremaining[Percentage]ofthetotalpriceshallbepaiduponthecompletionoftheprojectorthefulfillmentoftheagreedobligations.

3.2Thepaymentshallbemadeby[PaymentMethod],andthepaymentshallbedeemedtobereceivedbyContractingPartyAuponthereceiptofthepaymentconfirmationfromthebankorfinancialinstitution.

DELIVERYANDACCEPTANCE

4.1ThegoodsorservicesshallbedeliveredtoContractingPartyBattheagreeddeliverylocationandtime.

4.2ContractingPartyBshallinspectthegoodsorservicesupondeliveryandconfirmtheacceptanceinwritingwithin[NumberofDays]daysafterthedelivery.

4.3IfContractingPartyBfailstoinspectandconfirmtheacceptancewithinthespecifiedperiod,thegoodsorservicesshallbedeemedtohavebeenaccepted.

WARRANTY

5.1ContractingPartyAwarrantsthatthegoodsorservicesprovidedunderthisContractshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[NumberofYears]fromthedateofdelivery.

5.2Intheeventofanydefectsinthegoodsorservices,ContractingPartyAshall,atitssolediscretion,eitherrepairorreplacethedefectivegoodsorservicesorrefundthecorrespondingamounttoContractingPartyB.

TERMANDTERMINATION

6.1ThisContractshallbeeffectiveupontheexecutionofthisContractbybothPartiesandshallremainineffectuntilthecompletionoftheprojectorthefulfillmentoftheagreedobligations.

6.2EitherPartymayterminatethisContractupon[ReasonforTermination],uponwrittennoticetotheotherParty.

6.3UponterminationofthisContract,bothPartiesshallsettlealloutstandingobligationsandclaimsarisingfromthisContract.

CONFIDENTIALITY

7.1ThePartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherPartyinconnectionwiththisContract,exceptforinformationthatisalreadypubliclyavailableordisclosedbytheotherParty.

7.2TheconfidentialityobligationsunderthisSectionshallsurvivetheterminationorexpirationofthisContract.

DISPUTERESOLUTION

8.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheParties.

8.2Ifthedisputecannotberesolvedthroughnegotiations,thePartiesagreetosubmitthedisputeto[ApplicableJurisdiction]forarbitrationinaccordancewiththerulesof[ApplicableArbitrationInstitution].

3.1.2RequestadditionaltechnicalsupportandtrainingfromContractingPartyA,ifnecessary.

3.1.3InspectandapprovetheperformanceofThirdParty'sobligationsunderthisContract.

3.1.4TakelegalactionsagainstContractingPartyBorThirdPartyforanybreachofthisContract.

INTERESTSOFCONTRACTINGPARTYA

4.1ContractingPartyAshallhavethefollowinginterests:

4.1.1EnsurethetimelydeliveryandqualityofthegoodsorservicesprovidedbyContractingPartyAandThirdParty.

4.1.2MaintaintheconfidentialityofanyproprietaryinformationsharedwithContractingPartyBandThirdParty.

4.1.3HavetherighttorequestmodificationsoradjustmentstothegoodsorservicesprovidedbyContractingPartyAandThirdParty,ifnecessary.

OBLIGATIONSOFCONTRACTINGPARTYBANDTHIRDPARTY

5.1ContractingPartyBandThirdPartyshall:

5.1.1ComplywiththepaymentschedulesetforthinthisContract.

5.1.2ProvideaccurateandcompleteinformationtoContractingPartyA,asrequired.

5.1.3CooperatewithContractingPartyAintheperformanceofthisContract.

5.1.4NotifyContractingPartyAofanychangesorissuesthatmayaffecttheperformanceofthisContract.

DEFAULTANDLIMITATIONS

6.1IntheeventofabreachofthisContractbyContractingPartyBorThirdParty,ContractingPartyAshallhavetherightto:

6.1.1DemandimmediatecompliancewiththeobligationsunderthisContract.

6.1.2TerminatethisContractuponwrittennotice,ifthebreachisnotcuredwithinareasonableperiod.

6.1.3Claimdamagesforanylossordamagesufferedduetothebreach.

6.2ContractingPartyBandThirdPartyshallbeliableforanybreachofthisContractandshallindemnifyContractingPartyAforanylossordamagesufferedasaresultofsuchbreach.

DISPUTERESOLUTION

7.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheContractingParties.

7.2Ifthedisputecannotberesolvedthroughnegotiations,theContractingPartiesagreetosubmitthedisputeto[ApplicableJurisdiction]forarbitrationinaccordancewiththerulesof[ApplicableArbitrationInstitution].
