4、f the Sellers payable by the ope ning bank aga inst sight draft accompa nied by the docume nts as stipulated in Clause （9） of this Con tract.付款條件：買方在收到賣方關(guān)于預(yù)計(jì)裝船日期及準(zhǔn)備裝船的數(shù)量的通知后，應(yīng)于裝運(yùn)前20天，通過上海中國銀行開立以賣方為受益人的不可撤銷的信用證。該信用證憑即期匯票及本合同第（9）條規(guī)定的單據(jù)在開證行付款。（9）Documents: To facilitate the Buyers to cheek up, all docu

Terms of FOB Delivery :離岸價(jià)條款a) For the goods ordered in this Con tract, the carry ing vessel shall be arran ged by the Buyers or the Buyers Shipp ing Age nt China Nati onal Charteri ng Corporati on. 13、 tracted time of shipme nt, of the con tract nu mber, n ame of commodity, qua ntity, loadi ng port and expected date of arrival of the goods at the load ing port, en abli ng the Buyers to arrange for shipp ing space. Abse nce of such advice with in the time specified above shall be con sidered as Se

14、llers rdadi ness to deliver the goods duri ng the time of shipme nt con tracted and the Buyers shall arrange for shipp ing space accord in gly.賣方必須在合同規(guī)定的交貨期限三十天前，將合同號(hào)碼、貨物名稱、數(shù)量、裝運(yùn)口岸及預(yù)計(jì)貨物運(yùn)達(dá)裝運(yùn) 口岸日期，以電報(bào)通知買方以便買方安排艙位。并同時(shí)通知買方在裝港的船代理。倘在規(guī)定期內(nèi)買方未接 到前述通知，即作為賣方同意在合同規(guī)定期內(nèi)任何日期交貨，并由買方主動(dòng)租訂艙位。c) The Buyers shall advis

15、e the Sellers by cable, 12 days before the expected loading date, of the estimated laydays, con tract nu mber, n ame of vessel, qua ntity, to be loaded and shipp ing age nt. The Sellers shall the n arrange with the shipp ing age nt for loadi ng accord in gly. In case of n ecessity for substituti on

16、of vessel or alterati on of shipp ing schedule, the Buyers or the shipping agent shall duly advise the Sellers to the same effect. 買方應(yīng)在船只受載期 12天前將船名、 預(yù)計(jì)受載日期、 裝載數(shù)量、合同號(hào)碼、船舶代理人， 以電報(bào)通知賣方。 賣方應(yīng)聯(lián)系船舶代理人配合船期備貨裝船。如買方因故需要變更船只或更改船期時(shí)，買方或船舶代理人應(yīng) 及時(shí)通知賣方。d) In the event of the Sellers neffefacitliunrge si hipment up

17、on arrival of the vessel at the loading port, all losses, including dead freight, demurrage fines etc. thus incurred shall be for Sellers account. If the vess the loading port within the laydays. previously declared by the shipping agent, the storage charges and insurance premium from the 16th day a

18、fter expiration of the free storage time at the port shall be borne by the Buyers.However, the Sellers shall be still under the obligation to load the goods on board the carrying vessel immediately after her arrival at the loading port, at their own expenses and risks. The expenses and losses mentio

19、ned above shall be reimbursed against original receipts or invoices. 買方所租船只按期到達(dá)裝運(yùn)口岸后，如賣方不能按時(shí)備貨裝船，買方因而遭受的一切損失包括空艙費(fèi)、延 期費(fèi)及 /或罰款等由賣方負(fù)擔(dān)。如船只不能于船舶代理人所確定的受載期內(nèi)到達(dá)，在港口免費(fèi)堆存期滿后第 16 天起發(fā)生的倉庫租費(fèi)，保險(xiǎn)費(fèi)由買方負(fù)擔(dān)，但賣方仍負(fù)有載貨船只到達(dá)裝運(yùn)口岸后立即將貨物裝船之義 務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種損失均憑原始單據(jù)核實(shí)支付。B Terms of CFR Delivery ：成本加運(yùn)費(fèi)價(jià)條款The Sellers undertake to s

20、hip the contracted goods from the port of loading to the port of destination on a direct liner, with no transhipment allowed. The contracte goods shall not be carried by a vessel flying the flag of the countries which the Buyers can not accept. 賣方負(fù)責(zé)將本合同所列貨物由裝運(yùn)口岸裝直達(dá)班輪到目的口岸，中途不得轉(zhuǎn)船。貨物不得用懸掛買方不能 接受的國家的旗幟

21、的船只裝運(yùn)。(11) Advice of Shipment ：裝運(yùn)通知：The Sellers shall upon competition of loading, advise immediately the Buyers by cable of the contract number, name of commodity, number of packages, gross and net weights, invoice value, name of vessel and loading date. 賣方在貨物裝船后，立即將合同號(hào)、品名、件數(shù)、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以電

22、報(bào)通 知買方。(12) In sura nee：保險(xiǎn)：To be covered by the Buyers from shipment, for this purpose the Sellers shall advise the Buyers by cable of the partieulars as ealled for in Clause(11) of this Contraet, In the event of the Buyers being unable to arrange for insuranee in eonsequenee of the Sellers failure

23、to send the above adviee, the Sellers shall be held responsible for all the losses thus sustained by the Buyers.自裝船起由買方自理，但賣方應(yīng)按本合同第(11)條通知買方。如賣方未能按此辦理，買方因而遭受的一切損失全由賣方負(fù)擔(dān)。( 13) Inspeetion and Claim ：檢驗(yàn)和索賠：The Buyers shall have the right to apply to the General Administration of Quanlity Supervision, I

24、nspeetion and Quarantine of the Peoples Republie of China (AQSIQ) for inspeetion after diseharge of the goods at the port of destination. Should the quality and/or quantity/weight be found not in eonformity with the eontraet or invoiee the Buyers shall be entitled to lodge elaims with the Sellers on

25、 the basis of AQSIQs Survey Report, witafter diseharge of the goods at the port of destination , with the exeeption, however, of those elaims for whieh the shipping eompany and/or the insuranee eompany are to be held responsible. All expenses ineurred on the elaim ineluding the inspeetion fee as per

26、 the AQSIQ inspeetion eertifieate are to be borne by the Sellers. In ease of FOB terms, the buyers shall also be entitled to elaim freight for short weight if any.買方有權(quán)申請中華人民共和國國家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局對貨卸目的口岸進(jìn)行檢驗(yàn)。如發(fā)現(xiàn)貨物的品質(zhì)及 / 或數(shù)量 /重量與合同或發(fā)票不符：除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買方有權(quán)在貨卸目的口岸后90 天 內(nèi)，根據(jù)中華人民共和國國家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局出具的證明書向賣方提出索賠，

27、因索賠所發(fā)生的一切 費(fèi)用 （包括檢驗(yàn)費(fèi)用） 均有賣方負(fù)擔(dān)。 FOB 價(jià)格條件時(shí)， 如重量短缺， 買方有權(quán)同時(shí)索賠短重部分的運(yùn)費(fèi)。 （14 ） Force Majeure ：不可抗力：In case of Force Majeure the Sellers shall not held responsible for delay in delivery or nondelivery of the goods but shall notify immediately the Buyers and deliver to the Buyers by registered mail a certific

28、ate issued by government authorities or Chamber of Commerce as evidence thereof. If the shipment is delayed over one month as the consequence of the said Force Majeure, the Buyers shall have the right to cancel this Contract. Sellersability inobtaining export licence shall not be considered as Force

29、 Majeure. 由于人力不可抗拒事故，使賣方不能在合同規(guī)定期限內(nèi)交貨或者不能交貨，賣方不負(fù)責(zé)任。但賣方必須立 即通知買方，并以掛號(hào)函向買方提出有關(guān)政府機(jī)關(guān)或者商會(huì)所出具的證明，以證明事故的存在。由于人力 不可抗拒事故致使交貨期限延期一個(gè)月以上時(shí)，買方有權(quán)撤銷合同。賣方不能取得出口許可證不得作為不 可抗力。（15）Delayed Delivery and Penalty ：延期交貨及罰款：Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other

30、 than Force Majeure as provided for in Clause （14） of this Contract, the Buyers shall have the right to cancel the relative quantity of the contract, Or altenatively, the Sellers may, with the Buyers consent, postpone delivery on payment of penalty to the Buyers. The Buyersmay agree to grant t he Se

31、llers a grace period of 15 days. Penalty shall be calculated from the 16th day and shall not exceed 5% of the total value of the goods involved.除本合同第（ 14）條人力不可抗拒原因外，如賣方不能如期交貨，買方有權(quán)撤銷該部分的合同，或經(jīng)買方 同意在賣方繳納罰款的條件下延期交貨。買方可同意給予賣方 15 天優(yōu)惠期。罰款率為每 10 天按貨款總額 的 1%。不足 10 天者按 10 天計(jì)算。罰款自第 16 天起計(jì)算。最多不超過延期貨款總額的5% 。（16）
