Late Delivery and Liquidated Damages遲交貨與罰款 (a) If the seller fails to make delivery on time as stipulated in the Con tract (with the excepti on of Force Majeure Cases specified in Clause 15 of the Con tract), the Buyer shall postp one the delivery on condition that the Seller agrees to p

4、ay a liquidated damage which shall be deducted by the paying bank from the payment under negotiation or from the Performance Bond. However, the liquidated damages shall not exceed five (5%) perce nt of the total value of the Goods in volved in the late delivery. The rate of pen alty is charges at ha

5、lf (0.5%) perce nt for every seve n(7) cale ndar days less tha n seve n days are coun ted as seve n days. In case the Seller fails to make the delivery ten (10) weeks later tha n the time of shipme nt stipulated in the Con tract, the Buyer shall have the right to cancel the con tract. 如果賣(mài)方?jīng)]有按合同規(guī)定時(shí)間交

7、otal con tract value. The total amount of pen alty shall not , however, exceed 10% of the tota con tract value and is to be added to the amount due to the Seller directly at the time of payme nt. Furthermore, the Seller shall reta in title to the Goods, even if they have bee n delivered to the Buyer

8、, until the order has been fully paid for. In case the period of delay exceeds ten(10) weeks after the stipulated payment date, the Seller may claim back the Goods supplied without prejudice to any other right or damage. 如果買(mǎi)方不能按合同規(guī)定支付貨款，買(mǎi)方應(yīng)付給賣(mài)方每一星期按遲付貨物總值0.5%的遲 交押金，但此比例最高不得超過(guò)合同總價(jià)的10%。該罰金由買(mǎi)方在支付貨物價(jià)款時(shí)予

Force Majeure不可抗力 (a) If either of the parties of the Con tract be preve nted from execut ing the Con tract bu such cases for Force Majeure as war, serious fire, flood, typhoon, strike, earthquake, or any other

10、mutually agreed cause, the time for executi on of the Con tract shall be exte nded by a period equal to the effect of those causes. 如果合同的任何一方因不可抗力受阻而不能履行合同，合同的執(zhí)行時(shí)間將相應(yīng)順延。不可 抗力包括戰(zhàn)爭(zhēng)、眼中的水災(zāi)、臺(tái)風(fēng)、地震、罷工以及雙方同意并認(rèn)可的其他不可抗力事件。 不可抗力事件為無(wú)法控制、無(wú)法避免和科夫的事件。 (b) The preve nted party shall no tify the other party by fax w

11、ith in the shortest possible time of the occurrenee of the Force Majeure and within fourteen(14) days thereafter send by registered airmail to the other party, a certificate for evide nee issued by the releva nt authorities for confirmation. Should the effects of the Force Majeure continue for more

12、than one hundred and twen ty(120) con secutive days, both parties shall settle the further executio n of the Con tract through frien dly n egotiati on and reach an agreeme nt with in a reas on able time. 受阻的一方應(yīng)在盡可能短的時(shí)間內(nèi)通過(guò)傳真或電傳通知另一方，并在不可抗力發(fā)生后的 14天內(nèi)，用掛號(hào)信郵件向另一方寄交有關(guān)當(dāng)局不可抗力的證明，以供另一方檢查和確認(rèn)。 如不可抗力的影響超過(guò)連續(xù)的120

13、天，雙方應(yīng)本著友好協(xié)商的精神在一個(gè)合理的時(shí)間內(nèi)就進(jìn) 一步執(zhí)行合同達(dá)成協(xié)議。 (c) The prevented party shall inform the other party as soon as possible by cable or fox of the termin atio n or elim in atio n of the case of Force Majeure and con firmed by registered airmail letter. 受阻的一方應(yīng)盡快通過(guò)傳真或電傳通知另一方不可抗力因素的結(jié)束或消除，并用航空掛號(hào) 信通知對(duì)方確認(rèn)。 15. Arbitra

14、tion 仲裁 (a)All disputes aris ing from the executi on of, or in conn ecti on with the Con tract shall be settled through frien dly con sultati on by both parties. In case no settleme nt can be reached with in thirty (30) days of comme nceme nt of such con sultati on, the dispute shall be submitted fo

15、r arbitrati on inaccordanee with the provision Rules of Procedure of China International Economic and Trade Arbitrati on Commissi on in Beiji ng, China. 所有爭(zhēng)議雙方應(yīng)通過(guò)友好協(xié)商解決。如果通過(guò)協(xié)商30天內(nèi)未能達(dá)成一致，爭(zhēng)議將提交到 北京的中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁，該委員會(huì)將根據(jù)現(xiàn)行的仲裁規(guī)定和程序進(jìn)行 仲裁。| (b) The arbitration award shall be final and binding on both

Miscella neous其它 (a) The Con tract is made in both En glish and Chin ese Ian guage in two origi nals, one origi nal for each party .In case of any deviati on betwee n En glish and Chin ese Ian guage, the En glish version rules. 本合同以英中文書(shū)就，正本兩份，雙方各持一份。如果英文版與中文版有沖突，應(yīng)以英文 版本為準(zhǔn)。 (b) This Con tract shall be in terpreted accordi ng to INCOTERMS 2010 expect those terms and con diti ons otherwise stipulated. 除非另有規(guī)定，本合同的條款解釋?xiě)?yīng)遵循2010年版的國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則。 17.
