Time and place of delivery and notices 5.交船的時間和地點與通知書 75(a) The Vessel shall be delivered and taken over safely afloat at a safe and accessible berth or 76anchorage at/in

25、iii)條款和第14條款）(b) The Sellers shall keep the Buyers well informed of the Vessels itinerary and shall 80provide the Buyers with twenty (20), ten (10), five (5) and three (3) days notice of the date the 81Sellers intend to tender Notice of Readiness and of the intended place of delivery. 82(b). 賣方應(yīng)隨時報告

26、給買方本船舶的行程，并須給予買方提前20天、10天、5天和3天的通知關(guān)于賣方預(yù)計遞交準(zhǔn)備就緒通知書的日期和預(yù)計交船的地點。When the Vessel is at the place of delivery and physically ready for delivery in accordance with 83this Agreement, the Sellers shall give the Buyers a written Notice of Readiness for delivery. 84當(dāng)船舶抵達交付地點，并根據(jù)本協(xié)議實質(zhì)準(zhǔn)備就緒交船，賣方必須向買方遞交書面準(zhǔn)備就緒通知書。

27、(c) If the Sellers anticipate that, notwithstanding the exercise of due diligence by them, the 85Vessel will not be ready for delivery by the Cancelling Date they may notify the Buyers in writing 86stating the date when they anticipate that the Vessel will be ready for delivery and proposing a 87new

28、 Cancelling Date. Upon receipt of such notification the Buyers shall have the option of 88either cancelling this Agreement in accordance with Clause 14 (Sellers Default) within three (3) 89Banking Days of receipt of the notice or of accepting the new date as the new Cancelling Date. 90If the Buyers

29、have not declared their option within three (3) Banking Days of receipt of the 91Sellers notification or if the Buyers accept the new date, the date proposed in the Sellers 92notification shall be deemed to be the new Cancelling Date and shall be substituted for the 93Cancelling Date stipulated in l

Divers Inspection/Drydocking6. 潛水員水下檢驗/入塢檢驗 104(a) * 105(i) The Buyers shall have the option at their cost and expense to arrange for an underwater 106inspection by a diver approved by the Classification Society prior to the delivery of the 107Vessel. Such option shall be declared latest

35、 nine (9) days prior to the Vessels intended 108date of readiness for delivery as notified by the Sellers pursuant to clause 5(b) of this 109Agreement. The Sellers shall at their cost and expense make the Vessel available for 110such inspection. This inspection shall be carried out without undue del

36、ay and in the 111presence of a Classification Society surveyor arranged for by the Sellers and paid for by 112the Buyers. The Buyers representative(s) shall have the right to be present at the divers 113inspection as observer(s) only without interfering with the work or decisions of the 114Classific

37、ation Society surveyor. The extent of the inspection and the conditions under 115which it is performed shall be to the satisfaction of the Classification Society. If the 116 conditions at the place of delivery are unsuitable for such inspection, the Sellers shall at 117their cost and expense make th

38、e Vessel available at a suitable alternative place near to 118the delivery port, in which event the Cancelling Date shall be extended by the additional 119time required for such positioning and the subsequent re-positioning. The Sellers may 120not tender Notice of Readiness prior to completion of th

41、rs can be carried out afloat to the satisfaction of the Classification Society, the 124Sellers shall arrange for the Vessel to be drydocked at their expense for inspection by 125the Classification Society of the Vessels underwater parts below the deepest load line, 126the extent of the inspection be

42、ing in accordance with the Classification Societys rules (2) 127such defects shall be made good by the Sellers at their cost and expense to the 128satisfaction of the Classification Society without condition/recommendation* and (3) the 129Sellers shall pay for the underwater inspection and the Class

43、ification Societys 130attendance. 131 (ii) 如果發(fā)現(xiàn)船舵、螺旋槳、船底或其它低于最深載重線的水下部分，有影響船舶船級的破裂、損壞或缺陷，那么，(1). 除非能在船舶漂浮狀態(tài)下進行修理并滿足船級社的要求，否則，賣方應(yīng)自費安排船舶進塢和船舶船級社對低于最深載重線的水下部分進行檢查，檢查的范圍程度要遵照船級社的規(guī)則進行，(2). 這些缺陷應(yīng)該由賣方承擔(dān)費用和開支完成修復(fù)，直到符合船級社規(guī)定，并且不得遺留船級條件/批注*，(3). 賣方應(yīng)該承擔(dān)水下檢驗費用以及船級社驗船師的出勤費用。Notwithstanding anything to the contrar

44、y in this Agreement, if the Classification Society 132do not require the aforementioned defects to be rectified before the next class 133drydocking survey, the Sellers shall be entitled to deliver the Vessel with these defects 134against a deduction from the Purchase Price of the estimated direct co

45、st (of labour and 135materials) of carrying out the repairs to the satisfaction of the Classification Society, 136whereafter the Buyers shall have no further rights whatsoever in respect of the defects 137and/or repairs. The estimated direct cost of the repairs shall be the average of quotes for 138

46、the repair work obtained from two reputable independent shipyards at or in the vicinity of 139 the port of delivery, one to be obtained by each of the Parties within two (2) Banking 140Days from the date of the imposition of the condition/recommendation, unless the Parties 141agree otherwise. Should

47、 either of the Parties fail to obtain such a quote within the 142stipulated time then the quote duly obtained by the other Party shall be the sole basis for 143the estimate of the direct repair costs. The Sellers may not tender Notice of Readiness 144prior to such estimate having been established. 1

49、可以遞交準(zhǔn)備就緒通知書。(iii) If the Vessel is to be drydocked pursuant to Clause 6(a)(ii) and no suitable dry-docking 146facilities are available at the port of delivery, the Sellers shall take the Vessel to a port 147where suitable drydocking facilities are available, whether within or outside the delivery 14

50、8 range as per Clause 5(a). Once drydocking has taken place the Sellers shall deliver the 149Vessel at a port within the delivery range as per Clause 5(a) which shall, for the purpose 150of this Clause, become the new port of delivery. In such event the Cancelling Date shall 151be extended by the ad

52、額外航行時間而相應(yīng)地的延長，但最長不得超過14天。(b)*The Sellers shall place the Vessel in drydock at the port of delivery for inspection by the 154Classification Society of the Vessels underwater parts below the deepest load line, the extent 155of the inspection being in accordance with the Classification Societys rules.

53、If the rudder, 156propeller, bottom or other underwater parts below the deepest load line are found broken, 157damaged or defective so as to affect the Vessels class, such defects shall be made good at the 158Sellers cost and expense to the satisfaction of the Classification Society without 159condition/recommendation*. In such event the Sellers are also to pay for the costs and 160expenses in connection with putting the Vessel in and taking her out of drydock, includin
