1、意 向 書letter of intent出租方 :landlord : 地址 :address : 承租方 :tenant :地址 : address :甲、乙雙方經(jīng)友好協(xié)商,就乙方租賃甲方管理的商鋪,達(dá)成如下意向書。after a mutual negotiation, party a and party b hereby enter into following letter of intent (“l(fā)oi”) with regard to the lease of the premises managed by party a to party b.1. 商鋪premises 甲方向乙
2、方出租的商鋪(以下簡(jiǎn)稱“該商鋪”)位于下列城市的購物中心(以下簡(jiǎn)稱“購物中心”)內(nèi),具體如下:。 the leased premises by party a to party b (hereinafter referred to as “the premises”) are located at party a shopping centers (hereinafter referred to as “the centers”). the details are as follows.省份province城市city地址address商鋪號(hào)premises可出租面積(平方米)gross le
3、asable area(m2)山東 shandong濟(jì)南 jinan濟(jì)南經(jīng)十路經(jīng)七路緯十二路圍合本意向書附件一平面圖僅作該商鋪位置示意之用,甲方保留對(duì)該平面圖規(guī)劃設(shè)計(jì)修改和解釋的權(quán)利。若因政府部門要求對(duì)購物中心布局進(jìn)行調(diào)整致使該商鋪面積變更的,雙方同意按照政府部門要求作相應(yīng)的變更或調(diào)整,而不構(gòu)成任何一方的違約行為。雙方確認(rèn)按照變更或調(diào)整后的面積執(zhí)行本意向書條款。該商鋪的可出租面積以商鋪所在地市房屋測(cè)量機(jī)構(gòu)的測(cè)繪結(jié)果為準(zhǔn)。the lease outline drawing (“l(fā)od”) appended hereto is for the purpose of identification o
4、f the location and party a reserves the right to modify and interpret lod of the centers. if leasable area shall be changed due to shopping mall layout for government requirement, both parties agree to complete the governments decision and confirm the new sizes. the gross leasable area (gla) of the
5、premises is subject to the final measurement by local mapping institutions when the building completes.2. 用途permitted use 該商鋪僅供乙方用于經(jīng)營/ 銷售 品牌 類別,未經(jīng)甲方書面同意乙方不得擅自改變用途。the premises shall be occupied and used by party b solely for selling and operating (, ). without a written consent by party a in advance
6、, party b shall not change the above use of the premises.3. 租期lease term: 該商鋪的租賃期限為 年,自購物中心開業(yè)日起計(jì)算。the lease term of the premises shall be year(s) commencing upon grand opening date of the center. 4. 開業(yè)日opening date 購物中心的開業(yè)日初步預(yù)計(jì)如下: the centers are respectively expected to open on following dates.購物中心
7、centers預(yù)計(jì)開業(yè)日expected grand opening date濟(jì)南 jinan2011年具體以甲方提前兩個(gè)月書面通知為準(zhǔn)。party a will notify party b of the exact opening date in writing three (3) months in advance.5. 租金rent 每月租金(不包括物業(yè)管理費(fèi)和其他費(fèi)用)以基本租金和提成租金中較高者為當(dāng)月適用租金。基本租金按該商鋪的可出租面積計(jì)算;提成租金按該商鋪每月含稅營業(yè)額的百分比計(jì)算。the actual monthly rent for the premises (exclus
8、ive of the management fee and other charges) shall be minimum monthly rent plus percentage rent when the gross sales in excess of natural breakpoint. minimum monthly rent shall be calculated by gla, and percentage rent calculated by monthly gross sales of the premise.階段period商鋪號(hào)premises基本租金(人民幣元/平方米
9、/月)minimum monthly rent (rmb/m2/month)提成租金(% )percentage rent (%)第1-2年第3年第4年第5-6年6. 物業(yè)管理費(fèi)management fee 6.1該商鋪按比例分?jǐn)偟奈飿I(yè)管理費(fèi)預(yù)計(jì)如下:the proportionate share of the management fee is estimated at: 購物中心centers物業(yè)管理費(fèi)(人民幣元/平方米/月)management fee (rmb/m2/month)濟(jì)南 jinan6.2上述物業(yè)管理費(fèi)不包含乙方自己租賃區(qū)域內(nèi)產(chǎn)生的水、電、煤、加時(shí)空調(diào)、通訊等費(fèi)用,乙方應(yīng)根
10、據(jù)實(shí)際發(fā)生金額自行承擔(dān)。the utilities charge of water, electricity, gas, extra air-conditioning, communication and other utilities is not included in the management fee. party b shall pay it on a basis of actual consumption.7. 宣傳推廣費(fèi)marketing contributionparty b shall monthly pay marketing contribution to party
11、a for promoting and marketing of the center.購物中心centers宣傳推廣費(fèi)(人民幣元/平方米/月)marketing fee (rmb/m2/month)濟(jì)南 jinan8. 裝修免租期fit-out period自該商鋪交付日起,乙方可享有 天的裝修免租期,裝修免租期內(nèi)乙方無需交納租金,但仍需交納物業(yè)管理費(fèi)、水、電、煤、通訊等實(shí)際發(fā)生的費(fèi)用。party b is entitled to days fit-out period commencing on delivery date of the premises. during the fit-o
12、ut period party b will not need to pay the rent but shall pay management fee, water, electricity, gas, communication and other utilities on a basis of actual consumption.9. 誠意金和保證金earnest money and security deposit 9.1 乙方應(yīng)在簽署本意向書后十五日內(nèi)向甲方支付相當(dāng)于一個(gè)月租金和物業(yè)管理費(fèi)之和的誠意金。在雙方簽署正式租賃合同后,誠意金(均分部分)將轉(zhuǎn)作相應(yīng)租賃合同項(xiàng)下乙方的部分保證
13、金。若乙方逾期交納的,甲方有權(quán)終止該意向書。party b shall pay party a an earnest money equal to aggregate of one-month rent and management fee within 15 days upon execution of this loi. when both parties reach the final lease contract, the equal distribution of the earnest money will become part of party bs security depo
14、sit to party a under relevant lease contract. if party b would not pay earnest money according to loi, party a should terminate this loi.9.2 乙方應(yīng)于簽署正式租賃合同后十五日內(nèi),向甲方支付相當(dāng)于三個(gè)月租金和物業(yè)管理費(fèi)之和的保證金。 the security deposit of the formal lease contract, which is equivalent to aggregate of three (3) months rent and m
15、anagement fee, shall be paid by party b to party a within 15 days after signing of the formal lease contract. 9.3 乙方同意將上述誠意金和保證金匯入如下賬戶: party b agree to pay earnest money and security deposit into the following account:開 戶 名:開戶銀行:賬 號(hào):10. pos條款pos clause 乙方同意有償使用甲方提供的pos機(jī)并承擔(dān)相關(guān)費(fèi)用。party b agrees to use
16、 party as pos and bear all relevant cost.11. 交付條件conditions of premises甲方將按本意向書的交付條件向乙方交付該商鋪(具體詳見附件“交房標(biāo)準(zhǔn)”),乙方應(yīng)按甲方的“裝修守則”進(jìn)行設(shè)計(jì)和裝修。該商鋪的店面、天花、地板經(jīng)甲方事先書面批準(zhǔn)后,由乙方負(fù)責(zé)自費(fèi)設(shè)計(jì)制作。party a shall deliver the premises to party b according to the “conditions of premises” attached to this loi. all the designs and constru
17、ctions by party b in premises shall follow the “tenant design and construction guideline” constituted and published by party a. party b shall be responsible for designing and building the storefront, ceiling and floor of the premises subject to party as written approval in advance at its own cost.12
18、. 推廣活動(dòng)promotion activities 為了吸引商場(chǎng)人流,促進(jìn)擴(kuò)大銷售,乙方同意自行負(fù)責(zé)每年舉辦至少 次大型推廣活動(dòng),并積極配合參加甲方組織的推廣活動(dòng)。to draw traffic and promote sales of the center, party b agrees to hold at least (times) promotion activities per year in the center, and participate actively in all promotion and marketing activities held by party a.
19、 13. 營業(yè)額要求sales requirement若乙方每月營業(yè)額(含稅)連續(xù) 個(gè)月低于人民幣 元的,甲方有權(quán)選擇提前終止租賃合同。if party bs monthly gross sales fall below rmb for consecutive months, party a has right to early terminate lease contract.14. 保密條款confidentiality 甲、乙雙方同意嚴(yán)格保守本意向書下的條款內(nèi)容,未經(jīng)許可不得向第三方透露,否則受損方有權(quán)向違約方追究由此而受到的全部損失。all the clauses and inform
20、ation in this loi are confidential and without the consent of other party in written, each party should not disclose to any third party, failing which, the party in damage shall be entitled to claim all the loss arising thereof.15. 合同簽署signing of lease本意向書簽署后,雙方應(yīng)按本意向書所確定的基本條款積極努力磋商,并應(yīng)在甲方發(fā)出的正式簽約通知之日起
21、三十日內(nèi)簽署正式租賃合同。若雙方未能在上述期限簽署正式租賃合同,本意向書自動(dòng)終止,甲方有權(quán)另行向第三方出租該商鋪而不受本意向書約束。此外若因乙方原因致使雙方未能簽署正式租賃合同的,乙方已交之誠意金甲方不予退回。若因甲方原因?qū)е码p方不能簽署租賃合同的,甲方同意全額退還乙方已支付的誠意金。both parties agree to try their best to negotiate and sign the formal lease contract based on the above clauses stipulated in this loi, within 30 days upon partys bs receipt of the lease signing notice from
