4、end regulations of the Peoples Republic of China, the PARTIES have concluded the following labour contract (hereinafter referred to as the CONTRACT)合同雙方依照中華人民共和國勞動法以及中華人民共和國其它相關(guān)法 律法規(guī),共同約定以下勞動合同(以下簡稱本合同)。ARTICLE 1: POSITION & TASKS OF WORK第一條:職務(wù)及工作職責(zé)1.1. The EMPLOYEE will have the following position:
5、 該員工將擔(dān)任以下職務(wù):2.2 If necessary due to the management organisation of the COMPANY and or the competence and abilities of the EMPLOYEE the COMPANY may adjust the position, duties and responsibilities of the EMPLOYEE. 若由于木公司管理編制的需要及/或由于該員工本人資格與能力的原 因,本公司可在必要的情況下對該員工的職務(wù)和工作職責(zé)進(jìn)行適當(dāng) 調(diào)整。ARTICLE 2: TRIAL PERIOD
6、第二條:試用期2.1The trial period will start on the date of signature of this CONTRACT. The durati on of the trial period is three (3) mon ths. Duri ng the trial period the EMPLOYEE will be bound by all articles of this contract.試用期自木合同簽署之日起開始,時間為三個月。在試用期間,該 員工受本合同全部條款所約束。2.2After the specified trial perio
7、d and if no notice of termi nation is give n the EMPLOYEE automatically becomes employed under the terms andconditions of this CONTRACT.在約定的試用期內(nèi),若該員工沒有收到關(guān)于解除勞動關(guān)系的通知, 在試用期滿后,該員工自動轉(zhuǎn)為木公司正式員工,執(zhí)行本合同規(guī)定 的條款。ARTICLE 3: DURATION OF THE CONTRACT第三條:合同期限3.1The duration of this CONTRACT is twentyfour (2刀 months
8、. 本合同期限為27個月。3.2This CONTRACT maybe extended upon agreement of both PARTIES. An extension to this CONTRACT shall come into force only after a written agreement has been signed by both PARTIES木合同經(jīng)合同雙方同意后可以續(xù)簽。只有在合同雙方簽署書面協(xié)議 后,續(xù)簽的合同方能生效。ARTICLE 4: SALARY 詰四條:工資4.1 The COMPANY shall define its own salary
9、 policy in accordance with regulations stipulated by the state end municipal government The COMPANY shall ensure that the monthly salary of the EMPLOYEE is not less than the minimum pay standard set by the local government 本公司將依照中華人民共和國和北京市有關(guān)政策法規(guī)制定本公司的員 工工資標(biāo)準(zhǔn)。木公司保證該員工的月工資將不低于當(dāng)?shù)卣?guī)定的最 低工資。4.2 The EMP
10、LOYEE will receive a gross Vmonthly or 口 annual salary of 3,renminbi (RMB3, end increase thereafter the basis of the staff performance, the economic development of the COMPANY and according to the salary policy of the COMPANY approved by the Board of Directors of the COMPANY, and etc.該員工稅前工資將為V每月或口每
11、年畚仟元人民幣,今后將按照該員 工的工作表現(xiàn)、木公司的經(jīng)濟(jì)效益以及由本公司制定并經(jīng)董事會批準(zhǔn) 的工資標(biāo)準(zhǔn)每年遞增。4.3 Such salary shall be transferred to the bank account designated by the EMPLOYEE between the third and fifth day of each month.上述工資將于每月3號至5號期間匯入該員工所指定的銀行賬戶。ARTICLE 5: PREMIUM & BONUS第五條:獎金及分紅5.1At the full discretion of the Chairman end bas
12、ed upon his/her general attitude and the result of his/her work and fulfilment of his/her objectives detailed with his/her manager end at the beginning of each calendar year the EMPLOYEE will be entitled to an ennual bonus not exceeding one (1) month of salary and shall be paid to the EMPLOYEE for e
13、ach full calendar year which the EMPLOYEE works for the COMPANY in two (2) instalments the following year.經(jīng)木公司董事長同意,并且根據(jù)該員工的工作態(tài)度、工作成果及其 上級主管規(guī)定之工作目標(biāo)的完成狀況,該員工將有權(quán)在每個公歷年 初享受年終獎金(獎金總額不超過該員工的月工資)。員工為公司 工作滿一年時,獎金將于次年分兩次發(fā)放給個人。ARTICLE 6: PERSONAL INCOME TAX第六條:個人所得稅6.1The EMPLOYEE shall pay in dividual in co
14、me tax in accordance with the releva nt laws and regulatio ns of the Peoples Republic of China The COMPANY shall withhold such amount and pay it to the competent tax bureau 該員工須按照中華人民共和國相關(guān)法律法規(guī)繳納個人所得稅。木公 司將為該員工代扣代徼個人所得稅,并將應(yīng)納稅款上交相應(yīng)稅務(wù)機(jī) 關(guān)。ARTICLE 7: TRAINING第七條:培訓(xùn)7.1The COMPANY will establish an EMPLOYE
15、E training system and provide necessary trai ning to the EMPLOYEE in accordance with the releva nt laws and regulations of the Peoples Republic of Chine and as the COMPANY needs.木公司將依照中華人民共和國有關(guān)法律法規(guī)及公司需求,為該員工 設(shè)計(jì)一套培訓(xùn)體系,向該員工提供必要的培訓(xùn)。ARTICLE 8: WORKING HOURS第八條:工作時間8.1The COMPANY will implement working h
16、our system of forty minimum(40) hours per week in accordance with the releva nt laws and regulations exclusive of lunch time.本公司依照相關(guān)法律法規(guī)實(shí)行每周40小時工作制(每周工作時間不 得少于40小時),不包括午餐時間。The working hours are from Monday to Friday from 9:00AM to 6:00PM with a one (1) hour for lunch that may vary in time so as to
17、have at least one staff member in the office during lunch time.工作時間從周一至周五,每天上午9點(diǎn)至下午6點(diǎn),午餐時間為一 個小時。午餐時間將根據(jù)具體情況進(jìn)行安排以確保屆時至少有一名 員工留守辦公室。8.2Subject to the operation needs the COMPANY may adopt irregular working hour system or calculate the working hours on synthetic basis. 根據(jù)實(shí)際工作需要,木公司可能采用不規(guī)則時間工作制或依照綜合 標(biāo)準(zhǔn)
18、計(jì)算工作時間。8.3The COMPANY may extend the working hours of the EMPLOYEE after consultatio n with the EMPLOYEE according to the releva nt laws and regulati ons.1 衣照有關(guān)法律法規(guī),與該員工進(jìn)行協(xié)商后,本公司可以延長該員工 的工作時間。The COMPANY pays the EMPLOYEE 300 percent of the salary, based on an hourly amount according to Article 4, h
19、ereto for working during official public holidays.若需要員工在法定節(jié)假日加班,公司將根據(jù)木合同第4條中所列工 資標(biāo)準(zhǔn)計(jì)算出該員工的每小時工資,并按照每小時工資標(biāo)準(zhǔn)的3倍 支付加班工資。8.4Notwithstanding what provided hereof the COMPANY shall extend the working hours regardless of Article and Article in any of the following cases:若出現(xiàn)下列情況,無論是否符合本合同第條和第條中的規(guī)定,本公 司均可延長工
20、作時間:a Immediate action which must be carried out in case of natural disasters, accidents or other events that will endanger the EMPLOYEES life, health, property, or safety;由于發(fā)生自然災(zāi)害、事故或其它危及該員工生命、健康、財(cái)產(chǎn)及 安全的事件,必須采取緊急措施;b. Urge nt repair which must be carried out in case of breaki ng dow n of operation
21、equipment, communication, transportation end other facilities which will endenger COMPANY business or public interest; k于運(yùn)營設(shè)備、通訊設(shè)備、運(yùn)輸設(shè)備及其它設(shè)備發(fā)生故障,危害 到木公司的業(yè)務(wù)或公共利益,必須進(jìn)行緊急維修;c. Continuous of the operation or business of the COMPANY which shall not be interrupted on stipulated holidays and rest days由于無法因
22、為法定休假和雙休日而中斷木公司持續(xù)開展的經(jīng)營運(yùn) 作或業(yè)務(wù);d. Overhaul and meintenance of the equipment which shall only be made on stipulated holidays and rest days; and只能在法定休假和雙休日進(jìn)行的設(shè)備檢修與維護(hù);e. Emergency operation assignment concerning national defenee. 由于國防原因需要采取緊急措施。ARTICLE 9: DISCIPLINE第九條:勞動紀(jì)律9.1Apart from the provisions of
23、 this CONTRACT the EMPLOYEE must respect all releva nt laws and regulations of the Peoples Republic of China rules and regulations of the COMPANY and provisions of any relevant collective labour contract.除木合同所規(guī)定之條款外,該員工還須遵守中華人民共和國相關(guān)法 律法規(guī)、木公司制定的規(guī)章制度,以及其它勞動合同方面的相關(guān)規(guī) 定。9.2The EMPLOYEE must respect and e
24、xecute any and all formal instruct!ons given to him/her regarding the duties and responsibilities of his/her tasks of work該員工須遵守并執(zhí)行一切與其工作職責(zé)有關(guān)的正式指令。9.3In cases of an offence, gross misconduct, and or any violation of labour discipline the COMPANY will normelly carry out the following procedure: 若該員工出
25、現(xiàn)過錯、嚴(yán)重過失及/或其它違反勞動紀(jì)律的行為,本公 司一般依照以下程序?qū)υ搯T工進(jìn)行處罰:1-Oral warning 口 頭警告2 - First written warning 第一次書面警告3 - Final written warning 第二次書面警告4 - Dismissal 開除9.4However the COMPANY reserves the right to omit any of these stages as the case may be.然而,本公司有權(quán)根據(jù)實(shí)際情況對上述某些步驟進(jìn)行調(diào)整。9.5The EMPLOYEE has the right to appeal
26、 against written warnings or dismissal to the Labour Dispute Committee if any.該員工有權(quán)針對其受到的書而警告或開除決定向勞動爭議委員會提 岀申訴(如需)。ARTICLE 10: SICKNESS & INJURY LEAVE第十條:病假及傷假10.1The EMPLOYEE will be entitled to sickness and injury leaves in accordanee with the relevant laws and regulations該員工有權(quán)根據(jù)相關(guān)法律法規(guī)享受病假及傷假。10.
27、2The EMPLOYEE applying for sickness or injury leave shall fill in a leave application form and get approval from his/her manager Leave for more than two (2) days shall be approved by the Chief Executive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Mana
28、ger for verification and filing before going for leave缶請病假或傷假時,該員工應(yīng)填寫“休假申請表,并必須得到其上 級主管的準(zhǔn)許。若該員工的休假超過兩(2)天,則需經(jīng)本公司首席執(zhí) 行官允許,且應(yīng)在休假前將“休假申請表提交至行政經(jīng)理、人力資 源部經(jīng)理或直屬上級經(jīng)理以供審核及存檔。In case of any sudden sickness or in jury the EMPLOYEE shall inf orm his/her manager no later than the end of the first day. A written
29、confirmation shall be submitted to the Office Manager and Human Resources Manager for verification and filing within two (2) days after he or she comes back to work.若該員工突發(fā)疾病或受傷,需在當(dāng)天結(jié)束前通知其上級經(jīng)理,并在 返回崗位后的兩(2)個工作H內(nèi)將書面說明提交行政經(jīng)理及人力資源 部經(jīng)理以供審核及存檔。10.3If the EMPLOYEE is absent for more than one (1) week he/sh
30、e mustensure that the Chief Executive Officer are kept informed of the progress at weekly intervals 若該員工的病假超過一周,該員工必須每周向首席執(zhí)行官報告其病 情狀況。10.4The EMPLOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to pro
31、vide the certificate or providing false or in accurate informatio n will be deemed as a gross miscon duct.若該員工休病假或傷假超過一天,必須提供由專業(yè)醫(yī)師出具的病假 條。若該員工無法或拒絕提供病假條或提供虛假信息,將被視為嚴(yán) 重過失。ARTICLE 11: LABOUR SAFETY & HYGIENE第十一條:勞動安全及勞動衛(wèi)生保障11.1The COMPANY will establish a sound labour safety and hygiene facilities and
32、 shall strictly implement rules end standards of labour safety and hygiene of the Peoples Republic of China, con duct labour safety and hygiene education, prevent accidents and reduce occupational hazards 木公司將建立一套合理的勞動安全衛(wèi)生保護(hù)措施,嚴(yán)格落實(shí)中華人 民共和國勞動安全衛(wèi)生制度和標(biāo)準(zhǔn),開展勞動安全衛(wèi)生教育,防止 事故發(fā)生,減少職業(yè)病危害。11.2The COMPANY shall
33、provide the EMPLOYEE with labour safety and hygiene conditi ons end n ecessary articles in conformity with the releva nt laws end regulations.木公司將依照有關(guān)法律法規(guī)為該員工提供勞動安全衛(wèi)生條件以及必 要的設(shè)備。11.3The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management pers
34、onnel in violation of the relevant regulations.衫該員工的上級主管違反相關(guān)法律法規(guī),要求其從事危險性工作, 該員工有權(quán)拒絕。ARTICLE 12: SOCIAL INSURANCES第十二條:社會保險12.1The COMPANY must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China end shall pay on time s
35、ocial insurance premiums to the social insura nee institutio ns accordi ng to the sta nderds set by the local authorities 木公司嚴(yán)格遵守中華人民共和國有關(guān)法律法規(guī)為該員工繳納社會保 險,并且依照當(dāng)?shù)卣块T制定的標(biāo)準(zhǔn)將保險費(fèi)按時、全額支付給 社會保險機(jī)構(gòu)。ARTICLE 13: HOLIDAYS第十三條:休假13.1The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, en
36、d funerals in line with the relevant laws and regulations of the Peoples Republic of China該員工依照中華人民共和國有關(guān)法律法規(guī)享受法定休假,包括法定 節(jié)假日、婚假、喪假、產(chǎn)假。13.2The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays.該員工在木公司工作滿一年后有權(quán)享受每年
37、十個工作日的帶薪年 假,不含法定節(jié)假日。The holidays ref ere nee period is from the first day of January to the thirty first day of December. Holidays accrued during one period have to be taken on the following holiday period For the first year of employment, holidays will be accrued at pro rata temporis每年2月1日至12月31日作為
38、一個休假年度,當(dāng)年未休的假期只 可累積到次年使用。在木公司工作未滿一年的新員工可在次年享受 年假,具體的年假天數(shù)按照其實(shí)際工作時間計(jì)算。13.3After the EMPLOYEE completes five (5) years of continuous work for the COMPANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid armual vacation for each full year which the EMPLOYEE
39、 works for COMPANY, but the paid annual vacation shall not exceed twenty (20) working days in the aggregate該員工在木公司任職滿五年后,在本公司每工作滿一年,每年可以 增加一個工作日的帶薪年假,但每年帶薪年假累積最多不超過二十 個工作日。13.4All leave must be taken at times agreed with the Chief Executive Officer of the COMPANY ten days in advance.所有休假必須提前20天向木公司中
40、請并獲得首席執(zhí)行官的同意。ARTICLE 14: EXCLUSIVITY & NONCOMPETITION第十四條:唯一性及非競爭協(xié)定14.1The EMPLOYEE must devote in full all his/her working time to the COMPANY.該員工在本公司工作期間必須勤奮敬業(yè)。14.2It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third pa
41、rties even free of charge嚴(yán)格禁止該員工在木公司任職期間為其自身及/或親屬及/或第三方提 供任何有償或無償專業(yè)勞動。14.3The EMPLOYEE undertakes not to exercise directly or indirectly on behalf of any competitor to the COMPANY even as free of charge or for himself/herself any activity which may compete with the business of the COMPANY for one (1
42、) year after the termination of the present CONTRACT. This Article is not applicable if termination of the CONTRACT is due to COMPANY for other reasons than the ones covered by Article 14 and Article 25.該員工與木公司解除本合同后一年內(nèi)不得直接或間接地代表木公司 的任何競爭對手從事任何可能傷及木公司利益的有償或無償活動。 若由于其它原因而非本合同第14條和第15條解除本合同的,不適 用本合同第條
43、。14.4The EMPLOYEE shall pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty clause if he/she does not comply with Article Article and Article . hereto. This amount does not in elude the possible actual damages which may be claimed by the COMPANY.I若該員工違反木合同第條、第條及第條的規(guī)定,其必須向木公司支 付1萬萬人民幣作為
44、賠償。該筆賠償不包括本公司對可能造成的 實(shí)際損害進(jìn)行索賠的金額。ARTICLE 15: CONFIDENTIALITY第十五條:保密協(xié)定15.1The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing informetion acquired from the COMPANY and or obtained because of his
45、/her activities in the COMPANY. 該員工須嚴(yán)守公司機(jī)密,不得向任何第三方透露自本公司處獲得的 及/或由于該員工在木公司任職而獲得的任何技術(shù)、經(jīng)濟(jì)、財(cái)務(wù)、客 戶或市場信息。The EMPLOYEE shall not use any such informetion for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in this CONTRACT.該員工亦不得將上述信息用于木合同規(guī)定之工作職責(zé)以外的一切活 動。15.2T
46、he EMPLOYEE agrees that any disclosure or non authorised use of such information shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.該員工認(rèn)同,除非該員工己事先收到本公司管理部門發(fā)出的書而許 可,否則,泄露上述信息或在未被授權(quán)的情況下使用上述信息將被 視為嚴(yán)重過失行
47、為。15.3The EMPLOYEE shall comply with his/her confidentiality obligations pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT.該員工在木公司任職期間以及在木合同解除后五年內(nèi)應(yīng)當(dāng)按照本 合同第15條的規(guī)定遵守保密協(xié)議。15.4The EMPLOYEE shall pay the COMPANY an amount
48、of RMB10,000 to RMB100,000 as a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not in elude the possible actual damages which may be claimed by the COMPANY.若該員工違反本合同第15條的規(guī)定,沒有盡到其應(yīng)盡的保密義務(wù), 則該員工必須向木公司支付1萬-10萬人民幣作為賠償。該筆賠償不 包括木公司對可
49、能造成的實(shí)際損害進(jìn)行索賠的金額。ARTICLE 16: RESPONSIBILITIES OF THE PARTIES第十六條:雙方職責(zé)16.1Either of the PARTIES shall perform its responsibilities under this CONTRACT strictly in accordance with the provision hereof.合同任何一方都應(yīng)按照本合同所規(guī)定的條款嚴(yán)格履行各自職責(zé)。16.2Either of the PARTIES should bear responsibilities for compensation if
50、 it violates this CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY.若合同任何一方違反木合同以及損害本合同另一方的利益并給木合 同另一方造成損害,該方承擔(dān)違約責(zé)任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七條:合同終止17.1Either of the PARTIES shall be entitled to terminate this CONTRACT for reas ons expres
51、sly provided by the releva nt laws and regulatio ns of the Peoples Republic of China Such termination of this CONTRACT shall comply with the proceedi ngs provided by the releva nt laws and regulati ons.合同任何一方均有權(quán)依照中華人民共和國相關(guān)法律法規(guī)終止履行本 合同。本合同的終止須遵照有關(guān)法律法規(guī)操作進(jìn)行。17.2Furthermore the COMPANY may terminate the
52、 CONTRACT for any one of the following reasons:k外,在下列情況下,木公司可隨時解除本合同:a. The EMPLOYEE has a conflict between personel interest and the interest of the COMPANY in dealing with supplier, customers, and individuals of other organisations doing or seeking to do business with the COMPANY.該員工在與本公司的供貨商、客戶及其
53、它機(jī)構(gòu)的人員開展業(yè)務(wù)或 收集業(yè)務(wù)信息期間發(fā)生其個人與本公司利益上的沖突。b The EMPLOYEE has asked for or received any adva ntege or ben efits either in monetary or non monetary term of any kind form persons or organisations having business activities directly or indirectly with the COMPANY.該員工向與本公司有直接或間接業(yè)務(wù)往來的任何個人或機(jī)構(gòu)索取 或收受任何貨幣或非貨幣形式的財(cái)物或
54、好處。c. The EMPLOYEE fails to perform his/her responsibilities under Articles 14 and Article 15 of this CONTRACT.該員工違反本合同第14條和第15條的規(guī)定。d. The EMPLOYEE left from his/her work for more than five (5) working days without prior consent from the Chief Executive Officer except in the case of force majeure wh
55、ich prevent the EMPLOYEE from informing the Chief Executive Officer.該員工事先未經(jīng)首席執(zhí)行官準(zhǔn)許擅自離崗超過五個工作日,若因 不可抗力導(dǎo)致該員工無法通知首席執(zhí)行官除外。17.3The EMPLOYEE may also hand over a written notice of his/herresig nation for pers onal reasons 30 days ahead I f the EMPLOYEE does not provide the COMPANY with one months notice,
56、he/she should pay to the COMPANY one calendar month of salary and allowance men Honed in Article 4 as the compensatio n.若由于其個人原因,該員工可提前三十天以書面形式提出辭職。若 該員工沒有提前三十天向公司遞交辭呈,該員工將向公司支付依本 合同第4條所規(guī)定的一個月的月工資及補(bǔ)助作為補(bǔ)償金。17.4The COMPANY shall pay to the EMPLOYEE any compensation pursuant to relevant laws and regula
