委托代理進(jìn)口協(xié)議(中英文)知識(shí)分享

1、IMPORT AGENT SERVICE AGREEMENT委托代理進(jìn)口協(xié)議甲、乙雙方本著平等互利、共同發(fā)展的原則，經(jīng)友好協(xié)商，自愿簽定本協(xié)議：After friendly negotiations between the Parties and according to the“TentativeProvisions on System of Foreign Trade Agency “ promulgated by the former PRC Ministry of Economic and Trade, Party A and Party B have reached the foll

2、owing agreement:一、甲方全權(quán)委托乙方代理進(jìn)口產(chǎn)品及報(bào)關(guān)，承擔(dān)乙方按照其指示或經(jīng)其同意而進(jìn)行 操作的一切后果。Party A hereby appoints Party B as Party A's import agent to provide import agent services .二、甲方應(yīng)在實(shí)際進(jìn)口之前將進(jìn)口詳細(xì)計(jì)劃告之乙方，并提供產(chǎn)品的品名、數(shù)量、重 量、價(jià)格、產(chǎn)地、貿(mào)易國(guó)及 HS編碼，以便乙方及時(shí)開(kāi)始準(zhǔn)備工作。甲方應(yīng)保證上述資 料完整準(zhǔn)確，并做到單貨相符、單單相符、單證相符。若因甲方提供信息有誤或延遲 而造成額外費(fèi)用，甲方應(yīng)承擔(dān)全部責(zé)任。Party A

3、shall provide to Party B such detailed documents as the bill of lading and list of Goods to be imported indicating the prices, quantity, specifications, purposes and additional documents as requested by the competent authorities on a case by case basis. Party A shall immediately after arrival of the

4、 Goods at the port provide the relevant documents to Party B. Party A shall instruct the exporter and ensure that the exporter issues a proper and complete set of customs clearance documents such as commercial invoices, packing lists, bills of lading （or airway bills, etc. to the effect that all doc

5、uments are consistent with each other and that all documents are consistent with the conditions of the Goods. The customs clearance shall be made according to the facts. If it is found that the documents are not consistent with the Goods, Party A shall bear the relevant liabilities.三、甲方應(yīng)積極配合乙方做好通關(guān)手續(xù)

7、cy fee (“ Agency Fees ” ) foreach import of Goods. The Agency Fee for each import shall be calculated as zero point five percent (0.8%) of the CIF price of the Goods to be imported. If the Agency Fee for a transaction is less than Renminbi five hundred (RMB 800), it shall be set as Renminbi five hun

8、dred (RMB800)五、在通關(guān)過(guò)程中發(fā)生的其他費(fèi)用，如倉(cāng)費(fèi)、法定商檢費(fèi)、查驗(yàn)費(fèi)、保險(xiǎn)費(fèi)、運(yùn)雜費(fèi) 等（以海關(guān)、商檢、船務(wù)、運(yùn)輸公司開(kāi)據(jù)的發(fā)票為準(zhǔn)），由乙方按實(shí)際發(fā)生數(shù)與甲方 幺士留 結(jié)算。Miscellaneous Expenses incurred in the course of handling customs clearance for the imported Goods, including but not limited to fees and expenses for commodity inspection, health quarantine, quarantine f

9、or animals and plants, transportation and incidental expenses, fees and expenses incurred in the port area, the portsupervision authority, insurance fees and banks charges (“ Miscellaneous Fees ” ) shall be borne by Party A, excepted such Miscellaneous Expenses miscellaneous expenses incur as a resu

10、lt of Party B s intentional default or negligence. In the later case such Miscellaneous Fess shall be born by Party B.六 . 乙方應(yīng)在甲方貨款到達(dá)乙方帳戶后的三個(gè)工作日內(nèi)為甲方做好購(gòu)、付匯手續(xù)，甲方 自行支付購(gòu)付匯手續(xù)費(fèi)。Party B shall apply with designated banks for the conversion of foreign exchange within three (3) working days after Party B has r

11、eceived the equivalent Renminbi amount for the Goods in full from Party A. Party B shall not divert the funds of Party A for other purposes. Party B shall pay to Party A the respective amount of foreign exchange according to the official exchange rate of the then current date of the bank. After rece

12、ipt of the foreign exchange, Party A shall settle the payment with Party B according to the relevant vouchers for converting foreign exchange issued by the bank.七、乙方僅承擔(dān)代理進(jìn)口該商品的義務(wù)，其權(quán)利義務(wù)受且僅受本代理協(xié)議約束。在代理過(guò)程中對(duì)于經(jīng)甲方指示或確認(rèn)而由乙方以自己名義代為簽定的一系列形式合同，乙方不負(fù)任何責(zé)任，而由甲方作為委托人承擔(dān)。對(duì)于甲方與實(shí)際進(jìn)口商等發(fā)生的一切爭(zhēng)議，(如產(chǎn)品質(zhì)量、數(shù)量、規(guī)格、交貨期等)，乙方概不負(fù)責(zé)。

13、It is the Parties understanding that Party B is an independent import agent of Party A. No employee of Party B shall be deemed to be an employee of Party A. Nothing contained in this Agreement shall be construed so as to create a partnership or joint venture; and neither Party hereto shall be liable

14、 for the debts or obligations of the other. Party B shall bear no liability for the disputes arising between Party A and the actual users of the Goods with respect to the quality, quantity, specifications and delivery date of the Goods.八、違約責(zé)任LIABILITIES FOR BREACH如果本協(xié)議任一方未能履行本協(xié)議的全部或任一條款、或者以其他方式違反本協(xié)議

15、，該方應(yīng)向另一方承擔(dān)應(yīng)履行不能或違約而給對(duì)方造成的損失。所有應(yīng)此履行不能或違約而造成的間接或偶然損害或損失應(yīng)排除在外。本協(xié)議以及中國(guó)合同法規(guī)定的、守約方對(duì)違約方的其他任何權(quán)利不受影響。If either Party to this Agreement fails to fulfill all or any obligation(s) under this Agreement or commits any other breach of this Agreement it shall be liable to the other Party for all direct losses or da

16、mages caused by such failure or breach. Any liability for indirect, consequential or incidental damages or losses caused by such failure or breach shall be excluded. Any other rights of the Party abiding the Agreement against the breaching Party under this Agreement and the PRC Contract Law shall no

17、t be affected.九、不可抗力條款FORCEMAJEURE因不可抗力造成無(wú)法履行或不能如期履行本協(xié)議時(shí)，根據(jù)不可抗力的實(shí)際影響，部分或全部免除未能履行協(xié)議一方的責(zé)任。If an event of force majeure occurs, neither Party shall be responsible for any damage, increased costs or loss which the other Party may sustain by reason of such failure or delay of performance. The Party claim

18、ing force majeure shall take appropriate measures to minimize or remove the effect of force majeure and, within the shortest possible time, attempt to resume performance of the obligation(s) affected by the event of force majeure.十、文字及效力EFFECTIVENESS本協(xié)議經(jīng)雙方簽字蓋章后生效，有效期兩年。本協(xié)議一式兩份，具有同等效力。This Agreement

19、shall be written in English and Chinese in two (2) copies, each Party holding one (1) copy. Both the English and Chinese versions are equally binding. This Agreement shall be valid for 2 years from the effective date upon signature of both parties.APPLICABLE LAW 本協(xié)議適用中華人民共和國(guó)法律，若有其他未盡事宜，在雙方友好協(xié)商未果時(shí)直接適

20、用相關(guān)法律、法規(guī)的規(guī)定。The formation of this Agreement, its validity, termination, interpretation, execution and the settlement of any dispute arising thereunder shall be governed by the laws of the PRC.十二、爭(zhēng)議的解決DISPUTE SETTLEMENT有關(guān)本協(xié)議及其履行中發(fā)生的爭(zhēng)議，雙方應(yīng)積極、友好地協(xié)商解決。如果在一方書面通知另一方該爭(zhēng)議的存在后四十五(45)天內(nèi)協(xié)商不成的，應(yīng)將該協(xié)議提交在香港的香港國(guó)際仲裁中

21、心，依該會(huì)屆時(shí)有效的仲裁規(guī)則進(jìn)行仲裁。All disputes arising from the execution of, or in connection with this Agreement shall be settled through friendly consultations between the Parties. If no settlement can be reached through consultation within forty five (45) days after either Party has given written notice to the other Party of the existence of a dispute under this article, the dispute shall be submitted to arbitration with the Hong
