6、“合同”)于 _由_ 有限公司,一個符合中華人民共和國法律、總部位于中國 _的股份有限公司(下文稱作“制造商”)作為甲方,與,一個符合_法律、總部位于 _ 股份有限公司(下文稱作“Representative代理商”)作為乙方簽訂。THIS AGREEMENT( hen ceforth the”Con tract”),made on this day by andbetwee n_Co. Ltd. an in corporated compa ny and exist ing un der the laws ofRepublic of China, with its principal off
7、ice at_(henceforth called the“Principal)as the First Party and_, an in corporated compa ny and existi ng un der the lawsof_ , with its principal office at_(henceforth called the“Representative”)as the Second Party.第1條 銷售領(lǐng)域和產(chǎn)品Article 1 - Territory and Products1.1制造商指定代理商作為其商業(yè)銷售代表,在土耳其領(lǐng)域內(nèi)(下文稱作“銷售領(lǐng) 域”)
8、推廣360度投影系統(tǒng)的銷售(下文稱作“產(chǎn)品”)。The Principal appoints the representative, who accepts, as his commercial sales represe ntativeto promote the sale of 360 Degree Project ion Systems (here in after called The Products) in theterritory of Turkey (here in after called the Territory).1.2如制造商決定在銷售領(lǐng)域內(nèi)銷售其他任何產(chǎn)品,應(yīng)告知代
9、理商并討論是否有可能 將其納入條款1.1所規(guī)定的產(chǎn)品范圍。但如由于新產(chǎn)品的特點和代理商的專業(yè)原因認 定代理商不可能代理該產(chǎn)品(如一個完全不同領(lǐng)域的產(chǎn)品),則不承擔以上告知經(jīng)銷 商的責任。If the pr in cipal decides to sell any other products in the Territory, he shall inform the representative in order to discuss the possibility of in cludi ng them withi n the Products defi ned un derarticle
10、1.1. however , the above obligati on to inform the distributor does not apply if, i n considerati on of the characteristics of the new products and the specialty of the represe ntative, it isnot to be expected that such products may be represe nted by the represe ntative (e.g. productsof a completel
11、y differe nt ran ge).第2條 誠信和公平交易Article 2 - Good faith and fair dealing2.1雙方在履行本協(xié)議責任時,應(yīng)堅持誠信原則和公平交易。In carry ing out their obligati ons un der this agreeme nt the parties will act in accorda nee withgood faith and fair deali ng.2.2應(yīng)善意解釋本協(xié)議條款以及雙方作出的與本代理商關(guān)系相關(guān)的任何陳述。The provisions of this agreement, as w
12、ell as any statements made by the parties in connectionwith this represe ntative relati on ship, shall be in terpreted in good faith.條款3代理商的職責Article 3 - Representatives functions3.1代理商將盡力在銷售領(lǐng)域內(nèi)按照制造商的合理要求推廣產(chǎn)品的銷售,并作為有責任 心的商人,努力保護制造商利益。The Represe ntative agrees to use his best en deavours to promote
13、the sale of the products inthe territory in accorda nce with the Prin cipals reas on able in struct ions and shall protect thePrin cipals in terests with the dilige nce of a resp on sible bus in essma n.3.2除得到制造商同意之外,代理商不應(yīng)要求銷售領(lǐng)域外的訂單。The Represe ntative shall n ot solicit order from outside the Terri
14、tory uni ess permitted to do soby the Pr in cipal.3.3除另行協(xié)商同意之外,代理商有權(quán)代表第三方組織次級代理商或使其向第三方負責Uni ess otherwise specifically agreed, the represe ntative has authority to orga nize sub-representative on behalf of, or in any way to bind the represe ntative towards third parties.第4條 制造商接受訂單Article 4 - Accep
15、tanee of orders by the Principal4.1對于產(chǎn)品范圍之外的特殊產(chǎn)品,制造商應(yīng)告知代理商其是否接受或拒絕后者轉(zhuǎn)達的 訂單,不應(yīng)延誤。制造商可決定是否接受或拒絕代理商轉(zhuǎn)達的任何訂單。For the special products which are out of scope of products, the Prin cipal shall in form thereprese ntative without un due delay of his accepta nce or rejectio n of the orders tran smitted bythe

The prin cipal may accept or reject any in dividual order transmitted by therepresentative at his own discretion.第5條 不競爭承諾Article 5 - Undertaking not to compete5.1除得到制造商事先書面授權(quán),代理商在整個合同期間不應(yīng)代理、生產(chǎn)或銷售任何與 產(chǎn)品存在競爭的產(chǎn)品。Without the prior written authorization of the Principal, the representative shall
17、 not represent,manufacture or distribute any products that are in competition with the Products, for the en tireterm of this con tract.5.2在提前告知制造商的條件下,代理商可代理、銷售或生產(chǎn)與本產(chǎn)品不存在競爭關(guān)系 的任何產(chǎn)品。但如代理商將代理的產(chǎn)品特點及將代理制造商的經(jīng)營范圍不影響制造商 利益,則無需履行上述告知制造商之責任。The representative may represent, distribute or manufacture any prod
18、ucts that are notcompetitive with the Products, provided he in forms the Prin cipal in adva nce of such activity.However, the above obligati on to inform the Prin cipal dose n ot apply if, in consideration of thecharacteristics of the products which the representative wants to represent, and of the
19、field ofactivity of the Principal for whom the representative wishes to act, it is un reas on able to expectthat the pri ncipals in terests may be affected.第6條 銷售組織,廣告和貿(mào)易洽談會Article 6 - Sales organization, Advertising andFairs 6.1代理商應(yīng)提供具備必要人員和設(shè)備的組織,進行銷售及適當情況下的售后服務(wù),以 保證完成銷售領(lǐng)域內(nèi)的合同責任。The represe ntative
20、 shall provide an adequate orga ni zati on for sales and, where appropriate,after-sales service, with all n ecessary means and pers onn el, i n order to en sure the fulfillme ntof his obligati ons throughout the Territory un der this agreeme nt.6.2雙方應(yīng)就在銷售領(lǐng)域內(nèi)共同進行的廣告協(xié)商一致。廣告內(nèi)容應(yīng)告知制造商,并得到 其認可。廣告費用應(yīng)由代理商承擔
21、。The parties may agree on the advertis ing to be join tly made in the Territory. The contents ofadvertis ing shall be in formed to and agreed by the prin cipal. The cost of advertis ing carried outby the represe ntative.6.3雙方應(yīng)就其在銷售領(lǐng)域內(nèi)是否參加展銷會或展覽會達成一致。代理商參加貿(mào)易洽談 會和展覽會的費用應(yīng)根據(jù)雙方認可的書面計劃書分攤。The parties shal
22、l agree on their participati on in fair or exhibiti ons withi n the Territory. The cost ofthe represe ntatives participati on in such fairs and exhibiti ons shall be apporti oned betwee n theparties by agreed in writ ing duri ng pla n.第7條銷售目標保證完成的最低目標Article 7 - Sales targets -Guara nteed Minimum ta
23、rget7.1雙方每年就下一年的銷售目標協(xié)商一致。The parties may agree annu ally on the sales targets for the forthco ming year.7.2雙方應(yīng)盡力完成協(xié)商一致的目標。但如一方未達到目標,不應(yīng)視作違反合同,除非 該方存在明顯過錯。The parties shall make their best efforts to attai n the targets agreed upon, but the non atta inmentshall not be con sidered as a breach of the co
24、n tract by a party, uni ess that party is clearly at fault.7.3代理商同意向制造商提供產(chǎn)品的三個項目,擔保完成第一年十二個月的最低目標。The represe ntative may agree to guara ntee three (3) projects of products as Minimum Target tothe pri ncipal con sideri ng the first year with 12 mon th.第8條分銷商Article 8 - Sub-distributor制造商同意代理商進行業(yè)務(wù)并對分
25、銷商具有追索權(quán),但代理商應(yīng)對其分銷商的工作以 及所有行為負責The principal agree that the representative carry out his activity with recourse to sub-representative, but represe ntative shall be resp on sible for his sub- represe ntatives works and all ofacts._第9條一制造商知情權(quán)Article 9 - Prin cipal to be kept in formed9.1代理商應(yīng)盡力使制造商了解其業(yè)務(wù)
26、范圍內(nèi)的市場情況及銷售領(lǐng)域內(nèi)的競爭情況,并 應(yīng)回答制造商關(guān)于信息的任何合理問題。The represe ntative shall exercise due dilige nce to keep the Pri ncipal in formed about hisactivities market con diti ons and the state of competiti on withi n the Territory. He shall an swerany reas on able request for in formati on made by the Prin cipal.9.
27、2.代理商應(yīng)盡力使制造商了解第9.1條中在銷售領(lǐng)域內(nèi)適用且產(chǎn)品必須遵循的法律法規(guī)(如進口規(guī)則、商標、技術(shù)規(guī)范、安全要求等),以及與制造商活動相關(guān)的法律法 規(guī)。The represe ntative shall exercise due dilige nce to keep the Pri ncipal in formed about9.1 the laws and regulations that are to apply in the Territory to which the Products must conform(e.g. import regulations, labeling,
28、 technical specifications, safety requirements, etc.) and the lawsand regulations concerning his activity, as far as they are releva nt for the Prin cipal.第10條一產(chǎn)品價格Article 10 - Product price對各項目的詢價,訂單與發(fā)貨單中的價格與制造商的書面認可和報價同等有效。代理 商有權(quán)公開招標談判最終報價或批發(fā)報價,在制造商同意的前提下價格包括本文中的 般意外損失準備金。Price shall be valid as i
29、n Offer and In voice as agreed and offered by the pri ncipal in writ ing forevery in dividual project inquiry. However, the represe ntative has the right to negotiate the finalOffer price in public tenders or wholesale offers, to extend agreed also by the Prin cipal to covergen eral contingen cies i
30、n volved here in.第11條付款條件Article 11 - Terms of payment下訂單時開具并保兌且在遞送單據(jù)時即可支付。Payme nt shall be made by 100% of the con tract value out of an irrevocable and con firmedLetter of Credit, in the prin cipal favour, ope ned with and con firmed at the mome nt plac ing theorder and payable agai nst sending d
31、ocume nts.11.2信用證應(yīng)允許分批裝運或轉(zhuǎn)運,有效期三周。信用證在通知銀行應(yīng)為可轉(zhuǎn)讓信用 證。The Letter of Credit should allow partshipme nts and Tran sshipme nts, and must be valid until 3weeks. The Letter of Credit should be transferable at advising bank.第12條一交貨時間Article 12 - Delivery time11.1合同價值應(yīng)由以制造商為受益人100%保兌的不可撤銷信用證支付,信用證須在應(yīng)在完成所有法律手
32、續(xù)后確定交貨時間。交貨時間應(yīng)從制造商收到交貨確認書的最后 時間開始。The delivery time shall be defined up to settlement of all technical formalities. The delivery timestarts from the last of the data on which principal receive confirmation.第13條保證Article 13 - Warranty13.L制造商保證,除正常磨損和磨損件以外,根據(jù)本合同提供的設(shè)計、資料和產(chǎn)品在 材料和工藝上應(yīng)無缺陷并符合所有技術(shù)規(guī)范。The pri
33、n cipal warra nts that the desig n, in formati on and the products provided in accorda ncewith the con tract shall be free from defects in material and workma nship and shall con form to allits specificati ons except no rmal wear and tear parts.13.2如自發(fā)貨日起十二個日歷月內(nèi)出現(xiàn)任何缺陷產(chǎn)品或不合格服務(wù)。If it appears that, wit
34、hi n twelve (12) cale ndar mon ths from the date of shipp ing, any defectedproducts or non qualified services.13.3如由于不合格的設(shè)計和軟件造成產(chǎn)品缺陷,且相同缺陷在同一部件重復(fù)出現(xiàn),制 造商應(yīng)免費更換軟件和部件。If it appear that defect of product which is occurred by non qualified design, software which is noteno ugh and continu ous defect on the
35、 same one comp onent, the principal shall consider toreplace software and component with free of charge.13.4如由于代理商違反合同,造成不能使用產(chǎn)品,代理商遭受間接損害或他人向代理 商索賠,制造商對合約人不承擔賠償責任。The prin cipal shall not be liable to the con tractor by way of indemn ity or by reas on of anybreach of represe ntative for loss of use,
36、 of the works or any in direct or con seque ntial damagethat may be suffered by the represe ntative or which could be claimed from him.第14條本地生產(chǎn)Article 14 -Local production 14.1為爭取競爭優(yōu)勢,在雙方協(xié)商致的條件下同意在土耳其進行本地生產(chǎn),生產(chǎn)或 提供產(chǎn)品的某些部件。制造商應(yīng)為本地生產(chǎn)提供技術(shù)資料、制造圖、監(jiān)督和生產(chǎn)手冊 等,經(jīng)銷商應(yīng)提供進行本地生產(chǎn)所需的工廠、工程師、設(shè)備、技術(shù)人員和工具等。In order to goo
37、d competition, the party may agree to produce or supply some part of the productin Turkey as local product ion in case of both parties agreed upon. The prin cipal shall supply techni cal data, shop draw ing, supervisory, fabricati on manual and others, if any and the distributorshall supply adequate
38、 factory, engin eers, equipme nt, tech ni cia n, tools and others to fabricatelocal product ion.第15條一代理商的傭金Article 15-Representatives commission 15.1代理商有權(quán)收取傭金,作為其在合同期內(nèi)向銷售領(lǐng)域客戶銷售產(chǎn)品的勞動報酬。The represe ntative is en titled to the commissi on to compe nsate of his works for all sales of theproducts which a
39、re made duri ng the terms of this con tract to customers in the territory.15.2傭金數(shù)額應(yīng)在與客戶簽訂合同前,根據(jù)雙方的協(xié)商一致以及單個項目決定并計算, 應(yīng)由雙方協(xié)商一致。Sum of commissi on shall be decided and calculated on in dividual project before con tract tocustomer on agreed by both parties.15.3除另行書面協(xié)商一致以外,傭金包括代理商為完成本合同責任而產(chǎn)生的所有費用 (如電話,傳真,
40、辦事處或出差費用等)。Unless otherwise agreed in writing, the commission covers any expenses incurred by therepresentative in fulfilling his obligations under this contract (such as telephone, fax, office,travelexpenses, etc.) 15.4傭金應(yīng)根據(jù)有效銷售價格及發(fā)貨單凈額計算(扣除現(xiàn)金折扣之外的所有折扣), 不包括附加費(如包裝、運輸和保險),各種關(guān)稅或稅款(包括增值稅),但此類附 加費、關(guān)稅和
41、稅款應(yīng)在發(fā)貨單中單獨說明。Commission shall be calculated on the net amount of the invoices on the effective sales price(any discount other than cash discounts be in deducted) clear of any additional charges (such aspacking, transportation, insurance) and clear of all tariffs or taxes (including value-added tax)
42、ofany kind, provided that such additional charges, tariffs and taxes are separately stated in theinvoice.15.5代理商應(yīng)在客戶全額支付發(fā)貨單價格后獲得傭金。如客戶部分支付銷售合同款, 代理商有權(quán)獲得相應(yīng)比例的預(yù)付款。應(yīng)在客戶付清款項當月的最后一天前支付傭金。The representative shall acquire the rig to commission after full payment by the customers of theinvoiced price. In ca
43、se of partial payment made in with the sales contract, the representative shallbe entitled to a proportional advance payment. The commission shall be paid not later than thelast day of the month in clear of payment from customer.15.6.如制造商需獲得政府授權(quán)(如由于制造商所在國的外匯管理法規(guī))才能向境外轉(zhuǎn) 帳傭金或代理商應(yīng)得的其他任何款項,應(yīng)在獲得相應(yīng)授權(quán)后支付款項
44、。制造商應(yīng)采取 所有必要措施,獲得上述授權(quán)。Should any governmental authorization (e.g. due to exchange control regulations in the Principals country) be necessary for the Principal to transfer abroad the commission or of any other sumthe representative may be entitled to receive), then the payment of the amount shall be
45、 madeafter such authorization has been given. The Principal shall take all necessary steps for obtainingthe above authorizations.15.7除另行協(xié)商一致之外,傭金應(yīng)以銷售合同規(guī)定的貨幣計算。Exception as otherwise agreed, the commission shall be calculated in the currency of the salescontract in respect of which the commission is
46、due.15.8代理商傭金在銷售領(lǐng)域內(nèi)需征收的任何稅費,均由代理商支付Any taxes imposed on the represe ntatives commissi on in the Territory are for therepresentatives account.第16條一售后服務(wù)Article 16 - After service work制造商完成草簽銷售合同規(guī)定的服務(wù)條款后,為保證客戶滿意度和品牌的高價值,代 理商能夠并有責任以合格的技術(shù)提供產(chǎn)品的售后服務(wù),并自行承擔費用。代理商不能 以任何借口延誤售后服務(wù)工作,造成客戶抱怨。制造商應(yīng)向代理商提供所有信息產(chǎn)品、 軟件和詳
47、細的操作維護手冊,并派遣工程師培訓(xùn)代理商的技術(shù)人員。除銷售合同另行 規(guī)定以外,制造商為培訓(xùn)代理商技術(shù)人員所派遣工程師的所有差旅費應(yīng)由代理商支付。After the service terms set forth in the in itial Sales Con tract has bee n successfully carried out bythe Prin cipal, for the customer satisfact ion and high value of brand, the representative shall becapable and responsible to

Whe n the pri ncipal dispatches his engin eer to train the representativestechnicians, all of travel cost shall be paid by the representative, uni ess otherwise is agreed uponin the sales Con tract.第17條-進口許可證Article 17
50、 - Certification of importing17.1雙方了解,根據(jù)現(xiàn)行法律,在銷售領(lǐng)域內(nèi)銷售和進口產(chǎn)品須獲得土耳其政府的認 可。The parties well understand that it is necessity to be approved Turkey ministry approvalaccording to governing law to sale and import products in territory.17.2制造商應(yīng)提供所有政府認可所需的文件,包括特征性商標、主要控件圖、操作手 冊和產(chǎn)品材料質(zhì)量等。The pri ncipal shall su
51、pply all of submitted docume nts for approval such as characteristic label,draw ings of mai n comma nds, in struct ion manu al, material quality used to products and othersif any.17.3代理商應(yīng)完成獲得銷售領(lǐng)域內(nèi)認可所需的所有工作,并支付所有費用,包括稅款、 實驗室試驗和所有政府文件。The representative shall perform all of act to process approval in
52、territory and all investmentsare to be paid by representative including taxes, laboratory test and all the bureaucracy papers.第18條一文件Article 18 - Documents制造商應(yīng)快速提供所有需提交的文件,文件語言應(yīng)為英語。All of submitted documents shall be supplied by the principal promptly and Ianguage shall beapplied with En glish.第19條一
53、商標和符號Article 19 - Trademarks and symbols19.1代理商可在本合同范圍內(nèi)使用制造商的商標、商品名稱和其他任何符號,但僅限 用于推廣制造商的產(chǎn)品。The representative can use the principals trademarks, trade names or any other symbols, butfor the only purpose of identifying and advertising the Products, within the scope of this con tractand in the Pr in c
54、ipals sole in terest.19.2代理商同意其在銷售領(lǐng)域內(nèi)及其他任何地方均未注冊且將不會注冊制造商的任何 商標、商品名稱或符號(或與制造商混淆性相似的商標、商品名稱和標志)。The representative hereby agrees neither to register, nor to have registered, any trademarks,trade n ames or symbols of the Prin cipal (or which are confusin gly similar to those of thePrincipal) in the Te
55、rritory or elsewhere.19.3無論因何種原因終止本合同,代理商應(yīng)立即停止根據(jù)本條款第一段使用制造商商 標、商品名稱或符號的權(quán)利。The right to use the Prin cipals trademarks, trade n ames or symbols, as provided for un der thefirst paragraph of this article, shall cease immediately for the representative, on the expiration ortermination, for any reason,
56、of the present con tract.19.4代理商如發(fā)現(xiàn)任何侵害制造商商標、商品名稱或符號的行為,應(yīng)告知制造商。The representative shall notify the principal any infringement of the principals trademarks, traden ames or symbols that comes to his no tice.19.5制造商同意代理商在產(chǎn)品上同時使用水晶石數(shù)字科技有限公司和代理商自身的商 標和品牌。Principal grant that representative can use the re
57、presentatives own trademarkand brand on to the products together with prin cipal Crystal Digital Tech no logy Co. Ltd. brand.第20條客戶投訴Article 20 - Complaints by customers代理商在收到客戶關(guān)于產(chǎn)品的投訴,應(yīng)立即提供售后服務(wù)并告知制造商。雙方應(yīng)迅速 有效地處理上述投訴。The representative shall immediately provide after service work and inform the prin
58、 cipal of anyobservati ons or complai nts received from customers in respect of the Products, The partieshereto shall deal promptly and property with such complaints.第21條專營權(quán)Article 21 - Exclusivity制造商應(yīng)授予代理商合同期內(nèi)在銷售領(lǐng)域的非獨家經(jīng)銷權(quán)或同意其在合同期內(nèi)銷售產(chǎn) 品。但在合同期后6個月,制造商應(yīng)授予代理商專營權(quán)或簽字終止合同。The Pri ncipal shall, duri ng the
59、 life of this con tract, grant represe ntative withi n the Territory thenon exclusive right or to sell the products duri ng term of con tract, but date of 6 mon th after contract date, the pri ncipal shall grant the represe ntative exclusive right or expire of con tract by writing with sig nature.第2
60、2條代理商知情權(quán)Article 22 - Represe ntative to be kept in formed22.1制造商應(yīng)向代理商提供所有與產(chǎn)品相關(guān)的必要書面資料(包括價格清單、手冊、 影像片和動畫等),以及代理商履行本合同責任所需的資料。The Principal shall provide the representative with all necessary written information relating tothe Products (such as price lists, brochures, demo reels, animations etc) as we
