3、示范文木協(xié)議編號：QC/RE-KA67944 .公證處的傳真號碼：,電話：O二、基本約定L甲方負責(zé)將乙方合法商品通過甲方向中國進行銷售，商品銷售價格見進口商品報價單(見附件1)；乙方通過甲方向中國銷售的商品必須附有中文說明(包括商品包裝說明和商品說明書)。2.(1)乙方應(yīng)按甲方要求,選擇其所在地的提供產(chǎn)品質(zhì)量認證和產(chǎn)品加工生產(chǎn)及其管理能力的信用評級服務(wù)，并提交評級報告。(2)乙方確定本協(xié)議項下的年度貨物總交易額為萬美元。(3)乙方向甲方提交的進口商品報價單中內(nèi)容由乙方以傳真方式在公證處備案，并領(lǐng)取公證備案回執(zhí)，乙方可通過互聯(lián)網(wǎng)向甲方經(jīng)營的網(wǎng)站(http:/www.)的進口銷售報價欄目提交公證后

4、的進口商品報價單；乙方報價后必須將商品彩色照片的電子文檔通過互聯(lián)網(wǎng)提交給甲方,并在該商品照片電子文檔中標(biāo)明該商品的J家編號和商品應(yīng)用碼。(4)乙方應(yīng)及時訪問甲方經(jīng)營的網(wǎng)站(http:/www.),了解交易指南、報價單填寫說明和業(yè)務(wù)公告等內(nèi)容，積極配合甲方進行產(chǎn)品銷售業(yè)務(wù)，乙方在該網(wǎng)站所發(fā)布的信息不得違反中國有關(guān)法律法規(guī)。(5)如果乙方擁有網(wǎng)站，應(yīng)該將在"網(wǎng)"銷售的商品在乙方網(wǎng)站上加以宣傳,宣傳時必須標(biāo)明該商品在"網(wǎng)”的商品應(yīng)用碼。(6)如乙方委托甲方在中國所銷售的商品需要向中國有關(guān)部門申請辦理銷售許可證，乙方可以委托甲方辦理有關(guān)手續(xù)，但應(yīng)向甲方提交所需文件、商品樣

5、品，并承擔(dān)有關(guān)費用。3 .乙方可以修改商品信息，但應(yīng)將修改的內(nèi)容傳真至公證處備案后方可向甲方提交修改申請。甲方只接受乙方向公證處傳真?zhèn)浒傅倪M口商品報價單的全部內(nèi)容和乙方向公證處傳真?zhèn)浒傅男薷膬?nèi)容，乙方還應(yīng)通過互聯(lián)網(wǎng)向甲方經(jīng)營的(http:/www.)提交該內(nèi)容,甲方在使用或公布該內(nèi)容時,不得對乙方提交的內(nèi)容進行任何修改加工(甲方只使用乙方提交的經(jīng)公證處公證備案的最新內(nèi)容)O4 .甲方同意乙方將乙方網(wǎng)站與甲方""網(wǎng)站(http:www.)進行善意鏈接。5 .(1)甲方根據(jù)本協(xié)議的約定，按乙方向甲方提交的進口商品報價單中的產(chǎn)品銷售信息在中國銷售乙方產(chǎn)品,甲方根據(jù)進口商品報價單中

6、的產(chǎn)品銷售信息以傳真方式向乙方提交商品進口購貨清單(見附件2,簡稱購貨清單)，作為甲方向乙方購貨的憑證。(2)甲方將購貨清單在公證處備案后以傳真方式提交給乙方,乙方應(yīng)在24小時內(nèi)以傳真方式確認是否收妥購貨清單傳真函。如果乙方在48小時內(nèi)仍然沒有以傳真方式對是否收妥購貨清單向甲方進行確認，視為乙方違約，甲方有權(quán)單獨向為乙方開具交易保證金付款保函的銀行發(fā)出違約通知單(見附件3),并按本協(xié)議第十條之規(guī)定處理。(3)甲方收到乙方確認收妥購貨清單的傳真函7日內(nèi)向乙方開具以乙方為受益人的100%不可撤銷即期跟單信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95%。6 .商品進*易服務(wù)協(xié)議與其

7、關(guān)聯(lián)的進口商品報價單、購貨清單等法律文件不可分割并具有同等的法律效力。7 .甲方優(yōu)先擁有乙方商品在中國市場銷售的獨家代理權(quán)，具體方式雙方另行協(xié)商并簽訂合同。三、交易保證金條款L為保證本協(xié)議的執(zhí)行，乙方按其確定年度貨物總交易額的4%交納交易保證金（最低不少于usdXX）,即乙方保證其可以接受的購貨清單的貨物的總值不得超過其可用的交易保證金的25倍。交易保證金交納方式：本協(xié)議簽訂之日起5日內(nèi)乙方向甲方開具以甲方為受益人的甲方認可的交易保證金付款保函格式見附件4,簡稱付款保函,付款保函上必須注明本協(xié)議編號。該保證金使用期限為本協(xié)議有效期限延長6個月，到期后，甲方將付款保函退還給為乙方開具付款保函的銀

8、行注銷。付款保函由甲方確認生效后,乙方方可通過互聯(lián)網(wǎng)向甲方網(wǎng)站中的進口銷售報價欄目提交進口商品報價單。2 .如乙方未按購貨清單約定的期限、地點、品種或數(shù)量向甲方供貨，甲方有權(quán)以傳真方式向為乙方開具付款保函的銀行直接扣收購貨清單中違約貨物金額的4%的違約金。3 .交易保證金可循環(huán)使用，乙方可根據(jù)業(yè)務(wù)需求追加或減少交易保證金。四、音視頻信息發(fā)布1 .甲方獨家代理乙方在""中播發(fā)乙方的企業(yè)和商品音視頻信息（簡稱商品信息）的業(yè)務(wù)。2 .乙方應(yīng)公司公布的寬帶數(shù)據(jù)廣播網(wǎng)進*易信息播發(fā)說明的要求提交文件和載有音視頻信息的光盤（avi格式）。3 .通過公司的審核后,乙方應(yīng)按播發(fā)說明的要求支

9、付商品信息播發(fā)費。4 .本協(xié)議簽訂之日起30日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容沒有通過公司的審核,乙方應(yīng)在本協(xié)議簽訂之日起40日內(nèi)向甲方支付800美元的商品信息播發(fā)業(yè)務(wù)代辦服務(wù)費,并按中視公9正式協(xié)議示范文木協(xié)議編號：QC/RE-KA6794司的要求修改相關(guān)信息重新提交。5 .本協(xié)議簽訂之日起90日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容仍沒有通過中視公司的審核,甲方有權(quán)單獨終止執(zhí)行本協(xié)議，已收取的商品信息播發(fā)業(yè)務(wù)代辦服務(wù)費不予退回。五、產(chǎn)品責(zé)任條款L乙方應(yīng)委托甲方在甲方指定的保險公司對其通過甲方銷售至中國的所有產(chǎn)品投保產(chǎn)品責(zé)任險。2 .乙方需向集團下屬公司（簡稱：）提供用于檢測的樣品

10、（數(shù)量要滿足對檢測數(shù)量的要求）,并委托對樣品鉛封保存半年（乙方承擔(dān)相應(yīng)費用），期滿后乙方應(yīng)重新提供用于檢測的樣品;發(fā)生質(zhì)量糾紛時,雙方同意由一對該樣品進行檢測，該檢測結(jié)果作為質(zhì)量標(biāo)準(zhǔn)，檢測費用由甲方先行墊付,最終由責(zé)任方承擔(dān)。3 .乙方應(yīng)承擔(dān)由于其產(chǎn)品質(zhì)量問題給甲方所造成的全部損失。甲方有義務(wù)轉(zhuǎn)交乙方相關(guān)中國買方索賠憑證，主要包括：索賠書、中國商檢機構(gòu)出具的相關(guān)證明等文件。六、商品檢測和貨物交割1 .乙方在每批貨物裝運前應(yīng)委托乙方所在地的對裝運的貨物進行商品品種和數(shù)量檢測（乙方承擔(dān)檢測費用），并由一出具品種和數(shù)量正本檢測報告（簡稱檢測報告），該檢測報告內(nèi)容必須與購貨清單中載明的品種和數(shù)量描述內(nèi)

11、容完全相符。2.(1)甲乙雙方指定公司為購貨清單中貨物的承運人,該承運人出具的正本貨物提單中載明的內(nèi)容(時間、地點等)須與購貨清單中載明的內(nèi)容(時間、地點等)相符。承運人聯(lián)系方式如下：(2)甲乙雙方以承運人簽發(fā)的正本提單中載明的交貨時間和交貨地點為貨物實際交貨時間和交貨地點,該實際交貨時間應(yīng)在購貨清單中規(guī)定的最遲一批貨物交貨期限內(nèi)。(3)如因甲方或承運人的原因造成交貨時間和交貨地點的變化,甲方應(yīng)以書面方式通知乙方變更后的貨物交貨時間和交貨地點。(4)上述貨物備妥之后，乙方須在不遲于每批貨物交貨期限前12日以傳真方式向甲方提交出具的檢測報告,由甲方進行確認。(5)如甲方對乙方以傳真方式提交的出具

12、的品種和數(shù)量的檢測報告內(nèi)容無異議,甲方應(yīng)向乙方傳真裝運通知單(見附件5),乙方應(yīng)按照裝運通知單和購貨清單的約定將貨物交付給承運人；如甲方對檢測報告的內(nèi)容有異議，甲方應(yīng)向乙方傳真違約通知單，并按本協(xié)議第十條之規(guī)定處理。3 .乙方將對購貨清單所售貨物進行適當(dāng)完全的包裝，以適于長距離的遠洋或內(nèi)陸運輸，能夠很好地保護貨物，防止潮濕、濕氣、震動、生銹、粗暴處理。特殊貨物包裝要求另議。乙方對由于其不適當(dāng)和不良的包裝所導(dǎo)致的任何破壞和損失負責(zé)。4 .乙方必須在每個運輸包裝物上標(biāo)明合同編號、包裝號碼、體積、毛重、凈重，以及"本面向上、"小心輕放"、"切勿受潮”等裝運標(biāo)志

13、。5 .乙方的交貨期限為甲方向乙方開具不可撤消即期跟單信用證20日后且在購貨清單中載明的交貨期限內(nèi)。七、交易費用乙方同意向甲方支付購貨清單貨款總額5%的金額作為交易費用，甲方向乙方開具同等金額的商業(yè)發(fā)票。八、付款條款（即期信用證開證條款）乙方按甲方購貨清單約定的期限、地點、品種和數(shù)量交給承運人后，憑以下單據(jù)向銀行議付信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95%:1.乙方開具100%貨物價值的銷售發(fā)票，乙方在銷售發(fā)票右上角注明相應(yīng)的購貨清單編號，否則將被甲方作為無效發(fā)票退回。2 .乙方提供其所在地的出具的商品品種和數(shù)量正本檢測報告，該檢測報告內(nèi)容須與購貨清單中載明的品種和數(shù)

14、量描述內(nèi)容完全相符。3 .公司出具的正本貨物提單,該提單內(nèi)容（時間和地點等）須與購貨清單中載明的內(nèi)容（時間和地點等）相符，并在該提單上注明購貨清單編號。4 .乙方出具的重量單或裝箱單（如果包裝箱是木箱包裝需向甲方提交熏蒸證明）、原產(chǎn)地證書。九、樣品采購條款1.采購方式：（1）乙方按本協(xié)議樣品寄售清單（見附件6）向甲方提供樣品存放于甲方指定的公共保稅庫，并承擔(dān)保稅庫所在地的進口報關(guān)費、內(nèi)陸運雜費等費用（簡稱雜費：240美元/批次，發(fā)貨前電匯至甲方指定帳戶）;每次發(fā)貨后乙方應(yīng)傳真發(fā)貨通知及進口單據(jù)（發(fā)票、裝箱單、提/運單等相關(guān)單據(jù)）；如貨物到港后甲方仍未收到乙方支付的上述雜費,甲方有權(quán)不辦理進口清

15、關(guān)手續(xù)，由此產(chǎn)生的額外費用乙方自行承擔(dān);甲方應(yīng)在貨物實際銷售后支付對應(yīng)部分的90%的貨款（以中國北京海關(guān)出具的進口報關(guān)單為付款依據(jù)）或按乙方指示將貨物退運（退運相應(yīng)費用由乙方承擔(dān)）。（2）乙方商品的樣品庫存不足其確定數(shù)量的50%時，甲方以傳真形式向乙方簽發(fā)補貨通知單（見附件7）;乙方按其內(nèi)容要求將樣品運至甲方指定的公共保稅庫,并承擔(dān)保稅庫所在地的進口報關(guān)費、內(nèi)陸運東費等費用。（3）該樣品特指與鉛封保存樣品一致的用于保稅寄售的商品。2.付款方式：(1)乙方通過甲方網(wǎng)站查詢其寄售樣品的訂購情況。(2)每月5日前,甲方將上月的樣品銷售統(tǒng)計傳真至乙方。(3)乙方確認無誤后，甲方按清單總額扣除10%的服

16、務(wù)費后將樣品款電匯至乙方指定帳戶,并向乙方郵寄樣品貨款10%金額的商業(yè)發(fā)票(甲方在商業(yè)發(fā)票上注明進口樣品訂購清單編號)。十、違約處理條款L乙方未按本協(xié)議第二條中第5(2)條款的約定在規(guī)定期限內(nèi)以傳真方式向甲方確認是否收妥甲方傳真給乙方的購貨清19正式協(xié)議示范文木協(xié)議編號：QC/RE-KA6794單，視為乙方違約。2 .乙方未按購貨清單約定的期限、地點、品種或數(shù)量向甲方供貨，視為乙方違約;其中品種數(shù)量是否違約以乙方所在地的一出具的商品檢測報告內(nèi)容與購貨清單中載明的品種和數(shù)量描述內(nèi)容完全相符為標(biāo)準(zhǔn)，期限和地點是否違約以承運人出具的正本貨物提單內(nèi)容與購貨清單中載明的內(nèi)容（時間和地點等）相符為標(biāo)準(zhǔn)。3

17、 .乙方在購貨清單約定的交貨期限之后交貨,仍然視為違約,如果購貨清單項下的中國買方不接收乙方貨物,乙方無權(quán)獲得相應(yīng)的貨款，并應(yīng)自行處理貨物，產(chǎn)生的費用由乙方承擔(dān);如果購貨清單項下的中國買方同意接受乙方貨物，乙方仍可獲得購貨清單一定比例的貨款，乙方可獲得貨款的支付比例、時間由甲方確定。4 .乙方發(fā)生以上"1.2.3"購貨清單項下的違約行為時，甲方有權(quán)單獨向為乙方開具交易保證金付款保函的銀行發(fā)出違約通知單，并向該銀行直接扣收購貨清單貨款金額4%的違約金。5 .因乙方原因未按商品進口購貨合同規(guī)定向甲方供貨而造成甲方商業(yè)利益受到損失，除了甲方扣收商品進口購貨合同貨款金額4%的違約金

18、外,乙方還應(yīng)賠償甲方商業(yè)利益受到的損失。6 .由于乙方發(fā)生違約，購貨清單項下的中國買方拒絕接受貨物或退貨時，甲方可協(xié)助乙方將貨物運回,運費等相關(guān)費用由乙方向甲方提前支付。十一、協(xié)議終止條款L發(fā)生本協(xié)議第四條第5款之情形，本協(xié)議終止。2 .當(dāng)乙方發(fā)生違約或因商品質(zhì)量問題給甲方的中國購貨方造成損失拒不承擔(dān)經(jīng)濟責(zé)任時，甲方有權(quán)單獨終止本協(xié)議且不承擔(dān)違約責(zé)任。3 .本協(xié)議有效期限到期,如甲乙雙方不再續(xù)簽,而且甲乙雙方均履行完甲方已發(fā)出且被乙方接受生效的全部購貨清單約定的相應(yīng)義務(wù)后，本協(xié)議自然終止。十二、不可抗力乙方如因洪水等自然災(zāi)害、戰(zhàn)爭、罷工等不可抗力原因不能按照購貨清單中的約定交貨時,須向甲方提供

19、其所在國相關(guān)機構(gòu)出具的證明材料，經(jīng)雙方協(xié)商購貨清單可以延遲履行，甲方不得扣收乙方未能履行供貨部分對應(yīng)的4%供貨履約保證金。十三、爭議甲乙雙方在本協(xié)議執(zhí)行過程中如有爭議，雙方友好協(xié)商解決。如爭議無法協(xié)商解決，則由中國國際經(jīng)濟貿(mào)易仲裁委員會在北京根據(jù)中華人民共和國實體法律進行仲裁。十四、有效本協(xié)議自甲乙雙方簽章之日起生效,有效期一年，英文作為對中文的解釋，如正式協(xié)議示范文木協(xié)議編號：QC/RE-KA6794有差異以中文為準(zhǔn)。甲方（蓋章）：乙方（蓋章）：附件：importtransactionserviceagreementpartya:partyb:address:address:postcode
