3、ion()$(.ad-hidden).show(););add: tel: fax: 2. 委任 appointment 甲方指定乙方為其在中國的全權(quán)采購代理，采購甲方指 定的合法產(chǎn)品。the party a appoints the party b as its exclusive purchasing agency in china, purchasing the goods as part a refers. 3.雙方的職責(zé) duties of two parties:(1) 甲方所需的采購業(yè)務(wù)應(yīng)提交給乙方詳細(xì)的詢價(jià)單， 比方材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求，乙方須在 7 天內(nèi) 提供產(chǎn)品

4、報(bào)價(jià)單給甲方 ( 假設(shè)遇特殊情況和不可抗拒力因素除 外 ) 。 (2) 甲方直接下訂單給乙方，由乙方全權(quán)負(fù)責(zé)從接單 到出貨效勞。包括尋找甲方需要的樣品以及物品，為甲方取 樣、驗(yàn)貨、出貨等事宜。(3) 乙方應(yīng)保證所采購產(chǎn)品的合法性以及保證產(chǎn)品符 合訂單的要求。 4. 貨款的支付方式甲方正式下單給乙方后，須在兩個工作日內(nèi)支付采購總 額的-% 定金給乙方以備采購，交貨時，乙方須提供有效提 單給甲方，甲方在兩個工作日內(nèi)支付余下的貨款給乙方，貨 款須匯入乙方指定銀行。5. 傭金的計(jì)算、給付方式、給付時間： commission 甲方同意按照每筆采購發(fā)票總金額的 % 支付傭金給乙方，在出貨后的 ? 天內(nèi)匯

8、 this agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof. 8. 不可抗力 force majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù) 見、控制、防止和克服的其他事件導(dǎo)致不能或暫時不能全部 或局部履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件 影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力 事件發(fā)生 15 天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄 交對方。either party shall not be held respon

10、r party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 8. 仲裁 arbitration 因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，那么應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲 裁委員會 (北京) ，依據(jù)其仲裁規(guī)那么進(jìn)行仲裁。仲裁裁決是終 局的，對
