11、brand new, unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract.蝕蝕13. 檢驗(yàn)和索賠檢驗(yàn)和索賠 Inspection And Claims: 薆在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同規(guī)定相符的證明書。薇The manufactures shall before making delivery, make a precise and compre

12、hensive inspection of goods as regards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the payin

13、g bank for negotiation /collection of payment but shall not be considered as final in respect of quality, specifications, performance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.

14、蒂蒂14. 不可抗力不可抗力: 無論在商品制造或裝運(yùn)或轉(zhuǎn)運(yùn)期間, 如有不可抗力事件發(fā)生, 賣方將不對(duì)由此而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時(shí), 賣方應(yīng)立即將不可抗力事件通知買方, 并于通知后十四天內(nèi)以 方式向買方提供一份由不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下, 賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過十周, 買方有權(quán)撤銷合同,買方在銀行所支付的費(fèi)用由賣方承當(dāng).莁莁Force Majeure: The Sellers shall not be hold responsible for the delay in shipm

15、ent or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers shall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to t

16、he Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Sellers inability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still

17、under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers.薈薈15. 遲交和罰款遲交和罰款:如延遲交貨除人力不可抗事故者外，賣方應(yīng)付給買方每

18、一星期按遲交貨總值的 0.5%的遲交罰款，缺乏一星期的遲交日作為一星期計(jì)算，此項(xiàng)罰款總額不超過全部遲交貨物總值的 5%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除。如果賣方交貨延期超過合同規(guī)定的 10 個(gè)星期時(shí),買方有權(quán)取消合同.盡管取消了合同,但賣方仍須立即向買方交付上述規(guī)定罰款.蚅蚅Late Delivery And Penalty: In case of delayed delivery, except for force majeure cases, The Sellers shall pay to the Buyers for every week of delay a p

19、enalty amounting to 0.5% of the total value of the goods whose delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 5% of the total value of the goods involved in late delivery and is to be deducted from the

20、amount due to the Sellers by the paying bank at the time of negotiation, or by the Buyers direct at the time of payment. The buyers can cancel the contract if the sellers delivery date is delayed up to 10 weeks according to the contract, but the sellers still must offer the above penalty to the buye

21、rs without conditions.袁袁16. 仲仲 裁裁 ：一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)執(zhí), 應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達(dá)成協(xié)議, 那么應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)裁決。 按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)那么, 由申訴一方選擇該會(huì)由該會(huì)上海分會(huì)在上海進(jìn)行仲裁。仲裁委員會(huì)的裁決為終局裁決, 對(duì)雙方均有約束力。仲裁費(fèi)用除仲裁委另word.有決定外, 應(yīng)由敗訴一方負(fù)擔(dān)。膁膁Arbitration: All disputes in connection with this Contract or the execution thereof shall be settl

22、ed friendly through negotiations. In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitration, which shall be conducted by its Shanghai Sub-Commission in Shanghai in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration.
