13、enses在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷(xiāo)地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說(shuō)明，由甲方審閱同意。PartyBshallbearallexpensesforadvertisingandpublicitywithintheaforementionedterritoryinthedurationofthisAgreementandsubmittoPartyAallpatternsand/ordrawingsanddescriptionforpriorapproval.9 .協(xié)議有效期ValidityofAgreement本協(xié)議經(jīng)雙方簽字后生效，有效期為

14、*天，自*至*.若一方希望延長(zhǎng)本協(xié)議，則須在本協(xié)議期滿(mǎn)前1個(gè)月書(shū)面通知另一方，經(jīng)雙方協(xié)商決定。若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。ThisAgreement,afteritsbeingsignedbythepartiesconcerned,shallremaininforcefordaysfromtoIfeitherPartywishestoextendthisAgreement,heshallnotice,inwriting,theotherpartyonemonthpriortoitsexpiration.Themattershallbedecidedbytheagreement

15、andbyconsentofthepartieshereto.Shouldeitherpartyfailtoimplementthetermsandconditionsherein,theotherpartyisentitledtoterminatethisAgreement.10 .仲裁Arbitration在履行協(xié)議過(guò)程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過(guò)友好協(xié)商達(dá)不成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)的決定是終局的，對(duì)雙方均具有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。Alldisputesarisingfromt

17、adebythisCommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.11 .其他條款OtherTerms&Conditions(1)甲方不得向經(jīng)銷(xiāo)地區(qū)其他買(mǎi)主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢(xún)價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買(mǎi)主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷(xiāo)售確認(rèn)書(shū)副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方*%的傭金。PartyAshallnotsupplythecontra

Thepaymentofinterests:TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,andIfthepaymentforthelastinstallmentisnotonthepaymentdate,theinter

27、OVERDUEINTERESTSANDMISUSINGINTERESTS1. IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyfor*oftheoverdueamountperday.2. IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,theLendershallhave

28、righttochargeainterestsforthemisusingpartatarateof*perday.ARTICLE5 ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.ARTICLE6 DRAW-DOWN1. Theloanunderthiscontractisrevolving,thebalanceofthisco

TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7 CONDITIONSFORDRAW-DOWNThefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate:1. T

TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;4. TheBorrowerhasprovidedtheboardresolutionandpowerofattorney

31、regardingthisloancontract;5. TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;6. TheGuarantyunderthiscontracthasbeeneffective;7. TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;8. Theotherrequirementforthedraw-downhave

32、beensatisfied.ARTICLE8 REPAYMENTPLANANDPREPAYMENT1. TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate*priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2. Thepaymentmad

37、lawofthePeoplesRepublicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.2. TheBorrowerisatitsoptiontosignandperformthisistheBorrowerstruemeaningandhasthepowertosignthiscont

38、ractanditisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3. Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffecti

TheBorrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan:（ 1） TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;（ 2） Pendingactionsandarbitration;（ 3） The

40、Borrowersdebtsorproposeddebtsorliensandotherencumbrances;（ 4） Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;（ 5） TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.II.TheBorrowerherebywarrantsasfollows:1. Usingthecapitaloftheloanasusagesetforthinthis

41、contract,theBorrowerwillnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.2. 43、ivenessforthefilesandmaterials;4. Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;5. AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;6. Willnotreducetheregistrationcapital;Priorapprovalfromthelendershallberequ

TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofit
