24、ering to shipyards and co coordination builds + installation, budget fees:35%, sum is RMB第九條 雙方責(zé)任9.1 發(fā)包人責(zé)任 發(fā)包人按協(xié)議第五條規(guī)定的內(nèi)容，在規(guī)定的時(shí)間內(nèi)向設(shè)計(jì)人提交基礎(chǔ)資料及文件，并對其完整性、正確性剛好限負(fù)責(zé)。發(fā)包人不得要求設(shè)計(jì)人違反國家有關(guān)標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)。 發(fā)包人變更托付設(shè)計(jì)項(xiàng)目、規(guī)模、條件或因提交的資料錯(cuò)誤，或所提交資料作較大修改，以致造成設(shè)計(jì)人設(shè)計(jì)返工時(shí)，發(fā)包人應(yīng)按設(shè)計(jì)人所耗工作量向設(shè)計(jì)人支付返工費(fèi)。 在協(xié)議履行期間，發(fā)包人要求終止或解除協(xié)議，設(shè)計(jì)人未起先設(shè)計(jì)工作的，不退還發(fā)包人已付

25、的定金；已起先設(shè)計(jì)工作的。發(fā)包人應(yīng)依據(jù)設(shè)計(jì)人已進(jìn)行的實(shí)際工作量，不足一半時(shí)，按該階段設(shè)計(jì)費(fèi)的一半支付；超過一半時(shí)，按該階段設(shè)計(jì)費(fèi)的全部支付。 發(fā)包人要求設(shè)計(jì)人派駐現(xiàn)場服務(wù)時(shí)，派駐現(xiàn)場的工作人員的差旅費(fèi)由發(fā)包人負(fù)擔(dān)，并按每人每天120美元的標(biāo)準(zhǔn)供應(yīng)服務(wù)津貼，并供應(yīng)工作、生活及交通等方面的便利條件及必要的勞動愛護(hù)裝備。Article 9 Responsibility of Two Parties9.1 Responsibility of the Employer The Employer shall be deliver basic materials and documents to the d

26、esigner within the specified time in accordance requirements stipulated in Article 5, and shall be responsible for their completeness, correctness and time limit. The employer shall not request the designer to design by violating the concerned national standards.If it exceeds the prescribed time lim

27、it within fifteen days when the employer delivers above materials and documents, the designer can postpone accordingly the time of delivering the design documents in accordance with Article 6 in the contract; if it exceeds the prescribed time limit over fifteen days when the employer delivers above

28、materials and documents, the design is entitled to decide again the time of delivery of design documents. When the employer alters entrusted design items, scale, and conditions, or delivers the wrong materials, or delivers mostly revised materials so that the designer rework for the design, the empl

29、oyer shall pay for rework cost for the designer based on the amount of the work performed by the designer except the supplemental agreement (or contract) signed separately, and the relevant articles specified again by both parties through the consultation. During implementation of the Contract, when

30、 the employer requests to terminate and cancel the contract, the down payment paid by the employer shall not be returned if the designer doesnt begin the design work; if the designer starts the design, the employer shall pay half of design charge in the phase if it is less than half of the actual am

31、ount of work performed by the designer; if it exceeds the half, the full design charge in the phase shall be paid in all. The Employer should offer conveniences in aspects of working, living and traffic and necessary labor-protection equipments. The onsite worker should be provided service allowance

32、 of $120 each person per day, while employer requests long term onsite service from design company.9.2 設(shè)計(jì)人責(zé)任 設(shè)計(jì)人應(yīng)按國家規(guī)定和協(xié)議約定的技術(shù)規(guī)范、標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)，按本協(xié)議第五條規(guī)定的內(nèi)容、時(shí)間及份數(shù)向發(fā)包人交付設(shè)計(jì)文件。并對提交的設(shè)計(jì)文件的質(zhì)量負(fù)責(zé)。 設(shè)計(jì)合理運(yùn)用年限為 20 年。 負(fù)責(zé)對外商的設(shè)計(jì)資料進(jìn)行審查，負(fù)責(zé)該協(xié)議項(xiàng)目的設(shè)計(jì)聯(lián)絡(luò)工作。 幫助發(fā)包人向廠家訂貨，指導(dǎo)發(fā)包人支配項(xiàng)目進(jìn)度支配。 對全部設(shè)備及輔機(jī)供應(yīng)具體的規(guī)格參數(shù)、技術(shù)要求和供貨范圍，以作為發(fā)包方向廠家訂貨的協(xié)議附件。9

33、.2 Responsibilities of the Designer The designer shall perform the design in accordance with provisions of the State and the technical codes and standards stipulated in the Contract, deliver the design documents in the accordance with contents, time and number of copies to the employer specified in

34、Article 6, and be responsible for quality of the delivered design documents. The design life of the engineering construction shall be 20 years. Responsible for examining for design materials of foreign businessman, and responsible for design liaison of Contract project. Assist employer to order from

35、 vendor and to make the progress plan on this project. Provide detail information for all equipments and their accessories including specifications, technical requirement and scope of supply, that is treated as ordering contract appendix from employer side.第十條 保密雙方均應(yīng)愛護(hù)對方的學(xué)問產(chǎn)權(quán)、未經(jīng)對方同意，任何一方均不得對對方的資料及文件

36、擅自修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本協(xié)議項(xiàng)目外的項(xiàng)目。Article 10 Confidentiality Both Parties shall protect each others intellectual property rights. Without prior consent, neither party shall revise, copy or transfer to a third party or use for the project other than the project of this Contract any materials and documents o

37、f the other party, Under such circumstances, the disclosing party shall be responsible for all any consequence it resulted and shall bear the relevant compensation.第十一條 本協(xié)議在履行過程中發(fā)生的爭議，由雙方當(dāng)事人協(xié)商解決，協(xié)商不成的按下列兩種方式解決：（一）提交仲裁委員會仲裁；（二）依法向人民法院起訴。Article 11 : Arbitration If any dispute arises in connection wit

38、h this Engineering Service Contract, it shall be settled by friendly consultation of the Parties, or be submitted to the competent local construction administration department for mediation. Where the dispute can not be settled by mediation, it shall be submitted to the Arbitration Committee for set

39、tlement. Where the Parties have not agreed on the arbitration organization in the Contract nor conclude arbitration agreement in written form, the dispute will be brought the Peoples Court.第十二條 協(xié)議生效及其他12.1 本工程項(xiàng)目中，設(shè)計(jì)人不得指定建筑材料、設(shè)備的生產(chǎn)廠或供貨商。發(fā)包人須要設(shè)計(jì)人協(xié)作建筑材料、設(shè)備的加工訂貨時(shí)，所需費(fèi)用由發(fā)包人擔(dān)當(dāng)。12.2 發(fā)包人托付設(shè)計(jì)人擔(dān)當(dāng)本協(xié)議內(nèi)容以外的工作服務(wù)，另
