When the Buyer so requires, the Seller shall be liable to make, as soon as possible, supplementary supply of the lost and/or damaged goods at the original Contract Price.弋、I19. 裝運條款 TERMS OF SHIPMENT9.1 賣方應(yīng)在貨物裝運前二7天以傳真形式將裝運的細節(jié)，包括合同號、貨物名稱、數(shù)量、

25、發(fā)票金額、包裝、 毛重、尺寸、裝運港、卸貨港、船名或航班號、提單 /運單號、起運日期和預(yù)計到達日期等通知買方The Seller shall, seven days before the date of shipment, advise the Buyer by fax of contract No., commodity, quantity, value, number of packages, gross weight, measurement, port of shipment and destination, name/number of carrying vessel/aircraf

26、t, number of Bill of Lading/Air waybill, date of its departure and estimated date of arrival.9.2 賣方同時應(yīng)在裝運后四十八 (48)小時內(nèi)將提單或空運單、發(fā)票、總裝箱單和詳細裝箱單、原產(chǎn)地證、熏蒸證明、三C證書以及其他相關(guān)單據(jù)傳真給買方。賣方還應(yīng)在貨物裝運后的三天內(nèi)快遞買方一整套正本單據(jù)。由于賣方未發(fā)裝船通知傳真而導(dǎo)致買方不能及時保險時，則所發(fā)生的一切損失均由賣方負責(zé)賠償。 The Bill of Lading/Air waybill, invoice, overall packing list,

I T l10.包裝 PACKING來源于網(wǎng)絡(luò)10.1 賣方應(yīng)提供所需的適應(yīng)各種氣候下長途郵寄/空運/陸運的外貿(mào)標準包裝，防水、防潮、防震、防塵，以及防止其他所有由于賣方采取不正確的包裝和防護措施所引起的損失。貨物重量在2公噸以上時，應(yīng)以英文及國際貿(mào)易通用標志注明貨物吊裝部位及重心

33、所在處，并于箱兩側(cè)標注指示性標志，以便裝卸及處理操作。To be packed in export standard packing suitable for long distance post/air freightand inland transportation and change of climate, well protected against dampness, moisture, shocks, rust,damage and loss attributable to inadequate or improper protective measures taken by t

34、he Sellers in regardto the packing. Should the goods weighs two (2) metric tons or more, then the hoist position and gravityshall be marked out in English with international trade practice marks and illustrative marks on the twoside of each case so as to facilitate loading, unloading and handling.10

41、at only those in good conditions shall be used for delivery of the Contract Product. Sufficient shores or chocks shall be provided in order to prevent the Contract Product from moving inside the containers. If the Goods are damaged or lost due to improperpacking and/or inadequate protective measures

42、, the Seller shall be responsible replacement and/or compensation in accordance with the Contract. 43、外費用 If any of the Contract Equipment is damaged or lost due to improper packing and/or inadequateprotective measures, the Seller shall be responsible for repair, replacement. Should the ContractEquipment be mis-transported due to mistake or ambiguousness in package and/or shipping marks, theSeller s

44、hall bear additional expenses thus incurred除了上述原因外，如貨物在運裝運過程中有丟失或者損壞的，賣方應(yīng)協(xié)助買方向保險公司辦理索 償，并且有義務(wù)在事故發(fā)生后30天內(nèi)，將丟失或者損壞的貨物應(yīng)買方的要求以原合同價格補發(fā)該貨物.In case the Contract Equipment are lost and/or damaged in the course of transportation not for the A/M reasons, the Seller shall assist the Buyer/the Purchaser to apply

45、 to the insurance company for compensation and shall be liable to make within 30 (thirty) days after the occurrence of the accident,supplementary supply of the lost and/or damaged equipment at the original Contract Price upon the Buyer / the Purchaser ' s request.(d) 若賣方使用木質(zhì)包裝，應(yīng)使用無蟲害的包裝。所使用的木質(zhì)材料

46、，包括支撐物、系結(jié)物，應(yīng)當(dāng)由出口國或地區(qū)政府植物檢疫機構(gòu)認可的企業(yè)按中國確認的檢疫除害處理辦法處理，并在木質(zhì)包裝顯著位置(至少應(yīng)在相對的兩面)加施清晰易辨的IPPC專用標識(標識避免使用紅色或橙色)。如果經(jīng)中國檢疫機構(gòu)檢疫發(fā)現(xiàn)木質(zhì)包裝無標識、標識不符合要求或截獲活的有害生物的，賣方應(yīng)承擔(dān)在卸貨港對木質(zhì)包裝實施除害處理、銷毀處理或作退運處理所發(fā)生的所有費用，并賠償買方因此遭受的所有損失和費用。 If the Seller use wooden package, it shall be free from any insect infestation.Wooden materials of pac

47、king, including supporting, fastening, etc., shall be treated by entities qualified by the phytosanitary authorities of the exporting country or region, in accordance with the measures as defined by competent authorities of PRC. Each wooden package shall carried with legible special mark of IPPC(the

48、 use of red or orange avoided)in the obvious place of wood packaging (on at least two opposite sides). In case the phytosanitary organization of PRC finds through quarantine measures that the wood packaging does not carry with the required mark, the mark does not meet the requirements or live pests

49、are intercepted, the Seller should pay for all the expenses at the port of unloading of treatments to eliminate the pests, destroy the packaging or transport back and shall compensate the Buyer for all the expenses , costs and damages thus incurred.I 110.7賣方應(yīng)將上述提及的證明或聲明應(yīng)在貨物裝船(裝運)后盡快遞交給買方，如果因賣方原因不能及時

50、遞交上述證明或聲明，由此產(chǎn)生的所有費用和損失應(yīng)由賣方承擔(dān)。The above-mentioned certificateor statement shall be submitted by the Seller to the Buyer immediately after the goods have been delivered on board of the vessel (flight). If the Seller fails to present or presents the said certificate or statement indelay, the Seller sha

51、ll compensate all the costs, expenses and losses of the Buyer thus incurred.11 .遲交貨及違約金LATE DELIVERY AND PENALTY11.1 除本合同規(guī)定的不可抗力原因外，如果賣方未能按照合同交貨期交貨，買方同意在賣方繳納違 約金的條件下延期交貨，違約金在議付時由付款銀行或從履約保函中扣除，違約金不能超過遲交 貨物總額的10 %,違約金按每七天貨值的1 %計算，不足七天的按七天計算。當(dāng)扣款達到最高比例時，買方有權(quán)撤銷本合同，但賣方仍要立即繳納上述違約金和買方的直接損失。Should TheSeller

52、fail to make delivery on time as stipulated in this contract, with the exception of Force Majeure,The Buyer shall agree to postpone the delivery on condition that The Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation or from the performance s

53、ecurity. The penalty, however, shall not exceed 10 % of the total value of the goods involved in the late delivery. The rate of penalty shall be charged at 1 % for every seven days (less than seven days should be counted as seven days). In case the maximum is reached or the Seller fails to make deli

54、very ten (10) weeks later than the time of shipment as stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller. In spite of the termination, shall still pay the aforesaid penalty and Buyer's direct loss to the Buyer without delay.11.2 如賣方誤發(fā)和/或漏發(fā)合同中貨物，或不能按

57、檢驗與測試 INSPECTION AND TESTS12.1 在合同執(zhí)行期間，經(jīng)過買賣雙方達成一致后，買方有權(quán)派出其檢驗員到賣方或制造商國家，在 賣方檢驗員的協(xié)同下檢驗主要貨物的生產(chǎn)過程和質(zhì)量。賣方應(yīng)向買方的檢驗員提供免費的工作設(shè) 施，包括但不僅限于必要的技術(shù)說明和檢測工具、檢測儀器。After mutually agreed by the Buyer andSeller during execution of the Contract, the Buyer is entitled to send his inspectors to the Sellermanufacturer ' s
