5、payablebyBuyerinrespectofthisContract.第3條支付方式Payment買方應(yīng)按以下條款向賣方支付合同價(jià)款.BuyershallpaySellertheContractPriceonthefollowingterms.3.1預(yù)付款A(yù)dvancePayment.合同價(jià)格的百分之(%),即美元元,作為預(yù)付款,在本合同簽訂之日起的_日內(nèi),由買方通過電匯支付至賣方指定的銀行賬戶.如果買方延退支付預(yù)付款,賣方有權(quán)順延交貨日期.%PercentofthetotalContractPrice,i.e.,USDOLLAR,asadvancepayment(“AdvancePay

6、ment),shallbepaidbywiretransfertoSellersDesignatedBankAccountwithindaysofsignatureofthisContract.IfBuyerisdelayedinmakingsuchpayment,thedeliverydateshallbeextendedaccordingly.3.2交貨款DeliveryPayment合同價(jià)格的百分之%,即美元元,作為交貨款.在合同貨物裝運(yùn)日期前至少_天,買方應(yīng)向賣方開具一份不可撤銷的即期信用證2,收款人為賣方,金額為交貨款額.信用證的形式、內(nèi)容和開證行應(yīng)經(jīng)雙方事先一致同意.信用證可憑以下

7、“裝運(yùn)單據(jù)獲得即期支付.32信用證種類較多,例如即期信用證、遠(yuǎn)期信用證、循環(huán)信用證等.本文本的支付方式,僅以即期信用證為例.在實(shí)際工程中,根據(jù)雙方商定的情況而定.3信用證的單據(jù)關(guān)系到貨款的順利收取.此處,僅羅列常見的信用證單據(jù).在實(shí)際工程中,根據(jù)具體情況,約定對(duì)單據(jù)的內(nèi)容和要求.%PercentofthetotalContractPrice,i.e.,USDOLLAR,shallbepaidbyBuyerasdeliverypayment(aDeliveryPayment).dayspriortothescheduledDeliveryDateforShipment,Buyershallope

10、印件；CertificateofOrigininoriginalsandcopiesissuedbySeller;(6)在裝運(yùn)港將貨物交給承運(yùn)人后,賣方以或電郵的方式通知買方關(guān)于該批貨物裝運(yùn)情況的通知書復(fù)印件；Onecopyoffax/emailtoBuyeradvisingparticularsofdeliveryimmediatelyafterdeliverytothecarrieratthePortofDeliveryhasbeenmade;(7)有關(guān)部門頒發(fā)的出口許可證的復(fù)印件份,或賣方簽發(fā)的說明該批貨物無需出口許可證的聲明份；copiesofexportlicensesissuedb

11、ytherelevantexportauthority,orcopiesoftheconfirmationfromSellerthatnoexportlicenseisrequired;(8) (1)份該批貨物的保險(xiǎn)證實(shí),載明險(xiǎn)別為一切險(xiǎn),投保金額為該批貨物發(fā)票金額的百分之一百一h(110%)one(1)copyofInsuranceCertificatespecifyingtherisktypeasallriskcoveringonehundredandtenpercent(110%)oftheinvoiceamountforsuchShipment.3.3質(zhì)保金QualityWarrant

12、yDeposit5合同價(jià)格的百分之(_妃),即美元元,作為質(zhì)保金,在質(zhì)保期滿后日內(nèi),由買方通過電匯支付至賣方指定的銀行賬戶.賣方保存貨物的所有權(quán),直至買方付清合同的款項(xiàng).%PercentofthetotalContractPrice,i.e.,USDOLLAR,asQualityWarrantyDeposit,shallbepaidbywiretransfertoSellersDesignatedBankAccountwithindaysofexpiryoftheQualityWarrantyPeriod.TheSellerretainsownershiptotheGoodsuntilBuye

14、ShipmenttotheapplicableplaceofdeliveryonorbeforetheapplicabledeliverydatesetforthintheDeliverySchedule,whichissetoutinAppendix4本項(xiàng)僅在賣方承當(dāng)運(yùn)輸保險(xiǎn)時(shí)才適用.否那么,必須刪除本項(xiàng).5根據(jù)工程實(shí)際,如買方無需暫扣質(zhì)保金或同意賣方提供質(zhì)保保函,應(yīng)當(dāng)在“第特別約定中約定.2.4.2賣方根據(jù)交貨時(shí)間表準(zhǔn)時(shí)發(fā)貨將基于以下條件：買方及時(shí)履行如下的義務(wù),包括但不限于支付預(yù)付款,且及時(shí)提供所有可能需要的許可證及批文(如有).如果上述條件未及時(shí)得到滿足,那么發(fā)貨期應(yīng)相應(yīng)延長并且賣方毋

15、須對(duì)此延期承當(dāng)責(zé)任.17條CompliancebySellerwithinthedeliverytimeshallbeconditionaluponthetimelyfulfillmentbytheBuyerofitsobligationhereunderincludingbutnotlimitedto,therenderingofadvancepaymentsaswellas,uponsupplyofallnecessarylicensesandapprovals(ifany).Ifsaidconditionsarenottimelymet,thetimeofdeliveryshallbee

16、xtendedcorrespondinglyandSellerisnotresponsibleforsuchdelayindelivery.4.3裝運(yùn)前通矢日Notificationbeforeshipment在貨物發(fā)運(yùn)周前,賣方應(yīng)書面向買方通知該批貨物裝運(yùn)的相關(guān)情況,包括貨物說明、數(shù)量、大概重量及體積.AtleastweeksbeforemakingShipment,SellershallsendBuyerwrittennoticeofrelevantshippingdetails,includingdescription,quantityandapproximateweightandsiz

17、eoftheGoodsineachShipment.4.4發(fā)運(yùn)后通知Notificationaftershipment在貨物裝運(yùn)完畢后的個(gè)工作日內(nèi),賣方應(yīng)以或電子郵件的方式通知買方關(guān)于該批貨物裝運(yùn)的情況,包括合同編號(hào)、貨物名稱、數(shù)量、發(fā)票金額、船名、裝船日期、裝運(yùn)港,提單號(hào)和其他相關(guān)信息.WithinworkingdaysafterthecompletionoftheloadingoftheGoods,SellershallnotifyBuyerbyfaxoremailofshippingdetails,includingcontractnumber,nameofGoods,quantity,

18、invoicevalue,nameofvessel,loadingdate,shippingport,serialnumberofbillsofladingandtheotherrelevantinformation.4.5風(fēng)險(xiǎn)轉(zhuǎn)移RiskTransfer除本合同另有規(guī)定外,本合同項(xiàng)下貨物的風(fēng)險(xiǎn)轉(zhuǎn)移和價(jià)格構(gòu)成均以國際商會(huì)制定的?國際貿(mào)易術(shù)UnlessotherwiseprovidedforinthisContract,thetransferofrisksandthepricecompositioninrespectoftheGoodsunderthisContractshallbesubjec

19、ttotherelevantpublishedbytheInternationalChamberofCommerce.第5條包裝和嗟頭PackingandShippingmarks5.1賣方應(yīng)當(dāng)對(duì)所交付的貨物給予適當(dāng)方式的包裝,使之不因操作和裝卸而受損.應(yīng)根據(jù)貨物的特點(diǎn)和要求采取保護(hù)舉措,以免因潮濕、雨水、震動(dòng)和腐蝕而造成損害.如果買方要求采取特殊的包裝方式,相應(yīng)費(fèi)用由買方另行承當(dāng).AlloftheGoodstobedeliveredbySellershallbepackedinamannersuitabletoprotectitagainsthandlings,loadingsandunlo

20、ading,andpreventtheGoodsfromdamagebymoisture,rain,shockandcorrosion.IfBuyerhasspecialpackingrequirements,thecostsincurredtheretowillbechargedtoBuyerseparately.5.2賣方應(yīng)在貨物的每個(gè)包裝箱上用不褪色的顏料以顯著的印刷體英文標(biāo)明以下各項(xiàng)7:SellershallmarkthefollowingitemsonthepackageofGoodswithindeliblepaintinconspicuousprintedEnglishwords

21、:(1)合同號(hào)ContractNumber;(2)嗟頭Shippingmarks;(3)收貨人Consignee;(4)目的地PlaceofDestination;(5)貨物名稱NameofGoods;(6)箱號(hào)CaseNumber;(7)毛重(公斤)GrossWeight(Kg);(8)尺寸(長x寬x高,以厘米為單位)Measurement(L*W*Hincm).6國際貿(mào)易術(shù)語解釋通那么?分為2000版和2021版,應(yīng)當(dāng)根據(jù)實(shí)際采用的通那么版本調(diào)整本條.7以上羅列的嗖頭信息,僅供參考.實(shí)際工程中,應(yīng)當(dāng)根據(jù)買方要求進(jìn)行增減.第6條貨物接收Takeover6.1如果貨物的數(shù)量和質(zhì)量與合同約定有重

22、大差異,買方應(yīng)在貨物接收后的個(gè)工作日內(nèi)書面通知賣方.如果買方未在上述期限內(nèi)通知賣方設(shè)備的質(zhì)量或數(shù)量的重大差異,那么設(shè)備應(yīng)被視語解釋通那么?的相關(guān)規(guī)定為準(zhǔn).6provisionsofINCOTE為符合合同約定并被接受.BuyershallnotifySellerwithin(*)daysfollowingtakingdeliveryofGoodsanymaterialdeviationfromthequalityandquantityofGoodssetforthintheContract.IfBuyerfailstonotifySellerofanymaterialdeviationswith

23、insaidtimelimit,theGoodswillbedeemedtobeinconformitywiththeContractanddeemedaccepted.6.2賣方過錯(cuò)導(dǎo)致不合格DamageCausebySeller如果完全由于賣方的過錯(cuò)造成合同設(shè)備不合格,賣方應(yīng)自費(fèi)補(bǔ)充或更換不合格的合同設(shè)備.IfanydamagecausedsolelybySeller,thenSellershallsupplementorreplacesuchdamagedGoodsatitsownexpense.6.3非賣方過錯(cuò)導(dǎo)致不合格DamageNotCausebySeller如果合同設(shè)備不合格并非

24、由賣方的過錯(cuò)造成,那么賣方將在雙方商定的期限內(nèi)補(bǔ)充、修理或更換合同設(shè)備,費(fèi)用由買方承當(dāng).IfanydamageisnotduetoSellersfault,Sellershall,withinanagreedtimeperiod,supplement,repairorreplacethatEquipmentatBuyersexpense.6.4如果買賣雙方對(duì)質(zhì)量缺陷不能達(dá)成一致意見,買賣雙方有權(quán)共同委托雙方均認(rèn)可的、具有資質(zhì)的并在中國注冊(cè)的第三方機(jī)構(gòu)進(jìn)行檢驗(yàn).假設(shè)貨物確實(shí)存在缺陷,那么由賣方承當(dāng)相關(guān)檢驗(yàn)費(fèi)用；假設(shè)貨物無缺陷,那么由買方承當(dāng)相關(guān)檢驗(yàn)費(fèi)用IfthePartiesfailtoreac

25、hamutualagreementonthematterofqualitydefective,thePartiesshallbeentitledtojointlyauthorizeathird-partyinspectioninstitutions,whichshallbequalifiedandregisteredinChinaandacceptablebytheParties,toconducttheinspection.Ifthegoodshavequalitydefective,therelevantinspectionfeesshouldbebornebytheSeller;othe

26、rwise,shouldbebornebytheBuyer.第7條質(zhì)量保證Warranty7.1本合同保證期為自貨物交付后個(gè)月.TheWarrantyPeriodismonthsuponDeliveryassetforthintheContract.7.2賣方保證其供給的貨物在交貨時(shí)是全新的,且符合技術(shù)標(biāo)準(zhǔn)的要求.賣方保證交付時(shí)的貨物在設(shè)計(jì)、材料和工藝方面無瑕疵.除非合同中明確約定,賣方未就貨物作任何其他陳述或保證(無論是默示的或法定的).本條款在合同終止或撤銷后繼續(xù)有效.SellerwarrantsthatuponDeliverytheGoodstobesuppliedbySellersha

27、llbecompletelynewandshallcomplywiththeSpecifications.SellerwarrantsthattheGoodsshallbefreefromdefectsindesign,materialandworkmanshipatthetimeofdelivery.UnlessexpresslystatedintheContract,Sellerdisclaimsallrepresentationsandwarrantiesofanykind(whetherarisingbyimplicationorbyoperationoflaw)withrespect

28、totheGoods.ThisClausesurvivestheterminationorcancellationoftheContract.7.3在保修期內(nèi),如果發(fā)現(xiàn)由于賣方原因?qū)е碌脑O(shè)備硬件缺陷,賣方應(yīng)自費(fèi)負(fù)責(zé)更換或修理有缺陷的設(shè)備硬件.IfduetothefaultofSelleranydefectoccursduringtheWarrantyPeriod,SellershallberesponsibletoreplaceorrepairsuchdefectiveHardwareatSellersowncost.7.4賣方承當(dāng)?shù)脑O(shè)備硬件保修義務(wù)不適用于在操作過程中正常消耗掉的設(shè)備零部件,

29、如保險(xiǎn)絲、燈泡等,或者正常使用年限本來就比保修期要短的設(shè)備零部件.ThewarrantyshallnotcoverEquipmentcomponentssuchasfusesandbulbsthatarenormallyconsumedinoperation,orhaveanormallifeinherentlyshorterthantheWarrantyPeriod.7.5如果在保修期內(nèi),由于買方未遵循本合同條款或相關(guān)文件的規(guī)定或由于不可抗力,或由于任何其他非賣方的原因,發(fā)生了硬件缺陷或軟件缺陷,那么經(jīng)買方提出要求,賣方可以修理或更換該硬件或糾正軟件缺陷,相關(guān)費(fèi)用由買方承當(dāng).Ifduring

31、se.第8條違約責(zé)任LiabilitiesforBreach8.1如果因賣方的原因?qū)е陆回洺^本合同規(guī)定的交貨期限或雙方同意的延長期限,那么買方可請(qǐng)求損害賠償,按每延遲一周支付延期交付的貨物價(jià)值的%作為損害賠償金.該損害賠償金最高不得超過延期交付的貨物價(jià)值的10%買賣雙方確認(rèn)此違約金已充分彌補(bǔ)因退延交貨而可能給買方造成的損失.ShouldthedeliverytimeinaccordancewiththeSalesContractoranyagreeduponprolongationthereofbeexceededduetocausesforwhichSelleralonecanbeheld

32、responsible,Buyermayclaimliquidateddamagesof%oofthepartoftheGoodssodelayedpereveryfullcalendarweekofdelay.Theliquidateddamagesarelimitedto10%ofthepartoftheGoodssodelayed.BothSellerandBuyeracknowledgethatsuchliquidateddamagesarereasonableandsufficienttocompensateBuyerforanylossesanddamagesitmightsuff

33、erasaresultofsuchdelay.8.2買方應(yīng)當(dāng)根據(jù)本銷售合同的規(guī)定向賣方支付貨款.如果賣方?jīng)]有收到到期款項(xiàng),那么賣方將有權(quán)根據(jù)日利率為到期金額%的比例向買方收取延退付款利息.TheBuyershalleffectpaymentstotheSelleraccordingtotheSalesContract.IftheSellerdoesnotreceivetheagreedpaymentatduetime,theSellershallbeentitledtochargetheincurredinteresttotheBuyerattherateof%oofthedueamountp

34、erday.8.3如果因賣方、 或其分包商的疏忽或錯(cuò)誤行為(違反合同或侵權(quán)行為)直接造成的買方貨物或財(cái)產(chǎn)的滅失或損壞,賣方應(yīng)承當(dāng)責(zé)任.SellershallbeliableforanylossofordamagetogoodsorpropertyofBuyercauseddirectlybynegligenceorwrongact(breachofcontractortortiousconduct)onthepartofSeller,oritssubcontractorsengagedincarryingoutthisContract.8.4合同任何一方,包括其分包商和供給商,都不應(yīng)向?qū)Ψ匠挟?dāng)

35、因執(zhí)行合同而產(chǎn)生的特別損失、間接損失、利潤或預(yù)期利潤損失、費(fèi)用損失等,不管這些損失在簽署合同時(shí)是否可以預(yù)見.NeitherParty,includingSubcontractorsandSubsuppliers,shallbeliabletotheotherwhetherincontract,tort,equity,negligence,warranty,strictliability,orotherwiseforanyspecial,indirect,incidental,orconsequentialdamagesorforanylossofprofitoranticipatedprofi

36、t,lossofuse,lossofproduction,lossofcontract,oranyfinancialoreconomicloss,arisingfromorrelatingtotheperformanceoftheContractandwhetherornotsuchlosseswereforeseeableatthetimeofenteringintotheContract.第9條保密義務(wù)Confidentiality9.1各方應(yīng)為本合同條款以及因談判、簽署、履行本合同而獲得的另一方的文件、資料和信息(下稱“保密信息)保密.各方不得將該等保密信息用于本合同目的之外的用途.Ea

37、chPartyshallkeepconfidentialthetermsofthisContractandthedocuments,materialsandinformationobtainedfromtheotherPartyforthepurposesofnegotiating,executingandperformingthisContract(theaConfidentialInformation).NeitherPartymayusesuchConfidentialInformationforanypurposeotherthanthoseofthisContract.9.2各方應(yīng)采

38、取必要舉措,保證僅因工作需要必須知曉保密信息的員工才能獲得保密信息,并促使這些員工對(duì)保密信息進(jìn)行保密,以將保密信息泄露的風(fēng)險(xiǎn)減至最低.EachPartyshalltakeallthenecessarymeasurestoensurethatonlythoseofitsemployeeswhoseworkingdutiesrequirethepossessionoftheConfidentialInformationoftheotherPartytohaveaccesstosuchinformationandcausesuchpersonneltokeepsuchinformationconfi

39、dential,soastominimizetherisksinconnectionwiththedisclosureofsuchinformation.9.3除非受制于強(qiáng)制性的法律規(guī)定,本條所規(guī)定的保密義務(wù)應(yīng)在本合同有效期內(nèi)及本合同終止后持續(xù)有效.Subjecttothecompulsoryprovisionsofthelaw,theconfidentialityobligationunderthisArticleshallbeeffectiveduringthetermofthisContractandshallsurvivetheterminationofthisContract.第10

40、條稅收Taxes10.1因本合同項(xiàng)下貨物買賣而產(chǎn)生的任何稅收或?qū)徟鷻C(jī)關(guān)或登記機(jī)關(guān)征收的費(fèi)用,應(yīng)由雙方各自承當(dāng).Anytax,oranychargesimposedbyexaminationandapprovalauthoritiesorregistrationauthorities,ineachcasearisingoutofthepurchaseandsaleofthegoodscontemplatedunderthisContract,shallbebornebyrelevantPartiesinaccordancewithlawsandregulations10.2所有在中國境外征收的與

47、dtotheotherParty.12.3受不可抗力影響的一方應(yīng)自不可抗力發(fā)生之日起天內(nèi)通知另一方,同時(shí)應(yīng)提交證實(shí)不可抗力發(fā)生的官方或公證證實(shí).如果不可抗力導(dǎo)致合同履行受影響到達(dá)持續(xù)天以上,那么雙方可變更或解除本合同,但雙方應(yīng)盡最大努力進(jìn)行協(xié)商,以達(dá)本錢合同之變更.IncaseofaForceMajeureEvent,theaffectedPartyshall,withindaysfromtheoccurrencedateofsuchevent,notifytheotherPartythereofandsubmitofficialevidenceornotarizationevidencepr
