9、any.(12)單據(jù)1、清潔無(wú)疵的空運(yùn)提單、注明“運(yùn)費(fèi)已付”、指定買(mǎi)方為收貨人。2、發(fā)票兩份：注明合同號(hào)和嘜頭。3、裝箱單兩份：注明發(fā)貨重量和尺寸。4、由賣(mài)方或者LC受益人出具的原產(chǎn)地證明一份，品質(zhì)和數(shù)量證明書(shū)一份。5、由保險(xiǎn)公司出具的按合同價(jià)110%保險(xiǎn)的單據(jù)包括戰(zhàn)爭(zhēng)險(xiǎn)和一切險(xiǎn).6、賣(mài)方或者LC受益人必須出具木質(zhì)包裝刷有IPPC標(biāo)識(shí)的證明或無(wú)木質(zhì)包裝物種類(lèi);另外賣(mài)方應(yīng)于貨物裝運(yùn)后2天內(nèi)將上述單據(jù)一套傳真買(mǎi)方。Documents:1、CleanAirwaybill,marked“FreightPrepaid”andconsigneetothebuyer.2、Twocopiesofinvoice

12、方應(yīng)在2天之內(nèi)傳真買(mǎi)方一份副本提單、發(fā)票、裝箱單。如由于賣(mài)方未及時(shí)將裝運(yùn)通知告知買(mǎi)方而發(fā)生的一切損失應(yīng)由賣(mài)方負(fù)擔(dān)。ShippingAdvice:Immediatelythegoodsarecompletelyloaded,theSellersshallsendbyfaxacopyofBillofLading,invoiceandpackinglistwithin2days.IncasethegoodsarenotinsuredintimeowingtotheSellershavingfailedtogivetimelyadvice,anyconsequentlossshallbeborneby

13、theSellers.(14)質(zhì)量保證：賣(mài)方保證貨物采用最好的和未用過(guò)的全新材料，第一流制造工藝，其成品質(zhì)量、規(guī)格和性能與本合同規(guī)定相符。賣(mài)方負(fù)責(zé)安裝、調(diào)試及人員培訓(xùn)，并負(fù)擔(dān)費(fèi)用。貨物的保證期貨物驗(yàn)收之日起12個(gè)月。在貨物保證期內(nèi)，由于設(shè)備自身質(zhì)量問(wèn)題造成的故障，賣(mài)方得到買(mǎi)方通知后應(yīng)即時(shí)給予完整維修或更換零部件。GuaranteeofQuality:2TheSellersshallguaranteethatthegoodsismadeofthebestmaterials,withfirstclassworkmanship,brandnew,unusedandinconformitytoallr

15、rfailingtodosoreplacethesaidequipmentimmediately.(15)檢驗(yàn)與索賠條款：賣(mài)方須提供關(guān)于貨物的品質(zhì)、數(shù)量、重量的規(guī)格檢驗(yàn)書(shū)，買(mǎi)方在貨物進(jìn)口后有復(fù)檢的權(quán)利，如復(fù)檢后在品質(zhì)、數(shù)量、重量規(guī)格方面不符合合同規(guī)定，買(mǎi)方在卸貨后180天內(nèi)憑中國(guó)商檢證向賣(mài)方提出索賠。賣(mài)方收到索賠通知后，如果在十天內(nèi)未作出書(shū)面答復(fù)，即視為賣(mài)方同意買(mǎi)方提出的一切索賠。Inspection&Claim:TheSellersshouldprovidetheinspectioncertificatesofquality/quantity/weightofthegoods.TheBuye

17、ardedasacceptediftheSellersfailtoreplywithin10daysafterreceiptoftheBuyersclaim.(16)索賠解決辦法：如貨物不符合本合同規(guī)定應(yīng)由賣(mài)方負(fù)責(zé)者，同時(shí)買(mǎi)方按照本合同第14條和第15條的規(guī)定在索賠期限內(nèi)或質(zhì)保期限內(nèi)提出索賠，賣(mài)方在取得買(mǎi)方同意后，應(yīng)按下列方式理陪。甲、同意買(mǎi)方退貨，并將退貨金額以成交原幣償還買(mǎi)方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、商檢費(fèi)、倉(cāng)租、碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其他必要費(fèi)用。乙、調(diào)換有瑕疵的貨物或補(bǔ)足短缺、補(bǔ)貨、換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量

18、和性能。賣(mài)方負(fù)擔(dān)因此而產(chǎn)生的一切費(fèi)用和買(mǎi)方遭受的一切直接損失。對(duì)補(bǔ)貨、換貨的質(zhì)量，賣(mài)方仍應(yīng)按合同第14條規(guī)定，保證期是12個(gè)月。Settlementofclaims:IncasetheSellersareliableforthediscrepanciesandaclaimismadebytheBuyerswithintheperiodofclaimorqualityguaranteeperiodasstipulatedinclause14and15oftheContract,theSellersshallsettletheclaimupontheagreementoftheBuyersinth

19、efollowingways:a.AgreetotherejectionofthegoodsandrefundtotheBuyersthevalueofthegoodssorejectedinthesamecurrencyadcontractedherein,andtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestoccurred,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandall

20、othernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.b.Replacethedefectivegoodsormakeupthedeficiencieswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthisContract,andbearallexpensesincurredtoanddirectlossessustainedbytheBuyers.TheSellersshall,atthe

21、sametime,guaranteethequalityofthereplacementandsupplementgoodsforafurtherperiodof12monthsasspecifiedinClause14ofthisContract.(17)不可抗力：由于嚴(yán)重的水災(zāi)、火災(zāi)、風(fēng)災(zāi)、雪災(zāi)、地震、和戰(zhàn)爭(zhēng)行為等不可抗力，致使任何一方不能履行合同，遇有事故的一方應(yīng)立即將事故情況用傳真通知對(duì)方，并應(yīng)在14天內(nèi)將事故詳情及發(fā)生地政府主管機(jī)構(gòu)出具的影響合同履行程度的證明文件用空郵寄交對(duì)方，對(duì)方對(duì)由此產(chǎn)生的損失不得提出賠償要求，但事故的一方仍負(fù)有在雙方協(xié)商同意的合同延期時(shí)間內(nèi)履約的責(zé)任，延期超過(guò)

22、4個(gè)星期時(shí)，對(duì)方有權(quán)撤消本合同，但須以書(shū)面形式通知事故的一方。ForceMajeure:AnypartyoftheContractwhofailstoexecutetheContractduetoForceMajeureaccidents,suchasflood,fire,storm,snowdisasters,earthquakeandwarshallnotifybyfaximmediatelytheotherpartyofsuchoccurrenceandwithin14daysthereafter,shallsendbyairmailthedetailedinformationofthe

23、accidentandacertificateissuedbytheCompetentGovernmentAuthoritiesoftheplacewheretheaccidentoccurs.Theotherpartyshallnotclaimanypenaltyforthelossessufferedtherefrom,butthepartywhoencounterstheaccidentshallstillbeliabletoexecutetheContractwithinthedeferredtimeoftheContractasagreeduponbybothparties.Inca

24、seanydelayarisingtherefromlastsformorethan4weeks,theotherpartyshallhavetherighttocanceltheContract,andnotifythepartywhoencounterstheaccidentinwriting.(18)仲裁:凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決，如不能解決，則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照其規(guī)定的仲裁程序運(yùn)用中國(guó)法律和國(guó)際慣例在中國(guó)北京/上海/深圳進(jìn)行仲裁，該仲裁委員會(huì)做出的裁決是最終的，買(mǎi)賣(mài)雙方均應(yīng)受其約束。仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。Arbitration:Alldisputesinconnecti
