1、跨境電商海外直郵合同跨境電商海外直郵合同17/18跨境電商海外直郵合同跨境電商海外直郵合同甲 方: Party A : .地 址: Address: 乙 方: Party B : 地 址: Address: 甲乙雙方基于公平、誠信、共贏的原則,在中華人民共和國指定之跨境貿(mào)易區(qū)域內(nèi)進行跨境電子商務(wù)的貿(mào)易合作。甲乙雙方根據(jù)中華人民共和國合同法及相關(guān)法律法規(guī)規(guī)定,簽訂本跨境電子商務(wù)合同(以下稱為“本合同”),以期雙方共同遵守并執(zhí)行。In the principles of honesty, fairness, and common win, both parties hereby agree to
2、carry out cross-border e-commerce trade cooperation in free trade zones and bonded areas of the Peoples Republic of China. In compliance with the Contract Law of the Peoples Republic of China and the relevant laws and regulations, the three parties herein agree to enter into and sign this Cross-Bord
3、er E-Commerce Direct mail Agreement (hereinafter referred to as “the Agreement”). 基本定義境內(nèi):中華人民共和國(除香港、澳門、臺灣以外)的大陸地區(qū)境外:上述“境內(nèi)”區(qū)域以外的地區(qū)終端消費者:直接在電子商務(wù)平臺上實施挑選,購買,付款等行為的個人,是整個商品流通過程最后環(huán)節(jié)的執(zhí)行者。跨境電子商務(wù)平臺:指 HYPERLINK , 跨境通, 天貓國際,萬國優(yōu)品,京東全球購,乙方自有平臺等雙方協(xié)商確認(rèn)的跨境電子商務(wù)平臺。直郵服務(wù):本協(xié)議所指的直郵服務(wù)指境內(nèi)終端消費者通過乙方在跨境電商平臺上開立的虛擬店鋪中對甲方所有的產(chǎn)品提
4、交訂單并向乙方完成支付,乙方以此作為終端消費者向甲方進行某特定產(chǎn)品購買的邀約。付款渠道:指終端消費者在乙方經(jīng)營的跨境電子商務(wù)平臺購買貨物后,將錢款支付至乙方賬戶或其他第三方賬戶的方式(包括但不限于支付寶,微信支付,信用卡支付等)Basic DefinitionThe Mainland of China: Peoples Republic of China (excluding Hong Kong, Macao and Taiwan)Foreign Lands: the other territories except the mainland of ChinaConsumer: individ
5、uals who choose, buy and pay on e-commerce platform. They are the last step of the whole commodity circulation.Cross-border e-commerce platform: the cross-border e-commerce platforms such as KJT, Tmall Global, WGYP, JD Global and the cross-boarder e-commerce platform owed by party B and other platfo
6、rm that have been agreed upon by both parties. Direct Mail Service: The “direct mail service “mentioned here means that in the mainland of China, in regard to products owned by Party A, consumers place order(s) and settle payment to Party B through online stores in cross-border e-commerce platforms
7、that owned by Party B, which can be regarded as a buyer-seller relationship between Party A and consumers. Types of Payment: the way or method that consumer pay for goods on e-commerce platform(s) managed by Party B to Party Bs account or other third Partys account (including but not limited to Alip
8、ay, Wechat Pay and credit card, etc.) 授權(quán)經(jīng)銷Authorized Distribution 甲方在此授權(quán)乙方作為(見附件)品牌(在以下簡稱為“合作品牌”)商品的授權(quán)直郵服務(wù)提供商,在甲方指定的跨境貿(mào)易區(qū)域內(nèi)或跨境電子商務(wù)銷售渠道中(以下簡稱“銷售區(qū)域”)根據(jù)甲方指令代理甲方運作維護其擁有的合作品牌商品。Party A herein authorizes Party B as the authorized direct mail service provider for (see appendix) brand (hereinafter referred
9、to as “Cooperating Brand”) to sell its (their) commodities on behalf of Party A according to Party As instruction in the cross-border trade areas or cross-border e-commerce sales channels (hereinafter referred to as the “Sales Area”) Party B acts as an agency, runs and manages Cooperating Brand prod
10、ucts owned by Party A according to Party As instructions. 甲方負(fù)責(zé)根據(jù)乙方提交的境內(nèi)終端消費者的訂單需求,由甲方在約定的時間內(nèi)以合適、合理的國際快遞的方式安排發(fā)送貨物至終端消費者。乙方負(fù)責(zé)將產(chǎn)品的境內(nèi)終端消費者的訂單需求依據(jù)本協(xié)議約定提供給甲方;甲方保留貨物的所有權(quán),直至消費者完成簽收貨物,貨物所有權(quán)由甲方直接轉(zhuǎn)移至境內(nèi)終端消費者;貨款由境內(nèi)終端消費者支付給乙方,并由乙方根據(jù)本協(xié)議約定支付給甲方。Party A should send goods to consumers through reasonable and proper in
11、ternational express within due-time according to the information of consumers purchase order offered by Party B. Party B should convey the purchase order information to Party A; The products belong to Party A until consumer(s) receive the goods, the product property right transfers from Party A to e
12、nd-user consumers; end-user consumers pay money to Party B and then Party B pay to Party A by convention. 甲方應(yīng)當(dāng)提供產(chǎn)品的宣傳資料給乙方,以便乙方在其店鋪中對產(chǎn)品進行推廣。甲方對于提供的宣傳資料的真實性、有效性、合法性負(fù)全部責(zé)任。Party A should offer product publicity materials to Party B that Party B may conduct sales promotion in its stores. Party A takes f
13、ull responsibilities for the authenticity, effectiveness and validity. 如乙方因商品(包括但不限于交付時間和地點、質(zhì)量瑕疵或權(quán)利瑕疵等問題)遭受索賠或處罰的,甲方應(yīng)當(dāng)賠償乙方遭受的一切損失。其他消費者糾紛,由甲乙雙方協(xié)商解決。若需要,在甲方要求下,乙方可以提供便利與支持。If there occurs consumption dispute or complaint caused by products quality or transportation, Party A is obliged to solve the di
14、spute and Party B is obliged to cooperate with Party A if Party A delegates the authority to Party B; If there occurs other consumption dispute, the dispute should be settled through negotiation between Party A and Party B. If requires, under the request of Party A, Party B shall offer convenience a
15、nd support. 雙方之間僅限于商品直郵服務(wù)的關(guān)系,為互相獨立的合同締約雙方。甲方為產(chǎn)品的擁有方,承擔(dān)與營銷對應(yīng)產(chǎn)品相關(guān)的一切責(zé)任和費用,乙方僅基于本協(xié)議項下約定提供與直郵有關(guān)的服務(wù),不對產(chǎn)品主張所有權(quán),其所有與對應(yīng)產(chǎn)品運維及銷售有關(guān)的行為都應(yīng)當(dāng)在甲方授權(quán)下開展。Both parties are mutually interdependent parties of this Agreement and their relationship is limited to product direct mail service. Party A owns the products and re
16、sponsible for all the costs occurred during the marketing and sales promotion. Also, Party A should enjoy all the profits from selling the products. Party B is responsible for the operation.Party B only offer service(s) related to direct mail service on basis of this convention. Party B do not claim
17、 the ownership of Party As products and all Party Bs managing and selling behavior should be carried out under Party As authorization.乙方不得在開展業(yè)務(wù)時聲稱其具有甲方、其任何關(guān)聯(lián)公司或附屬公司的合伙人、代表、代理人或特許商的身份,或以明示或暗示的方式作出類似表述。乙方并不因本協(xié)議書的簽署而被視為與甲方或其任何關(guān)聯(lián)公司和附屬公司有上述關(guān)系。乙方不得代表甲方簽訂任何合同性文件或作出任何承諾、聲明、保證或陳述。乙方違反前述規(guī)定所簽訂的合同性文件和作出的任何承諾、聲明
18、、保證或陳述對甲方在任何情況下均不具有約束力。Party B shall not, while conducting business, claim that it is the partner, representative, agent, or franchiser of Party A, or its related company or affiliated company, nor make any similar statement in an explicit or implicit way. All activities that Party B is going to tak
19、e regarding to the sales and promotion of Party As products should be under the instruction and authorization of Party A. Party B does not come into or have the aforementioned relationship with Party A or any of its related companies or affiliated companies by signing of this Agreement. Party B shal
20、l not represent Party A to sign any contractual document or make any commitment, promises, announcements, or statements. Should Party B violate this term to sign any contractual document or make any commitment, promises, announcements, or statements on behalf of Party A, the same shall not be bindin
21、g for Party A in any cases. 雙方約定在協(xié)議生效6個月時就協(xié)議中條款進行討論和調(diào)整。相關(guān)調(diào)整(若有)以備忘錄形式補充至此協(xié)議內(nèi)容中。Both parties agree to discuss and adjust the clauses after 6 months when the agreement becomes effective. The adjustments (if therell be any) will be recorded through memo and work as part of this agreement.銷售渠道Sales Chan
22、nels銷售渠道指跨境電子商務(wù)平臺。Sales channels refer to the cross-border e-commerce platforms. 乙方同意只能在銷售渠道內(nèi)發(fā)展分銷網(wǎng)絡(luò),進行分銷活動。如果甲方是合作品牌的品牌方或是合作品牌的總代理,除非有甲方的事先書面同意,乙方不得從任何第三方購買合作品牌商品;乙方不得通過非官方許可的跨境電子商務(wù)平臺向任何單位或個人銷售合作品牌商品,不得向任何國家或者地區(qū)出口合作品牌商品。Party B hereby agrees that it shall develop its distribution networks and carry
23、out distribution activities only within the sales channels. Without the prior writing consent of Party A, Party B shall not buy products of Cooperating Brand from any third party if Party A is the Brand owner or general agent of Cooperating Brand; Party B shall not sell the products of Cooperating B
24、rand to any organization or individual through other cross-border e-commerce platforms than officially recognized by Party A, nor export products of Cooperating Brand to any country or region. 直郵商品Direct Mail Products本合同項下所稱“直郵商品”是指甲方向乙方提供的本合同(附件一)項下商品,直郵商品的具體信息詳見本合同附件一直郵商品清單。根據(jù)實際業(yè)務(wù)需要,經(jīng)甲乙雙方協(xié)商同意可以修訂附
25、件一項下的商品清單。The term “direct mail products” under this Agreement refers to the products provided by Party A to Party B under this Agreement (Appendix A). Detailed information about the direct mail products is provided in Appendix A List of Direct mail Products. The list may be modified based on the pr
26、actical business needs under the negotiations and agreement of both parties. 合同期限內(nèi),乙方可根據(jù)市場實際狀況建議甲方調(diào)整供貨產(chǎn)品并以書面形式達成一致。During the validity period of this Agreement, based on the practical market conditions, Party B may advise Party A to adjust the supply products and reach an agreement with Party A in w
27、riting. 合同期限Validity Period of the Agreement本合同期限自2016年 月 日始,至 年 月 日止。This Agreement is valid from 本合同自雙方授權(quán)代表簽字并/或加蓋公章之日起生效。This Agreement takes effect upon signing and/or stamping by the authorized representatives of both parties. 甲方的責(zé)任與義務(wù)Responsibilities and Obligations of Party A 甲方應(yīng)根據(jù)乙方的實際經(jīng)營狀況和需
28、求提供甲方相關(guān)證照(如營業(yè)執(zhí)照、法人代表身份證、組織機構(gòu)代碼、稅務(wù)登記證等)、經(jīng)銷授權(quán)(此處“經(jīng)銷授權(quán)”包括品牌方給予甲方的授權(quán)以及甲方給予乙方的授權(quán))以及商品相關(guān)文件(如商品的商標(biāo)注冊證明、商標(biāo)使用權(quán))。Party A shall provide relevant certificates (such as business license, ID of legal representative, organization code, and tax registration certificate) of Party A, distribution authorization (“dist
29、ribution authorization”here includes brand owners authorization to Party A and Party As authorization to Party B), and product-related documents based on the actual business conditions and needs of Party B(such as Certificate of Registration of Trade Mark or right to use the trademark).甲方保證其提供的直郵商品與
30、商標(biāo)注冊地國家商品描述及要求相符,均品質(zhì)優(yōu)良,不屬于殘次品、返廠貨或壓倉貨,所有直郵商品的制造、包裝或標(biāo)簽均符合產(chǎn)地國以及銷售地國(即中國)以及其它相關(guān)國家和地區(qū)的法律法規(guī)的規(guī)定.如甲方提供的商品未達到上述標(biāo)準(zhǔn)而給乙方造成損害及損失,甲方應(yīng)承擔(dān)相應(yīng)法律責(zé)任及賠償乙方因此遭受的一切損失。如任何第三方就商品提出任何索賠或其它權(quán)利主張的,甲方應(yīng)采取一切必要措施,確保乙方免受損害,如乙方因此遭受損失的,甲方應(yīng)當(dāng)承擔(dān)賠償責(zé)任。Party A hereby promises that the direct mail products it provides comply with the country
31、of origin description and requirements, are of good quality, and are not defective products, returned products, or products that have long been stored in the warehouse, and that the manufacture, packaging, or label of all direct mail products comply with the relevant laws and regulations of the coun
32、try of origin. Should the products provided by Party A fail to reach the aforementioned standards, causing any damage or loss to Party B, Party A shall be liable for all relevant legal responsibilities and shall compensate for all the losses thus incurred to Party B. 甲方若需乙方提供市場營銷、客服服務(wù)以及其他服務(wù),則甲方應(yīng)確保提供
33、給乙方相應(yīng)的素材、培訓(xùn)以及其他協(xié)助以便乙方推廣合作品牌。If Party A would require Party B to do marketing promotion, customer service and other services, Party A promises to provide the relevant marketing materials, customer service training, and other assistance to Party B so as to facilitate the latter to promote the Cooperat
34、ing Brand. 乙方的責(zé)任與義務(wù)Responsibilities and Obligations of Party B乙方應(yīng)提供其在合同期間合法經(jīng)營的證照依據(jù),如營業(yè)執(zhí)照、法人代表身份證、組織機構(gòu)代碼、稅務(wù)登記證等。Party B shall provide the relevant certificates for its legitimate business operation during the contract validity period, such as business license, ID of legal representative, organization
35、 code, and tax registration certificate.乙方不得經(jīng)營銷售非國家法律規(guī)定的供貨的、假冒或仿冒的合作品牌商品的非法進口商品、侵權(quán)商品或其它假冒偽劣商品,一經(jīng)發(fā)現(xiàn),甲方有權(quán)立即終止本協(xié)議并保留采取法律行動、追究乙方的責(zé)任之權(quán)利。Party B shall not distribute Cooperating Brand of products that are supplied from unauthorized channels, illegally exported products, infringing products, or other fake
36、or counterfeit products. Upon detection of any such activities of Party B, Party A has the right to immediately terminate this Agreement and the right to take legal activities against Party B. 若發(fā)現(xiàn)第三方侵犯合作品牌其關(guān)聯(lián)公司的商標(biāo)、商號、專用權(quán)或其它知識產(chǎn)權(quán),乙方應(yīng)及時通知甲方。Upon discovery of any infringement by any third party on the t
37、rademarks, trade names, exclusive rights, or other intellectual property rights of Cooperating Brand and its related company, Party B shall notify Party A in time. 商品供備貨products Supply and Stocking甲方應(yīng)保證合理的庫存,盡量避免缺貨情況的發(fā)生或?qū)⑷必浰斐傻挠绊懡禐樽畹?。Both parties shall collaborate with each other to ensure reasonabl
38、e inventory and avoid the occurrence of products shortage or minimize the impact of the products shortage.甲方向消費者提供的直郵商品的品名數(shù)量和發(fā)貨期等需與乙方提供的商品訂單保持一致。若由于信息不一致導(dǎo)致收貨和銷售產(chǎn)生任何問題,由甲方承擔(dān)。The names, quantity and other essential information of the direct mail products provided by Party A to Party B shall comply wit
39、h the products order form; Party B may refuse to pay for products that do not meet the order form requirements and Party A shall immediately replace the products according to the order form. 7.3 若由于甲方錯發(fā)漏發(fā)消費者訂單對乙方的正常業(yè)務(wù)運作帶來不良影響,甲方應(yīng)當(dāng)及時糾正其行為并及時對給乙方造成的不良影響進行補救,甲方應(yīng)賠償乙方因此遭受的一切損失。If Party A sends wrong piec
40、e(s) or misses customers order(s) and brings about negative effect to Party B, Party A should correct its behavior promptly and make some compensation to Party B for the negative effect. 結(jié)算條款8.1 甲方提供乙方市場銷售建議價;乙方根據(jù)甲方的市場銷售建議價銷售,并在甲方確認(rèn)的情況下可以打折銷售。 結(jié)算價見附件A。 Party A will offer Party B the sales proposal p
41、rice; Party B will sale based on the proposal price, and can offer discounts that confirmed by Party A. Settlement price is as attachment A.8.2 結(jié)算: Settlement:每自然月:以每個自然月為結(jié)算期,每個月1日為上月結(jié)算日; Each calendar month: Each calendar month is taken as a settlement period, with the first day of each month being
42、 the settlement day for the previous month; 每半自然月:以每半個自然月為結(jié)算期,每月16日與次月1日為結(jié)算日;Every half calendar month: Each half calendar month is taken as a settlement period, with the sixteenth day of each month and the first day of the next month being settlement days; 每自然旬:以每自然旬為結(jié)算周期,每月10日、20日、30日的次日為結(jié)算日;Every
43、 one-third calendar month: Each one-third calendar month is taken as a settlement period, with the days immediately following the tenth, twentieth and thirtieth days of each month being settlement days; 每周:以一周為結(jié)算周期,每周一為上周的結(jié)算日;Weekly: Each week is taken as a settlement period, with Monday being the s
44、ettlement day for the previous week;每三天:以三天為結(jié)算周期,結(jié)算周期結(jié)束的次日為結(jié)算日;Every three days: Three days are taken as a settlement period, with the day immediately following the end of the settlement period being the settlement day.以上結(jié)算日遇休息日或法定節(jié)假日的,順延至休息日或法定節(jié)假日結(jié)束后的第一個工作日。The aforesaid settlement day shall be ext
45、ended to the immediately next working day if it falls on a non-working day or public holiday.質(zhì)量條款和售后處理Quality Problems and After-sales Service甲方對其所供貨之商品的質(zhì)量問題負(fù)責(zé),甲方提供的商品必須符合產(chǎn)地國、銷售地國(即中國)及其它相關(guān)國家和地區(qū)的法律規(guī)定和行業(yè)標(biāo)準(zhǔn)。Party A shall be responsible for the quality problems of the products it provides. The products
46、 provided by Party A shall comply with the GMP and TGA production quality standards of the country of origin. 甲方保證提供產(chǎn)品的剩余保質(zhì)期為產(chǎn)品有效期的75%以上。Party A shall ensure the validity of such supplied products has more than 75% remaining. 甲方保證向乙方提供合法、有效的企業(yè)資格證書,并保證文件的真實性、有效性。其中需包括原產(chǎn)國廠家準(zhǔn)許生產(chǎn)、貿(mào)易證明、營業(yè)執(zhí)照、衛(wèi)生證書(食品、化妝品等需
47、)、授權(quán)書。Party A should offer legal and valid certificates of enterprise qualification (including manufacturing license in the country of origin, certificate of free sale, business license, health certificate and authorization documents) to Party B and ensure the authenticity and validity of these docu
48、ments.甲方須向乙方提供產(chǎn)品基本信息(包括:名稱、規(guī)格、箱裝、條形碼、效期、包裝、標(biāo)簽、說明書等)、產(chǎn)品質(zhì)量標(biāo)準(zhǔn)、原產(chǎn)國生產(chǎn)廠家放行報告。Party A should offer the basic product information (including product name, specification, packing information, barcode, period of validity, packaging, label and instruction book, etc.), quality standard and the release report of
49、 manufacturers in the country of origin to Party B. 因為甲方未如實對商品進行描述等甲方原因所引發(fā)的售后問題,其責(zé)任由甲方承擔(dān)。Should there be any after-sales issues at the fault of Party A, for example, if Party A fails to give an authentic description of the products, Party A shall be held liable. Should there be any losses to the pro
50、duct value due to the improper operation of Party B rather than the quality problems, Party B shall be liable for the losses and relevant expenses.協(xié)議無論以任何原因終止后,甲方同樣對商品具有質(zhì)量保證責(zé)任。Even the agreement terminate, Party A is responsible for the QA issues of the goods Party B consigned from Party A for sell.
51、若終端消費者收到的貨物存在質(zhì)量問題導(dǎo)致消費者要求退貨,貨物將由消費者退回至甲方,退貨過程中所產(chǎn)生的費用由甲方承擔(dān),乙方將消費者支付的金額由相關(guān)付款渠道退回給消費者,且甲方承擔(dān)買賣和退貨過程中產(chǎn)生的稅費。If goods received by customers has quality problem(s) that customers request goods returning, the goods will be returned from customers to Party A. The cost occurring in the returning process is cove
52、red by Party A. Party B returns customers payment to customers through relevant types of payment (e.g. Alipay). In all these processes, Party A bears the tax payment.若終端消費者收到貨物后不存在質(zhì)量問題而由于其他原因要求退貨,貨物將由消費者退回至甲方,退貨過程中所產(chǎn)生的費用由消費者承擔(dān),乙方將扣除代繳稅款的貨款由相關(guān)付款渠道退回給消費者。If goods received by customers has no quality p
53、roblem and customers request goods returning with other reasons, the goods will be returned from customers to Party A. The cost occurring in the returning process is covered by customers. Party B deducts the tax from customers payment and returns the rest to customers through relevant types of payme
54、nt.商品所有權(quán)Ownership of the Products在直郵條件下,甲方保留產(chǎn)品所有權(quán)并承擔(dān)所有權(quán)人應(yīng)承擔(dān)的責(zé)任及風(fēng)險。Under direct mail mode, Party A has the ownership and undertakes all relevant responsibilities and risks as the owner. 知識產(chǎn)權(quán)Intellectual Property甲方應(yīng)向乙方提供本協(xié)議項下產(chǎn)品的商標(biāo)注冊信息及相關(guān)權(quán)利憑證復(fù)印件等知識產(chǎn)權(quán)證明資料。Party A should offer trademark registration info
55、rmation and other document copies concerned with intellectual property of the products in this agreement to Party B.合同的變更及解除 Alteration and Dissolution of the Agreement符合下列條件的,無過錯方可隨時解除本合同:In any of the following conditions, the innocent party may terminate this Agreement immediately. 合同一方向另一方提供的相關(guān)證
56、明資料與實際不符或一方嚴(yán)重違反本合同約定的責(zé)任義務(wù)的;The relevant certificates and documents provided by one party to the other party do not comply with the fact, or one party severely violates its responsibilities and obligations stipulated in this Agreement.一方根據(jù)法律規(guī)定被申請破產(chǎn)或整頓時;發(fā)生解散事由時;一方被吊銷營業(yè)執(zhí)照時;一方終止?fàn)I業(yè)或經(jīng)營范圍不再包括與履行本合同約定義務(wù)相關(guān)之事
57、項時;When one party has to apply for bankruptcy or reorganization according to relevant laws; when any dissolution conditions are met; when one partys business certificate has been revoked; when one party terminates business or the business scope no longer covers the relevant matters agreed in this Ag
58、reement.一方財產(chǎn)受到法院執(zhí)行,財產(chǎn)保全、凍結(jié)賬戶等處理,無法正常履行合同義務(wù)時;When one partys property is under court execution, such as property preservation or freezing of accounts, preventing it from executing its obligations in this Agreement. 其他導(dǎo)致合同履行困難的重大事由發(fā)生時;Occurrence of any other major issues that prevent the execution of
