1、采購合同該采購合同為美國卡洛馳責任有限公司（以下簡稱甲方）和小靈貓哈特發(fā)熱鞋 有限公司（以下簡稱乙方）于廣州簽訂一：產品描述：產品名稱:C91103小靈貓賣家：小靈貓有限公司地址:中國，廣州國際貿易中心，站西路26號。價格:900元數(shù)量:150雙總價:13500元鞋子穿著柔軟舒適并且有超過五小時的加熱時間，電池的壽命為三年以上，并 且可以反復充電500次以上。溫度調節(jié)開關是由微型電腦控制的，從臺灣引進了有專利權的電腦微型芯片， 有著高質量和高穩(wěn)定的控制系統(tǒng)。鞋子由頭等皮具做成，高尚和大氣。整雙鞋可以保修半年。獨立的商標和專利，自己的工廠，可以確保售后服務的穩(wěn)定和質量。二：運輸經(jīng)友好協(xié)商雙方于本

2、日達成如下條款：執(zhí)行船舶：黃河號，1982年造，船長/型寬：106/17m，載重噸/吃水6644mt on 7.745m，總噸/凈噸3905/2905mt，散裝艙容/包裝艙容8778/8205cbm，2船艙2. 艙口，單甲板，吊桿12mtx4貨物：150雙小靈貓的鞋裝港：中國香港1個安全港口 1個安全泊位卸港：美國丹佛1個安全港口 1個安全泊位受載期：8th-31st/Dec.2010裝卸效率：按港口習慣速度盡快裝卸滯留損失：如果船舶在雙邊港口因貨物和/或單證未備妥而遭受船期損失，租 船人應每日支付USD2500，不足一天按比例計算。滯留損失費在裝港發(fā)生的話，連同運費一起支付，若在卸港發(fā)生，則

3、在卸貨開始 前支付。運費：usd9/mt,FIOST （船東不管裝，卸，理艙，平艙），一裝一卸所有運費在裝完貨并簽發(fā)預付運費提單后兩個銀行工作日內付全船東指定帳 號。所有運費在裝完貨后即視為已賺取，不得扣減，無須返還，無論船舶和/或 貨物滅失與否。兩邊港口由船東指定代理。捆扎/加固/墊艙費如有發(fā)生，由租船人承擔。駁船費/過駁費如發(fā)生由租船人承擔。船邊理貨/岸邊理貨分別由船東/租船人承擔。關于貨物/運費的稅費分別由租船人/船東承擔。熏艙：如果需要熏艙的話，由租船人承擔熏蒸費用。船東允許熏艙24小時， 租船人需補償船東USD1500，作為船員食宿交通費用。保險由買家自行負責。三、質量保證與檢驗在貨

4、物到達目的港時，若發(fā)現(xiàn)質量不符合合同規(guī)定，買方可向賣方提出索賠。 由中國質檢局初檢并美國質檢局復檢出具調查報告。但是，屬于保險公司及/或 船公司的責任的索賠例外。買方對品質提出的異議，應在貨物到達目的港由買方 15日內提交。賣方應在收到索賠通知后30日內答復買方按商檢法標準，進行檢驗。四、貨款支付買方應通過賣方所接受的銀行（也就是中國銀行），于裝運月份（一月）前20 天開立以乙方公司為受益人的不可撤銷即期信用證，并送達賣方。該信用證有效 期全裝船后15天在中國銀行議付。五、違約及索賠1若買方違約：1.1若買方在按信用證支付方式成交的條件下不開證或不按期開證，后果由買方 承擔1.2若買方不按合同

5、規(guī)定付款贖單，除了無法拿到貨物之外還應支付賣方在交易 過程中除了貨款之外的一切費用和經(jīng)濟賠償。1.3若買方無理拒收貨物應支付賣方在交易過程中除了貨款之外的一切費用和經(jīng) 濟賠償。1.4在買方租船訂艙的情況下，未按合同規(guī)定履行應盡義務，賣方不予發(fā)貨，并 由買方支付貨物在發(fā)貨期到期的當天之后的港口滯留費用和勞務費用，因保險費 用由買方支付但由賣方負責代理辦理，如果買方到裝船前未告知買方投保險的類 別，買方自動投最小險別，之后產生的保險糾紛由買方負責。2若賣方違約：2.1若賣方售出的產品有下列情形之一的，賣方應當負責修理、更換、退貨；給 購買產品的消費者造成損失的，賣房應當賠償損失：（一）不具備產品應

6、當具備的使用性能而事先未作說明的；（二）不符合在產品或者其包裝上注明采用的產品標準的；（三）不符合以產品說明、實物樣品等方式表明的質量狀況的。2.2因產品存在缺陷造成人身、他人財產損害的，受害人可以向產品的生產者要 求賠償，也可以向產品的銷售者要求賠償。屬于產品的生產者的責任，產品的銷 售者賠償?shù)模a品的銷售者有權向產品的生產者追償。屬于產品的銷售者的責任， 產品的生產者賠償?shù)模a品的生產者有權向產品的銷售者追償。3違約金為貨款的2倍4在貨到目的口岸20天內如發(fā)現(xiàn)貨物品質，規(guī)格和數(shù)量與合同不符，除屬保險 公司或船方責任外，買方有權憑中國商檢出具的檢驗證書或有關文件向賣方索賠 換貨或賠款。5由于

Claim for quality discrepancy should be filed by the Buyers within 15 days after arrival of the goods at the port of destination. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for

24、their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goodsthe modalities of the obligation of the breach of faith in labor contract: Liquidated Damages.The contract lim
