2、phone number傳真號碼Fax number :甲方合法擁有 項目單元房屋(以下簡稱 該單元”),甲方愿意出租以及乙方愿意承租該單元。為明確租賃雙方的權(quán)利、義務(wù),經(jīng)協(xié)商一致達成本合同,以資雙方共 同遵守。Party A legally owns the Premises located at No. , Building of Beijing(hereinafter referred to as“ Premises ) Party A agrees to lease and Party B agrees torent the Premises. Therefore, after con
3、sultation, the parties hereby agree to enterinto this Contract to formulate the parties rights and obligations, and to abide by theterms and conditions of this Contract.第一條 租賃范圍 Premises for Lease根據(jù)本合同的條款,乙方向甲方承租的該單元,建筑面積為。由乙方及其指定之使用人作為居住用途,供人長期使用。未征得甲方事先書面同意,不得擅自將該單元全部或部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或與第三方共同使用。乙方無權(quán)使用該棟
4、大廈外墻的墻壁。Party B agrees to lease the Premises from Party A in accordance with the terms hereunder. The gross floor area of the Premises is . The Premises shall beused for residence by Party B and persons designated by Party B, and shall be used by persons. The Premises or any parts of the Premises sh
5、all not be subleased to or be used together with any third party without the prior written consent of Party A. Party B has no right to use the external walls of the building.甲、乙雙方以附件所列房屋狀況交接該單元。1.2 The parties will deliver and take the Premises in the conditions set out in the Appendices.Lease Term第
6、二條租賃期限租賃開始日期自年 月 日起至 年 月 日止,租賃期 月(以下簡稱租期”)。The term of lease is months, commencing on and expiring on (hereinafter referred to as the Term)Rent第三條租金乙方須向甲方繳納租金,租金為人民幣元整/月,含物業(yè)管理費、供暖費、電話及寬帶開通費、衛(wèi)星電視開通和收視費 ,但不含水費、電費、煤氣費、市話費、 IP 主叫長話費、寬帶網(wǎng)絡(luò)使用費以及供乙方使用的其他專門設(shè)施的使用費。Party B shall pay the monthly rent in the amo
7、unt of RMB per month, inclusive of property management fee, heating , ADSL connection fee and Satellite TV & cable fee, but exclusive of charges for water, electricity, gas, municipal telephone call, IP long distance call, use fee of ADSL and the use fees of the other specific facilities provided fo
8、r use by Party B.甲方按合同租金金額開具稅務(wù)發(fā)票,相關(guān)稅費由方承擔(dān)。Party A shall issue a tax invoice in the amount of the rent under this Contract. The relevant taxes shall be borne by Party .付款方式:乙方應(yīng)按月季 半年年預(yù)先以人民幣交付租金至甲方指定的人民幣帳戶。首期租金在雙方簽署本合同時交付,以后每期租金到期日按m/手/0年/力順延,但乙方應(yīng)在每期租金到期日前的_日交付租金。如果乙方因出差或其他原因不能及時交付租金,乙方應(yīng)提前通知甲方,此租金交付可從
9、當期租金到期日起推后五個工作 日。否則乙方應(yīng)向甲方交滯納金。每延遲一天,乙方支付甲方滯納金為當期應(yīng)付租金 的5% ,若逾期十五天,甲方有權(quán)終止合同。Payment method: Party B shall pre- pay the 口 monthly / 口 quarterly /-yearly! half / 口 yearly rental in Renminbi to the Renminbi account designated by Party A. The first installment of rent shall be paid upon the date on which
10、this Contract is signed by the parties, and the due date for subsequent installments of the rent shall be postponed accordingly on a口 monthly / 口 quarteTya/ly / DEhalfarly basis,provided that Party B shall pay the rent days prior to the due date for each installment of rent. If Party B is not able t
11、o pay the rent on time due to business trip or other reasons, it shall notify Party A in advance and the payment of rent may be postponed for five working days from the due date for such installment of rent,failing which Party B shall pay Party A a penalty equal to 5% of the outstanding rentper day
12、of delay. If the late payment exceeds fifteen days, Party A is entitled to terminate this Contract.Property Management Fee 第四條 物業(yè)管理甲方須按時向物業(yè)管理公司繳納管理費。付款方式按管理公司有關(guān)規(guī)定辦理。物 業(yè)管理公司保留對管理費調(diào)整的權(quán)利。該管理費不僅僅對此單元,而是對小區(qū)所有業(yè) 主。Party A shall pay the property management fee to Beijing SOHO Residences Property Management
13、Company on time. The payment shall be paid pursuant to the relevant regulations of the property management company. The property management company has the right to adjust the property management fee. The property management fee is applied not only to the Premises but also to all owners of Beijing S
14、OHO Residences.乙方在簽署本合同后,必須遵守臨時管理規(guī)約、物業(yè)管理公司對所有業(yè)主和租 戶的有關(guān)管理規(guī)定。After the execution of this Contract, Party B shall comply with The Provisional Management Regulations and other regulations applied to all owners and lessees by the property management company.Deposit第五條 租賃保證金雙方在簽署本合同時同意,乙方在 年 月日前將相當于三個月租金總
15、計人民幣元整的租賃保證金支付給甲方,作為乙方忠實履行本合同各項條款規(guī)定和條件的保證金。以下簡稱 保證金”。甲方須在收到此款項后,向乙方提供收據(jù)。The parties agree upon execution of this Contract that, Party B shall pay to Party A a deposit equivalent to three months rent (totaling RMB ) before as thedeposit for Party B s good faith performance of all terms and conditions
16、 of this Contract (hereinafter referred to as the“ Deposit ). Party A shall issue receipt forsuch payment to Party B after deposit receiving.如乙方違反本合同任何條款規(guī)定或條件(其中包括但不限于交付租金的規(guī)定)給 甲方造成實際損失的(其中對裝修、家具、電器的自然磨損除外),由乙方負責(zé)賠償。在合同期內(nèi),乙方不得將保證金沖抵租金和本合同規(guī)定的各項費用,不得將保證金作 為轉(zhuǎn)讓第三者和用于債務(wù)的擔(dān)保。If Party B breaches any terms an
17、d conditions hereunder (including but not limited to provisions regarding rental payment) and consequently causes actual loss to Party A (except for normal wear and tear of decoration, of furniture and of electronic applicances), Party B shall compensate for such loss. During the term of this Contra
18、ct, Party B has no right to deduct rental and other fees payable under this Contract from the Deposit, and has no right to transfer the Deposit to a third party or to use the Deposit as security for debts.在乙方全部履行本合同各項條款、規(guī)定和條件的情況下,并交還該單元、交清所 欠費用后,甲方在十五日內(nèi)退還保證金(不計利息)。Party A shall refund the Deposit wi
19、thout interests within fifteen days provided that Party B has fully performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.Late Payment Interests 第六條 延期利息如乙方未能按照本合同規(guī)定支付應(yīng)付的保證金和其他款項給甲方,或甲方為乙方墊付 應(yīng)由乙方支付的其他款項,乙方應(yīng)付遲延支付期間的遲延利息,該遲延利息應(yīng)按日息 為所欠款項的0.5
20、%計算。If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5% of theoutstanding amount per day.7. Damage and Repair第七條 損壞
21、和維修7.1甲方應(yīng)保證房屋的建筑結(jié)構(gòu)和設(shè)備設(shè)施符合建筑、消防等方面的安全條件,不得 危及人身安全;乙方應(yīng)保證在使用過程中遵守國家、北京市的相關(guān)法律法規(guī)規(guī)定。Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger
22、to the personal safety. Party B shall ensure that the relevant laws and regulations of national or Beijing government shall be observed during use of the Premises.租賃期內(nèi),甲乙雙方應(yīng)共同保障房屋及其附屬物品、設(shè)備設(shè)施處于適用和安全的 狀態(tài):7.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and f
23、acilities are in usable and safe condition:對于房屋及其附屬物品、設(shè)備設(shè)施因自然屬性或合理使用而導(dǎo)致的損耗,乙方應(yīng) 及時通知甲方修復(fù)。甲方應(yīng)在接到乙方通知后的7日內(nèi)進行維修。逾期不維修的,乙方可代為維修,費用由甲方在合理合法范圍內(nèi)承擔(dān)。Regarding normal wear and tear of the Premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance. Part
24、y A shall commence repair and maintenance within 7 days after receipt of Party B notice. If Party A failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A.因乙方保管不當或不合理使用,致使房屋及其附屬物品、設(shè)備設(shè)施發(fā)生損壞或故 障的,乙方應(yīng)負責(zé)維修或承擔(dān)賠償責(zé)任。If t
25、he Premises and its contents, equipment and facilities are damaged due to Party B s improper keeping or unreasonable usage, Party B shall b e responsible for repair and maintenance and shall be liable for compensation.Rights and Obligations of Party A 第八條甲方權(quán)利及義務(wù)甲方保證是項目合法的開發(fā)主體,其有權(quán)合法出租該單元,否則產(chǎn)生的法律責(zé)任 均由
26、甲方承擔(dān)。Party A hereby guarantees that Party A is the legal developer of the project and has the right to lawfully lease the Premises. Otherwise, Party A shall bear the legal liability arising therefrom in full.甲方保證該單元是合法開發(fā)建設(shè)完成的房屋,本合同簽訂時該單元尚未對外銷售, 也不存在影響本合同履行的其它法律障礙。Party A hereby guarantees that the P
27、remises is housing that has been developed, constructed and completed legally. The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.甲方保證在租期內(nèi),乙方將有權(quán)平靜地占有和享用該單元,不會受到甲方或甲方 代理人的干擾,但前提是乙方支付了本合
28、同規(guī)定的租金和其它費用,并遵守和履行了 本合同規(guī)定的應(yīng)由乙方遵守和履行的條款。Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the
29、 terms and conditions to be performed by Party B under this Contract.乙方出現(xiàn)下列任何情況時,甲方有權(quán)單方解除本合同。8.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B:違反中華人民共和國的法律/法規(guī),利用該單元進行不法經(jīng)營活動;violates the laws or the regulations of PRC or uses the Prem
30、ises for illegal business operations;未經(jīng)甲方同意擅自更改該單元的用途;changes the uses of the Premises without consent of Party A;未按本合同的有關(guān)條款繳納租金;或fails to pay the rent pursuant to relevant provisions hereunder; or未征得甲方同意,擅自將該單元或該單元的部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或與第三方共同使用。sub-lets the Premises or parts of the Premises to others, trans
31、fers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.在租期內(nèi),乙方自愿無條件放棄該單元的優(yōu)先購買權(quán)。在租期內(nèi),甲方有權(quán)自由 轉(zhuǎn)讓該單元予任何第三方,但是該轉(zhuǎn)讓不得影響乙方根據(jù)本合同的條款和條件占有、 控制和享用該單元的權(quán)利。若甲方將該單元出售予第三方,第三方將繼續(xù)享有和承擔(dān) 甲方在本合同項下的所有權(quán)利和義務(wù)。乙方承諾充分配合甲方辦理該單元的出售及交 接手續(xù);乙方不配合交接的,不影響新業(yè)主開始繼受出租方在本合同項下的權(quán)利義務(wù), 乙方須在
32、接到甲方通知之日起按本合同向新業(yè)主支付租金,否則須承擔(dān)本合同項下的 逾期付款違約責(zé)任。Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term. During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudic
33、e Party B s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract. If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract. Party B undertakes
34、 to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises. P arty B s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner. Party B shall pay rent to the new owner in
35、 accordance with this Contract after receipt of Party Aerwise s notice, othParty B shall bear the liability for breach of contract and late payment under this Contract.Rights and Obligations of Party B 第九條乙方權(quán)利及義務(wù)如果乙方嚴格遵守本合同的各項條款,則乙方有權(quán)在租賃期內(nèi)合理、合法占用和使用該單元。Party B is entitled to occupy and use the Premi
36、ses reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.乙方有權(quán)合理使用的公用設(shè)施,并承擔(dān)有關(guān)費用。Party B is entitled to reasonably use the public facilities of Beijing SOHO Residences and bear the relevant expenses.乙方須按時繳付租金以及該單元的電費、水費、煤氣費、電話費、IP主叫長話
37、費、寬帶網(wǎng)絡(luò)使用費,以及供乙方使用的其他專門設(shè)施的服務(wù)費,(甲、乙雙方另有書面 約定除外)。Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call and ADSL incurred at the Premises and the service fee of other specific facilities provided for Party B on time (other than the written agreement between
38、 the parties).乙方應(yīng)負責(zé)該單元內(nèi)部的整潔完好,防止破壞、污染、火災(zāi)等事故,并有責(zé)任監(jiān) 督來訪的客人及朋友愛護甲方的物品,以及小區(qū)的公共設(shè)施。如由于乙方的原因,給 甲方、其他業(yè)主和租戶或的公共設(shè)施造成損害時,乙方必須賠償損失。Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc. It shall have the duty to supervise his visitors
39、and friends to protect the property of Party A or the public facility of Beijing SOHO Residences. If there is any damage caused to Party A, other owners or lessees of Beijing SOHO Residences or the public facility of Beijing SOHO Residences due to Party B s reason, Party B shall compensate for the l
40、osses arising therfrom.Termination of Contract 第十條 合同的終止第8.4條所規(guī)定的任何情形發(fā)生時,甲方有權(quán)單方直接終止本合同而無需發(fā)出糾正通知。Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breac
41、h.甲、乙雙方經(jīng)協(xié)商,可達成書面協(xié)議提前終止本合同。The parties may terminate this Contract early by reaching a written agreement through consultation.因發(fā)生地震、暴雨、冰雹、火災(zāi)等其他不能預(yù)見的,其發(fā)生和后果不能防止或避 免的不可抗力致使任何一方不能履行本合同時,遭受不可抗力的一方可免除未能履行 本合同項下相關(guān)義務(wù)的責(zé)任(付款義務(wù)除外)。If either party cannot perform this Contract due to the occurrence of any force
42、majeure events (such as earthquake, storm, hail and fire) which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract (save for pa
43、yment obligations).Penalty for Breach第 H# 違約責(zé)任任何一方有違反本合同的行為,應(yīng)就違約行為給對方造成的經(jīng)濟損失進行賠償。 如果屬于雙方的過失,應(yīng)根據(jù)情況,由雙方分別承擔(dān)違約責(zé)任。Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach. If the economic loss is due to default of both parties, both parties
44、shall bear respective liability for breach in accordance with the circumstance.如乙方違反本合同第10.1條約定;或乙方違反本合同其它條款并接到甲方書面 糾正通知后十四天內(nèi)不予糾正時,甲方有權(quán)單方解除本合同,合同自解除通知送達之 日起自動解除。合同解除時,保證金不予退還乙方;若有其它損失或未付費用,甲方 仍有權(quán)追索。乙方應(yīng)在解除通知送達之日起三日內(nèi)遷出并交回該單元于甲方。If Party B fails to perform the provisions of Article 10.1 hereof, or Part
45、y B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A s written notice requesting for rectification of the breach,Party A has the right to terminate this Contract unilaterally. This Contract shall be automatically terminated from th
46、e date on which the termination notice is delivered. Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right to claim for further losses or outstanding fees (if any), and Party B shall vacate and return the Premises to Party A within three day
47、s from the date of delivery of the termination notice.Renewal of Lease 第十二條 續(xù)租在本合同有效期內(nèi),乙方全部履行本合同各項條款、規(guī)定和條件的情況下,乙方有優(yōu) 先要求將本合同租期延長的權(quán)利,但乙方須于不遲于租期期滿前六十天提出書面續(xù)租 要求,并由雙方在租期期滿前三十天前就續(xù)租的條件(包括租金和租賃期)達成條件, 簽署續(xù)租合同,否則甲方可另行出租。甲方可在租期期滿前三十天內(nèi),在給予乙方合 理通知后將該單元向未來的租戶展示,乙方應(yīng)盡量配合甲方。Where Party B has fully performed the term
48、s, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written application for extension no later than 60 days before expiry of the Term and that the parties have agreed on the
49、conditions of the extension (including rent and term of lease) and executed the contract for the extension of the lease by no later than thirty days prior to the expiration of the Term, failing which, Party A may lease the Premises toothers. Party A may show the Premises to potential tenants by givi
50、ng reasonable notice to Party B within thirty days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.Early Termination第十三條提前解約雙方除10.3款不可抗力等法定理由外,不得提前解約。本合同所定租期開始后,若甲 方單方終止本合同,則甲方需向乙方雙倍返還其根據(jù)第5.1條的規(guī)定收取的保證金;如乙方要求提前解約,甲方扣留乙方已付保證金后,則本合同自動終止。The parties s
51、hall not terminate this Contract except for any legal reason such as force majeure under Article 10.3. After the commencing date of the Term under this Contract, if Party A terminates this Contract unilaterally, Party A shall return double amount of the Deposit in accordance with Article 5.1. If Par
52、ty B wishes to terminate this Contract early, Party A will hold the Deposit and this Contract shall be automatically terminated.Notice第十四條通知任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書寫并可通過人工送遞或航空掛 號郵寄(預(yù)付郵資)、公認的快遞服務(wù)或以傳真發(fā)送至另一方的合同約定地址。通知視 為有效送達的日期按以下方法予以確定:Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail (with posta
