4、 herein.The Seller will sell approximately mt of Lead concentrate (hereinafter “Concentrate”) to the Buyer in Sellers option and the Buyer agrees to buy approximately mt of Lead concentrate from the Seller in accordance with the terms and conditions of the contract.The quantity shall always be +/-10

6、rom deleterious impurities harmful to normal lead smelting. Should circumstances prove otherwise both parties are to meet and discuss. The concentrate shall furthermore conform to IMO Code of Safe Practice for Solid Bulk Cargoes.精煉鉛在正常的熔化過(guò)程中，未能造成或產(chǎn)生有害有毒的雜質(zhì)。如環(huán)境情況證明有所不同，各方應(yīng)做會(huì)商處理。此外，該精煉鉛應(yīng)符合國(guó)際海事組織相關(guān)的散貨安

7、全條例。Buyer has the right to reject the cargo or renegotiate with seller if Lead content is below %, and the silver is below %. If so, the Seller shall immediately provide another cargo with the same specification which is stipulated in the contract and all fees includes expenditure, losses, Interest,

8、 etc which are accurred by the business shall be for Sellers account.如鉛品位低于 , 銀品位低于 ，買(mǎi)方有權(quán)拒收貨物或者與賣(mài)方重新協(xié)商，對(duì)此，賣(mài)方應(yīng)立即提供本協(xié)議規(guī)定的相同品質(zhì)的貨物給買(mǎi)方，并且所有的費(fèi)用包括開(kāi)銷(xiāo)，虧損，利息等由賣(mài)方承擔(dān)。3. SHIPMENT 裝運(yùn)The concentrates shall be shipped in bags in containers within 30 days after the date of L/C. 貨物按包進(jìn)行包裝，裝入集裝箱內(nèi)，并于信用證日期后的30天之內(nèi)安排裝船。 4.

9、 DELIVERY 交付The Concentrates shall be delivered CIF (Incoterms xx) Liner Terms , China in bags in standard or heavy duty containers at Sellers option, duty unpaid, and customs uncleared.精煉鉛交付是依照CIF班輪條款，使用標(biāo)準(zhǔn)的集裝箱，運(yùn)到中國(guó) 港，關(guān)稅未付。At the discharge port, Buyer shall be responsible for all costs beyond CIF Li

10、ner Terms, THC and container cleaning etc., at discharge port is for the account of the Buyer. 在卸貨港，買(mǎi)方應(yīng)負(fù)責(zé)所有除了CIF條款以外的費(fèi)用，包括目的港碼頭機(jī)械操作費(fèi)洗箱費(fèi)，所有目的港的費(fèi)用都由買(mǎi)方承擔(dān)。Seller has option to load up to wmt in one FCL. 賣(mài)方可以整箱裝 噸貨物。5. PRICE 價(jià)格The price, per dry metric ton of concentrate, shall be the value of the Metal

QUOTATION PERIOD 報(bào)價(jià)有效期The Quotational Period for the calculation of the payable metals according to Clause 5 shall be the third calendar month following the month of shipment (M+3) as de

14、termined by the shipped on board date on the bill of lading.根據(jù)第5條，作為貨款計(jì)算依據(jù)的報(bào)價(jià)有效期為提單所載的裝運(yùn)日當(dāng)月后的第3個(gè)月份。From the date of Sellers confirmed receipt of Buyers fully workable Letter of Credit for each shipment up to, and including, the second market day prior to the onset of the contractual Quotational Peri

15、od (M+3), Buyer has the right to fix any unknown price during M+1 and M+2, the buyer shall advise the price to Seller in advance by email or telephone.Such price shall be mutually agreed between Buyer and Seller If the Buyer has not been priced during M+1 and M+2, We shall be do the average price on

Any priced payable metal content of the Concentrate for each shipment shall be taken as finally priced.在賣(mài)方確認(rèn)收到一個(gè)批次裝運(yùn)的有效信用證開(kāi)始，到商定的有效報(bào)價(jià)期前的第二個(gè)交易日為止，買(mǎi)方有權(quán)確認(rèn)M+1 M+2 中的任意一天的未知價(jià)格，但是要提前用郵件和電話(huà)的形式通知賣(mài)方，各方商定價(jià)格后確定，如M+1 M+2未能點(diǎn)價(jià)，那么將用第三個(gè)月的均價(jià)作來(lái)計(jì)價(jià)。任何關(guān)于精煉鉛的計(jì)價(jià)金屬的點(diǎn)價(jià)都作為最終的點(diǎn)價(jià)。7. PAYMENT付款Currency: 貨幣：All invoices or

17、credit notes shall be in U.S. Dollars and Cents, and all payments shall be made by the relevant party in U.S. Dollars and Cents.所有發(fā)票或信用證都用美元和美分計(jì)價(jià)，所有的付款各方都要用美元和美分。Provisional Payment: 臨時(shí)付款Buyer shall open a freely negotiable, irrevocable, at sight Letter of Credit, through a first class bank acceptab

18、le to Seller. Buyer shall open such letter of credit prior to any container booking. The Letter of Credit shall be for 100% of the provisional CIF LT value allowing for +/-10% variation on quantity and +10% and no restriction on under value. The Letter of Credit shall be adjusted upward immediately

19、by Buyer if the cargo value, subject to LME price has moved, exceeds +/-10% variation of the initial letter of credit amount. The Letter of Credit shall allow third party documents and shall be free for negotiation at any bank. The Letter of Credit shall allow partial shipment and partial drawing. T

20、he Letter of Credit shall allow for a first provisional payment of 95% of the estimated CIF LT value against presentation of the following documents:買(mǎi)方應(yīng)通過(guò)賣(mài)方可接受的一級(jí)銀行來(lái)開(kāi)立可自由議付的不可撤銷(xiāo)即期信用證。買(mǎi)方在訂艙前開(kāi)立信用證 開(kāi)證金額應(yīng)為100 %的CIF金額，金額上允許有10%上下浮動(dòng)，或者多于10%，下限沒(méi)有限制，根據(jù)LME的價(jià)格的浮動(dòng)，如超出第一次信用證金額的10%，那么買(mǎi)方應(yīng)立即上調(diào)信用證。該信用證應(yīng)允許第三方單證，在任何銀

22、originals and 3 copies of shipped on board Bills of Lading, COSCO must be as carrier, marked freight prepaid, made out to order of CHINA CONSTRUCTION BANK CORPORATION LIANYUNGANG BRANCH, notifying Applicant, and just only showing the commodity of the cargo.由中遠(yuǎn)公司作為承運(yùn)人簽發(fā)的三正三副清潔裝船提單一套，注明運(yùn)費(fèi)預(yù)付，由“中國(guó)xx銀行xx

23、支行”通知申請(qǐng)人，提單上只顯示貨名。c) 1 original and 2 copies of weight certificate issued by SGS at loading port showing moisture in percentage, wet metric ton, dry metric ton and whole inspection process. Certificate is responsibility for the whole shipped cargo.由裝運(yùn)港的商檢機(jī)構(gòu)簽發(fā)的一正二副的重量證，顯示濕度，干濕噸和整個(gè)檢驗(yàn)過(guò)程，證書(shū)對(duì)整批貨物有效。d) 1

Showing that the containers were sealed under the surveyors supervision. Cretificate is responsibility for the whole shipped cargo.由裝運(yùn)

25、港的SGS公司簽發(fā)的一正二副的品質(zhì)證，顯示集裝箱箱封號(hào),鉛品位，濕度，形態(tài)以及整個(gè)檢驗(yàn)過(guò)程，注明在檢驗(yàn)員的監(jiān)管之下鎖上鉛封并對(duì)整批貨物有效。e) Declaration from Seller that confirming shipment contains no solid wood material由賣(mài)方簽發(fā)的無(wú)木質(zhì)包裝聲明f) Insurance Certificate in duplicate for 110% of the provisional CIF cargo value with claim if any payable at destination in the curr

30、e amount to Buyer within 3 working days after CCIC results is presented. 如根據(jù)CCIC最終結(jié)算的金額少于第一次付款的金額，賣(mài)方應(yīng)該在CCIC報(bào)告出來(lái)之后3個(gè)工作日內(nèi)將金額差額匯款給買(mǎi)方All bank charges in china are for Buyers account. 所有在中國(guó)的銀行費(fèi)用由買(mǎi)方承擔(dān)。All bank charges outside of China are for Sellers account.所有中國(guó)以外的銀行費(fèi)用由賣(mài)方承擔(dān)。8. TOTAL AND PARTIAL LOSS 全部貨損

31、和部分貨損All concentrates lost or damaged after risk has passed to the Buyer in accordance with Article 10, will be treated as if they had been safely delivered to the Buyer for the purposes of determining whether the obligation of the Seller to deliver and sell, and the obligation of the Buyer to buy c

32、oncentrates in accordance with Article 1 has been fulfilled.所有貨物損毀一概視為已安全交付買(mǎi)方，為了確定條款所規(guī)定的賣(mài)方交付和出售責(zé)任以及買(mǎi)方購(gòu)買(mǎi)責(zé)任是否履行，根據(jù)第10條規(guī)定的在風(fēng)險(xiǎn)轉(zhuǎn)移給買(mǎi)方后，貨物安全依照規(guī)定交給買(mǎi)方，將被視為如他們被安全運(yùn)送到買(mǎi)方。Total Loss: 全部貨損In case of total loss of, or damage to concentrates after risk has been transferred to the Buyer in accordance with Article 10

34、rms of this contract.支付金額依照提單上的濕重，裝載的精煉鉛的臨時(shí)的濕度，臨時(shí)的品質(zhì)，以及本協(xié)議條款中的其他規(guī)定。Partial Loss: 部分貨損In case of partial loss of, or damage to concentrate after risk has been transferred to the Buyer in accordance with Article 10, payment shall be made as if the shipment had been safely delivered.根據(jù)第十條，當(dāng)風(fēng)險(xiǎn)轉(zhuǎn)移到買(mǎi)方時(shí)，如精煉

35、鉛發(fā)生部分貨損，買(mǎi)方應(yīng)照付貨款。The amount payable will be calculated based on the Bill of Lading wet weight, and the final moisture and final assays on that part of the cargo which has been safely delivered and otherwise in accordance with the terms of this contract.支付金額依照提單上的濕重，出現(xiàn)壞損的已經(jīng)安全抵港的部分精煉鉛的最終的濕度和品質(zhì)，以及本協(xié)議條款中

INSURANCE 保險(xiǎn)For each shipment, Seller shall arrange marine insurance in favour of Buyer, covering the Concentrate from the port of loading until discharged at the discharge port, for 110% of the value finally established in accordance with this Agreement, on the following conditions:每一批次裝運(yùn)

37、，賣(mài)方應(yīng)該安排海運(yùn)險(xiǎn)，受益人是買(mǎi)方，投保的精煉鉛包括從裝運(yùn)港直到在目的港卸貨整個(gè)過(guò)程依照協(xié)議規(guī)定的金額進(jìn)行110%投保。 Institute Cargo Clauses (A); 貨物所有險(xiǎn) Institute Strikes Clauses (Cargo); 罷工險(xiǎn) Institute War Clauses (Cargo). 戰(zhàn)爭(zhēng)險(xiǎn) 10. TITLE AND RISK 貨物所有權(quán)和風(fēng)險(xiǎn)Title to the concentrate for each shipment or any part thereof, shall pass from Seller to Buyer on rece

38、ipt by Seller of the first provisional payment in accordance with Article 8 of this Agreement. 根據(jù)本協(xié)議第八條，在賣(mài)方收到首筆臨時(shí)付款后，該批次精煉鉛的貨權(quán)由賣(mài)方轉(zhuǎn)到買(mǎi)方。Risk to the Concentrate shall pass from Seller to Buyer at the time the Concentrate passes over the ships rail into the carrying vessel at the port of loading. 39、e avoidance of doubt, the risk in respect of those material that have passed the ships rail will pass to the Buyer notwithstanding that the entire shipment of concentrate has not passed the ships rail. 在裝運(yùn)港，精煉鉛的風(fēng)險(xiǎn)一旦在精煉鉛越過(guò)船舷后，由賣(mài)方轉(zhuǎn)移到買(mǎi)方。為了避免疑問(wèn)，只要有那些貨物已經(jīng)越過(guò)船舷，那么風(fēng)險(xiǎn)將轉(zhuǎn)移給買(mǎi)方，盡管整批精煉鉛的裝運(yùn)還沒(méi)有越過(guò)船舷。11. WEIGHING SAM

40、PLING AND MOISTURE DETERMINATION AT LOADING PORT. 在裝運(yùn)港的稱(chēng)重取樣和濕度測(cè)定The cargo should be inspected by SGS at loading port when cargo is being loaded. The Buyer shall authorize SGS to inspect the cargo on behalf of the buyer and this operation shall be carried out for Sellers account. Seller should notify

41、 the Buyer beforehand by fax or email of the date of inspection, the name and contact information of the surveyor acting on behalf of the independent inspector specified in the contract. 在貨物籌備裝船之前，由裝運(yùn)港的商檢對(duì)貨物進(jìn)行檢驗(yàn)。買(mǎi)方授權(quán)商檢代表買(mǎi)方對(duì)貨物進(jìn)行檢驗(yàn)，其費(fèi)用由賣(mài)方承擔(dān)，賣(mài)方應(yīng)事先傳真號(hào)碼或者郵件通知買(mǎi)方關(guān)于檢驗(yàn)取樣日期以及代表獨(dú)立檢驗(yàn)機(jī)構(gòu)的檢驗(yàn)員的名字和聯(lián)系方式 Cargo shall b

42、e loaded from into containers in big bag condition under SGSs representatives supervision. After all the cargo were loaded into containers and sampled over, all containers shall be sealed under the inspectors supervision, and record the containers number and seals number. Prior to loading, each cont

43、ainer shall be inspected by SGS and should be clean, dry and suitable to load the cargo. And the weather conditions should be clear and sunny during loading. 在商檢機(jī)構(gòu)檢驗(yàn)員的監(jiān)管下， 噸袋包裝的貨物從 倉(cāng)庫(kù)裝運(yùn)到集裝箱內(nèi)，在所有貨物裝箱并取樣完畢，所有集裝箱要在檢驗(yàn)員的監(jiān)管之下封上鉛封，并且記錄下箱號(hào)和鉛封號(hào),在裝箱之前，SGS要檢查每個(gè)箱子是否干凈并適合裝貨，裝貨時(shí)的天氣情況應(yīng)良好。Quantity is determined by

44、weighing each truck full and empty after the loading of the commodity into containers. Net weight of the commodity mentioned above is calculated by subtracting the tare weight of the containers, written on each container from each total container weight. 在貨物裝箱之后，依照空載和重載過(guò)磅的方式稱(chēng)重，所得到的貨物的凈重再減去箱皮重，然后得出一個(gè)

46、，Within 3 working days after sampling and sealing, Seller shall notify Buyer immediately by fax or email the name of the surveyor, the date and place of the sampling, the sealing numbers, and the whole process of the sampling and assaying. In the certificates issued by the independent inspector (her

47、e is SGS), the words such as “The result is just for the sent samples” or “We are not responsibility for the whole shipped cargo” or with similar meaning must not appear. 在取樣并封箱后三個(gè)工作日內(nèi)，賣(mài)方應(yīng)立即傳真號(hào)碼或郵件通知買(mǎi)方檢驗(yàn)員的名字，實(shí)際的取樣日期和地點(diǎn)，鉛封號(hào)以及取樣和化驗(yàn)過(guò)程，由SGS獨(dú)立的檢驗(yàn)員簽發(fā)證書(shū)，不允許出現(xiàn)“該檢驗(yàn)結(jié)果只代表樣品”或者“檢驗(yàn)方不為整批貨物負(fù)責(zé)”，或類(lèi)似的表述。 The above op

WEIGHING SAMPLING AND MOISTURE DETERMINATION AT DISCHARGE PORT. 目的港的稱(chēng)重取樣和濕度測(cè)試Final weighing, sampling and determination of moisture of the Concentrate shall be carried out at the discharge port at Buyers expense by C

49、IQ/CCIC. Seller shall have the right to be represented at its own expense by an internationally recognised surveyor when the final weighing, sampling and moisture determination is being carried out. The weight determined by light & heavy container shall govern for final settlement. The sampling shal

50、l be done during the Concentrate discharge into truck. The results of the entire weighing, sampling and moisture determination operation shall be mutually agreed between CIQ/CCIC and this internationally recognised surveyor. 在目的港的最終精煉鉛的稱(chēng)重取樣和濕度測(cè)試由CCIC或者CIQ 執(zhí)行，費(fèi)用買(mǎi)方承擔(dān)。當(dāng)操作稱(chēng)重取樣和濕度測(cè)試的時(shí)候，賣(mài)方有權(quán)派一名具有國(guó)際認(rèn)可資質(zhì)的檢驗(yàn)

Each lot shall comprise a separate and complete delivery for the purpose o
