rsquaaremeeter.第九條本合合同項(xiàng)下宗地地的定金為人人民幣大寫元(小寫元),定金金抵作土地出出讓價(jià)款。Articlee9ThheadvvancedepossitfoortheeassiignedlandunderrthissconttractisRMMB(innUppeerCasse),((inLoowerCCase)RMB.Theaadvanccedeppositshalllberregarddedassapaartoffthepaymeentfoortheeassiignmenntchaarge.第十條受讓讓人同意按照照本條第一款款第(一)項(xiàng)的規(guī)定向向出讓人支付付國(guó)有建設(shè)用用地使用權(quán)出出讓價(jià)款:Articlee10TTheAsssigneeeagrreesttopayytheassiggnmenttcharrgeinnaluump-suumpayymentfortthesttate-oownedconsttructiionlaandusserigghtacccordiingtooItemm1offthissartiicle:(一)本合同同簽訂之日起起60日內(nèi),一次次性付清國(guó)有有建設(shè)用地使使用權(quán)出讓價(jià)價(jià)款;1.Theassiggnmenttcharrgefoortheestatte-ownnedcoonstruuctionnlandduserighttshalllbepaidupinnlumpp-sumpaymeentwiithin60daaysafftertthisccontraactisssignned.(二二)按以下時(shí)時(shí)間和金額分分/期向出讓人人支付國(guó)有建建設(shè)用地使用用權(quán)出讓價(jià)款款。2.Theassiggnmenttcharrgefoortheestatte-ownnedcoonstruuctionnlandduserighttshalllbepaidininnstalllmentssaccoordinggtotthefoollowiingtiimeanndamoount.分期支付國(guó)有建建設(shè)用地使用用權(quán)出讓價(jià)款款的,受讓人人在支付第二二期及以后各各期國(guó)有建設(shè)設(shè)用地使用權(quán)權(quán)出讓價(jià)款時(shí)時(shí),同意按照照支付第一期期土地出讓價(jià)價(jià)款之日中國(guó)國(guó)人民銀行公公布的貸款利利率,向出讓讓人支付利息息。Incaseetheassiggnmenttcharrgefoortheestatte-ownnedcoonstruuctionnlandduserighttisppaidiininsstallmments,,theAssiggneeaagreesstoppayinnteresststootheAssiggnor.Whenthesseconddinsttallmeentanndeacchinsstallmmenttthereaafterareppaidaaccorddingttopayymentscheddule,theiintereestssshallbepaaidbaasedoontheeinteerestratepubliishedbythhePeoople’sBanndofChinaa(PBOOC)onnthedatewhentheffirstinstaallmenntocccurs.第十一條受受讓人應(yīng)在按按本合同約定定付清本宗地地全部出讓價(jià)價(jià)款后,持本本合同和出讓讓價(jià)款繳納憑憑證等相關(guān)證證明材料,申申請(qǐng)出讓國(guó)有有建設(shè)用地使使用權(quán)登記。Articlee11AAfterpayinngupallttheasssignmmentcchargeesofthellandpparcellinaaccorddancewiththiscontrract,theAAssignneemaayappplyfforthheCerrtificcateoofStaate-owwnedCConstrructioonLanndUseeRighhtAsssignmeentbyypressentinngthiisconntracttandpaymeentreeceipttofttheasssignmmentcchargee.第三章土地地開發(fā)建設(shè)與與利用ChapterrIIITheDDeveloopmentt,ConnstrucctionandUUtilizzationnofttheAsssigneedLannd第十二條受受讓人同意本本合同項(xiàng)下宗宗地開發(fā)投資資強(qiáng)度按本條條第項(xiàng)規(guī)定執(zhí)行行:Articlee12TTheAsssigneeeagrreesttheinnvestmmentiintenssityttodevveloptheaassignnedlaandunndertthisccontraactshhallbbemeeettheecritteriastipuulateddinIItemoftthisaarticlle:(一)本合同項(xiàng)項(xiàng)下宗地用于于工業(yè)項(xiàng)目建建設(shè),受讓人人同意本合同同項(xiàng)下宗地的的項(xiàng)目固定資資產(chǎn)總投資不不低于經(jīng)批準(zhǔn)準(zhǔn)或登記備案案的金額人民民幣大寫萬元(小寫萬元),投投資強(qiáng)度不低低于每平方米米人民幣大寫寫元(小寫元)。本合合同項(xiàng)下宗地地建設(shè)項(xiàng)目的的固定資產(chǎn)總總投資包括建建筑物、構(gòu)筑筑物及其附屬屬設(shè)施、設(shè)備備投資和出讓讓價(jià)款等。1.Wherretheeassiignedlandunderrthissconttractisussedfoorconnstrucctionofinndustrrialpprojeccts,ttheAsssigneeeagrreestthefiixedaassetssinveestedinthhelanndundderthhiscoontracctareenotlessthantheaapprovvedammountorthheamoountpputonnfilee,RMBB(inUpperrCasee)(innLoweerCasseRMBB)anddtheinvesstmenttinteensityyisnnotleessthhanRMMB(innUppeerCasse)(inLowerrCaseeRMB______________)peersquuaremmeter..Theinvesstmenttofffixedassettstotheaassignnedlaandunndertthisccontraactshhalliincluddebuiildinggs,fiixtureesanddtheiirauxxiliarryfaccilitiiesasswelllasttheasssignmmentcchargee.(二)本合同項(xiàng)項(xiàng)下宗地用于于非工業(yè)項(xiàng)目目建設(shè),受讓讓人承諾本合合同項(xiàng)下宗地地的開發(fā)投資資總額不低于于人民幣大寫寫萬元(小寫萬元)。2.Wherretheeassiignedlandunderrthissconttractisussedfoorconnstrucctionofnoon-inddustriialprrojectts,thheAsssigneeeguarranteeestheetotaalinvvestmeenttootheassiggnedllanduunderthiscontrractiisnottlesssthannRMB(inUUpperCase))(innLoweerCasseRMBB).第十三條受受讓人在本合合同項(xiàng)下宗地地范圍內(nèi)新建建建筑物、構(gòu)構(gòu)筑物及其附附屬設(shè)施的,應(yīng)應(yīng)符合市(縣縣)政府規(guī)劃劃管理部門確確定的出讓宗宗地規(guī)劃條件件(見附件3)。其中::Articlee13TTheneewbuiildinggs,fiixtureesanddtheiirauxxiliarryfaccilitiiesesstabliishedonthheasssigneddlanddundeerthiisconntracttshalllbesatissfiedwiththepplanniingcoonditiionsfforthheasssigneddlanddreguulateddbytthemuunicippal(ccountyy)plaanninggadmiinistrrationns.(PPleaseeseeAppenndixIIII).主體建筑物性質(zhì)質(zhì)Thennatureeoftthemaainbuuildinng附屬建筑物性質(zhì)質(zhì)Thenaturreoftheaaffiliiatedbuilddings建筑總面積平方米;Thhetottalcoonstruuctionnareaasquuaremmeterss.建筑容積率不高高于不低于;Theflooorarrearaatio((FAR)isnootmorrethaannotlessthan建筑限高BBuildiingHeeightLimittationn:建筑密度不高于于不低于;BuildinngDennsityisnootmorrethaannottlesssthann綠地率不高于不低于;GreeninngRatteisnotmmoretthannnotleessthhan其他土地利用要要求Otherrrequuiremeentsfforthhelanndusee:第十四條受受讓人同意本本合同項(xiàng)下宗宗地建設(shè)配套套按本條第(一)項(xiàng)規(guī)定執(zhí)行行:Articlee14TTheAsssigneeeagrreesttodevveloptheaassignnedlaandunndertthisccontraactacccordiingtooItemmAoffthissartiicle:(一)本合同項(xiàng)項(xiàng)下宗地用于于工業(yè)項(xiàng)目建建設(shè),根據(jù)規(guī)規(guī)劃部門確定定的規(guī)劃設(shè)計(jì)計(jì)條件,本合合同受讓宗地地范圍內(nèi)用于于企業(yè)內(nèi)部行行政辦公及生生活服務(wù)設(shè)施施的占地面積積不超過受讓讓宗地面積的的%,即不超超過平方米,建筑面積不不超過平方米。受受讓人同意不不在受讓宗地地范圍內(nèi)建造造成套住宅、專專家樓、賓館館、招待所和和培訓(xùn)中心等等非生產(chǎn)性設(shè)設(shè)施;A.Theassiggnedllanduunderthiscontrractiisuseedforrconsstructtionoofinddustriialprrojectts.Innaccoordanccewitththeeplannningandddesignningccondittionsregullatedbythheplaanninggdepa rigghtasssignmment.TheAAssignneeshhallmmakeaasuppplemenntarypaymeentfoortheebalaancebbetweeentheeevalluateddmarkketprriceooftheeconsstructtionllanduuseriightwwithttheneewpurrposeandttheevvaluattedmaarketpriceeoftthecoonstruuctionnlandduserighttwithhthepreviiouslyyapprrovedpurpoose.TTheevvaluattedmaarketpriceeshalllsubbjecttothhetimmewheentheealteeratioonofthellanduusepuurposeeisaapprovved.TThereegistrrationnofaalteriingthhelannduseerighhtshaallbeeundeertakeen.第十九條本本合同項(xiàng)下宗宗地在使用期期限內(nèi),政府府保留對(duì)本合合同項(xiàng)下宗地地的規(guī)劃調(diào)整整權(quán),原規(guī)劃劃如有修改,該該宗地已有的的建筑物不受受影響,但在在使用期限內(nèi)內(nèi)該宗地建筑筑物、構(gòu)筑物物及其附屬設(shè)設(shè)施改建、翻翻建、重建,或或者期限屆滿滿申請(qǐng)續(xù)期時(shí)時(shí),必須按屆屆時(shí)有效的規(guī)規(guī)劃執(zhí)行。Articlee19WWithinntheusettermooftheeassiignedlandunderrthissconttract,,thegoverrnmenttreseervesitsrrighttoaddjustthepplanniingofftheassiggnedllanduunderthiscontrract.Incaasethheoriiginallplannningneedsstobbemoddifiedd,itshalllnotaffeccttheeexisstingbuilddingsonthheasssigneddlanddparccel.BButinncaseethetranssformaation,,renoovatioonanddrebuuildinngofthebbuildiings,fixtuuresaandthheiraaffiliiatedfacillitiessonttheasssigneedlanndwitthiniitsusseterrm,orrwhennappllyingforrrenewaaloftheccontraactupponexxpirattionoofuseetermm,theeadjuustedplannningsshallprevaail.第二十條對(duì)受受讓人依法使使用的國(guó)有建建設(shè)用地使用用權(quán),在本合合同約定的使使用年限屆滿滿前,出讓人人不得收回;;在特殊情況況下,根據(jù)社社會(huì)公共利益益需要提前收收回國(guó)有建設(shè)設(shè)用地使用權(quán)權(quán)的,出讓人人應(yīng)當(dāng)依照法法定程序報(bào)批批,并根據(jù)收收回時(shí)地上建建筑物、構(gòu)筑筑物及其附屬屬設(shè)施的價(jià)值值和剩余年期期國(guó)有建設(shè)用用地使用權(quán)的的評(píng)估市場(chǎng)價(jià)價(jià)格及經(jīng)評(píng)估估認(rèn)定的直接接損失給予土土地使用者補(bǔ)補(bǔ)償。Articlee20TTheAsssigneeeshaalluttilizeethestatee-owneedconnstrucctionlanduserrightinacccordaancewwithllaw.TTheAsssignoorshaallnootwitthdrawwbefoorethheuseetermmintthisccontraactexxpiress.Unddersppeciallcirccumstaances,,wherretheeAssiignorneedsstowwithdrrawthhestaate-owwnedcconstrructioonlannduseerighhtforrthepurpooseoffsociialpuublicinterrestsbeforreexppiratiionoffuseterm,,apprrovalformaalitieesshaallbeeneeddedinnaccoordanccewitthlawws.AnndtheeAssiignorshalllcomppensattetheeAssiigneeaccorrdingtothhevallueoffbuilldingss,fixxturessandtheirraffiiliateedfaccilitiiesonntheassiggnedllandaattheetimeeofwwithdrrawal;;theevaluuatedmarkeetpriiceofftheremaiineduuseteermoffthestatee-owneedconnstrucctionlanduserright;;andtheeevaluaatedddirecttlosssarissingffromtthewiithdraawal.第四章國(guó)有有建設(shè)用地使使用權(quán)轉(zhuǎn)讓、出出租、抵押ChapterrIVTTheTrransfeer,LeeaseaandMoortgaggeoftheSState--OwneddConsstructtionLLandUUseRiight第二十十一條受讓人按照照本合同約定定支付全部國(guó)國(guó)有建設(shè)用地地使用權(quán)出讓讓價(jià)款,領(lǐng)取取國(guó)有土地使使用證后,有有權(quán)將本合同同項(xiàng)下的全部部或部分國(guó)有有建設(shè)用地使使用權(quán)轉(zhuǎn)讓、出出租、抵押。首首次轉(zhuǎn)讓的,應(yīng)應(yīng)當(dāng)符合本條條第(一)項(xiàng)規(guī)定的條條件:Articlee21AAfterpayinnguptheaassignnmentcharggeofthesstate--owneddconsstructtionllanduuseriightiinacccordanncewiiththhiscoontracct,anndobttainstheCCertifficateefortheUUseoffStatte-ownnedLaand,ttheAsssigneeeisentittledttotraansferr,leaaseorrmorttgagealloorparrtofthesstate--owneddconsstructtionllanduuseriightttoatthirdpartyy.Wheerethhefirrsttrransfeerocccurs,itshhallmmeettthecoonditiionsrregulaatediintheeItemmAoffthissartiicle:(一)按照本合合同約定進(jìn)行行投資開發(fā),完完成開發(fā)投資資總額的百分分之二十五以以上;A.Theinvesstmenttanddevellopmennttotheaassignnedlaandshhallhhavebbeguninacccordaancewwithtthisccontraact,aand255%oraboveeoftthetootaliinvesttmenthavebeenmade;;(二)按照本合合同約定進(jìn)行行投資開發(fā),已已形成工業(yè)用用地或其他建建設(shè)用地條件件。B.Theinvesstmenttanddevellopmenntshaallhaavebeeguniinacccordanncewiiththhiscoontracct,anndtheeassiignedlandhasfformeddcondditionnsforrinduustriaalpurrposeorotthercconstrructioonpurrposess.第二十二條國(guó)有建設(shè)用用地使用權(quán)的的轉(zhuǎn)讓、出租租及抵押合同同,不得違背背國(guó)家法律、法法規(guī)規(guī)定和本本合同約定。Articlee22TThecoontracctsonntrannsfer,,leasseanddmorttgageofthhestaate-owwnedcconstrructioonlannduseerighhtshaallnootgoagainnstthhelawwsanddreguulatioonsoffthecounttryanndtheeartiiclesofthhiscoontracct.第二十三條國(guó)有建設(shè)用用地使用權(quán)全全部或部分轉(zhuǎn)轉(zhuǎn)讓后,本合合同和土地登登記文件中載載明的權(quán)利、義義務(wù)隨之轉(zhuǎn)移移,國(guó)有建設(shè)設(shè)用地使用權(quán)權(quán)的使用年限限為本合同約約定的使用年年限減去已經(jīng)經(jīng)使用年限后后的剩余年限限。Articlee23WWherealloorparrtofthesstate--owneddconsstructtionllanduuseriightiistraansferrred,therrightssandobliggationnsspeecifieedinthiscontrractaandinnthelandregisstratiiondoocumenntsshhallbbetraansferrredaaccorddinglyy.TheeusetermofthhetraansferrconttractforttheasssigneedlanndistherremainnderooftheeusetermspeciifiedinthhiscoontracctminnusesthennumberrofttheyeearsiinwhiichthheAsssigneeehasusedthelland.本合同項(xiàng)下的全全部或部分國(guó)國(guó)有建設(shè)用地地使用權(quán)出租租后,本合同同和土地登記記文件中載明明的權(quán)利、義義務(wù)仍由受讓讓人承擔(dān)。Whereaallorrparttoftthesttate-oownedconsttructiionlaandusserigghtissleassed,ttheriightsandoobligaationssspeccifieddintthisccontraactanndinthellandrregisttratioondoccumenttsshaallbeestilllborrnebyytheAssiggnee.第二十十四條國(guó)有建設(shè)用用地使用權(quán)轉(zhuǎn)轉(zhuǎn)讓、抵押的的,轉(zhuǎn)讓、抵抵押雙方應(yīng)持持本合同和相相應(yīng)的轉(zhuǎn)讓、抵抵押合同及國(guó)國(guó)有土地使用用證,到國(guó)土土資源管理部部門申
