agreestoperformtheworktosource,supplyandormanufacturethe___________issuedbyClient.Manufactureshallmeantoprocurecomponents,materials,equipmentandothersupplies,andtomanufacture,assemble,testanddeliverproductstodetailedwrittenspecifications,workmanshipstandardsandqualityrequirementsforeachsuchproductwhichareprovidedbyClientandacceptedbySupplier.SupplierwillselectapprovedmaterialsandmanufacturersandmanufacturetheproducttoaqualitystandardrequestedbyClientandagreedbySupplier.________同意為Client就壓鑄鋁盒所下訂單進行資源搜集，供應或制造，制造包括嚴格按照Client提供Supplier同意的詳細的、書面的規(guī)格要求、工藝標準和質(zhì)量要求規(guī)定進行的零部件、材料、設備和其他原材料的獲取以及生產(chǎn)、組裝、試驗、交付產(chǎn)品等。Supplier會選擇驗證合格的材料與供應商，按照Client所要求的且Supplier所同意的質(zhì)量標準來制造產(chǎn)品。SupplierisgrantedbyClientanon-exclusivelicenseduringthetermofthisContracttouseallofClientpatents,tradesecretsandotherintellectualpropertyintheProducts,solelyinconnectionwithandtotheextentrequiredtoperformSupplier’sobligationsunderthisContract.在合同履行期間，Client授予Supplier非獨占性許可，限于且僅限于許可Supplier為履行本合同使用Client的所有的專利技術、商業(yè)秘密和其它知識產(chǎn)權。2.1-ScopeofWork( 合同標的):ProjectName:Products項目名稱：壓鑄鋁盒ContractNumber:合同號：ClientThescopeoftheworkistomanufacture__________(hereinafterreferredtoas “ ")astheOriginalEquipmentManufacturer(OEM)asperproductspecifications,quotationandannualvolumerequirements.合同標的是生產(chǎn)壓鑄鋁盒（以下簡稱壓鑄鋁盒）， Supplier 作為初始產(chǎn)品供應商（OEM）,依據(jù)每件產(chǎn)品的規(guī)格、報價和月需求量，生產(chǎn)壓鑄鋁盒。Supplier agreestosourceappropriatesuppliersthatwillusethelatesttechnologyandmachinerytoperformthemanufacturingoftheProduct. Supplier demandssuppliersadheretostrictsupplyrulesandstandardsandensuremanufacturingmethodstoinsureworkmanshipandproductqualitymeetsorexceedsClient’requirements.Supplier 同意選擇合適的供應商， 使用最新的技術與設備來制造壓鑄鋁盒。 Supplier 要求其供應商嚴格供應體系與標準，確保制造流程的合理性以致能夠生產(chǎn)滿足或超出 Client要求質(zhì)量的產(chǎn)品。-4- Initial:ManufacturingContractSupplier willprovide Client:Completeproductmanufacturedwiththelatestmanufacturingmachineryandknowhowaccordingto Client ’sspecificationsincluding:MaterialPurchasingNewDesignAssistanceandImplementationAssemblyTesting2. Completepackagingasper Client ’srequestsandspecifications.Containerconfigurationandstuffing.(ClientwillprovideconfigurationdetailsandsupportuntilSupplierunderstandsrequirements.)Providetechnicalsupport.CompleteQualityControl.WrittenReportsandCompleteDocumentationwhenrequested.ConstantCommunicationtoinsureproductmanufacturinganddeliverysatisfaction.Supplier會向Client提供以下：1. 根據(jù)Client的詳細要求使用最新的設備與技術所制造的產(chǎn)品，其中包括 :物料采購新設計的援助與執(zhí)行組裝測試按照壓鑄鋁盒制造合同附屬報告的要求完成產(chǎn)品包裝。3. 集裝箱的空間計算與裝箱。（ Client會提供具體的計算方法與相關信息直到 Supplier 理解了詳細信息與要求為止）技術的支持與提供。完整的質(zhì)量檢驗。Supplier須做出Client要求相應書面的完整報告與文件。為確保產(chǎn)品制造與交付的順利性，雙方應經(jīng)常對產(chǎn)品生產(chǎn)情況進行溝通。2.2-QuantityIncreases&Changes (數(shù)量的增長和變更):Client shallprovide Supplier purchaseorderswhenrequiredwithampleleadtimerequiredforSupplier toproducetheunits.TheMinimumOrderQuantity(MOQ)is_________unitsorassembliesunlessotherwiseagreedto.Client須給Supplier 下單且給予 Supplier 充足的制造時間來生產(chǎn)制造訂單項下的產(chǎn)品。最小訂貨量 ____套。Clientmayrequest,inwriting,thatSupplierincorporateengineeringchangesintotheProduct.SuchrequestwillincludeadescriptionoftheproposedengineeringchangesufficienttopermitSuppliertoevaluateitsfeasibilityandcost.SupplierevaluationshallbeinwritingandstatethecostsandtimeofimplementationandtheimpactonthedeliveryandpricingoftheProduct.Client也許會書面要求Supplier對產(chǎn)品進行工藝改換，此要求將包括足以讓Supplier對其可行性和價格進行評估的新工藝的描述。Supplier須對其在價格，執(zhí)行時間與其可能對產(chǎn)品價格和制造及交貨時間的評估做出書面的報告。2.3-LeadTimeComponents( 配件交貨期):SuppliermayberequiredtopurchaseLongLeadTimeComponentsinordertoachievetheschedulerequirementsforthepurposesofthisContract,"LongLeadTimeComponents"shallmeancomponents,subassemblies,materialsandsuppliesthatmayrequireimportingfromabroadorsomesortofcustommanufacturing.為完成本合同進度，可能要求Supplier采購預購件。預購件是指需要進口或定制生產(chǎn)的零件、組件、原材料和其他材料。-5- Initial:ManufacturingContractSuppliermayreasonablypurchaseminimumlotsizesorgreaterfromsuppliers"MinimumOrderInventory"(MOI)tomeetthemanufacturingandshippingrequirementsofthiscontractuponconfirmationandagreementfrom Client.Client requireswrittenconfirmationfrom Supplier onallMOQ’spriorto Supplier purchasingsuchMOQ ’s.AfterClient hasapprovedMinimumOrderQuantities(MOQ)onmaterialrequiredtomanufacturer Client’sproductClient willacceptfullresponsibilityiftheresultisanexcessinventory.在獲得 Client 的確認以及許可后， Supplier 可以合理地從供方處采購最小批的或稍大數(shù)量的最小訂單庫存量的預購件來滿足生產(chǎn)和運輸需求。 Client 要求在所有 Supplier 預購件最小訂單量請求之前作書面上的確認。Client一旦對Supplier所提出的對做此產(chǎn)品的欲購材料最小訂單量做出書面上的同意確認后，將會對其負完全責任。3-ProductSpecifications (產(chǎn)品規(guī)格)Supplier agreesthatallProductsmanufacturedandsuppliedto Client underthisContractwillmeetthespecificationsbelow:ApprovedBillofMaterials(BOM)ApprovedComponentList(IntheBOM)3. Drawings&Schematics Client provides.ApprovedVendorsList(IntheBOM)5. AnyEngineeringChangeOrders(ECO ’s)orTemporaryDeviationNotices(TDN ’s)QualityStandardsdescribedSupplier 同意，所有生產(chǎn)并提供給 Client的產(chǎn)品必須滿足下述規(guī)格要求：被批準的材料清單(BOM)被批準的零件清單(包含于BOM中)Client提供并確認的圖紙被批準的原材料供應商清單(包含于BOM中)任何技術改進要求或暫時的更改通知（作為合同附件）質(zhì)量標準詳見“Product質(zhì)量保證與責任協(xié)議”Supplier agreesthattherewillbenochangestotheapprovedBOM,componentsandoranymaterialusedtomakethisproductwithoutwrittennoticefromClient.Clientmayrefusepaymentorrequestcompletereplacementatthefullcosttothemanufacturer.Supplier同意在沒有Client書面通知的情況下，不得對已經(jīng)驗證認可的物料表，配件或任何材料作任何改動。若不經(jīng)Client同意但有任何改動，Client也許會拒付貨款或要求制造商承擔退換貨物。4-ProductPricing (產(chǎn)品定價)4.1-AgreedtoPrice (議定價格):Supplier andClient agreetopriceaccordingtothelatestquotationsprovidedby Supplier .Materialpricingwillbeanalyzedandadjustedattheendofeverythreemonthsfromthesigningofthiscontract.Intheeventthattherearesubstantialchangesbetweenthescheduledquarterlyreviewtimes(greaterthan+/-5%),thepricewillbereviewedimmediately.Bothpartieswillmutuallyagreetothepricechangeinwritingandaddthechangetothiscontract. Supplier willuseitsbesteffortstoeliminateincreaseinmaterialcostbynegotiatingstrategicallywithitssuppliers.Supplier 和Client 同意將如下價格作為本合同簽訂時的初始議定單價。 材料價格將在合同簽訂后的每三個月的最后一天進行分析和調(diào)整。如果在兩次既定的評審價格期間，材料價格有實質(zhì)性變化（大于正負5%），產(chǎn)品定價就要馬上評審。雙方同意產(chǎn)品定價的調(diào)整時間和將因此共同書面協(xié)議產(chǎn)生的產(chǎn)品價格變更。Supplier將與供方進行戰(zhàn)略談判，盡全力消除材料成本的增長。-6- Initial:ManufacturingContractClient hasagreedtoquotedpricingbut Supplier agreestoreducecostsonfutureordersbynegotiatingwithcomponentsupplierstogetbetterpricingonthecurrentBOM. Supplier hasidentifiedseveralcomponentsthatthepricecanbereducedasordersaregivenandrelationshipisdeveloped.Client expectscostreductionforfutureorders.Client已同意上述的報價，但 Supplier 同意就當前物料表中物料的價格與其供應商在價格上進行談判來得到更好的價格。 Supplier 許諾隨著訂單的執(zhí)行與商業(yè)合作關系的鞏固，會降低產(chǎn)品價格。 Client希望以后的訂單產(chǎn)品的報價會有所降低。4.2–Orders(訂單)TheMinimumOrderQuantity(MOQ)fortheProductis________unitsorassembliesunlessothervolumeshavebeendiscussedandaccepted.壓鑄鋁盒最小訂單量是________套。IfSupplierfailstodelivertheproductsunderthiscontractonthespecifieddeliverydatesandvolumesorderedonanorder-by-orderbasis,Supplierwillpayapenaltyof____RMBperdayforeverydaylate.若Supplier沒有在合同規(guī)定的交期交付合同規(guī)定下的貨物或沒有在合同規(guī)定的交期交付合同規(guī)定下的數(shù)量的貨物，則在延遲交貨的日子里每日交付_____元的罰款。Clientisresponsibletoreceivetheorderwhencomplete.AftertheorderiscompleteandreadytoshipandClientforanyreasondelaysshipmentthenClientwillpayapenaltyof_____RMBperdayuntiltheorderleavesthefactory.TheClientwillnotbeheldliablefordelaysdotosituationsinChina.當訂單項下得貨物完成后，Client負責收貨。訂單項下貨物完成后，若Client為任何原因延遲提貨時間則在延遲提貨的日子里每日交付_____元的罰款，直到貨物離開工廠。Client不對由于中國方面的任何原因所造成的延遲提貨負責。IftheClientforanyreasonwantstocanceltheorderthentheClientmustnotifyClientinwriting.TheClienthas30daystoresumetheorderormustpayinfullforanymaterialpurchasedtoprocesstheorder.若加拿大客戶由于任何原因想取消訂單，則必須以書面的形式通知Client。加拿大客戶有30天的時間提貨，若30天后還未提貨，則需付貨物全款及為此產(chǎn)品所購買但所剩在庫的物料的全款。IfthereisalargevolumeoftheproductthatSupplier/ClientcannotstockforClientthentheClientwillberequiredtotransporttheproductandpayforthecosttostoretheproductinitchoiceofstoragefacility.ClientwillofcoursehelptheClienttohandletheseneeds.Clientisnotresponsibleforstoredproductqualityifstored.若此產(chǎn)品量太大且Supplier/Client沒有能力為加拿大客戶儲存貨物，則加拿大客戶須運輸此貨物并交付在庫的倉儲費。Client肯定會協(xié)助加拿大客戶完成這些需要。Client不負責在庫產(chǎn)品的質(zhì)量。4.3–Packaging(包裝)Supplier agreestoprovidepackagingasper Client ’srequestwhichwillbespecifiedinthequotations.Supplier同意依據(jù) Client的要求提供包裝?！癉escribepackagingindetailandprovidepicturesifpossible. ”4.4–Freight/Shipping (運費的承擔)SimplydescribeAirorOceanShippingterms.Note:FOBmeansthefactoryisresponsiblefortheproductdeliveredtoportandtheloadingofcontainerontheshipcoveringallChinasidecosts.(FreightOnBoard)-7- Initial:ManufacturingContract4.5–Drawings/IP （設計圖及技術產(chǎn)權）Alldrawings,intellectualpropertyareownedby Client.所有設計圖及技術產(chǎn)權歸 Client所有。5-AdditionalCharges&Costs(其它費用和成本)5.1–Molds/Tooling(模具)1.ClientagreestopayforallmoldsandtoolingrequiredforthemanufacturingofClient’sproducts.AfterClientcompletespaymentofProducttoolingClientownsallrelateddrawings,tooling,molds,jigs,etc.Clientreservestherighttoaskforthetoolingtobereturnedtoourpossessionatanytime.Client同意支付所有為Client產(chǎn)品而制造的模具的費用。在Client付錢之后，Client公司保持對模具，工裝等相關所有權。Client保留權利在任何時間要求擁有模具。2.AlltoolingandmoldswillbeownedbyClientandusedasClientwishes.Toolingwillbeproperlystoredastonotbedamagedinanywayandusedasnecessary.所有模具均歸Client所有且須按照Client的意愿來使用。模具必須在妥善保管不得損壞合理使用。3.IfProductfailsordoesnotmeettheClient/clientrequirement,’sSupplierwillreturnallmoldfeestoClient.如果壓鑄鋁盒產(chǎn)品失敗或是未能達到Client公司或客戶要求，Supplier將返還Client所有模具費用。ToolingPaymentTerms:50%deposit,50%balancetobepaidwithin10daysaftersamplesapproved.模具付款條件： 50%的預付款，待樣品確認合格后 10日內(nèi)付清剩余的 50%模具費。6-TermsofPaymentbetweenClientandSupplier (Client 與Supplier之間的付款條款)ProductPaymentterms:_____depositand_____balanceafter Client ’sinspectionandsignedoffbyClient forrelease.Finalpaymentshouldbemadewithin10days.產(chǎn)品付款方式： ____的預付款， _____余款離岸后 10日內(nèi)付清余款；FutureorderstobenegotiatedwithamutualgoalforClienttohaveanaccountwithenoughcredittoorderMOQ’swithoutdepositsandmaximumlengthoftermsforpaymentafterreceivingproduct.以后的訂單隨著雙方共同目標的確立與Client的信譽度的提高，可協(xié)商訂單無預付金以及收到貨物后付款期限的最大的增長。7-AfterSalesService (售后服務條款)Supplier agreestorepair,upgradeandorrefurbishanyproductwhichisoutofthewarrantyperiodorhasfailedforanyotherreasonthanworkmanship,foranagreedtoratequotedatthetimethisserviceisrequired.Anylossesassociatedtofreight,handlingandorlossintheeventaproductcannotberepairedwillbeClient’sresponsibility.Supplier 同意維修、升級或刷新任何已過售后保質(zhì)服務期或非因質(zhì)量原因造成損壞的產(chǎn)品，收費標準為___/每小時外加材料費用。其中的運輸、服務等費用及因產(chǎn)品不可修復所造成的損失均由乙方承擔。-8- Initial:ManufacturingContract8–Warranty（保修）SupplierwarrantsthattheproductsmanufacturedforClientshallbefreeofworkmanshipdefectsforaperiodof_____monthsfromdateofmanufacturingprovidingtheproductisusedundernormaluse.Supplier保證為Client生產(chǎn)的壓鑄鋁盒產(chǎn)品在出廠之日起____個月內(nèi)正常使用下不會出現(xiàn)與生產(chǎn)有關的缺陷。Aftertheproducthasbeenreceivedbyclient，theclientshouldinspectandifanyissuesreportasdescribedbelow.Ifwithin____daysthereisnofurtherconfirmation,weregardtheorderasapproved.客戶收到貨物后需要檢查貨物是否存在如下所描述的任何問題，如在收到產(chǎn)品的____天內(nèi)沒有進一步的確認，則訂單下的貨物視為合格。Supplierwill,atnocharge,repair,reworkandretestsuchproductsreturnedtoSupplierfoundtocontaindefectsaspertheagreedtostandards,specifications,drawings,andorqualityreportsordocumentssignedandchoppedandwillreturntoClientdefectfreeunitswithin___daysundertheproductrequirementsinthiscontract.IftherepairisnotacceptablebyClientthenSupplieragreestoreplacetherepairedproduct.Thisdoesnotincludeshippingtime.基于Supplier已同意的標準、規(guī)格、圖紙、供應商指示表（SIS）以及質(zhì)量報告和Supplier簽署蓋章的文檔，若產(chǎn)品出現(xiàn)缺陷，Supplier將對缺陷產(chǎn)品免費維修或重做且重新對產(chǎn)品進行測試，在___日以內(nèi)返還給Client相同數(shù)量的無缺陷產(chǎn)品，若Supplier對缺陷產(chǎn)品進行維修后，沒有通過Client的檢驗，Supplier將重新生產(chǎn)相同數(shù)量的無缺陷的產(chǎn)品。此時限不包括產(chǎn)品的運輸時間.Supplierwarrantycoverageandliabilitydoesnotincludefailuresresultingfromdesigndeficiency,selectionofimpropercomponents,selectionofdefectivecomponentssuppliedbyClient,damagecausedbymisuseorabuse,unauthorizedrepairornegligence.Supplierreservestherighttoinspecttheproductandverifythattheyaredefective(Ifthereisanyconflictofqualitybetweenbothparties,itshouldbethethirdauthorizedpartywhichhastherighttogivetheconclusion.).Supplier’stotalliabilitywithrespecttowarrantyshallbelimitedtothevalueoftheproductsuppliedunderthemanufacturingcontract.Supplier的質(zhì)量保證與責任不包括由于產(chǎn)品設計不當，Client提供的物料規(guī)格的錯誤及與的物料的損壞，誤用或濫用，錯誤或粗心維修所造成的產(chǎn)品的缺陷。Supplier有權要求檢驗缺陷產(chǎn)品且查證產(chǎn)品確實有缺陷（若在Supplier與Client之間有質(zhì)量之間的沖突時，應授予第三方給與判定的權利）。Supplier質(zhì)量保證的責任限于制造合同規(guī)定下的貨物。Thissectionneedsalldetailsofwhatthequalitystandardis.Italsoneedstoclearlyspelloutwhopaysforshippingofthereplacedpartsandifshippingbyairorbyocean.9-PatentandCopyrightInfringement (專利和版權侵權責任)Client agreestoindemnify Client/Supplier fromandagainstallactions,suits,claims,anddemandsarisingfromthirdpartyclaimsofinfringementofpatent,copyrightoranyotherintellectualpropertyrightsconnectedwiththemanufactureandsaleof Client’sProduct.因Supplier 生產(chǎn)和銷售本合同項下的產(chǎn)品而造成的第三方提出專利、 版權或其他知識產(chǎn)權侵權賠償要求、訴訟等損失，均由 Client 負責協(xié)調(diào)解決并承擔 Supplier 的損失。10-ProductCompliancetoStateRegulations （產(chǎn)品適應性與州規(guī)定）Supplierisnotresponsibleforthetestingormanufacturingofanyproducttomeetcity,stateorcountryregulationsregardingmaterialsusedsafetyregulations,environmentalissues,orqualitystandardsetc.(ExampleofCSA,TUV,CE,UL,CCC,RoHS,WEEE.)Supplier 不負責測試任何產(chǎn)品以使其滿足任何城市， 州或國家的法律規(guī)定 ,如:所使用的材料，產(chǎn)品的安全規(guī)定，環(huán)境問題或質(zhì)量標準， CSA,TUV,CE,UL,CCC,RoHS,WEEE 等所有。-9- Initial:ManufacturingContractSupplier manufacturerstheproductsaccordingtothespecifications,drawingsandorsamplesapproved.
