廣告代理協(xié)議AdvertisingAgencyAgreement/廣告代理協(xié)議ThisAdvertisingAgencyAgreement(“Agreement")ismadeandeffectivethis

texpensesincurredintheperformanceofservicespursuanttothisAgreementuniessexpresslyagreedbyAdvertiserinadvanee.廣告商將沒有責任支付根據(jù)此項協(xié)議任何在執(zhí)行此服務中所產生的任何旅行費用或其它實付費用,除非提前由由廣告商明確同意。Billing.開發(fā)票AgencyshallinvoceAdvertiserforallmediacostswherepossibleinadvaneeofAgency'spaymentdatetoallowforprepaymentbytheAdvertisersothatAdvertisermayreceivethebenefitofanyavailableprepaymentorsimilardiscount.ForanymediapurchaseorserviceforwhichAgencyisnotentitledtoacommission,AgencyshallensurethatthechargestoAdvertiserarenetofallagencycommissionsanddiscounts.代理商應提前把所有可能的媒體費用在代理商的付費日之前開發(fā)票給廣告商,這樣能允許廣告商預付款,因而廣告商能享受任何可能預付款或類似折扣的益處。對于任何代理商沒有權利享有的媒體采購或服務的傭金,代理商應保證廣告商所支付的費用是所有代理傭金和折扣的凈價。ChargesforproductionmaterialsandservicesshallbebilledbyAgencyuponcompletionoftheproductionjobor,ifcashdiscountsareavailable,uponreceiptofthesupplier'sinvoice.生產材料和服務的費用將由代理商在生產工作完成之后開票,或者,如果現(xiàn)金折扣可行的話,在收到供應商的發(fā)票后開。Onalloutsidepurchasesotherthanformedia,Agencyshallattachtotheinvocieproofofthesupplier'scharges.對于所有媒體之外的采購,代理商應在發(fā)票后附上供應商費用票據(jù)。AllcashdiscountsonAgency'spurchasesincluding,butnotlimitedto,media,art,printingandmechanicalwork,shallbeavailabletoAdvertiser,providedthatAdvertisermeetsAgency'srequisitebillingtermsandthereisnooutstandingindebtednessofAdvertisertoAgencyatthetimeofthepaymenttothesupplier.所有在代理商采購時所產生的現(xiàn)金折扣,包括,但不局限于,媒體,藝術,印刷和機械工作,應給廣告商,只要廣告商滿足代理商的必須的開票條款,并且在付款給供應商時廣告商沒有較大的的欠廣告商的債。RateorbillingadjustmentsshallbecreditedorchargedtoAdvertiseronthenextfollowingregularinvoicedateorassoonasotherwisepractical.費率或開票調整應在下一個日常開票日期或另外實際的日期向廣告商收費。InvoiceshallbesubmittedinanitemizedformatandshallbepaidbyAdvertiserwithinthirty(30)daysoftheinvoicedate.發(fā)票應以一名細帳單和格式遞交并應由廣告商在發(fā)票日期的30天內進行支付。Comptetitors競爭對手DuringthetermofthisAgreement,Agency[MayNot]acceptemploymentfromrenderservicestorepresentorotherwisebeaffiliatedwithanyperson,firm,corporationorentityinconnectionwithanyproductorservicedireclyorindireclycompetitivewithorsimilartoanyproductorserviceofAdvertiserwithrespecttowhichtheAgencyisprovidinganyservicepursuanttothisAgreement.在此協(xié)議期間,代理商[不可以]接受來自雇用機構的聘用,來代表或和任何與廣告商的任何或類似的產品或服務直接或間接競爭的人,公司,企業(yè)或實體聯(lián)系,根據(jù)此協(xié)議,代理商不可提供任何服務給他們。CostEstimates.費用估計AgencyshallnotcommeneeworkonanyprojectpursuanttothisAgreementwithoutfirstestimatingcostsforpreparation,includingcopy,servcielayout,art,engraving,typography,processing,pasteupandproduction.Afterdeterminingtheestimatedcost,completionoftheworkshallbesubjecttoAdvertiser'spriorapproval.根據(jù)此協(xié)議,代理商不可以不進行任何費用評估就開始對任何項目的工作,包括:復印,服務設計,版畫,版面設計,加工,粘貼和生產。在決定預計費用后,工作的完成應由廣告商的預先批準。AuditRights.審計權利Agencyagreesthatfollowingreasonablepriornoticeanyandallcontracts,agreements,correspondence,books,accountsandotherinformationrelatingtoAdvertiser'sbusinessorthisAgreementshallbeavailableforinspectionbyAdvertiserandAdvertiser'soutsideaccountants,atAdvertiser'sexpense.代理商同意,由廣告商支付費用,根據(jù)合理的事先通知,可以由廣告商和廣告商的外部財務人員來對所有與廣告商的業(yè)務有關的合同,協(xié)議,信件,帳本,帳目或其它信息進行檢查。OwnershipandUse.所有權和使用權Agencyshallinsure,tothefullestextentpossibleunderlaw,thatAdvertisershallownanyandallright,titleandinterestinandto,includingcopyrights,tradesecret,patentandotherintellectualpropertyrights,withrespecttoanycopy,photograph,advertisement,music,lyrics,orotherworkorthingcreatedbyAgencyoratAgency'sdirectionforAdvertiserpursuanttothisAgreementandutilizedbyAdvertiser.代理商應保證,根據(jù)此協(xié)議,在法律的最大權限下,廣告商應擁有的任何和所有的權利,標題和利益,包括:版權,貿易秘密,專利和其它知識產權,形式有復印,照相,廣告,音樂,歌詞或其它根據(jù)此協(xié)議代理商所創(chuàng)造的或代理商指示廣告商所能使用的作品或事物。Upontermination,Advertiseragreesthatanyadvertising,merchandising,package,planorideapreparedbyAgencyandsubmittedtoAdvertiser(whethersubmittedseparatelyorinconjunctionwithorasapartofothermaterial)whichAdvertiserhaselectednottoutilize,shallremainthepropertyofAgency,uniessAdvertiserhaspaidAgencyforitsservicesinpreparingsuchitem.AdvertiseragreestoreturntoAgencyanycopy,artwork,platesorotherphysicalembodimentofsuchcreativeworkrelatingtoanysuchideaorplanwhichmaybeinAdvertiser'spossessionatterminationorexpirationofthisAgreement.在協(xié)議結束時,廣告商同意,任何由代理商準備并提交給廣告商并沒有由廣告商所使用的,包括廣告,商品,包裝,計劃或概念(無論是分別提交或是有關聯(lián)或是作為其它材料的一部分),將作為代理商的財產,除非廣告商支付代理商來準備此項服務。廣告商同意,在此協(xié)議終止或到期時,將把可能由廣告商所擁有的和此概念或計劃相關的復印件,藝術作品,圖板,或其它此創(chuàng)造工作的實物歸還給代理商。MaterialsandadvertismentscreatedbyAgencypursuanttothisAgreementmaybeusedbyAdvertiseroutsidetheUnitedStateswithoutadditionalcompensation,providedthatAdvertisershallberesponsibleforanyadditionalexpenseassociatedwithsuchuse,suchaschargesfortranslationandamountsduetalent.Agency'sobligationsinSection10.A.aboveshallnotapplywithrespecttoanysuchforeginuse.根據(jù)此協(xié)議,代理商所創(chuàng)造的材料和廣告可以由廣告商在美國之外使用而無需額外的補償,只要廣告商應對與此使用所關聯(lián)的任何費用負責,如翻譯費用和人才費用。代理商在上述第10部分A段中的責任將不適用于此國外使用。IndemnificationandInsurance.賠償和保險AgencyshallindemnifyandholdAdvertiserharmlesswithrespecttoanyclaims,loss,suit,liabilityorjudgementsufferedbyAdvertiser,includingreasonableattorney'sfeesandcosts,baseduponorrelatedtoanyitempreparedbyAgencyoratAgency'sdirection,including,butnotlimitedto,anyclaimoflibel,slander,piracy,plagiarism,invasionofprivacy,orinfringemntofcopyrightorotherintellectualpropertyinterest,exceptwhereanysuchclaimarisesoutofmaterialsuppliedbyAdvertiserandincorporatedintoanymaterialsorarisesoutofmaterialsuppliedbyAdvertiserandincorporatedintoanymaterialsoradvertisemntpreparedbyAgency.AgencyagreestoprocureandmaintaininforceduringthetermofthisAgreement,atAgency'sexpense,anadvertisingagencyliabilitypolicyorpolicieshavingaminimumlimitofatleast[InsurancePolicyAmount],namingAdvertiserasanadditionalinsuredandlosspayeeundersuchpolicyorpolicies.代理商應在由廣告商所遭受的任何起訴,損失,訴訟,責任或判決上賠償并使廣告商不受傷害,包括便是的律師費用和成本,基于由代理商或在代理商的指導下的所準備的任何項目,包括,但不局限于,任何關于誹謗,口頭誹謗,盜版,剽竊,隱私侵害,或侵犯版權或其它知識產權利益的起訴,除了此起訴是來自于由廣告商所提供的材料并歸入了由代理商所準備的任何材料或廣告。代理商同意獲得并保持,在此協(xié)議期間,由代理出資,一份或幾份廣告代理責任書,至少有最小限度[保險單據(jù)金額],指定廣告商作為在此或幾份保單下的額外被保對象和損失被付人。AdvertiseragreestoindemnifyandholdAgencyharmlesswithrespecttoanyclaims,loss,liability,damageorjudgementsufferedbyAgency,includingreasonableattorney'sfeesandcourtcosts,whichresultsfromtheusebyAgencyofanymaterialfurnishedbyAdvertiserorwherematerialcreatedbyAgencyoratthedirectionofAgencysubjecttotheindemnificationinsubsectionA.aboveismateriallychargedbyAdvertiser.InformationordataobtainedbyAgencyfromAdvertisertosubstantiateclaimsmadeinadvertisingshallbedeemedtobe“materialfurnishedbyAdvertisertoAgency".廣告商同意賠償并使得代理商免于由代理商所遭受的任何起訴,損失,責任,傷害或判決書而所付的責任,包括合理的律師費用和法庭費用,而此源于廣告商所提供的材料或是由在上述分區(qū)A段中由于廣告商所實際支付的由代理商所創(chuàng)造的材料或由代理商所指導的。代理商從廣告商那里所得到的信息或數(shù)據(jù)證明在廣告中所受到的起訴應被認為是'由廣告商提供給代理商的材料”。Intheeventofanproceeding,litigationorsuitagainstAdvertiserbyanyregualtoryagencyorintheeventofanycourtactionorotherproceedingchallenginganyadvertisingpreparedbyAgency,AgencyshallassistinthepreparationofthedefenseofsuchactionorproceedingandcooperatewithAdvertiserandAdvertiser'sattorneys.假如由任何管理機構或假如有任何法庭行動或其它訴訟挑戰(zhàn)任何由代理商所準備的廣告,向廣告商所進行的訴訟,打官司或起訴,代理商應協(xié)助準備對此行動或起訴的辯護并和廣告商和廣告商的律師們合作。Term.期限ThetermofthisAgreemenshallcommeneeon[StartDate]andshallcontinueinfullforceandeffectuntilterminatedbythirdpartyuponatleastninety(90)dayspriorwrittennotice,providedthatinnoevent(exceptbreach)maythisAgreementbeterminatedpriorto[EarliestEndDate].Therights,dutiesandobligationsofthepartiesshallcontinueinfullforceduringorfollowingtheperodoftheterminationnoticeuntiltermination,includingtheorderingandbillingofadvertisinginmediawhoseclosingdatesfollowthensuchperiod.此協(xié)議期限應人[開始日]起,并應繼續(xù)有效至在任何一方的書面通知終至的90天前,如果此協(xié)議不會(除非違約)在[最早終止日]前結束。雙方的權利,責任和義務將完全有效在此終止通知日期期間或之后,包括媒體中的廣告的定購和開票,而其終止日遵循這個日期。RightsUponTermination.終止時權利UponterminationoftheAgreement,Agencyshalltransfer,assignandmakeavailabletoAdvertiserallpropertyandmaterialsinAgency'spossessionorsubjecttoAgency'scontrolthatarethepropertyofAdvertiser,subjecttopaymentinfullofamountsduepursuanttothisAgreement.在此協(xié)議終止時,代理商應轉交,分配并把代理所擁有的所有財產和材料或由代理商所控制的給廣告商,根據(jù)此協(xié)議,以完全付款到期為止。Upontermination,Agencyagreestoprovidereasonablecooperationinarrangingforthetransferorapprovalofthirdparty'sinterestinallcontracts,agreementsandotherarrangementswithadvertisingmedia,suppliers,talentandothersnotthenutilized,andallrightsandclaimstheretoandtherein,followingappropriatereleasefromtheobligationstherein.在終止時,代理商同意提供合理的合作,安排轉交或同意第三方的利益在所有的合同,協(xié)議和其它與廣告媒體,供應商,人才和其它那時尚未使用的安排,并且所有的權利和投訴,跟隨在
