ThisSalesContractofClothing(the"Contract")isenteredintobyandbetweenPartyA(Seller)andPartyB(Buyer)onthedateofsigningthisContract.

1.Identity,RightsandObligations

1.1PartyAisengagedinthebusinessofsellingclothing,andhastherighttoselltheclothingdescribedinthisContract.1.2PartyBwishestopurchasetheclothingfromPartyAunderthetermsandconditionssetoutinthisContract.

2.Clothing,QualityandPayment

2.1PartyAagreestosellandPartyBagreestopurchasetheclothingasdescribedtheintheinvoiceissuedbyPartyA.2.2PartyAisresponsibleforthequalityoftheclothing.2.3ThetotalpurchasepriceoftheclothingshallbepaidbyPartyBtoPartyAwithin__daysofsigningthisContract,bywiretransferorotheragreedmeansofpayment.

3.DeliveryandAcceptance

3.1ThedeliveryoftheclothingshallbemadebyPartyAtoPartyBatamutuallyagreeddateandtime.3.2Upondelivery,PartyBshallinspecttheclothingwithin__daystoensurethattheyarefreefromdefects.3.3IfPartyBfindsthattheclothinghavedefectswithintheinspectionperiod,PartyBshallnotifyPartyAinwritingimmediatelyandprovideevidenceofthedefects.3.4IfPartyAagreesthattheclothinghavedefects,PartyAshallreplaceorrepairtheclothingwithin__days,andbeartherelatedcosts.

4.ProhibitionofIllegalConduct

4.1BothpartiesshallcomplywiththelawsandregulationsofChinaandothercountriesrelatedtothesaleofclothing.4.2IfeitherPartyviolatesanylawsorregulationsrelatedtothesaleofclothing,itshallbearthelegalliabilityarisingtherefrom.

5.RightsandObligations

5.1BothpartiesshallensuretheconfidentialityofanybusinesssecretsrevealedintheperformanceofthisContract.5.2BothpartiesshallcooperateandprovidenecessaryassistancetoeachotherintheperformanceofthisContract.5.3EitherPartyshallnotassignortransferitsrightsandobligationsunderthisContractwithouttheotherparty'spriorwrittenconsent.

6.ValidityandEnforceability

6.1ThisContractshallbevalidandenforceableunderthelawsofChina.6.2AnydisputesarisingfromthisContractshallberesolvedthroughfriendlynegotiation.Ifnoresolutioncanbereached,eitherpartymayfilealawsuitinthecourtwithjurisdiction.6.3ThisContractshallnotbemodified,supplementedorterminatedunlesswrittenconsenthasbeenobtainedfrombothparties.

7.LiabilityforBreachofContract

7.1IfeitherPartybreachesanyprovisionofthisContract,theotherPartyshallhavetherighttoterminatethisContractandclaimcompensationforthelossesarisingtherefrom.7.2ThelossestoeitherPartyshallbecalculatedbasedontheamountofthecontractprice.

8.Miscellaneous

8.1ThisContractshallcomeintoeffectuponbothpartiessigningit.8.2Anyaddition,deletion,modification,orotheramendmenttothisContractmustbemadeinwritingandsignedbybothpartiestobevalid.8.3ThisCo
