FaceMaskPurchaseContract

ThisFaceMaskPurchaseContract("Contract")isenteredintoon[Date](the"EffectiveDate")byandbetween:

and

[SellerName],withitsprincipalplaceofbusinessat[SellerAddress](hereinafterreferredtoasthe"Seller").

WHEREAS,theBuyerwishestopurchasefacemasksforthepurposeof[Specifypurpose],andtheSelleragreestosellthefacemaskstotheBuyer,bothpartiesagreetothetermsandconditionssetforthinthisContract.

1.ProductDescription:

a)Typeoffacemasks:[Specifytype]

b)Quantity:[Specifyquantity]

c)Specifications:[Specifyspecifications]

d)Packaging:[Specifypackagingdetails]

e)Deliverydate:[Specifydeliverydate]

2.PurchasePrice:

a)Thepurchasepriceforthefacemasksshallbe[Specifyprice]perunit.

b)Thetotalpurchasepricefortheentireordershallbe[Specifytotalprice].

c)Paymentterms:[Specifypaymentterms,suchasadvancepayment,letterofcredit,etc.]

3.Delivery:

a)TheSellershallensurethatthefacemasksaredeliveredtotheBuyer'sdesignatedlocationasspecifiedinSection1(e).

b)TheSellershallbearallcostsandrisksassociatedwiththetransportationofthefacemasksuntiltheyaredeliveredtotheBuyer.

c)AnydelayindeliveryshallentitletheBuyertoclaimdamagesorterminatetheContract,atitssolediscretion.

4.QualityControl:

a)TheSellerguaranteesthatthefacemasksdeliveredshallmeetallapplicablequalitystandardsandspecificationsmentionedinSection1(c).

b)TheBuyerreservestherighttoinspectthefacemasksupondeliveryandrejectanynon-conformingordefectiveproducts.

c)Incaseofnon-conformingordefectiveproducts,theSellershallreplacethematitsownexpensewithinareasonableperiod.

5.IntellectualPropertyRights:

a)TheSellerwarrantsthatthesaleanduseofthefacemasksdonotinfringeuponanythird-partyintellectualpropertyrights.

b)TheBuyershallnotusetheSeller'sname,logo,oranyotherintellectualpropertywithoutpriorwrittenconsent.

6.ForceMajeure:

a)NeitherpartyshallbeheldliableforanyfailureordelayinperformanceunderthisContractduetoforcemajeureeventsbeyondtheirreasonablecontrol.

b)Intheeventofaforcemajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyandtakereasonablemeasurestomitigatetheimpactofsuchevent.

7.GoverningLawandJurisdiction:

a)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Specifygoverninglaw].

b)AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifnoresolutioncanbereached,thepartiesagreetosubmittotheexclusivejurisdictionofthecourtsof[Specifyjurisdiction].

8.EntireAgreement:

ThisContractconstitutestheentireagreementbetweentheBuyerandtheSellerandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.
