第一條本合同依據(jù)下列文件簽訂

第五條設(shè)計費用及支付方法

Article5.Designfeeandthemodeofpayment:

5.1甲方應(yīng)支付本合同項目的設(shè)計費為。

（含所有乙方應(yīng)繳納的稅費及其它政府規(guī)定應(yīng)由乙方交納的款項）

5.1PartyAshallpaythedesignfeeofRMByuanforthisprojecttoPartyB(thisfeeshallincludetaxesandallotherdutiesthatshouldbepaidbyPartyBasrequiredbythegovernmentregulations).

5.2支付方法（見下表）：

Article6.Responsibilitiesofbothparties:

6.1甲方責(zé)任

6.1ResponsibilitiesofPartyA:

6.1.1甲方按本合同第三條規(guī)定的內(nèi)容，在規(guī)定的時間內(nèi)向乙方提交資料及文件，并對其完整性、正確性及時限負責(zé)。甲方提交上述資料及文件超過規(guī)定期限15天以內(nèi)，乙方按本合同第四條規(guī)定交付設(shè)計文件時間順延；超過規(guī)定期限15天以上時，乙方有權(quán)重新確定提交設(shè)計文件的時間。

6.1.1AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmitmaterialsanddocumentstoPartyBwithinthestipulatedtimeasdescribedandshallberesponsibleforthecompleteness,correctnessandvalidityofsuchmaterialsanddocuments.IntheeventthatPartyAhasdelayedtheissuanceofsuchmaterialsanddocuments,butnotexceeding15daysfromthestipulatedtime,PartyBcouldconsequentlypostponethesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartyAhasdelayedtheissuanceofmaterialsanddocumentsformorethan15daysexceedingthestipulatedtimelimit,PartyBshallhavetherighttodeterminethenewdateforsubmittingthedesigndocuments.

6.1.2甲方變更委托設(shè)計項目、規(guī)模、條件，或?qū)μ峤毁Y料作重大修改，以致造成乙方設(shè)計需返工時，雙方除需另行協(xié)商簽訂補充合同、重新明確有關(guān)條款外，甲方應(yīng)按乙方所耗工作量向乙方支付返工費。

6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarycontract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.

6.1.3在合同履行期間，甲方單方提出解除合同的，乙方已開始設(shè)計工作的，甲方應(yīng)根據(jù)乙方已進行的實際工作量支付設(shè)計費。

6.1.3ShouldPartyAterminatetheContractduringthecontractualperiod,PartyAshallpayPartyBaccordingtotheactualworkdone.

6.1.4甲方在收到乙方付款通知書后30天內(nèi)，按本合同第五條規(guī)定的金額和時間向乙方支付設(shè)計費用；在收到付款通知書的60天仍未支付，每逾期支付一天，應(yīng)承擔(dān)應(yīng)支付金額千分之一的逾期違約金。逾期超過30天以上時，乙方有權(quán)暫停履行下階段工作，并書面通知甲方。甲方上級對設(shè)計文件部審批或本合同項目停緩建，甲方均應(yīng)支付應(yīng)付的設(shè)計費。

6.1.4PartyAshallpaythedesignfeetoPartyBwithinThirty(30)daysuponreceivingtheNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaymentisdelayedforSixty(60)daysuponreceivingtheNoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadailybasisshallbepaidbyPartyA.Incasethatsuchpaymentisdelayedforaperiodover30days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseandshallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor..postponed,PartyAshallneverthelesspaytheduedesignfee.

6.1.5甲方要求乙方比合同規(guī)定時間提前提交設(shè)計文件時，甲方應(yīng)支付趕工費。

6.1.5IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallmakeadditionalpaymentforfastandimmediateservice.

6.1.6為一方派往現(xiàn)場的工作人員提供工作方便條件。

6.1.6PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.

6.1.7甲方應(yīng)保護乙方的設(shè)計版權(quán)，未經(jīng)乙方同意，甲方對乙方交付的設(shè)計文件不得復(fù)制或向第三方轉(zhuǎn)讓或用于本合同外的項目，如發(fā)生以上情況，乙方有權(quán)索賠。

6.1.7PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.

6.2乙方責(zé)任：

6.2ResponsibilitiesofPartyB:

6.2.1乙方按本合同第四條規(guī)定的內(nèi)容、時間及份數(shù)向甲方交付設(shè)計文件。

6.2.1PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4.

6.2.2乙方對設(shè)計文件出現(xiàn)的遺漏或錯誤應(yīng)在施工前負責(zé)修改或補充。由于乙方設(shè)計錯誤造成工程質(zhì)量事故損失，乙方除負責(zé)采取補救措施外，應(yīng)免收損失部分的設(shè)計費，并根據(jù)損失程度向甲方償付賠償金，賠償金額根據(jù)乙方與保險公司簽訂的設(shè)計責(zé)任保險合同計算。

6.2.2PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobeinaccordancetotheprofessionalindemnityinsurancecoverage.

6.2.3由于乙方自身原因，延誤了按本合同第四條規(guī)定的設(shè)計文件交付時間，每延誤一天，應(yīng)減收該項目應(yīng)收設(shè)計費的千分之一。

6.2.3IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%ofthedueamountofthedesignfeeonadailybasisforthedelayperiod.

6.2.4合同生效后，乙方單方提出解除合同的，乙方應(yīng)當按照有關(guān)規(guī)定賠償甲方損失。

6.2.4AftertheContractcomesintoforces,ifPartyBproposestoterminatetheContract,PartyBshallcompensatePartyA’slossesaccordingtotherelevantregulations.

6.2.5乙方交付設(shè)計文件后，應(yīng)參加甲方及相關(guān)職能部門的設(shè)計審查會議及根據(jù)審查結(jié)論負責(zé)不超出原定計劃任務(wù)書范圍內(nèi)的必要調(diào)整補充；負責(zé)向甲方及施工各單位進行設(shè)計交底，處理有關(guān)的設(shè)計問題和參加竣工驗收。乙方應(yīng)派相關(guān)人員參加施工期間的例會。乙方應(yīng)優(yōu)化設(shè)計以幫助業(yè)主將造價控制在預(yù)算內(nèi)。

6.2.5Afterthedesigndocumentshasbeensubmitted,PartyBshallalsoattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceedthescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuchmeetings.PartyBshallberesponsibleforexplainingdesigndetailstoPartyAandthemaincontractor;andshallberesponsibleforsolvingalltherelevantdesignproblemsandtoattendthehandingovermeeting.PartyBshallsendtherelevantpersonneltoparticipateintheregularsitemeetingssuringtheconstruction.PartyBshouldoptimizethedesigntoassistPartyAinmeetingtheprojectbudget.

6.2.6乙方不得向第三方擴散、泄露、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙、技術(shù)經(jīng)濟資料。如發(fā)生以上情況，甲方有權(quán)向乙方索賠。

6.2.6PartyBisnotallowedtodiscloseandtransfertoathirdpartyanyproductdrawing,technicalandeconomicdataetc.whichareprovidedbyPartyA.Incasethattheabove-mentionedishappened,PartyAshallhavetherighttoclaim.

6.2.7未經(jīng)甲方同意乙方不得將本項目的設(shè)計工作全部或部分轉(zhuǎn)包給第三者。

6.2.7PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithoutthepermissionofPartyA.

第七條其他約定

Article7.Otherprovisions

7.1甲方要求乙方派專人長期駐施工現(xiàn)場進行配合與解決有關(guān)問題時，雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。

7.1WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworkandsignasupplementaryserviceContract.

7.2乙方為本合同項目所采用的國家或地方標準圖，由甲方自費向有關(guān)出版部門購買。

7.2PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneededbyPartyBforthepurposeofdesigningtheproject.

7.3本合同第四條規(guī)定乙方交付的設(shè)計文件份數(shù)超過本合同第四條規(guī)定的份數(shù)，乙方另收工本費。

7.3IfPartyBisrequestedtosubmitdesigndocuments,ofwhich,thenumberofcopiesaremorethanthosestipulatedinArticle4ofthisContract,PartyAshallpayforthoseadditionalcopies.

7.4本工程項目中，建筑材料、設(shè)備的加工訂貨，甲方需要乙方設(shè)計人員配合時，所需費用由甲方承擔(dān)。

7.4IfPartyArequiresPartyBtoprovidepersonneltoassistthemforprocurementpurposes,suchastheprocurementofbuildingmaterial,equipments,etc.;theexpensesneededshallbebornebyPartyA.

7.5甲方委托乙方承擔(dān)本合同內(nèi)容之外的工作服務(wù)，另行支付費用。

7.5IfPartyAentrustsPartyBtoundertakethoseworkandserviceswhicharebeyondthisContract,PartyAshallpayadditionalfee.

7.6由于不可抗拒因素致使合同無法履行時，雙方應(yīng)及時協(xié)商解決。

7.6WhenthisContractcannotbeexecutedbecauseoftheunforeseeablenaturalforces,thetwoparitiesshalltimelynegotiatetosolvetheproblem.

7.7本建設(shè)工程設(shè)計合同在履行過程中發(fā)生糾紛，雙方應(yīng)及時協(xié)商解決。協(xié)商不成時，雙方同意由上海市仲裁委員會仲裁。

7.7BothpartiesshalltimelydiscusseachotherforthesettlementofanydisputearisingduringtheexecutionofthisContract.Incasethatsuchdiscussionfails,bothpartieshaveagreedappealingtoShanghaiMunicipalArbitrationCommissioncanbeaccepted.

7.8甲方聘請為甲方的顧問，協(xié)助甲方進行設(shè)計管理和建筑設(shè)計咨詢。費用由甲方另行支付。

7.8PartyAhasengagedtoactasPartyA’sconsultantstoassistPartyAtoprovidethemanagementanddesignconsultationservices.ThefeewillbepaidbyPartyAdirectlyandseparately.

7.9本合同未盡事宜，雙方可簽訂補充協(xié)議，補充協(xié)議與本合同具有同等效力。

7.9Supplementaryagreementcouldbemadebetweenthetwopartiesincasethatanyadditionalclauseshallbeadded.ThesupplementaryagreementshallhavethesameeffectandpowerasthisContract.

7.10本合同一式八份，甲執(zhí)四份，乙執(zhí)三份，政府部門一份。

7.10ThisContractshallbemadein8copies.PartyAshallhold4copies.PartyBshallhold3copies.Thegovernmentauthoritydepartmentshallholdonecopy.

7.11本合同以中英對照書寫，如有矛盾，應(yīng)以中文文本為準。

7.11ThisContractispreparedinbothChineseandEnglishlanguages,intheeventofconflictsinanyoftheprovisionsbetweenthetwoversions;provisionsspecifiedintheChineselanguageversionshalltakeprecedence.

7.12本合同雙方簽章后，在30日內(nèi)報項目所在地建設(shè)行政主管部門備案。雙方認為必要時，到項目所在地工商行政管理部門簽證。上方履行完合同規(guī)定的義務(wù)
