2.6Designrequirementsandscopeofwork:Thescopeofworkshallincludemasterplanningandbuildingdesignthatarelocatedwithintheboundaryline.Forbuildingdesignitshallcompriseofthearchitectural,structural&M/Ework.(including3,000㎡ofAir-raidshelterdesign,butexcludingotherspecialists’design,suchastheLuxuriousInteriorDesign,LandscapingDesignandFacadeFloodLightingDesign).Thetotalfloorareaduringtheworkingdrawingstageis70,000㎡(excludingtheSOHOArea,whichisstartingfromthefifthfloorleveltotheseventhfloorlevel).

第五條設(shè)計(jì)費(fèi)用及支付方法

Article5.Designfeeandthemodeofpayment:

5.1甲方應(yīng)支付本合同項(xiàng)目的設(shè)計(jì)費(fèi)為。

（含所有乙方應(yīng)繳納的稅費(fèi)及其它政府規(guī)定應(yīng)由乙方交納的款項(xiàng)）

第六條雙方責(zé)任

Article6.Responsibilitiesofbothparties:

6.1甲方責(zé)任

6.1ResponsibilitiesofPartyA:

6.1.1甲方按本合同第三條規(guī)定的內(nèi)容，在規(guī)定的時(shí)間內(nèi)向乙方提交資料及文件，并對(duì)其完整性、正確性及時(shí)限負(fù)責(zé)。甲方提交上述資料及文件超過(guò)規(guī)定期限15天以內(nèi)，乙方按本合同第四條規(guī)定交付設(shè)計(jì)文件時(shí)間順延；超過(guò)規(guī)定期限15天以上時(shí)，乙方有權(quán)重新確定提交設(shè)計(jì)文件的時(shí)間。

6.1.1AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmitmaterialsanddocumentstoPartyBwithinthestipulatedtimeasdescribedandshallberesponsibleforthecompleteness,correctnessandvalidityofsuchmaterialsanddocuments.IntheeventthatPartyAhasdelayedtheissuanceofsuchmaterialsanddocuments,butnotexceeding15daysfromthestipulatedtime,PartyBcouldconsequentlypostponethesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartyAhasdelayedtheissuanceofmaterialsanddocumentsformorethan15daysexceedingthestipulatedtimelimit,PartyBshallhavetherighttodeterminethenewdateforsubmittingthedesigndocuments.

6.1.2甲方變更委托設(shè)計(jì)項(xiàng)目、規(guī)模、條件，或?qū)μ峤毁Y料作重大修改，以致造成乙方設(shè)計(jì)需返工時(shí)，雙方除需另行協(xié)商簽訂補(bǔ)充合同、重新明確有關(guān)條款外，甲方應(yīng)按乙方所耗工作量向乙方支付返工費(fèi)。

6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarycontract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.

6.1.3在合同履行期間，甲方單方提出解除合同的，乙方已開(kāi)始設(shè)計(jì)工作的，甲方應(yīng)根據(jù)乙方已進(jìn)行的實(shí)際工作量支付設(shè)計(jì)費(fèi)。

6.1.3ShouldPartyAterminatetheContractduringthecontractualperiod,PartyAshallpayPartyBaccordingtotheactualworkdone.

6.1.4甲方在收到乙方付款通知書(shū)后30天內(nèi)，按本合同第五條規(guī)定的金額和時(shí)間向乙方支付設(shè)計(jì)費(fèi)用；在收到付款通知書(shū)的60天仍未支付，每逾期支付一天，應(yīng)承擔(dān)應(yīng)支付金額千分之一的逾期違約金。逾期超過(guò)30天以上時(shí)，乙方有權(quán)暫停履行下階段工作，并書(shū)面通知甲方。甲方上級(jí)對(duì)設(shè)計(jì)文件部審批或本合同項(xiàng)目停緩建，甲方均應(yīng)支付應(yīng)付的設(shè)計(jì)費(fèi)。

6.1.4PartyAshallpaythedesignfeetoPartyBwithinThirty(30)daysuponreceivingtheNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaymentisdelayedforSixty(60)daysuponreceivingtheNoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadailybasisshallbepaidbyPartyA.Incasethatsuchpaymentisdelayedforaperiodover30days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseandshallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor..postponed,PartyAshallneverthelesspaytheduedesignfee.

6.1.5甲方要求乙方比合同規(guī)定時(shí)間提前提交設(shè)計(jì)文件時(shí)，甲方應(yīng)支付趕工費(fèi)。

6.1.5IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallmakeadditionalpaymentforfastandimmediateservice.

6.1.6為一方派往現(xiàn)場(chǎng)的工作人員提供工作方便條件。

6.1.6PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.

6.1.7甲方應(yīng)保護(hù)乙方的設(shè)計(jì)版權(quán)，未經(jīng)乙方同意，甲方對(duì)乙方交付的設(shè)計(jì)文件不得復(fù)制或向第三方轉(zhuǎn)讓或用于本合同外的項(xiàng)目，如發(fā)生以上情況，乙方有權(quán)索賠。

6.1.7PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.

6.2乙方責(zé)任：

6.2ResponsibilitiesofPartyB:

6.2.1乙方按本合同第四條規(guī)定的內(nèi)容、時(shí)間及份數(shù)向甲方交付設(shè)計(jì)文件。

6.2.1PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4.

6.2.2乙方對(duì)設(shè)計(jì)文件出現(xiàn)的遺漏或錯(cuò)誤應(yīng)在施工前負(fù)責(zé)修改或補(bǔ)充。由于乙方設(shè)計(jì)錯(cuò)誤造成工程質(zhì)量事故損失，乙方除負(fù)責(zé)采取補(bǔ)救措施外，應(yīng)免收損失部分的設(shè)計(jì)費(fèi)，并根據(jù)損失程度向甲方償付賠償金，賠償金額根據(jù)乙方與保險(xiǎn)公司簽訂的設(shè)計(jì)責(zé)任保險(xiǎn)合同計(jì)算。

6.2.2PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobeinaccordancetotheprofessionalindemnityinsurancecoverage.

6.2.3由于乙方自身原因，延誤了按本合同第四條規(guī)定的設(shè)計(jì)文件交付時(shí)間，每延誤一天，應(yīng)減收該項(xiàng)目應(yīng)收設(shè)計(jì)費(fèi)的千分之一。

6.2.3IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%ofthedueamountofthedesignfeeonadailybasisforthedelayperiod.

6.2.4合同生效后，乙方單方提出解除合同的，乙方應(yīng)當(dāng)按照有關(guān)規(guī)定賠償甲方損失。

6.2.4AftertheContractcomesintoforces,ifPartyBproposestoterminatetheContract,PartyBshallcompensatePartyA’slossesaccordingtotherelevantregulations.

6.2.5乙方交付設(shè)計(jì)文件后，應(yīng)參加甲方及相關(guān)職能部門(mén)的設(shè)計(jì)審查會(huì)議及根據(jù)審查結(jié)論負(fù)責(zé)不超出原定計(jì)劃任務(wù)書(shū)范圍內(nèi)的必要調(diào)整補(bǔ)充；負(fù)責(zé)向甲方及施工各單位進(jìn)行設(shè)計(jì)交底，處理有關(guān)的設(shè)計(jì)問(wèn)題和參加竣工驗(yàn)收。乙方應(yīng)派相關(guān)人員參加施工期間的例會(huì)。乙方應(yīng)優(yōu)化設(shè)計(jì)以幫助業(yè)主將造價(jià)控制在預(yù)算內(nèi)。

6.2.5Afterthedesigndocumentshasbeensubmitted,PartyBshallalsoattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceedthescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuchmeetings.PartyBshallberesponsibleforexplainingdesigndetailstoPartyAandthemaincontractor;andshallberesponsibleforsolvingalltherelevantdesignproblemsandtoattendthehandingovermeeting.PartyBshallsendtherelevantpersonneltoparticipateintheregularsitemeetingssuringtheconstruction.PartyBshouldoptimizethedesigntoassistPartyAinmeetingtheprojectbudget.

6.2.6乙方不得向第三方擴(kuò)散、泄露、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙、技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上情況，甲方有權(quán)向乙方索賠。

6.2.6PartyBisnotallowedtodiscloseandtransfertoathirdpartyanyproductdrawing,technicalandeconomicdataetc.whichareprovidedbyPartyA.Incasethattheabove-mentionedishappened,PartyAshallhavetherighttoclaim.

6.2.7未經(jīng)甲方同意乙方不得將本項(xiàng)目的設(shè)計(jì)工作全部或部分轉(zhuǎn)包給第三者。

6.2.7PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithoutthepermissionofPartyA.

第七條其他約定

Article7.Otherprovisions

7.1甲方要求乙方派專人長(zhǎng)期駐施工現(xiàn)場(chǎng)進(jìn)行配合與解決有關(guān)問(wèn)題時(shí)，雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。

7.1WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworkandsignasupplementaryserviceContract.

7.2乙方為本合同項(xiàng)目所采用的國(guó)家或地方標(biāo)準(zhǔn)圖，由甲方自費(fèi)向有關(guān)出版部門(mén)購(gòu)買(mǎi)。

7.2PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneededbyPartyBforthepurposeofdesigningtheproject.

7.3本合同第四條規(guī)定乙方交付的設(shè)計(jì)文件份數(shù)超過(guò)本合同第四條規(guī)定的份數(shù)，乙方另收工本費(fèi)。

7.3IfPartyBisrequestedtosubmitdesigndocuments,ofwhich,thenumberofcopiesaremorethanthosestipulatedinArticle4ofthisContract,PartyAshallpayforthoseadditionalcopies.

7.4本工程項(xiàng)目中，建筑材料、設(shè)備的加工訂貨，甲方需要乙方設(shè)計(jì)人員配合時(shí)，所需費(fèi)用由甲方承擔(dān)。

7.4IfPartyArequiresPartyBtoprovidepersonneltoassistthemforprocurementpurposes,suchastheprocurementofbuildingmaterial,equipments,etc.;theexpensesneededshallbebornebyPartyA.

7.5甲方委托乙方承擔(dān)本合同內(nèi)容之外的工作服務(wù)，另行支付費(fèi)用。

7.5IfPartyAentrustsPartyBtoundertakethoseworkandserviceswhicharebeyondthisContract,PartyAshallpayadditionalfee.

7.6由于不可抗拒因素致使合同無(wú)法履行時(shí)，雙方應(yīng)及時(shí)協(xié)商解決。

7.6WhenthisContractcannotbeexecutedbecauseoftheunforeseeablenaturalforces,thetwoparitiesshalltimelynegotiatetosolvetheproblem.

7.7本建設(shè)工程設(shè)計(jì)合同在履行過(guò)程中發(fā)生糾紛，雙方應(yīng)及時(shí)協(xié)商解決。協(xié)商不成時(shí)，雙方同意由上海市仲裁委員會(huì)仲裁。

7.7BothpartiesshalltimelydiscusseachotherforthesettlementofanydisputearisingduringtheexecutionofthisContract.Incasethatsuchdiscussionfails,bothpartieshaveagreedappealingtoShanghaiMunicipalArbitrationCommissioncanbeaccepted.

7.8甲方聘請(qǐng)為甲方的顧問(wèn)，協(xié)助甲方進(jìn)行設(shè)計(jì)管理和建筑設(shè)計(jì)咨詢。費(fèi)用由甲方另行支付。

7.8PartyAhasengagedtoactasPartyA’sconsultantstoassistPartyAtoprovidethemanagementanddesignconsultationservices.ThefeewillbepaidbyPartyAdirectlyandseparately.

7.9本合同未盡事宜，雙方可簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等效力。

7.9Supplementaryagreementcouldbemadebetweenthetwopartiesincasethatanyadditionalclauseshallbeadded.ThesupplementaryagreementshallhavethesameeffectandpowerasthisContract.

7.10本合同一式八份，甲執(zhí)四份，乙執(zhí)三份，政府部門(mén)一份。

7.10ThisContractshallbemadein8copies.PartyAshallhold4copies.PartyBshallhold3copies.Thegovernmentauthoritydepartmentshallholdonecopy.

7.11本合同以中英對(duì)照書(shū)寫(xiě)，如有矛盾，應(yīng)以中文文本為準(zhǔn)。

7.11ThisContractispreparedinbothChineseandEnglishlanguages,intheeventofconflictsinanyoftheprovisionsbetweenthetwoversions;provisionsspecifiedintheChineselanguageversionshalltakeprecedence.

7.12本合同雙方簽章后，在30日內(nèi)報(bào)項(xiàng)目所在地建設(shè)行政主管部門(mén)備案。雙方認(rèn)為必要時(shí)，到項(xiàng)目所在地工商行政管理部門(mén)簽證。上方履行完合同規(guī)定的義務(wù)
