11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、品名、已裝載數(shù)量，發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等。shippingadvice:thesellersshallimmediately,uponthecompletionoftheloadingofthegoods,advisethebuyersofthecontractno,namesofcommodity,loadedquantity,invoicevalues,grossweight,namesofvesselandshipmentdatebytlx/fax.

12.檢驗(yàn)與索賠：

inspectionandclaims:

①賣方在發(fā)貨前由檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。

②貨物到達(dá)目的的口岸后，買方可托付當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。假如發(fā)覺貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的天內(nèi)憑檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。

③如買方供應(yīng)索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起天提出;凡屬數(shù)量異議須于貨到目的口岸之日起天提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。

13.人力不行抗拒：如因人力不行抗拒的緣由造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的狀況準(zhǔn)時(shí)通知買方。

14.爭(zhēng)議之解決方式：

disputessettlement:□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)章進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

15.法律適用

本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。

13.裝運(yùn)條款：

□FOB

賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方支配租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

CIFandCFR

賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在CFR術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報(bào)買方合同號(hào)、品名、發(fā)票價(jià)值及開船日期，以便買方支配保險(xiǎn)。

14.裝運(yùn)通知

15.質(zhì)量保證：

Qualityguarantee:

貨物品質(zhì)規(guī)格必需符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

16.商品檢驗(yàn)：賣方須在裝運(yùn)前_____日托付檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方托付____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

17.索賠

Claims:

如經(jīng)中國(guó)_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)覺貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不全都，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。

ThebuyersshalllodgeclaimsagainstthesellersbasedontheInspectionCertificateissuedbyChinaInspectionAuthorityDaysafterthearrivalofthegoodsatthedestination,ifthegoodsarefoundtobedamaged,missingorthespecifications,quantity,andqualitynotinconformitywiththosespecifiedinthiscontractandLetterofQualityGuarantee.Incasetheclaimperiodabovespecifiedisnotinconformitywiththequalityguaranteeperiod,duringthequalityguaranteeperiod,thebuyershaverightstolodgeclaimsagainstthesellersconcerningthequalityguarantee.

18.延期交貨違約金

Latedeliveryandpenalty

除雙方認(rèn)可的不行抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意拖延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行共性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采納信用證支付的狀況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。

Ifthesellersfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofForceMajeure,thebuyersshallagreetopostponethedeliveryonconditionsthatthesellersagreetoamendtheclausesoftheL/Candpayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoods.Therateofpenaltyischargedat0.5%foreverysevendays,iflessthatsevendays.Incase,thepaymentisnotmadethroughL/C,thesellersshallpaythepenaltycountedasabovetothebuyersassoonaspossible.

19.人力不行抗拒：如因人力不行抗拒的緣由造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的狀況及

時(shí)通知買方。

ForceMajeure:Thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoForceMajeure.Butthesellersshalladvisethebuyersontimesofsuchoccurrence.

20.爭(zhēng)議之解決方式：
