PAGEPAGE6保密協(xié)議ConfidentialityAgreement甲方：XX有限公司PartyA：XXCo.，Ltd.乙方：PartyB：鑒于：Whereas：就與甲方進(jìn)行的會談或合作，乙方需要取得甲方的相關(guān)業(yè)務(wù)和商業(yè)資料，為此，甲乙雙方本著互惠互利、共同發(fā)展的原則，經(jīng)友好協(xié)商簽訂本協(xié)議。ProvidingofrelevantbusinessandcommercialinformationfromPartyAtoPartyBisrequiredfortheongoingbusinessdiscussionsorcooperationbetweenPartyAandPartyBwithrespectto，thisagreementisenteredintobyandbetweenPartyAandPartyBthroughfriendlyconsultationsandundertheprincipleofmutualbenefitandjointdevelopment.第一條保密資料的定義Article1DefinitionofConfidentialInformation在雙方協(xié)商期間乙方從甲方獲取的所有的通訊信息、信息、圖紙、產(chǎn)品和其他資料都是保密的(“保密信息”)，但不包括下述資料和信息：Allcommunications,information,drawings,productsandothermaterialsobtainedbyPartyBfromPartyAduringthenegotiations,areconfidential(“ConfidentialInformation”)，excludingthefollowingdataandinformation：1、已經(jīng)或?qū)⒐加诒姷馁Y料，但不包括甲乙雙方或其代表違反本協(xié)議規(guī)定未經(jīng)授權(quán)所披露的；1．Informationthatisalreadyortobemakepublicavailable，exceptthosedisclosedbyPartyAoritsrepresentativesinviolationofthisagreementandwithoutauthorization；2、甲方向乙方披露前已為乙方知悉的非保密性資料；2.Non-confidentialinformationthathascometotheattentionofPartyBbeforethedisclosureofPartyA；第二條責(zé)任與義務(wù)Article2ObligationsandLiabilities（一）乙方負(fù)有保密義務(wù)，承擔(dān)保密責(zé)任。（1）PartyBshallundertakeconfidentialityobligationsandliabilities.（二）乙方未經(jīng)甲方書面同意不得向第三方（包括新聞界人士）公開和披露任何保密資料或以其他方式使用保密資料。乙方也須促使其代表不向第三方（包括新聞界人士）公開或披露任何保密資料或以其它方式使用保密資料。除非披露、公開或利用保密資料是乙方從事或開展合作項目工作在通常情況下應(yīng)承擔(dān)的義務(wù)（包括乙方今后依法律或合同應(yīng)承擔(dān)的義務(wù)）適當(dāng)所需的。（2）PartyBshallnotdiscloseormakepublicanyconfidentialinformationtoathirdparty（includingthepress）orotherwisemakeuseoftheconfidentialinformationwithoutthewrittenapprovaloftheotherparty；PartyBisobligedtourgeitsrepresentativesnottodiscloseormakepublicanyconfidentialinformationtoathirdparty（includingthepress）orotherwisemakeuseoftheconfidentialinformation；unlessthedisclosure，publicityandapplicationoftheconfidentialinformationisrequiredbythedueperformanceoftheobligationofPartyBinassociationwiththeundertakingandproceedingofthecooperativeprogramsundernormalcircumstances（includingobligationtobeassumedbyPartyBinthefuturepursuanttothelawandthecontractssignedbythetwoparties）。（三）乙方均須把保密資料的接觸范圍嚴(yán)格限制在因本協(xié)議規(guī)定目的而需接觸保密資料的負(fù)責(zé)任的代表的范圍內(nèi)；（3）PartyBshallstrictlylimittheaccesstotheconfidentialinformationtoitsresponsiblerepresentativesonlyforthepurposesspecifiedhereunder.（四）除經(jīng)過甲方書面同意而必要進(jìn)行披露外，乙方不得將含有對方或其代表披露的保密資料復(fù)印或復(fù)制或者有意無意地提供給他人；（4）PartyBshallnotprovideathirdpartywithcopiesorduplicatesoftheconfidentialinformationdisclosedbyPartyAoritsrepresentative，whetherintentionallyornot，unlessthedisclosureisallowedbyawrittenagreementsignedbyPartyA.（五）如果合作項目不再繼續(xù)進(jìn)行或其中一方因故退出此項目，經(jīng)甲方在任何時候提出書面要求，乙方應(yīng)當(dāng)、并應(yīng)促使其代表在五（5）個工作日內(nèi)銷毀或向甲方返還其占有的或控制的全部保密資料以及包含或體現(xiàn)了保密資料的全部文件和其它材料并連同全部副本。但是在不違反本協(xié)議其它條款的條件下，雙方可僅為本協(xié)議第四條之目的，保留上述文件或材料的復(fù)制件一份；（5）Intheeventthattheproceedingofthecooperativeprogramceasesoreitherpartyquitstheprogramwithreasons，PartyBshallandshallurgeitsrepresentativestodestroyorreturntoPartyAallconfidentialinformationaswellasalldocumentsandmaterialsandallduplicatesthereofcontainingconfidentialinformationwithinfiveworkingdays，upontherequestofPartyAatanytime.Nevertheless，PartyBthatpossesstheconfidentialinformationmaykeeponepieceoftheduplicatesofthedocumentsormaterialsdescribedaboveonlyforthepurposeenshrinedinArticle4hereunder，withoutbreachingotherprovisionsofthisagreement.第三條知識產(chǎn)權(quán)Article3IntellectualPropertyRights甲方向乙方或乙方代表披露保密資料并不構(gòu)成向乙方或乙方代表轉(zhuǎn)讓或授予其商業(yè)秘密、商標(biāo)、專利、技術(shù)秘密或任何其它知識產(chǎn)權(quán)擁有的權(quán)益，也不構(gòu)成向乙方或乙方代表轉(zhuǎn)讓或授予受第三方許可使用的商業(yè)秘密、商標(biāo)、專利、技術(shù)秘密或任何其他知識產(chǎn)權(quán)的有關(guān)權(quán)益。DisclosureoftheconfidentialinformationbyPartyAtoPartyBoritsrepresentativesshallnotbeconstruedtoconstituteanassignmentorgranttoPartyBoritsrepresentativesoftherightsandinterestsinrelationtoitstradesecrets，trademarks，patents，know-howoranyotherintellectualproperty，norshallitconstituteanassignmentorgranttoPartyBoritsrepresentativestherightsandinterestsinrelationtothetradesecrets，trademarks，patents，know-how，oranyotherintellectualpropertyauthorizedbyathirdparty.第四條保密資料的保存和使用Article4PreservationandApplicationoftheConfidentialInformation（一）乙方有權(quán)保存必要的保密資料，以便在履行其在合作項目工作中所承擔(dān)的法律、規(guī)章與義務(wù)時使用該等保密資料。（1）PartyBhastherighttopreservenecessaryconfidentialinformation，soastomakeuseofwhichinimplementingbindinglaws，regulations，andobligationsundertheircooperativeprograms.（二）乙方在書面通知甲方并將披露的復(fù)印件抄送甲方后，可根據(jù)需要在提交任何市、省、中央或其他對乙方有管轄權(quán)的監(jiān)管團(tuán)體的任何報告、聲明或證明中披露保密資料。（2）PartyBcan，inlightofactualdemand，disclosetheconfidentialinformationinanyreports，statementsorcertificatessubmittedtoanyregulatoryorgansatmunicipal，provincial，central，orotherlevelsthathavejurisdictionoverPartyB，afterinformingPartyAinwrittenformandmakingacopyforPartyAofthedisclosedinformation.第五條違約金Article5PaymentofPenalty違反本協(xié)議項下的任何一項義務(wù)的單個情況，違約方應(yīng)當(dāng)支付伍萬美元(USD50.000)的違約金。此等違約金不限制另一方要求超出此數(shù)額的實(shí)際損害賠償?shù)臋?quán)利。任何一次對本協(xié)議的違約行為都不應(yīng)當(dāng)被認(rèn)為是前一次違約行為的繼續(xù)。ForeachindividualbreachofanobligationunderthisagreementthePartyinbreachshallpayacontractualpenaltyoftheequivalentamountoffiftythousandUnitedStatesDollars(USD50,000.),withoutlimitingtherightoftheotherPartytoclaimactualdamagesinexcessofthisamount.NoactofbreachofthisAgreementshallbeconsideredthecontinuationofapreviousactofbreachofthisAgreement.第六條爭議解決和適用法律Article6DisputeSettlementandGoverningLaws本協(xié)議受中華人民共和國法律管轄并按中華人民共和國法律解釋。對因本協(xié)議或本協(xié)議各方的權(quán)利和義務(wù)而發(fā)生的或與之有關(guān)的任何事項和爭議、訴訟或程序，本協(xié)議雙方不可撤銷地接受中華人民共和國法院的管轄。ThisagreementshallbegovernedbyandbeinterpretedinaccordancewiththelawsofthePeople'sRepublicofChina.Withrespecttoanyissues，disputes，lawsuitsorproceedingsarisingfromorinconnectionwiththerightsandobligationsofthepartieshereunder，thetwopartiesshallirrevocablyacceptthejurisdictionofthepeople'scourtsofthePeople'sRepublicofChina.第七條協(xié)議有效期Article7TermoftheAgreement本協(xié)議有效期為五年，自甲乙雙方簽字蓋章之日起生效。Thisagreementshallremaineffectiveforfiveyears，andshallcomeintoforceasfromthedatewhenbothpartiessignandstampthecompanychopontheagreement.第八條其他Article8MiscellaneousProvisions（一）本合同的語言為中文和英文。若中英文不一致的，則以中文為準(zhǔn)。（1）ThisAgreementshallbedrawnupinanEnglishandaChineseversion.IfthereisanydiscrepancybetweenEnglishandChineseversions,theChineseversionshallprevail.（二）本協(xié)議一式四份，雙方各執(zhí)兩份，具有同等法律效力。（2）Thisagreementshallbeheldinfouroriginalsofthesameform.Eachpartyshallpreservetwooriginalswithequallegaleffect.甲方：XX有限公司PartyA：XXCo.，Ltd.地址：Address：聯(lián)系電話：Tel：傳真：Fax：郵政編碼：PostalCode（蓋章）（Seal）法定代表人（或授權(quán)代表人）簽字：SignatureofLegalRepresentative（orAuthorizedRepresentative）：日期：年月日Date：乙方：PartyB：地址：Address：聯(lián)系電話：Tel：傳真：Fax：郵政編碼：PostalCode：（蓋章）（Seal）法定代表人（或授權(quán)代表）簽字：SignatureofLegalRepresentative（orAuthorizedRepresentative）：日期：年月日Date：辦公場地租賃合同根據(jù)國家有關(guān)規(guī)定，甲、乙雙方在自愿、平等、互利的基礎(chǔ)上就甲方將其合法擁有的辦公場所租賃給乙方使用的有關(guān)事宜，雙方達(dá)成協(xié)議并簽訂租賃合同如下：出租辦公場所情況甲方租賃給乙方的辦公場所坐落在重慶北部新區(qū)星光五路8號19樓，建筑面積為300平方米。（甲方辦公場地的一半）。二、合租期限：1、租期自2014年9月11日起，至2015年3月10日止。2、租賃期滿，甲方有權(quán)收回出租辦公場所，乙方應(yīng)如期歸還，乙方需繼續(xù)承租的，應(yīng)于租賃期滿前一個月向甲方提出書面要求，經(jīng)甲方同意后重新簽訂租賃合同。租金：甲乙雙方約定，上述辦公場所租金為100000元（大寫：壹拾萬
