保密協(xié)議翻譯2024年ConfidentialityAgreementTitle:ConfidentialityAgreement2024PartiesInvolved:Discloser(PartyA):_______________________Address:_______________________LegalRepresentative:_______________________Position:_______________________Recipient(PartyB):_______________________Address:_______________________LegalRepresentative:_______________________Position:_______________________Preamble:WHEREAS,PartyAandPartyBareenteringintoacollaborativerelationshipfortheProjectknownas"_______________________";andWHEREAS,PartyAdesirestodisclosecertainconfidentialandproprietaryinformationtoPartyBforthepurposeofthecollaboration;andWHEREAS,bothpartiesrecognizetheimportanceofprotectingsuchconfidentialinformationfromunauthorizeddisclosure.NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:Article1:DefinitionofConfidentialInformation1.1"ConfidentialInformation"shallmeananynon-publicinformationdisclosedbyPartyAtoPartyBduringthecourseofthecollaboration,includingbutnotlimitedtotradesecrets,businessstrategies,customerlists,financialdata,andtechnicalknow-how.1.2ConfidentialInformationshallnotincludeinformationthat:a)Isalreadyknowntothepublicatthetimeofdisclosure;b)BecomespubliclyknownthroughnofaultofPartyB;c)WasinPartyB'spossessionpriortodisclosure;d)IsindependentlydevelopedbyPartyBwithoutuseofPartyA'sConfidentialInformation.Article2:UseofConfidentialInformation2.1PartyBagreestousetheConfidentialInformationsolelyforthepurposeof"_______________________"andfornootherpurpose.2.2PartyBshalltakeallreasonablemeasurestoprotecttheConfidentialInformationfromdisclosure,misuse,oracquisitionbyunauthorizedthirdparties.Article3:DisclosureofConfidentialInformation3.1PartyAshallhavetherighttodeterminewhatinformationconstitutesConfidentialInformationandmayupdatethescopeofsuchinformationfromtimetotime.3.2Upondisclosure,PartyAshallclearlyidentifytheinformationasConfidentialInformationandspecifythedurationofconfidentiality.Article4:DurationofConfidentiality4.1TheperiodofconfidentialityshallcommencefromthedateofthisAgreementandcontinueuntil"_______________________".4.2Theobligationsofconfidentialityshallsurvivetheterminationofthecollaborationforanyreason.Article5:ReturnorDestructionofConfidentialInformation5.1UponcompletionofthecollaborationorattherequestofPartyA,PartyBshallreturnalldocumentsandmaterialscontainingConfidentialInformationtoPartyAordestroythemasdirectedbyPartyA.5.2PartyBshallprovidewrittencertificationtoPartyAevidencingthereturnordestructionoftheConfidentialInformation.Article6:BreachofAgreement6.1IntheeventPartyBbreachesanytermofthisAgreement,PartyBshallpayliquidateddamagestoPartyAintheamountof"_______________________".6.2ThepaymentofliquidateddamagesshallnotexcusePartyBfromanyotherlegalliabilitiesarisingfromthebreach.Article7:GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof"_______________________".7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiation.Shouldnegotiationfail,eitherpartymaysubmitthedisputeto"_______________________"forresolution.Article8:Miscellaneous8.1AnyamendmentsorsupplementstothisAgreementshallbemadeinwritingandshallbeeffectiveuponsignatureandsealbytheauthorizedrepresentativesofbothparties.8.2ThisAgreementisexecutedintwocounterparts,eachofwhichshallbedeemedanoriginal,andbothofwhichtogethershallconstituteoneandthesameinstrument.Execution:PartyA(Seal):_______________________AuthorizedRepresentative(Signature):_______________________Date:_______________________PartyB(Seal):_______________________AuthorizedRepresentative(Signature):_______________________Date:_______________________[Note:ThisAgreementisasampletext,andspecifictermsshouldbeadjustedandperfectedaccordingtoactualcircumstances.][EndofText]Article9:Annexes9.1.TheannexestothisAgreementareintegralpartshereofandhavethesamelegaleffectasthemaintextoftheAgreement.9.2.Theannexesinclude,butarenotlimitedto:a)AdetailedlistoftheConfidentialInformation;b)Proofofidentityoftheauthorizedrepresentativesofbothparties;c)Proofofqualificationofbothparties;d)RecordsofreceiptandreturnordestructionoftheConfidentialInformationconfirmedbybothparties.AnnexList:AnnexI:DetailedlistoftheConfidentialInformation;AnnexII:ProofofidentityofPartyA'sauthorizedrepresentative;AnnexIII:ProofofidentityofPartyB'sauthorizedrepresentative;AnnexIV:ProofofqualificationofPartyA;AnnexV:RecordsofreceiptoftheConfidentialInformationconfirmedbyPartyB;AnnexVI:RecordsofreturnordestructionoftheConfidentialInformationconfirmedbyPartyB.II.BreachofConductandDetermination:10.1.Breachofconductincludes,butisnotlimitedto:a)Unauthorizeddisclosure,use,orallowingathirdpartytousetheConfidentialInformationbyPartyBwithoutthewrittenconsentofPartyA;b)FailureofPartyBtoreturnordestroytheConfidentialInformationasrequiredbyPartyA;c)AnyotherbreachofthetermsofthisAgreementbyPartyB.10.2.Thedeterminationofabreachshallbemadebymutualagreementofbothpartiesorinaccordancewithrelevantlawsandjudicialdecisions.III.LegalTermsandDefinitions:11.1."ConfidentialInformation"referstothenon-publicinformationdisclosedbyPartyAtoPartyBduringthecollaboration.11.2."Discloser"referstoPartyA,theoriginalholderoftheConfidentialInformation.11.3."Recipient"referstoPartyB,thereceiveroftheConfidentialInformation.11.4."BreachofAgreement"referstothelegalresponsibilitiesarisingfromtheviolationofthetermsofthisAgreement,includingbutnotlimitedtothepaymentofliquidateddamagesandcompensationforlosses.IV.ProblemsEncounteredDuringExecutionandSolutions:12.1.IfthereisanissuewiththedefinitionofConfidentialInformationduringtheexecutionofthisAgreement,bothpartiesshouldfirstresolveitthroughnegotiation;ifnegotiationfails,athird-partyprofessionalinstitutionmayberequestedtomakeanappraisal.12.2.IfPartyBviolatestheobligationofconfidentiality,PartyAhastherighttodemandthatPartyBimmediatelyceasethebreachandtakeremedialmeasures,suchaspayingliquidateddamagesandcompensatingforlosses.12.3.IncaseofdisclosureofConfidentialInformationduetoforcemajeure,bothpartiesshouldresolveitthroughnegotiationaccordingtotheactualsituation,andmayrequestjudicialinterventionifnecessary.V.
