**ConsultingFeeContractAgreement**

ThisConsultingFeeContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertCompanyName]("Company"),a[insertincorporationtype]incorporatedin[insertstate/countryofincorporation],and[InsertConsultant'sName],anindividual("Consultant").

**Recitals**

WHEREAS,theCompanydesirestoengagetheConsultanttoprovideconsultingservices(the"Services")totheCompany;

WHEREAS,theConsultantiswillingtoprovidetheServicestotheCompanyonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

**Services**

1.1TheConsultantagreestoprovidetheServicestotheCompany,whichshallinclude,butnotbelimitedto,thefollowing:[InsertlistofservicestobeprovidedbyConsultant].

1.2TheConsultantshallprovidetheServicestotheCompanyona[insertbasis(e.g.,full-time,part-time,asneeded)].

1.3TheConsultantshallperformtheServiceswiththehighestdegreeofcare,skill,andefficiencyinaccordancewiththestandardsgenerallyacceptedintheprofessionforsimilarservices.

**Compensation**

2.1TheCompanyagreestopaytheConsultantaconsultingfeeof[InsertFeeAmount]per[InsertTimePeriod(e.g.,month,quarter,year)]fortheperformanceoftheServices.

2.2TheConsultantshallbeentitledtoreceivereimbursementforallreasonableandnecessaryexpensesincurredinconnectionwiththeperformanceoftheServices,uponsubmissionofappropriatedocumentationtotheCompany.

**Term**

3.1ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinueuntil[InsertTerminationDate].

3.2eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[InsertNumberofDays]afterreceiptofwrittennoticethereoffromthenon-breachingparty.

**Confidentiality**

4.1TheConsultantagreestokeepstrictlyconfidentialandnotdisclosetoanythirdpartyanyconfidentialinformation(the"ConfidentialInformation")oftheCompany,exceptasrequiredbylaworregulation,orwiththepriorwrittenconsentoftheCompany.

4.2TheConsultantshallreturnallConfidentialInformationtotheCompanyuponrequestorattheendoftheTerm,whicheverissooner.

**Indemnification**

5.1TheConsultantagreestoindemnifyandholdharmlesstheCompanyfromanyandallclaims,demands,actions,liabilities,losses,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServicesbytheConsultant.

**GoverningLawandJurisdiction**

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedin[InsertJurisdiction]courts,andthepartiesherebysubmittothejurisdictionandvenueofsuchcourts.

**EntireAgreement**

7.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

7.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
