合同范本之居間服務(wù)合同英文.2024年IntermediaryServiceContractContractNumber:_______DateofContract:_______PartyA(Client):_______Address:_______LegalRepresentative:_______ContactNumber:_______PartyB(Intermediary):_______Address:_______LegalRepresentative:_______ContactNumber:_______Article1PurposeoftheContractThiscontractisintendedtodefinetherights,obligations,andresponsibilitiesofbothPartyAandPartyBintheintermediaryserviceprocess,ensuringthelegality,validity,andsafetyoftheservice.Article2DescriptionofServicesTheintermediaryservices("Services")providedbyPartyBtoPartyAincludebutarenotlimitedtofacilitatingthetransactionbetweenPartyAandathirdparty,providinginformation,andassistinginnegotiations.PartyBshalluseitsbesteffortstoprovideprofessionalandefficientintermediaryservicestoPartyA.Article3ServiceFeePartyAagreestopayPartyBaservicefeeforthesuccessfulcompletionofthetransaction.Theservicefeeshallbe_______%ofthetransactionvalue.TheservicefeeshallbepaidbyPartyAtoPartyBwithin_______daysafterthetransactioniscompleted.Article4ObligationsofPartyAPartyAshallprovidePartyBwithaccurateandcompleteinformationrelatedtothetransaction.PartyAshallcooperatewithPartyBintheintermediaryprocessandrespondpromptlytoanyinquiriesorrequestsfromPartyB.Article5ObligationsofPartyBPartyBshallprovideintermediaryservicesinaccordancewiththeagreedtermsandinaprofessionalmanner.PartyBshallnotdiscloseanyconfidentialinformationreceivedfromPartyAtoanythirdpartywithoutPartyA'spriorwrittenconsent.Article6ConfidentialityBothpartiesshallkeepconfidentialallinformationobtainedduringtheperformanceofthiscontractandshallnotdisclosesuchinformationtoanythirdpartywithouttheotherparty'swrittenconsent.Theobligationofconfidentialityshallcontinueaftertheterminationofthiscontract.Article7TermofContractThiscontractshallcommenceonthedateofsigningandshallremainineffectuntilthecompletionoftheintermediaryservicesoruntilterminatedbyeitherparty.Thecontractmaybeextendedbymutualwrittenagreementofbothparties.Article8TerminationEitherpartymayterminatethiscontractbygiving_______days'writtennoticetotheotherparty.Intheeventofbreachofcontractbyeitherparty,thenon-breachingpartymayterminatethecontractimmediately.Article9LiabilityforBreachofContractThepartyinbreachshallbeliableforanylossesincurredbytheotherpartyduetosuchbreach.Theliabilityforbreachofcontractshallbedeterminedbasedontheactuallossesincurredandthetermsofthiscontract.Article10DisputeResolutionAnydisputesarisingfromtheperformanceofthiscontractshallberesolvedthroughfriendlynegotiationsbetweenbothparties.Ifnegotiationsfail,eitherpartymaysubmitthedisputeto_______forarbitration.Article11ApplicableLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Article12AdditionalProvisionsAnyadditionalprovisionsoramendmentstothiscontractmustbemadeinwritingandsignedbybothparties.Theannexestothiscontractareanintegralpartofthiscontractandhavethesamelegaleffectasthemaintext.Article13NoticeAllnotices,requests,andothercommunicationsrelatedtothiscontractshallbeinwritingandsenttotheaddressofthereceivingpartyasspecifiedinthiscontractorasupdatedfromtimetotime.Article14ContractEffectivenessThiscontractshallbecomeeffectiveuponsignaturebybothpartiesandshallbebindingonbothparties.PartyA(ClientSignature):_______Date:_______PartyB(IntermediarySignature):_______Date:_______(Endofthefirsthalfofthecontract)Article15RepresentationsandWarrantiesPartyBrepresentsandwarrantsthatithasthenecessaryqualificationsandauthoritytoprovidetheintermediaryservices.PartyArepresentsandwarrantsthatithasthelegalcapacitytoenterintothiscontractandtoperformitsobligationshereunder.Article16IndemnificationPartyBshallindemnifyandholdPartyAharmlessagainstanylosses,damages,orexpensesarisingfromPartyB'sbreachofcontractornegligence.PartyAshallindemnifyandholdPartyBharmlessagainstanylosses,damages,orexpensesarisingfromPartyA'sbreachofcontractornegligence.Article17ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthiscontracttotheextentthatsuchfailureordelayiscausedbyforcemajeure.Thepartyaffectedbyforcemajeureshallpromptlynotifytheotherpartyinwritingandprovidereasonableevidenceoftheforcemajeureevent.Article18AssignmentPartyAmaynotassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentofPartyB.PartyBmaynotassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentofPartyA.Article19EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties,whetherwrittenororal.Article20AmendmentsNoamendmenttothiscontractshallbeeffectiveunlessitisinwritingandsignedbybothparties.Article21WaiverNowaiverofanyprovisionofthiscontractshallbeeffectiveunlessitisinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.Article22SeverabilityIfanyprovisionofthiscontractisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallremaininfullforceandeffect.Article23LanguageTheofficiallanguageofthiscontractisEnglish.AnytranslationsofthiscontractareforreferenceonlyandtheEnglishversionshallprevailincaseofanydiscrepancies.Article24ExecutioninCounterpartsThiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.PartyA(ClientSignature):_______Date:_______PartyB(IntermediarySignature):_______Date:_______Annexes:AnnexA:DescriptionofServicesAnnexB:FeeScheduleAnnexC:ConfidentialityAgreementAnnexD:RepresentationsandWarrantiesAnnexE:ForceMajeureEventNotificationFormI.AnnexList:AnnexA:DescriptionofServices-ThisdocumentoutlinesthespecificservicestobeprovidedbyPartyB,includingthescope,timeline,andqualitystandards.AnnexB:FeeSchedule-Thisdocumentdetailstheservicefeestructure,paymentterms,andanyconditionsrelatedtothepaymentoftheservicefee.AnnexC:ConfidentialityAgreement-Thisdocumentsetsforththeobligationsofbothpartiesregardingtheprotectionofconfidentialinformation.AnnexD:RepresentationsandWarranties-Thisdocumentcontainsthespecificrepresentationsandwarrantiesmadebyeachpartyregardingtheirqualificationsandauthority.AnnexE:ForceMajeureEventNotificationForm-Thisdocumentisusedbyeitherpartytonotifytheotherofaforcemajeureeventandprovideevidenceofsuchevent.II.BreachofContractandDetermination:BreachbyPartyB:Mayincludefailuretoprovideservicesasagreed,disclosureofconfidentialinformation,orfailuretomeettheservicequalitystandards.BreachbyPartyA:Mayincludefailuretoprovideaccurateinformation,failuretocooperateintheintermediaryprocess,orfailuretopaytheservicefeeontime.DeterminationofBreach:Thedeterminationofabreachshallbebasedontheevidenceprovidedandthetermsofthecontract.III.LegalTermsandDefinitions:IntermediaryServices:ReferstotheservicesprovidedbyPartyBtofacilitatethetransactionbetweenPartyAandathirdparty.ConfidentialInformation:Referstoanyinformationthatisnotpubliclyknownandisprovidedbyonepartytotheotherinthecourseofthiscontract.ForceMajeure:Referstounforeseeable,unavoidable,andinsurmountableobjectivecircumstances,suchasnaturaldisastersorwar.IV.IssuesEncounteredandSolutions:ServiceQualityIssues:IfPartyBfailstomeettheservicequalitystandards,PartyAmayrequestarenegotiationoftheserviceterm
